CITY OF EDGEWATER

HISTORICAL EVALUATION OF OAKLYNN CEMETERY

This agreement, between The Center for Historic Cemeteries Preservation ( Consultant) and The

City of Edgewater~ Florida (City), provides for the following:

Scope of Work -- .

The Consultant will conduct a preliminary evaluation of Oaklynn Cemetery which will

involve:

1) A site visit to' the cemetery to evaluate its historical and cultural features, and where

possible, to identify areas of significance which may be important for determiningeligibility for nomination to the National Register of Historic Places;

2) A report which will describe the significant features ofOaklynn Cemetery, suggestany short- and long-term preservation measures that may be beneficial, and recommend

topics for research that will place the cemetery within its historical and cultural context.

Recommendations will also include possible areas of recognition for the sites, such as

nomination to the National Register, the State Marker program, and historical interp-retation opportunities.

The scope of work will be limited to what is noted at the site and to the historical infor-

mation which has been assembled by the City of Edgewater and made available to the Consultant. ITerm --

The term of this project will begin on March 10 ( if both parties have signed the

Agreement) and will terminate on 15 May 2001. An extension of time will be granted to the

Consultant if weather, illness, or dangerous conditions should slow or stop the field investigation.Additional time will in no way require further funding for the project over the previously agreedfee.

Compensation --The Consultant will be solely responsible for the site evaluation and for the resulting

report. For the service rendered the City will coordinate payment to the Consultant of a total of

four thousand dollars ($4, 000). A two-part payment schedule will be used whereby the amount of

2, 000 will be paid to the Consultant at .the conclusion of the field survey, and the amount of2, 000 will be paid to the Consultant when the final report is submitted to the City. This amount

includes all expenses associated with the project, including travel, per diem, photography, reportproduction, and incidentals such as postage" photocopying, telephone, etc.

Extent ofServices --The Consultant will not be required to devote its entire time and attention to the City of

Edgewater' s Oaklynn Cemetery Evaluation project and shall be allowed during the term of this

agreement to be engaged in other professional activities. However, the Consultant assures that anyother endeavors will not inhibit or prevent completion of the duties as stated.

Working Facilities and Provided Assistance --

The City makes no working facilities available to the Consultant, but will provide a

knowledgeable guide to accompany the Consultant when evaluating the cemetery. The City' also

guarantees complete access to the cemetery site and to all historical information and documents it

may have that pertain to the site and which may be necessary for the successful completion of the

project. '

Assignment --The Consultant will not assign any of its rights or delegate any of its duties or obligations

under this Agreement.

Rights to 'Data --

All compiled data will be the property of The City of Edgewater. However, the Consultantwill be allowed to retain copyright, copies of the materials, and to have the use of the material for

publications or presentations, with the approval and consent of the City.

Entire Agreement --This Agreement contains the entire understanding of the parties involved. It may not be

changed orally, but only by an amendment in writing, agreed to by both the Consultant and the

City. This entire Agreement may be terminated, with or without cause, by either party with 30

days' written notice to the other party. In the event of any termination, the Consultant will be

paid for all services rendered to date of termination. .

Binding Effect -- .This Agreement becomes effective when executed by both parties. I

First, we would like to take this opportunity to thank youboth for trying to help us with this problem.

We shall never forget your concern and kindness that youboth have shown to our community.

Monday night, we had our meeting with the family members of

the love one who are buried in Oaklynn Cemetery. The

consensus was to let things remain the same right now until

everything is settled.

The city has hired an consultant to come from Tallahassee to

visit Oaklynn Cemetery and we will wait to see and hear the

result.

Thank you both again and may GOD be your light in your time

of trouble.
