Standard Conditions of Quotation,Contract and Sale
of O-line (Pty) Ltd And Its Subsidiary Companies herein stated as O-line.All merchandise sold and business invited in O-line quotations, tenders, catalogues and price lists is subject to the O-lineConditions of Quotation, Contract and Sale in force at that time. O-line reserves the right to modify and change designs.
I) Unless otherwise expressly agreed in writing by O-line any terms or condi-tions of a Purchaser which are in conflict with these conditions shall bedeemed not to, and shall not, apply nor be part of the contract and O-line con-tracts only upon and subject to these conditions and none other
(11) WORKMANSHIP, DESIGN AND MATERIALS GUARANTEEO-line may at its option repair or replace any goods or parts which become de-fective under normal use and condition and which are returned at the Pur-chaser's cost to the source from which the product originated within 30 days ofdelivery thereof to the Purchaser. The Purchaser shall have no claim or remedyagainst O-line or any other supplier or manufacturer of the goods in respect ofany defects in the goods or parts thereof, furthermore O-line will not be liablefor any consequential loss or other claim. No Director or servant or agent of O-line and no third party, has any authority from O-line to make or give any guar-antee or warranty or to vary or add to these conditions, and any representationmade or warranty given or term allegedly agreed to by any such person at anytime forms no part of the contract and is hereby expressly excluded, unless thesame is in writing and is signed by a Director of O-line and it is agreed that O-line is not responsible for any negligence or any negligent misstatement madeby any person. No condition or warranty whether expressed or implied(whether by statute or otherwise) as to material, design or workmanship or fit-ness of the goods for any particular purpose is given, and any such conditionor warranty which might otherwise be implied is hereby expressly excluded.
(Ill) INDEMNITYO-line shall not be liable or responsible for any loss or damage whatsoever toperson or property arising out of the use of goods purchased from O-line or di-rectly or indirectly arising from the condition of such goods or any defect there-in and the Purchaser hereby indemnifies O-line and holds it harmless againstall and any claims which may at any time be made against O-line in respect ofany such loss or damage.
(IV) ALTERATIONS AND IMPROVEMENTSAs alterations and improvements are continually being made by O-line andtheir suppliers to their various products and goods O-line reserves the right,without notice, to make any changes in materials, dimensions or design whichO-line deems desirable.
(V) DELIVERYO-line will execute orders as soon as possible, but delivery dates either quotedor agreed are not of the essence of the contract, nor can O-line guaranteethem, and O-line is not responsible for any loss, expense or damage sustainedby the Purchaser of any sort caused by any delay in delivery. The Purchasermust accept delivery of the goods when offered by O-line at the site specifiedin the delivery note. Whether goods ordered by the Purchaser are delivered toa specified site or whether goods are collected by the Purchaser at the premis-es of O-line or that of another supplier of O-line, all risks relating to the goodsin question pass to the Purchaser upon delivery or handing over of the goodsby O-line to the Purchaser, or the Purchaser's carrier, agent or employee, ThePurchaser shall be responsible for offloading of the vehicle. Any additionalcosts or charges arising from delivery to any other site requested by the Pur-chaser shall be paid for by the Purchaser upon delivery of the goods to thesite the Purchaser shall be deemed to be fully responsible for the goods andwill immediately effect proper and adequate insurance. In the event of any lossor damage to the goods howsoever arising before the Purchaser has paid thefull price thereofthe Purchaser shall compensate O-line for such loss and/ordamage. O-line will not consider any claim in respect of or be liable for anyshortage or damage to the goods on delivery and/or damage to the goods intransit unless such shortage and/or damage is endorsed by the Purchaser onthe delivery or consignment note relating to the goods in question and unlessO-line is notified either verbally or in writing of any shortage or damage withinthree days of delivery and a detailed claim in writing is received by O-line with-in seven days of delivery, or in the event of non-delivery written notification isreceived by O-line within fourteen days of the date of despatch shown on thedelivery note.
(VI) CUSTOMER INSPECTION OF GOODS DELIVEREDThe Purchaser is responsible for checking that goods of the correct specifica-tion and/or description are delivered and while O-line will replace any incorrectgoods delivered provided they are notified thereof within seven days of theoriginal delivery date, O-line shall not be liable for any loss or damage howso-ever caused from the use of such goods even if delivery arises from the negli-gence of O-line, their servants or agents.
(VII) CANCELLATION OF ORDERSAll orders for stock goods and goods the manufacture of which has not com-menced may be cancelled subject to a cancellation fee determined solely byO-line. Cancellation of orders for non stock items and/or special goods maybe considered at O-line's sole discretion subject to the following conditions: ifthe material is finished and ready for shipment the Purchaser shall be liable forthe full contract price, or if any part thereof shall be in process, the Purchaserwill pay a cancellation charge based upon the contract price and measured bythe degree of completion of the goods on the date cancellation is received,such degree of completion being determined at the sole discretion of O-line.
(VIII) GOODS RETURNED FOR CREDITGoods which O-line regards as its standard stock and which have not beenused by the Purchaser may, if O-line so agrees, be returned to O-line for creditbut under no circumstances shall any goods be returnable after the expirationof three months from date of sale. Non stock items which are clearly indicatedin the official O-line price list shall not be returnable. In the case of special or-ders, which are orders placed in respect of products other than those reflectedon O-line's official price list (i.e. where special orders are required to be pre-pared by the manufacturer to suit the specific requirement of the Purchaser)the product sold shall not be returnable at all. All returnable goods are subjectto O-line's quantity and quality approval prior to acceptance and must in allcases be accompanied by a copy of the original O-line invoice or delivery note.Dirty or soiled goods will under no circumstances be accepted. All goods re-turned will be subject to a handling fee as indicated on the official current O-line price list.
(IX) QUOTATIONS, PRICES, PAYMENT AND TERMSO-line's prices are subject to alteration without notice, and orders are acceptedand contracts are made only on condition that the prices charged or agreedare subject to variation in accordance with the appropriate price ruling at thedate of the delivery note. This price ruling may be obtained by using either oneof the following two methods, namely, the ruling prices in the current official O-line price list or by calculating the price variation on the originally quoted pricein accordance with the relevant O-line Standard Contract Price Adjustment For-mulae. In O-line quotations where unit prices of specified quantities of productsare extended to arrive at a total supply price, the unit prices quoted shall takeprecedence over all else in case of errors and/or omissions. All prices quotedin the official price lists and/or quotations, tenders and the like, include onlyValue Added Tax at the prevailing rate at the time of issue, unless otherwisestated. The Purchaser's acceptance of any quotation will not form a bindingcontract between the parties hereto until such acceptance has been agreed inwriting by O-line. On request, current prices will be quoted for O-line's variousproducts, but any current price list shall not constitute an offer to sell goods.The prices reflected in O-line's official price list allow for delivery "Carriage ofgoods by such means of delivery as O-line considers most suitable, providingalways that a reasonably hard road surface is available to the point of intendedunloading. If such is not available, O-line's driver will specify the nearest avail-able unloading point, which will then become the Delivery Site. All goods deliv-ered by O-line as comprised in the order and any materials or equipment usedin connection therewith shall remain the property of O-line and shall bedeemed to remain the property and in the possession of O-line until paymentof the full price has been made by the Purchaser and in the event of the Pur-chaser not making payment to O-line within seven days of the date on whichany payment is due, O-line may remove all materials and equipment and thePurchaser shall, for the purpose of enabling O-line to exercise its rights hereun-der, permit and give reasonable assistance to the workmen or agents of O-lineto enter upon his premises for the purpose of effecting such dismantling andremoval and such rights shall be without prejudice to the further right of O-lineto recover the full amount due to O-line under any contract with the Purchaserin damages or otherwise. Until receipt of payment in full the Purchaser shall bedeemed to be retaining any such goods as trustee for and on behalf of O-lineand such fiduciary relationship shall continue whilst any money due to O-lineunder the said order remains outstanding. The acceptance by the Purchaser ofthis condition shall be fundamental to any contract. O-line reserves the right(until payment shall have been made in full) to place on any part or parts ofgoods or equipment supplied by them a plate or plaque stating that the owner-ship of goods is vested in O-line. O-line terms for payment are always that thedue date for payment of any invoice shall be the date of such invoice. A Direc-tor of O-line may withdraw any previously approved credit facility, settlementdiscount offered, or extension of time indicated on O-line's statements, invoicesor elsewhere by giving written notice to the Purchaser at his last known busi-ness address, and all invoiced amounts shall then become due and payable.
(X) FORCE MAJEUREIf O-line is prevented from carrying out its obligations hereunder by circum-stances beyond its reasonable control, including, but without prejudice to thegenerality of the foregoing any form of Government intervention, strikes, lock-outs, failure of sub-contractors to supply, shortage or interruption of supplies ofmaterials, energy or power supplies, then O-line may cancel this contract andno liability shall by reason of such cancellation attach to either party subject al-ways to the onus on the Purchaser to pay for all goods already delivered.
(XI) RELEVANT LAW /JURISDICTION / COSTSThese conditions of quotation, contract and sale shall be construed accordingto the laws of the Republic of South Africa, and the Purchaser hereby submitsand consents to the jurisdiction of the Magistrate's Court in respect of all ac-tions or other proceedings arising herefrom, notwithstanding that the amountclaimed may exceed the jurisdiction of such Court. The Purchaser shall be li-able to O-line for all expenses incurred in collecting any amount owing by thePurchaser, including all legal charges on the scale as between attorney andown client, collection charges, tracing fees, and interest levied by O-line at theprevailing prime overdraft rate charged by Standard Bank plus 5% per annumin respect of payments not made timeously.
