OFFICIAL ENTRY RULES

TheNewYorkTelevisionFestival(NYTVF)providesunprecedentedaccessandexposureforemergingtelevisionartistslookingto

showcasenewandinnovativeideasfortelevisionprogramming.

The2012NewYorkTelevisionFestival(the2012Festival)iscurrentlyscheduledtotakeplaceinNewYorkCity,betweenSeptember

17,2012andSeptember22,2012.The2012FestivalsComedyCentralCompetition(theCompetition)shalltakeplaceconcurrently

withthe2012Festival.TheopenentryperiodfortheCompetitionbeginsonOctober12,2011andendsonJanuary27,2012.Entrants

tothe

Competition

shall

create

apilot

or

sample

episode

(each,

an

entry)

that

follows

the

format

for

an

original

television

program

(asfurtherdescribedbelow).AllentriesmustbeactuallyreceivedbyNYTVFnolaterthan12:00PM(noon)ETonJanuary27,2012.

Pleasenotethatthisisnotapostmarkdate.

BysubmittinganentrytothisCompetition, entrantsagreetotheseOfficialEntryRulesandacknowledgethatthedecisionsofjudgesshallbebindingandfinalinallmattersrelatingtothisCompetition.ToEnter:Five(5)copiesofeachentrymustbesubmittedtotheNYTVFinDVDformat.Allentriesmustbebetweeneight(8)andfifteen(15)minutesinlength. Intheeventthatapilotexceedsthemaximumlength,theNYTVFwillonlyevaluatetheentrybasedon

thefirstfifteen(15)minutes. Anyentrantwhosepilotexceedsthemaximumtimelengthmayberequiredtoresubmittheirentry

conformingtothetimelimitsaboveinordertoreceiveconsiderationfortheCompetition. Additionallyentrantsmustsubmitthefull

shootingscriptoftheirpilotorsampleepisode.ThescriptmustbeproperlyformatedasatelevisionscriptandbesubmittedasaPDF

fileonadatadvdaswellasaprintedhardcopy.

NeitherNYTVFnorComedyCentral,theiraffiliates,employees,officers,directors,licenseesandassignswillberesponsibleforlate,

lost,incomplete,illegible,damaged,garbled,technicallycorrupt,postagedueormisdirectedentries.Allphysicalcopiesofentries(i.e.,

DVDs,tapes,presskits,photographs,andallothertangiblematerialsubmittedtotheNYTVF)shallbecomethepropertyofNYTVFand,

duetothevolumeofmaterialssubmitted,maynotbeacknowledgedorreturned.

ItisthesoleresponsibilityoftheentranttonotifyTheNYTVFinwritingiftheentrantchangeshis/heraddress,phonenumber,orother

Eligibility:TheCompetitionisopentoindividualswhoare18yearsofageorolderattimeofentry.Anyindividuals(includingbutnot

limitedtoemployees,consultants,independentcontractors,andinterns)whohave,withinsix(6)monthspriortothestartdateofthe

Competitionandthereafter,beenemployedbyorperformedservicesforComedyPartnersorNYTVF,and/ortheirrespectiveparent,

subsidiary,affiliatedandsuccessorcompanies,andimmediatefamilyandhouseholdmembersofsuchindividuals,arenoteligibleto

enterorwin.ProgramscreatedorfundedbybroadcastorcablenetworksareineligibletocompeteintheComedyCentral

Competition.

Byentering,participantsagreetoindemnify,defend,release,dischargeandholdharmlessNYTVF,ComedyPartners,ViacomMedia

Networks,theiraffiliates,employees,officers,directors,licenseesandassignsfromanyandallclaims,liability,includingbutnotlimited

tonegligenceanddamagesofanykindtopersonsandproperty,includingbutnotlimitedtoanyclaimsbasedonrightsofprivacy,

rightsofpublicity,falselight,defamation,copyrightand/ortrademarkinfringement.ByenteringthisCompetitionallentrantsgrantto

theNYTVFtheunrestrictedrighttousetheirrespectivenames,photographs,likenesses,voices,and/orbiographicalinformationfor

NYTVFprogramming,publication,publicity,advertisingandallotherpromotionalpurposeswithoutcompensation,revieworapproval

unlessprohibitedbylaw.Allfederal,stateandlocallawsandregulationsapply.

AdditionalEntryRegulations:Eachentrantrepresents andwarrantstotheNYTVFthathisorherentryis(i)completelytheoriginalworkoftheentrant,(ii)notcopiedfromanyothersourceorpreviouslybroadcastorotherwisedistributedordisseminatedontelevision(exceptfor

previousbroadcastonlocallydistributedcampusorpublicaccesstelevisionorlimitedInternetbroadcast)(iii)notinthepublicdomain,and(iv)

notinviolationoforconflictwiththetrademark, copyright,rightsofprivacy,rightsofpublicityoranyotherrights,ofanykindornature,ofany

otherpersonorentity.IftheNYTVF,initssolediscretion,hasreasontobelievethatanyentrycontainsanymaterialthatmayinfringeorviolate

anylaworanyrightsofathirdparty,NYTVFmayimmediatelydisqualifysuchentryandtakeallothermeasuresNYTVFmaydeemappropriate.

EntriesthatcontainanycontentdeterminedbyNYTVFinitssolediscretionasindecent,inappropriate,morallyobjectionableorotherwiseunfit

fordisseminationorbroadcastwillbeimmediatelydisqualified.Entriesnotmeetingstatedrunningtimerequirements maybedisqualified.

EntriesnotsatisfyingtheseOfficialEntryRulesinanyrespectwillbedisqualified.Eachentrantfurtheragreestosign,andtoobtain(atthe

entrantsexpense)fromallnecessarythirdparties,allreleases,permissionsandotherwrittendocuments,inaformacceptabletoNYTVF,as

mayberequiredbytheNYTVFandanyofitsaffiliates,partnersorsponsorsuponrequestsoastoconfirm,recordand/orperfecttheirrightsin

theentry.Withoutlimitingthegeneralityoftheforegoing,eachentrantacknowledgesandagreesthatuponNYTVFsrequest,heorsheshall

providetoNYTVFallnecessarywrittenreleasesandpermissionspertainingtooncameratalent,writers,composers,andanyotherthirdparties

providinganyservicesormaterialsinconnectionwithsuchentrantsentrytotheCompetition.

EachentrantfurtheracknowledgesthattheNYTVFandComedyPartners,ViacomMediaNetworks,andtheiraffiliates,employees, officers,

directors,licensees,assigns,andsponsors(collectivelytheDesignatedEntities)engageandhaveengagedinextensiveactivitiesinconnection

withdeveloping,writing,acquiring,publishing,disseminatingandbroadcastingliterary,artistic,andothermaterial,includingstories,ideas,

themes,plots,titles,screenplays,teleplays,treatments,formats,andconcepts(collectively,theMaterials).InsubmittinganentrytoNYTVF,

eachentrant

acknowledges

and

understands

that

any

Materials

that

the

Designated

Entities

may

hereinafter

use

or

exploit

may

have

originated

withtheDesignated EntitiesthemselvesormayhavebeenacquiredfromtheDesignatedEntitiesemployeesorotherparties,andthatsuch

Materialsmayduplicate,parallel orresembletheentrantsentrytotheCompetition.

Bysubmittinganentry,entrantsacknowledgethattheyunderstandandagreethattheDesignatedEntitiesuseofMaterialscontainingfeatures

andelementssimilartooridenticalwiththosecontainedintheirentryshallnotentitletheentranttoanycompensationwhatsoever.Asan

inducementtoNYTVFtoaccepttheentrantsentryintotheCompetition,eachentrantherebywaivesanyclaimorrightofactionagainstanyof

theDesignatedEntitiesortheirsuccessorsinconnectionwiththeDesignatedEntitiesuseofanyMaterials(oranyportionsthereof)whetheror

notsuchMaterialscontainanyfeaturesorelementssimilaroridenticaltothosecontainedinanentrantsentry.

Judging:Theofficialjudgingpanel,consistingofindividualsselectedbytheNYTVF,atitssolediscretion,willselecttwentyfive(25)finalists(theFinalists)fromalleligibleentriesreceived.Thejudgingwillbebasedonthefollowingcriteria:(i)originalityandcreativity;(ii)overallqualityof

allelementsandaspectsoftheproductionofeachentry,including,withoutlimitation,writing,acting,directing,editing,etc.;and(iii)

adherencetoandappropriatenessforaparticularformatortypeofprogram.Aninterviewwiththeentrant,conductedatthesolediscretionof

thejudges,mayalsoberequiredpriortothejudgesdecision.ThejudgingwillbeconductedapproximatelyinFebruary,2012.Atthattime,the

selectedentrantsmayberequiredtosubmitrequestedinformation,includingbutnotlimitedtoadditionalreleasesandpermissionsfrom

necessaryparties,toassistinthejudgesduediligenceresearch.Theselectedentrantswillbenotifiedbytelephoneand/oremail.IfanydesignatedrepresentativeofaFinalistdoesnotreplytoanynotificationbyNYTVFwithinfive(5)businessdays,suchpotentialFinalistmaybe

disqualifiedinthediscretionofNYTVFandanalternatepotentialFinalistmaybeselected.ThisprocessmaycontinueuntilaFinalistisselected.

NYTVFshallnotberesponsibleinanywayforanymissed,lostormisdirectednotificationoranentrantsfailuretoreceiveacommunication

fromNYTVF.

Award:FromtheselectedFinalists,ComedyCentralinitssolediscretionwillselectonewinner(theWinner)onoraroundApril26,2011. TheWinnerwillreceiveaprizeof$7,500andtheopportunitytoenterintoadevelopmentdealwithComedyCentralprovidedthattheWinnerand

ComedyCentralreachsuchadealandtheWinnerexecutesComedyCentral'sDevelopmentAgreement. Additionally,theremainingFinalists

shallbeexclusivetoComedyCentralforathree(3)monthperiodfollowingtheirselection(whichshallbeonoraboutFebruary29,2012),and

duringorimmediatelyfollowingthisperiod,ComedyCentral,atitssolediscretion,hastheexclusiveoptiontoenterintodevelopmentdeal(s)

withanyoftheFinalists(i.e.duringthisthree(3)monthperiod,theFinalistsshallnotenterseparatefestivalsnorshalltheysolicitanythird

partyoffersforthematerialtheyvesubmitted).

NothinghereinshallrequireorbeconstruedtorequirethatComedyPartners oranyotherpartyenterintoanyagreement, acceptoragreeto

anyparticular

terms

or

conditions,

whether

deemed

reasonable,

customary

or

otherwise

by

any

party,

person,

firm

or

entity,

unless

and

until

allofthetermsandconditionsaredeemedacceptableandinthebestinterestsofbothparties. TheWinnerisadvisedtohaveexperienced

independentlegalcounselreviewanyandallagreements beforeexecutingsameandComedyPartners isundernoobligationtoacceptany

modificationsortonegotiateatallfromitsoranyothertermsofanyproposedagreementandneitherfailuretonegotiate,agreeonany

particulartermsorconditionsortoreachanyagreement, shallgiverisetoanyliabilityorobligationonthepartofComedyPartners.

GrantofRightsbyEachEntranttotheNYTVF:Byentering,eachentrantacknowledgesandagreesthatNYTVFshallhavetherightsinandtotheentry,asfollows:

1.Fortheperiodcommencingonthedateofselection,andcontinuinginperpetuity,theNYTVFshallhavethenonexclusiverighttoexhibit,

disseminate,orbroadcasteachentry(andanyportion(s)orelement(s) thereof)inanymanner,mediaorformatnowknownorhereafter

devised,throughout

the

universe

(the

NYTVF

Non

Exclusive

Right).

2.NotwithstandinganyotherprovisioncontainedintheseRules,including,withoutlimitation,Paragraph3above,eachentrantacknowledges

andagreesthatNYTVFshallhavetherightinperpetuitytoincludeeachentry(oranyportion(s)orelement(s) thereof)inaDVDorother

productthatisacompilationorsamplingofentries(e.g.,aBestOforHighlights)fromthe2012Competitionand/oranyotheryearofthe

NewYorkTelevisionFestival,andtoexhibit,sell,disseminate,broadcast,ordistributesuchDVDorotherproduct.Intheeventanentrantdoes

notwishtohavesuchentrantsentryincludedonsuchDVDorotherproduction,writtennotification(deliverablebymail)indicatingsuch

entrantswishthattheentrynotbeusedinsuchDVDorotherproductmustbeactuallyreceivedbyNYTVFnolaterthanJune29,2012atNew

YorkTelevisionFestivalAttn:BestOfDVD,22W19thSt.,Suite5R,NewYork,NY10011.

Copyright:SubjecttotherightsgrantedtoNYTVFasdescribedaboveandtheothertermsandconditionsherein,eachentrantshallretainthecopyrightinandtohisorherrespectiveentry.

Publicity:SomeoralloftheentrantswhoseentriesarechosenasFinalists,includingthewinner(s)oftheCompetition,mayberequiredtoparticipateinareasonablenumberofcustomarypromotionalandpublicityactivities(includingpublicappearances,pressjunkets,interviews,

andthelike)topromoteTheNewYorkTelevisionFestivalandtheCompetition.Ifanentrantisnotwillingornotabletoparticipateinsuch

customarypromotionalactivitiesatthetimeoftheannouncementofthewinners,NYTVFreservestherighttoselectanotherwinner.

AdditionalConditionsofParticipation:IfforanyreasontheCompetitioniscanceledorcannotbeadministeredorcompletedasplanned,theNYTVFreservestheright,atitssolediscretion,toterminate,modifyand/orsuspendtheCompetitionandtodeterminethewinnersbyhaving

thejudgesevaluatealleligibleentriesreceivedpriortotheactiontaken,orasotherwisedeemedfairandequitablebytheNYTVF.

Notwithstandingtheforegoing,theNYTVFreservestherighttoterminate,modifyorsuspendthisCompetitionduetoanyofthefollowing

reasons:actofGod;unavoidableaccident;epidemic;fire;blackout;actofpublicenemy;terrorism,war,riotorcivilcommotion;enactment,

rule,orderoractofgovernmentorgovernmentalinstrumentalityortribunal;strike,lockoutorotherlabordispute;inclementweather;the

recaptureofanytimeperiodscheduledforthelivetelecastofaprogramforaneventofnationalimportanceoremergency; failureoftechnical

facilities;failureofessentialproduction,ortechnicalpersonneltoappearorbeavailableforproductionorbroadcast;orothercausebeyondits

control.Byentering,eachentrantagreesthatshouldthisCompetitionbeterminatedforanyreasonsuchentrantirrevocablywaivesanyright

toseekand/orobtainrescissionand/orequitableand/orinjunctiverelief.
