FINDINGS AND ORDER

1. Hearina Date and Place: This matter came on for final hearing before the Virginia Gas and Oil Board (herein"Board") at 9:00 anL on September 21, 2010 at the Russell County Government Comp)ex, Conference Center at139 Highland Drive, Lebanon, VA

2. Annearances:, Mark A. Swartz, Esq. SWARTS Law Offices PLLC appeared for the Unit Opemtor; and ShamnM.B.Pigeon, Assistant Attorney General, was pmsent to advise the Board.

.Inrhsdiction and Notice: Pursuant to Va. Code H 45.1-361.1er seq., and in panicular Va. Code H 45.1-361.21 and 45.1-361.22,the Boanl finds that it has jurisdiction over the establishment and maintenance of an escrowaccount, with tract sub accounts, for each of the coalbed methane gas drilling units established by the Board thmughits field rules that are subject to a Board pooling order. Further, the Unit Operator is requited to deposit, asapplicable, those funds specified in Va. Code I 45.1-361.21.D.,45.1-361.22.A.2, 45.1-361.22.A.3 and 45.1-361.22.A.4 into the applicable escmw tract sub accounts. 4. Prior Proceethnas:

4.1. (a) On June 15, 2004 the Board executed its order pooling interests in the Subject Drilling Unit for thepmduction of occluded natural gas produced from coalbeds and rock strata associated therewith (herein"Gas") in accordance with the provisions of Va. Code SS 45.1-361.21and 45.1-361.22(herein "PoolingOrder" ). The Pooling Order was filed with the Clerk of the Circuit Court of Russell County on December 15,2004, Deed Book 622, pages 361-381. The Board executed its Supplemental Order Regarding Elections thatwas filed with the Clerk on April 2, 2005, Deed Book 688, 303-321.

4.1 To the extent claims to the Gas were in conflict, pursumt to Va. Code S 45.1-361-22payments auributable tosaid conflicting claims were ordered deposited by the Unit Operator into the escmw account established bythe Pooling Orders (herein "Escrow Account" ). According to the Pooling Orders and testimony, the coalownership interests Swords Creek Land Partnership; and the gas ownership interests Stanley Brown, LillianBarr, Shirley Brow, R. C. Miller, Freda Owens, Jyudy Cordle and Alverda Ray in Tracts 2A and 2G in theSubject Drilling Unit were in conflict and became subject to the escrow requirements of the Pooling Order.

4.2 The Unit Operator's Miscellaneous Petition regarding a portion of tracts 2A and 2G, a copy of which isattached to and made a part hereof, states under oath that Swords Creek Land Partnership and the Applicantshave entered into a royalty split agreements and by the terms of the agreements regarding these tractsescrowing regarding these individual conflicting claims is no longer required for these parties.

4.3 The Unit Operator gave notice to Swords Creek Land Partnership and the applicants that the Board wouldconsider its disbursement authorization at its hearing on September 21, 2010 and consider whether to: (1)amend the Pooling Order to provide for the disbursement of a portion of funds on deposit in the escmwaccount attributable to a portion of tract 2A and tract 2G identified in the attached miscellaneous petition (2)delete the requirement that the Unit Operator place future royalties attributable to a portion of said Tracts 2Aand 2G the interests of Applicants identified in the miscellaneous petition in the Escmw Account, and (3)continue the escrow account under this docket number because there are other parties under this order subjectto continued payments in the escrow.

4.4 The Unit Operator filed the auached accounting for Subject Drilling Unit's Escrow Account with the Board("Accounting" ).

5. Findinmtt5.1.Va. Code 45.1-36L225 provides:

The Board shall order payment ofprincipal and accrued interests, less escrow account fees, from the escrowaccount to conflicn'ng claimants within thirty days of receipt of nonflcation of (i) aflnal decision of a coun ofcompetent jurisdicnon adjudicanng the ownership of coalbed methane gas as between them or (ii) anagreement among all claimants owning conflicting estates in the tracts in quesnon or any undivided interestthere(st The amount to be paid to the conflicting claimants shall be determined based on the percentage ofownership interest of the conjlicring claimants as shown in the operator's supplemental filing made part of thepooling order that esrablished the escrow accoutu, the operator's records ofdeposits attributame to those rractsfor which funds are being requested, and the records of the escrow account for the coalbed methane gasdrilling unit. The i nterests of any cotenants who have not entered into an agreement shall remain in the escrowaccoiolt.

5.2 Applicant has certified and represented to the Bomi that:

(1) Swords Cmek Land Partnership and certain individuals of the Kyle Brown, et al including Lillian MurrayBarr, Shirley M. Bmwn, R.C. Miller, Freda Mae Owens, Judy Darlene Cordle, and Alverda Ray Tract 2A;Swords Creek Land Partnership and certain individuals of the Kyle Brown, et al, including Lillian MurrayBarr, Shirley M. Brown, R.C. Miller, Freda Mae Owens, Judy Darlene Cordle and Alverda Ray, in Tract2G, are the owners of the coal and gas acreage estate underlying a portion of Tract 2A and Tract 2G of theSubject Drilling Unit;

(2) Net interests amibutable and to be disbursed to Applicants are shown in Table 1,

6. Relief Granted:

For the reasons set forth in Paragraph 4 and 5 above, and based upon the Accounting and Table 1 above, the EscmwAgent is ordered to, within 10 days of mceipt of this executed order disburse funds for the unit and applicants detailed inTable 1 above.

Exhibit E to the Pooling Order, showing owners subject to escrow, is deleted and replaced with the Exhibit E attached tothis order. Further, the Supplemental Order filed in this cause is hereby modified to delete the requirement that paymentsauributable to the conflicting coalbed methane gas ownership intemsts of those applicants indicated in Table 1 bedeposited by the Unit Operator into the Escmw Account, @EL because there are other owners subject to escrow underthe Supplemental Order, the Escrow Agent is directed to continue the Escrow Account for Subject Drilling Unit. To theextent not specifically granted herein, any other or further relief is denied.

7. Conclusion:Therefore, the mquested relief and all terms and provisions set forth above in Paragraph 6 above be and hereby aregranted and IT IS SO ORDERED.

8. Anne nisiAppeals of this Order are governed by the provisions of Va. Code i 45.1-361.9which provides that any order or decisionof the Board may be appealed to the appropriate circuit court and that whenever a coal owner, coal operator, gas owner,gas operator, or operator of a gas storage field certificated by the State Corporation Commission is a party in such action,the court shall hear such appeal de novo.

9. Effective Date: This Order shall be effective on the date of its execution.
