SECOND INTERIM APPLICATION OF COOCH AND TAYLOR,COUNSEL FOR JEOFFREY L. BURTCH, CHAPTER 7 TRUSTEE, FOR

COMPENSATION AND REIMBURSEMENT OF COSTS AND EXPENSES

This is a Second Interim Application for Compensation and Reimbursement of Costs and

Expenses, by Cooch and Taylor, ("C&T") attorneys for Jeoffrey L. Burtch, the duly appointed

Chapter 7 Trustee in the above-captioned bankruptcy case. This Application correlates to the time

period July 21, 2003 up to and including October 31, 2003. In support of this Application, C&T

alleges as follows:

BACKGROUND

1. On March 17, 1999 (the "Petition Date"), the Debtors filed voluntary petition(s) for

relief under chapter 11 oftitle 11 of the United States Code (the "Bankruptcy Code"). On March 17,

1999 an Order was entered directing consolidation and joint administration of the cases under Case

Number 99-615.

2. On February 21, 2003, this Court entered its Order granting the Debtors' motion to

convert the cases to cases under Chapter 7 of the Bankruptcy Code. Docket No. 1959. Jeoffrey L.

Burtch, Esquire, was appointed as interim trustee of the estate on March 3, 2003 and is serving as

trustee (the "Trustee") of these estates pursuant to Section 702(d) of the Bankruptcy Code.

3. C&T is employed to represent the Trustee, nunc pro tunc to February 21, 2003.

Docket Nos. 1980 and 2012.

4. C&T has rendered legal services on behalf of the Trustee from the period July 21,

2003 through October 31, 2003 totaling approximately 267.8 hours, correlating to approximately

$54,099.00 in requested compensation.

5. C&T maintains contemporaneous records of the time expended for the professional

services rendered and costs and expenses incurred in connection with this Chapter 7 case and such

records are maintained in the ordinary course of its business. These records provide a detailed

description of the services rendered and costs and expenses incurred during the period for which this

Motion is being made. C&T has reviewed the information requirements of Local Rule 2016-2 of

the Local Rules for the United States Bankruptcy Court for the District of Delaware, and believes

that this Motion complies with that Rule. In particular, the information required by Section (c) (i)

of Local Rule 2016-2, Section (c) (ii), and Section (e) (i) of Local Rule 2016-2 are included as part

of this Motion in attached cover sheets. C&T's time records and activity descriptions for the legal

services in the sum of $54,099.00 are attached as Exhibit A. Compensation by Project Category

of Local Form 102 is part of this Motion and contains project summaries of the time detail.

DESCRIPTION OF SERVICES AND RELIEF REQUESTED

6. The Debtors chapter 1 1 cases were originally filed in an effort to complete an efficient

restructuring of the Debtors' operations. During the Chapter 11 portion of these cases, the Debtors,

in consultation with the Official Committee of Unsecured Creditors and The Bank, subsequently

determined that an orderly sale of its assets was the best means of maximizing value for their estate

and creditors. While the sales of the hospitals and/or the assets of the hospitals was conducted

during the Chapter 11 portion of these cases, numerous issues have continued to exist regarding

personal injury claims, Medical and Medicare reports and audits, HCFA and insurance issues,

residual collections on accounts receivables, adversary actions, and the location of unknown assets

and claimants.

7. C&T has represented the Trustee in matters related to this Chapter 7 bankruptcy case

as detailed in the above Attachment. C&T advises the Trustee on a regular basis with respect to

legal matters in connection with the liquidation of assets, analysis of litigation, and all other matters

arising in the performance of the Trustee's duties. C&T's activities have included the following:

a. Analysis, prosecution and/or review of approximately 75 pending complaintsagainst third parties, including preference and turnover actions, includingpreparation of complete status reports for the Trustee and U.S. Trustee'sOffice.

b. Analysis ofresidual assets or potential assets ofthe Estate for recovery by theEstate, including review of numerous stipulations entered into by the ChapterII Estate.

c. Review of filed administrative expense claims.

d. Responding to litigation'commenced or potential litigation claims of thirdparties against, or involving the Estate.

e. Responding to various creditor inquiries concerning the Estate.

f. Drafting and filing of other pleadings necessary for the administration of thisbankruptcy case.

g. Respond to motions or requests for relief from the automatic stay, manyinvolving unliquidated personal injury claims arising from the operation ofthe hospital facilities.

8. C&T further requests reimbursement of costs expended from July 21, 2003 through

October 31, 2003 in connection with this Chapter 7 case in the sum of $1,529.82 (see Expense

Summary). The expenses incurred by C&T include long-distance telephone calls, Federal Express

deliveries and receipts, facsimile transmissions, and postage, all of which C&T normally bills to its

non-bankruptcy clients. The rate C&T charges non-bankruptcy clients for photocopies is 25 cents

per page and facsimile charges are $1.00 per page. For purposes of this Motion, photocopies are

charged at 15 cents per page and outgoing facsimile transmissions are charged at 50 cents per page.

Federal Express deliveries are billed at cost. There is no charge for incoming facsimile

transmissions.

9. C&T believes and avers that the post-conversion services rendered during the period

between July 21, 2003 through October 31, 2003, on behalf of the Trustee are reasonably worth the

sum of $54,099.00 and C&T requests the allowance and payment of such sum. The blended hourly

rate for all services rendered by C&T is $202.01.

WHEREFORE, C&T respectfully requests that this Court enter an Order in the form

attached to this Motion.

ORDER GRANTING SECOND INTERIM APPLICATION OF COOCH AND TAYLOR

Before the Court is the Second Application of Cooch And Taylor, Counsel For Jeoffrey

L. Burtch, Chapter 7 Trustee, for Interim Compensation And Reimbursement of Costs and

Expenses (the "Application").

1. This Court has jurisdiction over this matter pursuant to 28 U.S.C. § 1334 and

§ 157(b)(2).

2. Proper notice of the Application has been provided by the Trustee.

3. The Court finds that the legal and factual basis for the Motion has been

established. The request for compensation and reimbursement of expenses in the Application are

necessary, fair and reasonable.

4. The Motion is GRANTED. Any objection not made to the Application is

waived. Any objection made to the Application is overruled with prejudice.

5. The Trustee is authorized and directed to promptly pay Cooch and Taylor for

compensation in the amount of $54,099.00 and reimbursement of costs and expenses in the sum

of $1,529.82.

6. This Order is effective and enforceable immediately.
