CITIZENS COMMENTS (for matters not on the agenda)
This provides an opportunity for citizens to comment on non-agenda items in advance of the
regular business of the Economic Development Corporation. Comments shall be limited to three

minutes per person. By state law, comments by board members on any item not on the agenda
shall be limited to:
1) Statements of specific factual information given in response to any inquiry.
2) A recitation of existing policy in response to an inquiry.
3) A proposal to place the subject on the agenda for a future meeting.
Members of the public who wish to participate in Public Comment must utilize the “Chat” function
in the Zoom meeting application to request they be recognized for public comment when the period
provided for Public Comment is called for consideration by the presiding officer. Those
individuals who identify themselves to make public comment will be placed on a list and called in
that order during “Public Comments” section of the meeting.
1. MINUTES
A. Consider, and if deemed appropriate, approve the minutes of the Mexia Economic
Development Corporation (MEDC) Board Meeting held April 14, 2020.
B. Consider, and if deemed appropriate, approve the minutes of the MEDC Special Called
Meeting held April 30, 2020.
2. FINANCIALS
A. Consider, and if deemed appropriate, approve Financials for April 2020.
B. Consider, and if deemed appropriate, approve Bills for Payment.
3. ECONOMIC DEVELOPMENT INCENTIVE – Consider, and if deemed appropriate,
approve the payment of a sales tax reimbursement to Posey Auto Parts, DBA NAPA, in the
amount of $9,549.40 as part of the Executed Performance Agreement dated February 14,
2020.
4. MEDC BOARD OF DIRECTORS APPOINTMENTS – Discussion and possible action
regarding providing recommendations to City Council to fill a vacancy on the MEDC Board
of Directors for term ending September 30, 2020.
5. MEDC OFFICE CLOSING PROCEDURES – Discussion and possible action regarding
MEDC office closures in emergency situations. (JW)
6. EXECUTIVE SESSION – The MEDC Board may adjourn into Executive Session as
authorized by Chapter 551 of the Texas Government Code for the following purpose:
§Sec 551.072(1): Deliberation regarding the purchase, exchange, lease, or value of real
property – Purchase contract concerning 2+/- acres of MEDC owned property location on
Industrial Boulevard
§Sec 551.072(2): Deliberation regarding the purchase, exchange, lease, or value of real
property – Revised Letter of Intent concerning 2+/- acres of MEDC owned property
located on Progress Boulevard

MINUTES
Motion made by Corlis Calvin to approve the minutes of the MEDC Board meeting held on
March 10, 2020. Seconded by Kim Story. Motion passed unanimously.
FINANCIALS
Motion made by Marty Cargile to approve the financials for March 2020. Seconded by
Kim Story. Motion passed unanimously.
Motion made by Marty Cargile to approve Bills for Payment. Seconded by Kim Story.
Motion passed unanimously.
Motion made by Marty Cargile to move Agenda Item #4 up next for discussion. Seconded
by Corlis Calvin. Motion passed unanimously.

NEON CLOUD PRODUCTIONS
Brian Aiken and Natalie Wilson were present to discuss their proposal for creating an economic
development based video on Mexia, specifically the Mexia Industrial Park and community. Neon
Cloud works with economic development organizations all over the country, and are based out of
Dallas, TX. Their videos showcase communities and also feature demographics, data, and other
valuable bits of information in an attractive video to share on the MEDC website, social media,
and with site selectors. Neon Cloud is also offering a discounted rate due to the COVID-19
pandemic. Aiken mentioned how the video can be edited throughout the upcoming years to
adjust any data, which would have a minimal cost, but the video would be fully owned by the
MEDC per the contract, which is structured to be paid in two payments (one half after signing
the contract and one half after the video has been completed).
James Wiley entered the meeting at 5:13PM
The Board asked questions about the procedure of filming, and Aiken stated that Executive
Director JoAnna Shivers would be included in every step of the process, will have the ability to
pick filming locations, and participate in the editing process by reviewing drafts. Wilson also
mentioned the importance of video content and its engagement with the public and site selection
consultants. Wilson stated they structure their videos to share valuable information about each
community while presenting it in a professional, yet attractive format.
Calvin, Story, and Shivers got dropped from the Zoom Conference due to a power surge at
5:40PM. The meeting was put on hold. Shivers reconnected at 5:43PM. Calvin reconnected
at 5:49PM to re-establish a quorum and the meeting reconvened.
Director Wiley asked if the contract was an annual contract or a one time payment, and also
asked where the video would be used. The information was quickly recapped to answer his
questions.
Motion by Marty Cargile to approve the proposal from Neon Cloud Productions for $9,920
in order to film, create, and animate a video for business recruitment purposes. Seconded
by Corlis Calvin. Motion passed unanimously.
Kim Story reconnected to the Zoom Conference at 5:56PM and re-entered the meeting.
COMMERCIAL REVITALIZATION GRANT (CRG)
Steve Hughes, owner of Jim’s Krispy Fried Chicken, submitted a CRG application for exterior
improvements of property located at 312 E Milam to repour and restripe the concrete parking lot.
Motion made by Marty Cargile to approve the CRG application from Jim’s Krispy Fried
Chicken regarding property at 312 E Milam in an amount not to exceed $10,000. Seconded
by Corlis Calvin. Motion passed unanimously.
EXECUTIVE SESSION
At 6:00PM the MEDC Board adjourned into Executive Session as authorized by Chapter 551 of
the Government Code for the following purpose:
§ 551.071(1) & (2): Consultation with EDC Attorney – Receive legal advice regarding
Wild Child Art default of performance agreement.

§ 551.072: Deliberation regarding the purchase, exchange, lease, or value of real property
– MEDC owned property at the Mexia Industrial Park.
At 6:20PM the Mexia EDC Board reconvened in Regular Session.
Motion made by Corlis Calvin to approve a settlement agreement with Wild Child Art to
repay the Economic Development Funds plus attorney fees over a 12-month period
beginning on August 1, 2020, with payments due by the 15th of each month. Seconded by
Marty Cargile. Motion passed unanimously.
CITY MANAGER REPORT
City Manager Eric Garretty was not present to conduct his City Manager Report, but the Board
was given a copy of his report for review prior to the meeting. In it, Garretty discussed the
current COVID-19 updates for the City of Mexia and protocols, an updated on Hughes City Park
improvements, and the upcoming May Municipal Elections.
MEDC ACTIVITY REPORT
Executive Director JoAnna Shivers started off her update with making note of the extraordinary
measures that the City Manager has done to prepare the City for worst-cast scenarios during the
COVID-19 pandemic. The City has been conducting City Emergency Operations Command
(EOC) meetings multiple days a week with core staff and City leadership.
Shivers updated the Board in a Business Retention and Expansion (BRE) initiative that she has
been conducting by providing meals to local top employers by various local restaurants in order
to show appreciation, as well as providing a little cash flow to the restaurants. Shivers has also
been participating in multiple webinars every week to keep up with the constant changes to
policies, SBA funding, and other miscellaneous resources that have risen during the COVID-19
crisis.
Board President Dr. Wesley Pittman asked if the Board had any future agenda items. Director
James Wiley mentioned that if the EDC is to shut down again in the future, the Board should
have a quick meeting to voice their opinion and to do it as a whole Board. Dr. Pittman explained
that the Board has to abide by Open Meetings Act rules and meetings require a 72 hour notice.
Wiley stated that he was just learning these things. Dr. Pittman then asked if he wanted it on the
agenda for next month’s meeting since Future Agenda Items was what they were currently
discussing. Wiley stated yes.

Motion to adjourn the meeting was made by Marty Cargile at 6:28 PM. Seconded by Corlis
Calvin. Motion carried unanimously.

Story. Motion passed unanimously.
Motion made by Corlis Calvin to authorize the MEDC President to execute an LOI,
approved by the MEDC Attorney, with B&D Holdings for the purchase at fair market
value of approximately 2 acres located on Industrial Boulevard. Seconded by Kim Story.
Motion passed unanimously.

City Manager Report May 7, 2020 1. COVID-19 Update: COVID-19 cases are definitely on the decline and businesses are beginning to resume operations. The City will likely see some decrease in revenue from the COVID-19 measures but thus far it looks like we will be able to adjust the budget without major impacts. 2. Hughes City Park Sports Complex: The City completed acquisition of about 11 acres for the new Sports Complex. Thank you to the EDC for funding this acquisition. Topographical survey has been completed. We are awaiting a report from the Design Engineer on initial costs estimates for the complex 3. Gibbs Memorial Library: The Library reconstruction is well underway. Roof construction is almost finished and the Contractor has begun some interior framing, plumbing, and electrical work. We seem to be on track to keep all the structural costs within the limits of the insurance coverage. We are still working with our insurer to determine if 100% of contents will be replaced as part of the insurance coverage. 4. Water Rate Increases: City Council will consider passage of water rate increases at its May 19th meeting. If the increases are approved, they will go into effect on October 1, 2020. 5. Highway 84 Widening-Preliminary Design: TxDOT is attempting to move forward (again) with the widening of Highway 84 from Bailey Street to Wal-Mart. City staff have had multiple meetings with TxDOT regarding the possible relocation of utilities. TxDOT's current plan calls for four full travel lanes and a center turn-lane along the entire segment. The City has been through this phase before and the project was not finally funded. There is currently no guarantee that the project will move to full funding in this iteration.

General Activity Updates
• The MEDC has continued to provide lunch meals to many local top employers as a small
token of gratitude, as well as a way to support some of our local restaurants. We have added
Mexia ISD, Incommons Bank, Verabank, Centex Citizens Credit Union, Mexia LTC, HEB, and
Skilled Care of Mexia to the list. Meals were provided from Montes Burrito, Tacos Jalisco,
Coffee Cabaret, Countryside Café, Taqueria, Farm House, and Mi Familia. The Mexia News
wants to write up an article about the meals next week, so I will be talking with Roxanne
Thompson to provide more information about the program.
• I met with Mark Darce from SLP via Zoom to discuss our options regarding trade shows and
meetings that we are guaranteed per our contract with them this year. Since some
upcoming shows have been rescheduled and meeting face-to-face with site selectors is more
challenging now, Zoom calls will be scheduled in the near future to market our Industrial
Park.
• I have spoken with Jan Miller with the Limestone County Master Gardeners and we are
working on a community-based project to revamp and maintain the downtown flower pots.
In the past, we have had difficulty keeping them maintained and watered on a regular basis,
causing the potted plants to dry out and die.
Project Updates
• I am working on the final EDA reimbursement request to send to Dorthy Jackson at HOTCOG.
I am double checking everything to make sure we have not missed a payment request since
this will be the final reimbursement for the EDA road project. We are at the finish line!
• Neon Cloud Productions and I have been meeting online to discuss the filming and
production of the video the Board approved during last month’s meeting. They utilize a
program called Zoho that allows us to correspond virtually with task lists, deadlines on
information needed, and provides a simple conversation tool for all of us to communicate.
As of right now, we have a filming date of June 16. I will be working on a list of filming
locations over the next couple of weeks for them to use. If the Board has any suggestions,
please email me so I can include them in the shot list.
