RECITALS

A. The Owner is the registered proprietor of the land known a s 21 Hammon Street, Creswick, Victoria being Crown Allotment 13 Section 50A Township of Creswick, Parish of Creswick described in Certificate of Title Volume 9429 Folio 727 (Land).

B. The land is within the Hepburn Shire Council and is affected by the Hepburn Planning Scheme (Planning Scheme).

C. Council is responsible for the ac. in and enforcement of the Planning Scheme.

D. On 22 January 2018 Council issued Planning Permit No. PA1776 allowing a four lot subdivision (I

E. Conditions 5 and 18 of the Permit relevantly provide as follows:

Section 173 Agreement Requirement

5. Before the statement o f compliance is issued under the Subdivision Act 1988 the owner must enter into an agreement with the responsible authority under Section 173 o f the Planning and Environment Act 1987.

The agreement must:

(a) Require that any dwelling (including outbuildings) on each o f the proposed lots must be constructed while ensuring that a 35% garden area (as defined at Clause 72 o f the Hepburn Planning Scheme) is provided unless otherwise agreed in writing by the Responsible Authority; and also

(b) State that it has been prepared for the purpose o f an exemption from a planning permit under Clause 44.06-2 of Hepburn Planning Scheme

(c) Incorporate the plan prepared in accordance with Clause 52.47-2.4 of this planning scheme and approved under this permit.

(d) State that if a dwelling is constructed on the land without a planning permit that the bush fire protection measures set out in the plan incorporated into the agreement must be implemented and maintained to the satisfaction o f the Responsible Authority on a continuing basis.

The land owner must pay the reasonable costs o f the preparation, execution and registration o f the Section 173 Agreement.

18. In addition to the requirements o f Clause 44.06-5 of the Hepburn Planning Scheme the section 173 Agreement prepared in accordance with that clause must also specify:

A building or works consistent with an agreement under section 173 of the Act prepared in accordance with a condition o f permit issued under the requirements o f clause 44.06-5.

F. To meet the requirements of Conditions 5 and 18 of the Permit, and to achieve and advance the objectives of planning in Victoria, and the objectives of the Planning Scheme and any matters incidental to those objectives, the parties enter into this Agreement in pursuance of the provisions of Section 173 of the Act.

IT IS AGREED AS FOLLOWS:

1. DEFINITIONS

In this Agreement unless inconsistent with the context or subject matter,

1.2. Agreement means this Agreement and any agreement executed by the parties varying or expressed to be supplemental to this Agreement.

1.3. Bushfire Management P a n means the Bushfire Management Plan prepared by Daylesford Design Studio a s part of Bushfire Management Statement 21 Hammon Street, Creswick, Revision A, dated 18 December 2017 DWG No. 490/1 and attached in the Annexure to this Agreement.

1.4. Bushfire Mitigation Measures means the bushfire protection measures set out in the Bushfire Management Plan.

1.5. Council means Hepburn Shire Council in its capacity as:

1.5.1. the authority responsible for administering and enforcing the Planning Scheme; and

1.5.2. a municipal council within the meaning of the Local Government Act 1989 (Vic),

and includes its agents, officers, employees, servants, workers and contractors and any subsequent person or body which is the responsible authority or municipal council.

1.6. Current Address for Service

1.6.1. for Council means the address show on page 2 of this Agreement, or any other principal office address listed on the website of Council; and

1.6.2. for the Owner means the address shown on page 2 of this Agreement or any other address provided by the Owner to Council for any purpose or purposes relating to the Land.

1.7. Current Email Address for Service

1.7:1, for Council means shirehepburn.vic.gov.au, or any other email address listed on the website of Council; and

1.7.2. for the Owner means any email address provided by the Owner to Council for the express purpose of electronic communication regarding this Agreement.

1.11. Land means the land described in Recital A and any reference to the Land includes any lot created by the subdivision of the Land or any part of it.

1.12. Lot means a lot on the Plan.

1.13. Owner includes the person or persons registered or entitled from time to time to be registered by the Registrar of Titles a s the proprietor or proprietors of an estate in fee simple of the Land or any part of it, and includes a Mortgagee in possession.

1.15. Party or parties means the Owner and Council under this Agreement as appropriate.

1.17. Pan means the plan of subdivision permitted under the Permit.

1.18. Planning Scheme means the Hepburn Planning Scheme and any successor ii rument or other planning scheme which applies to the Land.

23. Words (including defined expressions) denoting persons will be deemed to include all trusts, bodies and associations, corporate or unincorporated, and vice versa.

2,4. A reference to a person includes a reference to a firm, corporation, association or other entity and their successors in law.

2.5. A reference to a statute includes any statute amending, consolidating or replacing that statute and includes any subordinate instruments made under that statute.

2.6. The Recitals to this Agreement are and will be deemed to form part of this Agreement including any terms defined within the Recitals.

2.7. References to the parties Will include their transferees, heirs, assigns, and liquidators, executors and legal personal representatives as the case may be.

2.8. Reference to a document or agreement includes reference to that document or agreement as changed, novated or replaced from time to time.

2.9. Where a word or phrase is given a definite meaning in this Agreement, a part of speech or other grammatical form for that word or phrase has a corresponding meaning.

2.10. Where a word or phrase is not defined in this Agreement, it has the meaning as defined in the Act, or, if it is not defined in the Act, it has its ordinary meaning.

3. SPECIFIC OBLIGATIONS OF THE OWNER The Owner agrees with Council that:

3.1. regardless of any right conferred by the Planning Scheme to develop the Land, any Dwelling (including outbuildings) on each of the proposed Lots must be constructed white ensuring that a 35% Garden Area is provided unless otherwise agreed in writing by the Responsible Authority;

32. this Agreement has been prepared for the following purposes:

3.2.1. creating an exemption from the need to obtain a planning permit under Clause 44.062 of the Planning Scheme; and

3.2.2. to give effect to the conditions of the Permit that require the Bushfire gal on Measures to be implemented on the Land;

3.3. the exemption from the need to obtain a planning permit under clause 44.062 of the Planning Scheme does not apply to Lot 4 on the Plan.

3.4, if a Dwelling is constructed on the Land without a planning permit under clause 44.062 of the Planning Scheme, the Bushfire Mitigation Measures must be implemented and maintained to the satisfaction of Council on a continuing basis.

4. FURTHER COVENANTS OF THE OWNER The Owner warrants and covenants with Council that:

4.1. It is the registered proprietor (or entitled to be so) of the Land.

4.2. Save as shown in the certificate of title to the Land, there are no mortgages liens, charges, easements or other encumbrances or any rights inherent in any person affecting the Land or any part of it and not disclosed by the usual searches.

4.3, Neither the Land nor any part of it is subject to any right obtained by adverse possess ion or subject to any easements , rights or encumbrances mentioned in section 42 of the Transfer of Land Act 1958 (Vic)

4.4. It will not sell, transfer, dispose of, assign, mortgage or otherwise part with possess ion of the Land or any part of it without first providing to its successors a copy of this Agreement.

4.5.3. determination of whether any of the O w n e r s obligations have been undertaken to the satisfaction of Council or to give consent to anything under this Agreement.

To the extent that such cos ts and e x p e n s e s constitute legal professional costs, Council may a t its absolute discretion have t h e s e costs a s s e s s e d by the Law Institute of Victoria a n d in that event the parties will b e bound by the amount of that assessment , with any f ee for obtaining such a n a s s e s s m e n t being borne equally by Council and the Owner. Such costs payable by the Owner will include the costs and disbursements associated with the recording, cancellation or alteration of this Agreement in the Register.

4 6 , It will do all that is necessa ry to give full effect to the terms of this Agreement to enable Council to m a k e application to the Registrar of Titles to record this Agreement in the Register in accordance with t he Act, including the signing of any further agreement, acknowledgment or other document.

4 7 . Until such time a s this Agreement is recorded in the Register, the Owner must ensure that successors in title will give effect to this Agreement, and d o all ac ts and sign all documents which will require those successo r s to give effect to this Agreement, including executing a deed agreeing to b e bound by the terms of this Agreement.

5. AMENDMENT

This Agreement may b e amended only in accordance with the requirements of the Act.

6. NO WAIVER

No waiver by any party of any default in the strict a n d literal performance of or compliance with any provision, condition or requirement in this Agreement will be deemed to be a waiver of strict and literal performance of and compliance with any other provision, condition or requirement of this Agreement nor to be a waiver of or in any way release any party from compliance with any provision, condition or requirement in the future nor will any delay or omission of any party to exercise any right under this Agreement in any manner impair the exercise of such right accruing to it thereafter.

7. NO FETTERING O F POWERS OF COUNCIL

The parties acknowledge and a g r e e that this Agreement d o e s not fetter or restrict the power or discretion of Council to make any decision or impose any requirements or conditions in

connection with the granting of any panning approval or certification of any pans of subdivision applicable to the Land or relating to any use or development of the Land,

NOTICES

All notices and other communications under this Agreement will be sent by prepaid mail, by hand delivery, email or by facsimile to the Current Addresses for Service, Current Email Address for Service or Current Number for Service of the parties, and may be sent by an agent of the party sending the notice. Each notice or communication will be deemed to have been duly received.-eceived:8.1.8.1

COSTS ON DEFAULT

91 . If the Owner defaults in the performance of any obligations under this Agreement it will pay to Council its reasonable costs of action taken to achieve compliance with this Agreement.

9.2, The Owner agrees that any costs incurred by Council under this Agreement or any unpaid money or interest on unpaid money including any money owing under an indemnity in this Agreement, shall remain a charge on the Land until paid and the Owner consents to Council registering a caveat on the certificate of title to the Land in respect of any such outstanding costs or money owed. The Owner further acknowledges that any such outstanding costs or money owed shall be capable of being recovered by Council in any court of appropriate jurisdiction as a civil debt.

INTEREST ON OVERDUE MONEY

Any amount due under this Agreement but unpaid by the due date incurs interest at the rate prescribed under section 227A of the Local Government Act 1989 (Vic) and any payment made shall first be directed to payment of interest and then principal amount owing.

11. DEFAULT

11.1. In the event that the Owner defaults under the terms of this Agreement ("Default") Council shall serve on the Owner a notice in writing specifying and requiring the Owner to remedy the default ("Notice of Default").

11.2. If the Owner fails to remedy the Default to the satisfaction of Council within 14 days of the Notice of Default being served on the Owner then Council may, without prejudice to any other remedies, do anything necessary to remedy the default.

12. INDEMNITY The Owner agrees to indemnify and keep Council, their officers, employees, agents, workmen and contractors indemnified from and against all costs, expenses, losses or damages which they or any of them may sustain, incur or suffer or be or become liable for or in respect of any suit, action, proceeding, judgment or claim brought by any person arising from any non-compliance with this Agreement.

13. DISPUTES

131. If there is a dispute between the parties concerning the interpretation or implementation of this Agreement, that dispute may be referred to the Tribunal for resolution to the extent permitted by the Act.

13.2. If there is a dispute concerning any matter which is not referable to the Tribunal under the Act, that dispute may be referred for arbitration by an Arbitrator agreed upon in writing by the parties or, in the absence of such agreement the Chairman of the Victorian Chapter of the Institute of Arbitrators, Australia or his nominee, for arbitration.

13.3. The parties are entitled to legal representation for the purposes of any arbitration or referral referred to in clauses 13.1 and 13.2, and unless the Arbitrator, Chairman, nominee or the Tribunal otherwise directs, each party must bear its own costs.

14. ACCESS The owner agrees to allow Council and their officers, employees, contractors or agents or any of them to enter the land (at any reasonable time) to assess compliance with this Agreement or to rectify any non-compliance,

15. INVALIDITY OF ANY CLAUSE Notwithstanding anything to the contrary in this Agreement, if any provision of this Agreement will be invalid and not enforceable in accordance with its terms, all other provisions which are self-sustaining and capable of separate enforcement without regard to the invalid provisions will be and continue to be valid and enforceable in accordance with those terms.

16. AGREEMENT BINDING ON SUCCESSORS OF OWNERS This Agreement will extend to and bind the Owners successors, assigns, administrators, transferees and legal personal representatives and the obligations imposed upon them will also be binding on their successors, transferees, purchasers, mortgagees and assigns as if each of them had separately executed this Agreement.

17, JOINT OBLIGATIONS In the case of each party that consists of more than one person (including in that expression any corporation) each of those persons covenants, agrees and declares that all of the covenants, agreements, declarations and consents contained in this Agreement and made and given by that party have been entered into, made and given and are binding upon that person both severally and also jointly with the other person or persons constituting that party.

18, ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the parties in connection with its subject matter and supersedes all previous agreements or understandings between the parties in connection with its subject matter.

19, COMMENCEMENT AND ENDING OF AGREEMENT
