NOTICE OF 10TH ANNUAL GENERAL MEETING
Notice is hereby given that 10th Annual General Meeting of theShareholders of Energy Efficiency Services Limited will be held onMonday, 30th day of September, 2019 at 04:00 P.M. at Power FinanceCorporation Ltd. 'URJANIDHI', 1, Barakhamba Lane, Connaught Place,New Delhi -110001, to transact the following businesses:-
Ordinary Business:-
1. To consider and adopt:
(a) the Audited Standalone Financial Statements of theCompany for the financial year ended on 31st March 2019,the reports of Board of Directors and Auditors thereon;and
(b) the Audited Consolidated Financial Statements of theCompany for the financial year ended on 31st March 2019and the report of the Auditors thereon.
2. To declare final dividend for FY 2018-19
3. To fix remuneration of Statutory Auditors for the year 2019 - 20.
4. To appoint a Director in place of Shri Rajeev Sharma(DIN: 00973413), who retires by rotation and being eligible,offers himself for re - appointment.
5. To appoint a Director in place of Shri Mohit Bhargava (DIN:07941760), who retires by rotation and being eligible, offershimself for re - appointment.
Special Business:-
6. To consider appointment of Shri Shankar Gopal (DIN:08339439) as Whole - time Director (Commercial) and ifthought fit, to pass with or without modification, the followingresolution as an Ordinary Resolution:
"RESOLVED THAT pursuant to the recommendation ofNomination and Remuneration Committee and approval of Boardof Directors and in accordance with the applicable provisions ofCompanies Act, 2013 ("the Act") read with Schedule V to theAct and Rules made thereunder (including any statutorymodification(s) or re - enactment thereof, for the time being inforce), relevant provisions of Articles of Association of theCompany and all applicable guidelines issued by the CentralGovernment from time to time, Shri Shankar Gopal(DIN: 08339439), in respect of whom the Company has receiveda notice in writing proposing his candidature for the office ofDirector pursuant to Section 160 of the Act, be and is herebyappointed as the Whole - time Director, designated as Director(Commercial), liable to retire by rotation, for the period and uponthe following terms and conditions including remuneration asstated hereunder:-
• Period: 5 years w.e.f. 7th February, 2019 or upto the dateof superannuation, whichever is earlier, as per terms &condition stated in Annexure - I.
• Remuneration and Perquisites: As per terms & conditionsstated in Annexure - I.
RESOLVED FURTHER THAT the Board of Directors of theCompany be and is hereby authorized to do all such acts, deedsand things as may deem necessary, proper or desirable and tosign and execute all necessary documents, applications andreturns for the purpose of giving effect to the aforesaidresolution."
7. To consider appointment of Shri Venkatesh Dwivedi (DIN:07847265) as Whole - time Director (Projects & Business
Development) and if thought fit, to pass with or withoutmodification, the following resolution as an OrdinaryResolution:

8. To consider alteration of Objects Clause of Memorandum ofAssociation of the Company and if thought fit, to pass with orwithout modification, the following resolution as a SpecialResolution:
"RESOLVED THAT pursuant to the provisions of section 13 andother applicable provisions, if any, of the Companies Act, 2013(the Act) and rules made thereunder (including any statutorymodification(s) or re - enactment thereof) for the time being inforce, consent of the Company be and is hereby accorded toamend Object Clause of the Memorandum of Association of theCompany (Clause III(A)) to include the following additionalobjects:
(5) To carry on, manage, supervise and control the business ofestablishing, commissioning, setting up, operating andmaintaining non-conventional Grid Connected Solar Photo-Voltaic (PV) based Solar Power Plants with maximum capacityup to 10MW per plant for Government/Private entities primarilyfor Solarisation of Agri. Feeders, Grid Connected Solar Photo-Voltaic (PV) based Roof top Programs, Grid Connected SolarPhoto-Voltaic (PV) based Agricultural Pump Sets Programs inany manner including build, own and transfer (BOT), and/orbuild, own and operate (BOO) and/or build, own, lease andtransfer (BOLT ) and/or build, own, operate and transfer (BOOT)basis or otherwise and to design, develop and manufacturecustomized energy storage solutions in this connection and todo all the ancillary, related or connected activities as may beconsidered necessary or beneficial or desirable for or alongwith any or all of the aforesaid purposes which can beconveniently carried on these systems, networks or platforms.

Notes:-
1. Pursuant to Section 139 of Companies Act, 2013, Statutory Auditors ofthe company are appointed by the Comptroller and Auditor General ofIndia (C & AG) and in terms of Section 142, their remuneration has to befixed by the Company in Annual General Meeting or in such manner asthe Company in AGM may determine. C & AG in exercise of powerconferred under Section 139 of Companies Act, 2013 has appointed M/s K K Soni & Co., Char tered Accountants (Firm Registration No.000947N), New Delhi as Statutory Auditor of the Company for theFinancial Year 2019 - 20. The members may kindly authorise the Boardof Directors to fix appropriate remuneration of Statutory Auditors forFinancial Year 2019-20 after taking into consideration the volume ofwork and prevailing inflation.
2. A member entitled to attend and vote at the meeting is entitled to appointa proxy to attend and vote on a poll instead of himself / herself and aproxy need not be a member of the company. Proxies in order to beeffective, must be received by the company, duly filled, stamped andsigned, at its Registered Office or at its Administrative Office not lessthan 48 hours before the Meeting. Blank Proxy form is enclosed.
3. The relevant Explanatory Statement pursuant to Section 102 ofCompanies Act, 2013 in respect of the Special Business in the notice isannexed thereto.
4. Corporate members intending to send their authorized representativesto attend the Meeting are requested to send to the Company a certifiedtrue copy of the Board resolution authorizing their representative to attendand vote on their behalf at the Meeting.
5. All relevant documents referred to in the Notice and accompanyingstatement shall be available for inspection at the Registered / CorporateOffice of the Company between 11.00 A.M. to 2.00 P.M. on all workingdays and will also be available for inspection at the meeting.
6. The Notice of the AGM is being sent by electronic mode to all theMembers, whose email addresses are available with the Company, unlessany Member has requested for a physical copy of the same.

9. To consider alteration of Articles of Association of theCompany and if thought fit, to pass with or withoutmodification, the following resolution as a Special Resolution:
"RESOLVED THAT pursuant to the provisions of Section 14 andall other applicable provisions of the Companies Act, 2013(including any statutory modification(s) or re-enactment thereof,for the time being in force) and any other applicable laws/rulesunder any statute for the time being in force, the proposedamendments in Articles of Association of Energy EfficiencyServices Limited, as enclosed at Annexure-III be and are hereby
approved by the shareholders, in substitution to the regulationscontained in existing Articles of Association of the Company.
RESOLVED FURTHER THAT Board of Directors of the Companybe and are hereby severally authorised to do all necessary acts,dead and things, which may be usual, expedient or proper togive effect to the above resolution."

Explanatory Statement as required under Section 102 of the Companies Act, 2013
Item No. 6 & 7
Shri Venkatesh Dwivedi and Shri Shankar Gopal were selected asDirector (Projects & Business Development) and Director (Commercial)of EESL, respectively, by the Selection Committee constituted underArticle 102(iv) of Articles of Association of the Company (the AOA).Therefore, in terms of Section 161 of Companies Act, 2013 (the Act)and Article 103 of the AOA, they were appointed as Additional Directorsdesignated as Director (Projects & Business Development) and Director(Commercial), respectively, in the 71st Board Meeting held on 7thFebruary, 2019 to hold office upto the date of next Annual GeneralMeeting.
Section 2(94) of the Act states that a director in the whole - timeemployment of the company is a whole - time director. As per Section196 read with Schedule V to the Act, terms and conditions ofappointment and remuneration payable to a whole - time director shallbe approved by the Board of Directors at a meeting which shall besubject to approval of shareholders by a resolution at next generalmeeting of the Company. Section 178 of the Act requires Nominationand Remuneration Committee (NRC) to recommend appointment ofpersons qualified to become directors.
In view of the same, Nomination and Remuneration Committee of thecompany in its meeting held on 2nd July, 2019 recommendedappointment of Shri S. Gopal and Shri Venkatesh Dwivedi as Whole -Time Directors in EESL designated as Director (Commercial) andDirector (Projects & Business Development), respectively, on termsand conditions stated in the appointment letters, which wasconsequently approved by the Board in the Board Meeting held on2nd July, 2019 and recommended to the shareholders for approval.
The company has also received a notice signifying their candidatureas directors pursuant to Section 160 of the Act.
Their brief resume, inter - alia, giving their experience, shareholding inthe Company, other Directorships and other particulars, forms part ofthis notice.
None of the Directors, Key Managerial Personnel of the Company ortheir relatives except Shri Shankar Gopal and Shri Venkatesh Dwivedi,is in any way, concerned or interested, financially or otherwise, in theresolution.
The Board recommends the resolution for your approval as an OrdinaryResolution.

EESL has a strong pipeline of projects in the solar sector includingGrid Connected Solar Photo - Voltaic (PV) based agriculture pumpsets, solarization of agriculture feeders, solar PV rooftop program andImplementation of solar water pumping systems for International SolarAlliance (ISA) member countries.
The objects clause of Memorandum of Association of the Companydoes not specifically deal with the projects in Solar Sector. Therefore,it is proposed that the Objects Clause may be altered accordingly. Interms of the provisions of Section 13 of Companies Act, 2013,alteration in Objects Clause of Memorandum of Association of acompany is carried out with the approval of shareholders of thecompany by way of Special Resolution passed in a general meeting.
None of the Directors and / or Key Managerial Personnel of theCompany or their respective relatives are concerned or interested inthe Resolution.
The Board recommends the resolution for your approval as SpecialResolution.

Articles of Association (AoA) of a Company contain regulations formanagement of the Company and is one of the most importantdocuments of the Company. A Company is required to pursue all theactions/decisions to achieve its Objects, within the overall frameworkof its AoA. The provisions of AoA are binding on the Company andany action/decision beyond AoA is null and void.
Companies Act, 2013 (“the Act”), passed by the Parliament to replaceerstwhile Companies Act, 1956, received assent of the President ofIndia on August 29, 2013 and was published in the Official Gazette onAugust 30, 2013.
Present AoA of Energy Efficiency Services Limited (EESL) is in linewith the provisions contained in erstwhile Companies Act, 1956 andthe Rules made thereunder and the Joint Venture Agreement dated19th November, 2009. It is pertinent to mention that the last amendmentin AoA was approved by shareholders of the Company in 9th AnnualGeneral Meeting held on 28.12.2018. With coming into force of theprovisions of Companies Act, 2013 and Rules made thereunder it isimperative that the entire Articles of Association of EESL may suitablyby changed in line with the changes in regulatory provisions.
In view of above, new set of Articles of Association of EESL, withchanges highlighted, is placed at Annexure-III. The aforementionednew set of Articles of Association has been prepared keeping thefollowing into consideration:
a. To align the extant Articles of Association of EESL with theprovisions of Companies Act, 2013, Rules made thereunder andthe provisions contained in Joint Venture Agreement dated 19thNovember, 2009;
b. For better clarity of the existing Articles and making them self-explanatory;
Board of Directors in their 61st Board Meeting held on 16th February,2018 accorded approval to amend the Articles of Association of thecompany to align the extant Articles with the provisions of CompaniesAct, 2013 (the Act). Section 14 of the Companies Act, 2013 inter-aliaprescribes that the Company can alter its Articles of Association byobtaining approval of shareholders through a special resolution passedin a general meeting.
None of the Directors, Key Managerial Personnel or their relatives isconcerned or interested in the resolution.
The Board recommends the resolution for your approval as SpecialResolution.

1. House Rent Allowance OR Company Leased Residential Accommodation
The Executive can avail either HRA or Company Leased Accommodation as below:-
- House Rent Allowance (HRA)
The rate of HRA is @ 24%* of Basic Pay (applicable in Delhi/ NCR Region).
- Company Leased Residential Accommodation
The monthly rental ceilings for hiring of Company Leased Residential Accommodation shall be ` 36000* /- (applicable for Delhi/ NCR Region). House RentRecovery (HRR) amounting to 10% of pre-revised basic pay i.e (` 62000-80000) or the Actual Rent, whichever is lower will be recovered from the Executiveper month.
*The rates for other locations would differ.
2. Other Perquisites and Allowances
(i) "Cafeteria approach" shall be adopted for other perquisites and allowances allowing the Executives to choose from a given set or cafeteria of perquisitesand allowances subject to the condition that the sum total of these perquisites and allowances shall not exceed 35% of basic pay.
(ii) Medical Benefits:
OPD expenses: Annual OPD expenses for medical treatment will be reimbursed to the Executive at actual subjectto the maximum ceiling limit of the pre-revised scale i.e ` 80000 (` 62000-80000) on submission of bills/vouchers / medical prescription.
IPD expenses: Employees are allowed indoor medical treatments with an annual ceiling of `10 lac as per EESLMedical Policy. Additional Umbrella cover up to maximum ` 25 Lakhs.
Group Accidental: - EESL employees are covered under accidental insurance upto ` 50 lacs.

Secretary

CONSTITUTION

All equity Shares shall be of the same class and shall be identicalin all respects and subject to the provisions of the Act and theAgreement, the holders thereof shall be entitled to have identicalrights and privileges including, without limitation, dividend,voting rights and distribution of assets in the event of voluntaryor involuntary liquidation, dissolution or winding up of theCompany.
7. Supplementary Agreement
Any Shareholder, other than the Parties, entitled for and claimingany rights under the Agreement shall be required to enter into asupplementary Agreement with the Parties and the Companywill confirm acceptance of and compliance with the provisionsof the Agreement including lock-in period.

The company may buy back its own shares subject toprovisions of the sections 77A, 77AA and 77B of the Act asamended.

CERTIFICATES
19. Share Certificates
Every person whose name is entered as a member or Debentureholder in the Register of Members or Register of Debentureholders shall without payment, be entitled to a Certificate underthe common seal of the Company specifying share(s) ordebenture(s) held by him and the amount paid thereon. Share/Debenture Cer tificates shall be issued on application inmarketable lots and where shares/debenture certificates areissued for either more or less than the marketable lots sub-division or consolidation into marketable lots shall be donefree of charge within one month from the date of lodgmentthereof. 28. Company to have lien on shares
The Company shall have a first and paramount lien on everyshare or debentures (not being a fully paid share or debenture)for all moneys called or payable at affixed time in respect ofthat share but the Company shall have no general lien on suchpartly paid up shares/ debentures.
