1875 Thomas R. Ellin, one of Sheffield’s foremost industrialists of the time,moved away from his family’s cutlery business to set up an engineering companyto manufacture a hand tool which he had adapted from a simple implementmade by a Sheffield hand grinder. This tool was to become the world famousFootprint Wrench.

From this small beginning, Footprint Tools Limited, as we are now known,has grown into one of the largest privately owned hand tool manufacturingcompanies in the United Kingdom. We value highly our independence and prideourselves on our ability to offer a personal service to our many customers.

One final point of interest - we are often asked where the “Footprint”, or morecorrectly the outline of a Foot - originated from. We think that when ThomasEllin was starting his new company and thus looking for a suitable trademark, he must have been reading Daniel Defoe’s “Robinson Crusoe”. Inthe company’s archives, we have an illustrated edition of this book from the lastcentury, which on one page depicts Crusoe finding Friday’s footprint in the sand.One of these - the left foot in outline, is circled and in the margin are writtenthe words - “possible trademark”.

dance with theseConditions the Seller shall be entitled to replace the Goods (or the part in question) or rectify anydefect free of charge or at the Seller’s sole discretion refund to the Buyer the price of the Goods(or proportionate part of the price) 6.5 The above warranty does not extend to parts materials or equipment not manufactured by theSeller in respect of which the Buyer shall only be entitled to a claim in respect of any negligence onthe part of the Seller The Seller shall not be liable to the Buyer by reason of any representationorant implied warranty conditions or other form or any duty at common law or under the expressterms of the Contract for any consequential loss or damage (whether for loss of profit or otherwise)costs expenses or other claims for consequential compensation whatsoever (and whether causedby the negligence of the Sellers its employees or agents or otherwise) which arise out of or in con-nection with the supply of the Goods or their use by the Buyer except as expressly provided bythese Conditions.7. TERMS OF PAYMENT7.1 Unless otherwise expressly agreed in writing payment for the goods shall be monthly account,i.e. not later than at the end of the month following the date of the invoice.7.2 Time of payment shall be of the essence of the contract.7.3 If payment is overdue the Buyer may at the Seller’s option be liable to pay the Seller intereston any overdue balance up to the rate of 4% above the Bank of England base rate for the timebeing.7.4 If under the contract deliveries are required in installments over anextended period each consignment may be invoiced separately.7.5 All payments shall be made in full without deduction in respect of anysetoff or counterclaim.7.6 Payments shall not be withheld on account of minor omissions or defects which do not affectthe commercial use of the goods.7.7 Any concession, latitude or waiver the Seller may allow or has allowed the Buyer at any timeshall not prevent the Seller’s subsequent exercise of its full rights under these conditions.8. RISK AND PROPERTY8.1 Risk shall pass in the case of goods to be delivered at the Seller’s premises at the time whenthe Seller notifies the Buyer that the goods are available for collection or in the case of goods to bedelivered otherwise than the Seller’s premises at the time of delivery or if the Buyer wrongfully failsto take delivery of the goods at the time when the Seller has tendered delivery of the goods.8.2 Not withstanding delivery and the passing of risk in the goods or any of the provision of theseconditions the property in the goods shall not pass to the Buyer until the Seller has received in cashor cleared funds in full payment of the price of the goods and all other goods agreed to be sold bythe Seller to the Buyer for which payment is then due.8.3 Until such time as the property in the goods passes to the Buyer the Buyer shall hold the goodsas the Seller’s fiduciary agents and bailee and shall keep the goods separate from those of theBuyer and third party’s and properly stored and protected and insured and identified as the Seller’sproperty.8.4 Until such time as the property in the goods passes to the Buyer the Seller shall be entitled atany time to require the Buyer to deliver up the goods to the Seller.8.5 The Buyer shall not be entitled to pledge or in any way charge by wayof security for any indebtedness any of the goods which remain the property of the Seller but if theBuyer does so all monies owing by the Buyer to the Seller shall (without prejudice to any other rightor remedy of the Seller) forthwith become due and payable.8.6 In the event of the Buyer reselling the contract goods before property in the contract goodspasses to the Buyer the Buyer shall account to the Seller for all of the proceeds of any re-sale andprior to paying such proceeds to the Seller the Buyer shall hold the same in a fiduciary capacitykeeping the same separate from its other money. On receiving such proceeds pursuant to theBuyer’s obligation to account therefore the Seller shall immediately return to the Buyer any sumreceived in excess of the total of all sums due and owing from the Buyer to the Seller at the dateof receipt by the Seller of such proceeds of sale (including the purchase price of the contractgoods).8.7 Nothing in this Clause 8 shall constitute the Buyer the Agent of the Seller in respect of any re-sale of the contract goods by the Buyer to a third party so as to confer upon such third party rightsagainst the Seller.9. CLAIMS9.1 Advice of damage delay or partial loss of goods in transit or of non-delivery must be given inwriting to the Seller and the Carrier -9.1.1. In the case of damage delay or partial loss within seven days of delivery.9.1.2. In the case of non-delivery within fourteen days of the despatch of goods.9.2 All other claims excluding those arising under Clause 6 must be made in writing to the Sellerwithin twenty one days of delivery.10 LIABILITY10.1 The Seller shall not be liable for indirect loss or third party claims occasioned by delay in com-pleting the work or for loss to the Buyer arising from delay in transit.10.2 Where work is defective for any reason including negligence the Seller’s liability (if any) shallbe limited to rectifying such defect.11.WORK DONE FOR THE BUYER11.1 The Property of the Buyer and all property supplied to the Seller on behalf of the Buyer shallwhilst it is in the possession of the Seller or in transit to or from the Buyer be deemed to be at theBuyer’s risk unlessotherwise agreed and the Buyer should insure accordingly.11.2 The Seller shall be entitled to make a reasonable charge for the storage of any Buyer’s prop-erty left with the Seller before receipt of the order or after notification to the Buyer of completion ofthe work.11.3 The Seller may reject any die tools or other materials supplied or specified by the Buyer whichappear to him to be unsuitable. Additional cost incurred if materials are found to be unsuitable dur-ing production may be charged except that if the whole or any part of such additional cost couldhave been avoided but for unreasonable delay by the Seller in ascertaining the unsuitability of thematerials then that amount shall not be charged to the Buyer.11.4 Where materials are so supplied or specified the Seller will take every care to secure the bestresults but responsibility will not be accepted for imperfect work caused by defects in or unsuitabil-ity of materials so supplied or specified.11.5 Quantities of materials supplied shall be adequate to cover normal spoilage.11.6 If the Buyer ceases to pay his debts in the ordinary course of business or cannot pay his debtsas they become due or being a company is deemed unable to pay its debts or has a winding uppetition against it or being a person commits an act of bankruptcy or has a bankruptcy order issuedagainst him the Seller without prejudice to the other remedies shall-11.6.1 have the right not to proceed further with the contract of any other work for the Buyer andbe entitled to charge for work already carried out(whether completed or not) and materials purchased for the Buyer such charge to be an immedi-ate debt to it and11.6.2 in respect of all unpaid debts due from the Buyer have a general lien in all goods and prop-erty in its possession (whether worked on or not) and shall be entitled on the expiration of 14 days’notice to dispose of such goods or property in such matter and at such price as he thinks fit andto apply to the proceeds towards such debts..11.7 Where the goods are manufactured in accordance with information or drawings supplied bythe Buyer or to the Buyer’s design or specification or where the standard goods of the Seller arealtered in accordance with the buyer’s instructions.11.7.1 no guarantee or warranty is given by the Seller as to the practicability efficiency safety orotherwise of the goods (this being without prejudice to any other of the Contract terms.011.7.2 the Buyer will indemnify and keep the Seller indemnified against all liability incurred by theSeller as a result of such goods infringing any patent registered design copyright or other like pro-tection or the provision of any statute statutory instrument or regulation for the time being in force.11.8 Unless otherwise agreed in writing all patterns, drawings, tools etc produced by the Seller shallremain the property of the seller and must not be used or copied by the buyer. 12 RIGHT OF RE-SALE12.1 If the Buyer defaults in accepting delivery odor paying for the goodsthe Seller reserves the right to re-sell the goods or any of them to the third party without givingnotice to the Buyer of the Seller’s intention to re-sell.13 FORCE MAJEURE13.1 The Seller shall not be liable to the Buyer or be deemed to be in breach of the Contract byreason of any delay in performing or any failure to perform any of the Seller obligations in relationto the goods if the delay or failure was due to any cause beyond the Seller’s reasonable control.Without prejudice to the generality of the foregoing the following shall be regarded as causedbeyond the Sellers’ reasonable control13.1.1 Act of God explosion flood tempest fire or accident.13.1.2 War or threat of war sabotage insurrection civil disturbances or requisition.13.1.3 Acts restrictions regulations bye-laws prohibitions or measuresof any kind on the part of any governmental parliamentary or local authority13.1.4 Import or export regulations or embargoes.13.1.5 Strikes, lock-outs or other industrial actions or trade disputes (whether involving employeesof the Seller or of a third party).13.1.6 Difficulties in obtaining raw materials labor fuel parts of machinery.13.1.7 Power failure or breakdown in machinery.14. APPLICABLE LAW14.1 These conditions and all other express terms of the contract shall begoverned and construed in accordance with the law of England.

INTERPRETATION1.1 In these conditions“BUYER” means the person whose order for goods and/or services is accepted by the Seller.‘GOODS’ means the goods and/or services (including any installment of the goods or any part ofthem) which the Seller is to supply in accordance with these conditions.‘SELLER’ means ‘FOOTPRINT TOOLS LIMITED whose registered office is situated at HOLLISCROFT, SHEFFIELD S13HY and which is registered in England under No. 174158.‘CONDITIONS’ means the standard Terms and Conditions of Sale set out in this document and(unless the context otherwise requires) include any special terms and conditions agreed in writingbetween the Buyer and the Seller.“CONTRACT” means the contract for the purchase and the sale of the gppds/“WRITING’ includes the telex cable facsimile transmission and comparable means of communica-tion.1.2 Any reference in these Conditions to any provision of the Statute shall be construed as a refer-ence to that provision as amended re-enacted or extended at the relevant time.1.3 The heads in these conditions are for convenience only and shall not affect their interpretation.2. BASIS OF THE SALE2.1 Any quotation given by the Seller to the Buyer shall not be an offer but an invitation to treat only.No contract between the Buyer and Seller shall arise unless and until any order of the Buyer is con-firmed by the seller in writing2.2 Any written order of the Buyer which is accepted by the Seller shall besubject to these conditions which shall govern the contract to the exclusionof of any other terms and conditions subject to which any order or acceptance of any quotation ispurported to be accepted by the Buyer..2.3 No variation to these Conditions shall be binding unless agreed in writing between the author-ized representatives of the Buyer and Seller.2.4 The Seller’s employees or agents are not authorized to make any representations concerningthe goods unless confirmed by the Seller in writing. In entering into the Contract the Buyer acknowl-edges that it does not rely on and waives any claim for breach of any such representations whichare not so confirmed.2.5 Any advice or recommendation given by the Seller or its employees or agents to the Buyer orits employers or agents as to the storage application or use of the goods which is not confirmed inwriting by the Seller is followed or acted upon entirely at the Buyer’s own risk and accordingly theSeller shall not be liable for any such advice or recommendation which is not so confirmed.2.6 Any typographical clerical or other error or omission in any sales literature quotation price listacceptance or offer invoice or other document or information issued by the Seller shall be subjectto correction without any liability on the part of the Seller.3.PRICE OF THE GOODS3.1 The contract price of the goods shall be the Seller’s quoted price or where no price has beenquoted or if a quoted price is no longer valid the price listed in the Seller’s published price list cur-rent at the date of acceptance of the order. Any additional charges such as carriage and any otherappropriate items shall be added to the contract price.3.2 Not withstanding the provisions of Clause 3.l above the Seller may levy a small order surchargein respect of any order the value of which is below such a minimum economic level as may be spec-ified from time to time in the Seller’s published price lists.3.3 The Seller reserves the right by giving notice to the Buyer at any time before delivery of an orderto increase the price of the goods to reflect any increase in the cost to the Seller which is due to anyfactor beyond the control of the seller.3.4 The seller will make every endeavor to despatch all goods in free of charge containers butwhenever the nature of the goods necessitates the use of special packing materials these will becharged at cost but this charge will be credited in full if returned in good condition at the expenseof the Buyer within thirty days.3.5 All prices quoted or accepted are exclusive of Value Added Tax and the contract price shall besuch prices plus V.A.T.4.ORDERS AND SPECIFICATIONS4.1 The Buyer shall be responsible to the seller for ensuring the accuracy of the terms of any order(including any applicable specifications) submitted by the Buyer and for giving the Seller any nec-essary information relating to the goods within a sufficient time to enable the seller to perform thecontract in accordance with its terms.4.2 The quantity and description of any specification for the goods shall be set out in the Buyer’sorder.4.3 If the goods are to be manufactured or any process applied to the goods by the Seller in accor-dance with the specification submitted by the Buyer the Buyer shall indemnify the seller against all loss damage costs and expenses awardedagainst or incurred by the Seller in connection with or paid or agreed to be paid by the Seller in set-tlement of any claim for infringement of any patent copyright design trade mark or other industrialor intellectual property rights of any other person which results from the Seller’s use of the Buyer’sspecification.4.4 The Seller reserves the right to make any changes in the specification of the goods which arerequired to conform with any applicable safety or other statutory requirements or where the goodsare to be supplied to the Seller’s specification which do not materially affect their quality or perform-ance or which are appropriate in accordance with the Seller’s policy of continuous improvement.4.5 No order may be cancelled by the Buyer except with the Agreement in writing of the Seller andon terms that the Buyer shall indemnify the Seller in full against all loss (including loss of profits)costs (including the costs of all labor and materials used) damages charges expenses incurred bythe Seller as a result of cancellation.4.6 Quotations are based on the Seller’s current costs of production and, unless otherwise agreedare subject to amendment on or at any time after acceptance to meet any rise or fall in such costs.4.7 Quotations are subject to confirmation on receipt of orders.4.8 Any work carried out whether experimentally or otherwise,at the Buyer’s request shall becharged by the Seller in addition to the contract price.4.9 The Seller reserves the right to refuse any order the value of which is below the minimum eco-nomic level as specified from time to time.5. DELIVERY5.1 Any dates quoted for delivery of goods are approximate only and the Seller shall not be liablefor any delay in delivery of the goods howsoever caused. Time for delivery shall not be of theessence unless previously agreed by the Seller in writing. The goods may be delivered by theSeller of the quoted delivery date upon giving reasonable notice to the Buyer.5.2 Where the goods are delivered in installments each delivery shall constitute a separate contractand failure by the Seller to deliver any one or more of the installments in accordance with these con-ditions or any claim by the Buyer in respect of any one or more installments shall not entitle theBuyer to treat the contract as a whole as repudiated.5.3 If the Buyer fails to take delivery of the goods or fails to give Seller adequate delivery instruc-tions at the time stated for delivery (otherwise than by reason of any cause beyond the Buyer’s rea-sonable control or by reason of the Seller’s fault) then without prejudice to any other right or reme-dy available to the Seller the Seller may -5.3.1 store the goods until actual delivery and charge the Buyer for the reasonable cost (includinginsurance) of storage or5.3.2 sell the goods at the best price readily obtainable and (after deducting all reasonable storageand selling expenses) account to the Buyer for the excess over the price under the contract orcharge the Buyer for any shortfall below the price of the contract.5.4 The Seller shall have the option of revising the delivery date or dates prior to manufacture if cir-cumstances beyond the control prevent the Seller keeping to the originally agreed date or dates.5.5 Should expedited delivery be agreed an extra amount (which in all cases shall be agreed inadvance) may be charged to cover any overtime or any other additional costs involved.5.6 Should work be suspended at the request of or delayed through any default of the Buyer for aperiod of 30 days the Seller shall then be entitled to payment for work already carried out materialsspecifically ordered and other additional cost including storage5WARRANTIES6.1 Subject to the conditions set out below the Seller warrants that the Goods will correspond withtheir specification at the time of delivery and will be free from defects in material and workmanship.6.2 The above warranty is given by the Seller subject to the following conditions:6.2.1 The Seller shall be under no liability in respect of any defect in the Goods arising from anydrawing design specification supplied by the Buyer..6.2.2 The Seller shall be under no liability in respect of any defect arising from fair wear and tearwilful damage negligence abnormal working conditions failure to follow the Seller’s instructions inwriting misuse or alterations or repair of the Goods without the Seller’s approval.6.2.3 The Seller shall be under no liability under the above warranty (or any other warranty condi-tion or guarantee) if the total price for the Goods has not been paid by the due date for payment.6.2.4 The above warranty does not extend to parts materials or equipment not manufactured by theSeller in respect of which the Buyer shall only be entitled to the benefit of any such warranty or guar-antee as is given by the manufacturer to the Seller.6.3 Any claim by the buyer which is based on any defect in the quality or condition of the Goods ortheir failure to correspond with specifications shall (whether or not delivery is refused by the Buyer)be notified to the Seller within six months from date of delivery. Time shall be of the essence of thecontract in relation to this clause. If delivery is not refused and the Buyer does not notify the Selleraccordingly the Buyer shall not be entitled to reject the Goods and the Seller shall have no liabilityfor such defect or failure and the Buyer shall be bound to pay the price as if the Goods had beendelivered in accordance with the Contract.6.4 Where any valid claim in respect of any of the Goods which is based on any defect in the qual-ity or condition of the Goods or other failure to meet specification is notified to the Seller in accor-

British Made, items and the ability to search out those factories elsewhere in the world from which products can be sourced, manufactured to the high standards

expected of the brand Footprint.

Having retained our manufacturing facility in Sheffield with its Forge,Hardening, Machining and Finishing departments, we are able to put the words

“Made in Sheffield” on many of our products and yet at the same time you, our customer, know that we have retained the knowledge and experience to ensure

that our products, wherever they may come from, will do the job they were designed to do.

We continue as a family managed business and 2004 has seen the company beginthe process of moving through to the fourth generation of the Jewitt family.
