Non-Binding OPEN SEASON TALL OAK – ARKOMA RESIDUE CAPACITY (“ARC”) PIPELINE PROJECT Overview Tall Oak Midstream III, LLC and its affiliates and subsidiaries (collectively, “Tall Oak”) own and operate a natural gas gathering and compression system serving more than 150,000 dedicated acres and continue the development of a 200 MMcfd processing plant in southeast Oklahoma’s burgeoning Arkoma STACK play. To meet the area’s rapidly growing needs for residue gas takeaway capacity and provide its customers with downstream market optionality, Tall Oak is pleased to announce an open season for its Arkoma Residue Capacity Pipeline (“ARC Pipeline”). Tall Oak’s natural gas processing plant (“Panther Creek Plant”) will be located in Hughes County, Oklahoma, and is expected to connect to Enable Oklahoma Intrastate Transmission (“EOIT”), Enable Gas Transmission (“EGT”) and the Arkoma Connector Pipeline for residue gas deliveries from the plant tailgate. In addition to these planned residue outlets, Tall Oak customers have requested additional residue gas takeaway capacity from the Panther Creek Plant and market flexibility through interconnects with Midcontinent Express Pipeline, LLC (“MEP”), Gulf Crossing Pipeline Company, LLC (“Gulf Crossing”) and Natural Gas Pipeline Company of America, LLC (“NGPL”), all located near Bennington, Oklahoma. To meet these customer requests, the ARC Pipeline will add interconnects to MEP, Gulf Crossing and NGPL to serve additional downstream residue markets. Furthermore, the ARC Pipeline plans to also connect to a receipt point off EGT, also in Hughes County. The planned receipt of gas off EGT will alleviate capacity constraints for residue gas from the STACK, SCOOP and MERGE plays located in central and western Oklahoma, by providing this gas a path to Bennington. Tall Oak will seek Federal Energy Regulatory Commission (“FERC”) approval to construct the ARC Pipeline. The purpose of this open season is to ensure that the ARC Pipeline is sufficiently scoped based on all near- term market requirements, including current requests supporting the ARC Pipeline, and any additional requests that may be made as a result of this open season. TallOakwillseekFederalEnergyRegulatoryCommission(“FERC”)approvaltoconstructtheARCPipeline.ThepurposeofthisopenseasonistoensurethattheARCPipelineissufficientlyscopedbasedonallnear-termmarketrequirements, includingcurrentrequestssupportingtheARCPipeline,andanyadditionalrequeststhatmaybemadeasaresultofthisopenseason.ThroughtheARCPipeline,TallOakwillprovide

additionalresiduegastakeawaycapacityandfirmtransportationservicefromthetailgateofitsplannedPantherCreekPlant,aswellasareceiptpointoffEGT,extendingsouthtowardpointsof interconnectwithMEP, Gulf Crossing and NGPL in Bryan County, Oklahoma. Shippers will separately arrange fortransportationonMEP,GulfCrossingand/orNGPL.

ThepreliminaryscopeoftheARCPipelineconsistsofapproximatelyeighty(80)milesof24-inchor30-inchpipeline.Followingtheopenseason,TallOakwillrefinethepreliminaryscopeoftheARCPipeline,inordertodevelopadesignthatiscapableofaccommodatingthelevelofshippernominationsreceivedinassociationwiththisopenseason.TheARCPipelinewillbedesignedinamannerthatallowsTallOaktoachieve the most economical project consistent with safety, operational and environmentalconsiderations. Shippers thathave submitted shippernomination forms through thisopenseasonareexpectedtoexecutebindingprecedentagreementsfollowingTallOak’scompletionandannouncementoftherefinedprojectdesign,whichisexpectedbeforeApril30,2018.

Service:FirmtransportationservicefromthetailgateofthePantherCreekPlantandtheEGTreceiptpointtopointsofinterconnectwithMEP,GulfCrossingandNGPL.

Term:Therequestedcontracttermforfirmtransportationservicehereundershallbeaminimumoften(10)years.TallOakmay,initssolediscretion,acceptothertermsproposedbyshippersparticipatinginthisopenseason.

Rates:ThisprojectcontemplatesthatfirmtransportationservicewillbeprovidedpursuanttoanFTRateScheduletobeincludedinTallOak’sNaturalGasTariff,tobefiledwithFERC.TallOakreservestherighttodevelopfirmtransportationratesbasedontherefineddesignandcostestimatesoftheARCPipelineestablishedtoservetheaggregatefirmtransportationservicerequestsreceivedonshippernominationforms.ShippersmustexecuteprecedentagreementsbyApril30,2018.Initialrateswillbedeterminedbased on the level of binding customer commitments received (as evidenced by executed precedentagreements)andthecostofthefinalfacilitiesrequiredtoservetheaggregatefirmtransportationservicerequestsofallshippersexecutingprecedentagreements,asdeterminedbyTallOak,initssolediscretion.

NominationProcess

Thesubscriptionperiodforthisnon-bindingopenseasonwillbeginat9:00AM(CentralTime)onMarch6,2018andcloseat5:00PM(Central)onMarch30,2018.TallOakmay,initssolediscretion,considerrequests received after the close of the subscription period only if such requests are determined tocontributetotheprojectinapositivemannerandcanbeaccommodatedwithoutadverselyaffectingthefilingprocessand/oranticipatedin-servicedates.

Parties interestedinobtainingfirmtransportationservicemustsubmitashippernominationformandnecessary financial information no later than the close of the subscription period, addressed to thefollowing:

TallOakreservestherighttomakeafinaldeterminationofthesize,scopeandcostoftheARCPipeline,aswellasa finalevaluationof theoveralleconomicsof theproject,and, in its solediscretion,decidewhetherornottoproceedwiththeARCPipeline.AllpartiessubmittingtimelyshippernominationformswillbenotifiedofTallOak’sfinaldecision,whichisexpectedbynolaterthanMay31,2018.
