Sun Moon Valley Boating & Recreation Centre, Madupetty is a picnic spot in famous tourist hill station MUNNAR. This place is very adjacent to Madupetty Dam, which attracts many tourists as well as group of adventure lovers for trekking and related activities. Kerala Hydel Tourism Centre (KHTC) , the Tourism Facilitation Centre of KSEBL has developed the centre as a full- fledged way side amenity centre with 3 Units each consisting of four double bed bath attached rooms with a Common Hall. This is a budget accommodation facility, with explicit aim to cater student groups, trekking groups as well as general tourists. Kundala is a picturesque place, about 20 km from Munnar on the way to Top Station. There is an artificial dam in Kundala which is another major attraction here. It is Asia’s first Arch dam. The boating experience at this dam is a wonderful experience beyond words. Boating facilities namely pedal boats, Kashmiri shikkara boats and row boats are available on rent to make your trip more enjoyable. A Golf Course is also located here which belongs to Tata Tea Ltd. Aruvikkad Waterfall is also situated nearby Kundala. KHTC wish to partner with an agency for renovation of dilapidated Quarters and making it available to the benefit of Tourists.
Kerala Government has identified Poringalukuthu in Hydel Tourism as one of its nine destinations, that attract lakhs of tourists. Poringalkuthu dam and Athirappilly are inter-connected locations. Poringal Kuthu is just 11 Kms away from Athirappilly waterfalls. On the way to Poringalkuthu we can see so many natural water falls in the dense forest areas. Poringalkuthu dam built on the tranquil Chalakudy River in Thrissur best locale to catch a glimpse of the rare avian population and wildlife. A concrete dam built across the Chalakudy river in Thrissur district. It contains the Poringalkuthu Hydro Electric Power Project of KSEBL. KHTC wish to partner with an agency for renovation of dilapidated Quarters and making it available to the benefit of Tourists. KHTC proposes to operate the facilities in an outsourced manner and hence invites quotations in twin cover system to operate the facilities on a Lease agreement basis. A set of tender document can be purchased from the Office of the Director, Kerala Hydel Tourism Centre on any Kerala State Electricity Board Ltd (KSEBL) working days from 12/02/2016 to 24/02/2016 between 10.00 AM to 04.00 PM at a non-refundable tender fee of Rs. 2000/- (Rupees Two thousand only) payable through demand draft/Banker cheque of any scheduled bank drawn in favour of “Director, Kerala Hydel Tourism Centre” payable at Thiruvananthapuram. The last date of submission of quote is 25.02.2016 2.30 pm and will be opened on same day at 3 pm at KHTC Office. After evaluation of the first cover viz. Pre-qualifications in the manner as prescribed in the tender documents, the second cover viz. the financial cover of only those bidders who meet the pre-qualification criteria will be opened on 26.02.2016 at 11.00 am. Date & time will also be communicated sufficiently early regarding the opening of financial bid. A Pre Bid meeting, if required, will be held at the Conference Hall of KHTC Head Office located at 4th Floor, Vydhuthi Bhavanam, Pattom, Thiruvananthapuram to clarify queries, if any, of the tenderers on 19/02/2016 at 02.30 P.M

All tenderers are requested to read the tender document carefully including its terms and
conditions, procedures to fill the tender form and tender assessment criteria.
I. ELIGIBILITY CRITERIA
1. The tenderer or consortium should have at least;
a) One work contract of 42 lacs or more with KSEBL/KHTC;
OR
b) Two work contracts of 28 lacs or more with KSEBL/KHTC;
OR
c) Three work contracts of 20 lacs or more with KSEBL/KHTC.
2. The total turnover of the agency should not be less than Rs.10 Crores during the
financial year 2014-15.
3. The tenderer must be registered/shall register if successful in this bid, with the
following statutory authorities and must also furnish attested copies of supporting
documents along with the tender or during the time of commencement of operation:-
a. ESIC, EPF, INCOME TAX AND SERVICE TAX
b. Registration certificate under contract labour (R & A) Act 1970
c. Any other registration / license which is mandatory for such agencies stipulated by
concerned authorities from time to time such as Storage of Hazardous Chemicals
should be appended or appended at the time of running the services.
4. The following documents must be submitted along with tender :-
a. Audited Balance Sheets of preceding three years with Income and Expenditure
statement and Profit and Loss Account & Audit report of last three years.
b. Income tax returns of last three years.
c. ESIC & EPF up to date payment details for the last three years if available.
5. The Tenderer shall have sufficient employees on its rolls specifically trained for
housekeeping work.
6. The Director, KHTC reserves the right to withdraw/relax the eligibility criteria and in
such a situation the tenderer will be given sufficient time to take the changes into
account. However, no relaxation will be given as far as statutory requirements are
concerned, explicit/implicit.

GENERAL INSTRUCTIONS TO TENDERERS
Eligible and willing agencies are advised to visit the site to get an onsite assessment of the
buildings on any working day between 10.00 AM to 04.00 PM after taking permission from
the Technical Committee Member, KHTC- Munnar Circuit @9446435104.
1. The closing date and time for receipt of tenders will be 02.30 P.M. on 25/02/2016.
2. The Tender will be opened at 3.00 PM on 25/02/2016 at KHTC Head Quarters,
Thiruvananthapuram in the presence of the authorized representatives of the
tenderers, who wish to be present at that time.
3. A pre-bid meeting shall be held at the KHTC Head Quarters, Thiruvananthapuram to
clarify any queries of the tenderer on 19/02/2016 at 02.30 P.M.
4. The Tenders are to be submitted as per two bid system i.e. Technical bid and Financial
Bid.
(A) The technical bid should contain the papers to fulfil all the eligibility criteria,
certificates of experience, satisfactory performance certificates, undertaking as per
instructions, work plan and list of the equipments, tools and tackles required for the
job.
(B) Financial bid should contain the rates quoted for the services to be provided as per
the instructions given in this tender document.
Both the bids should be submitted in two separate sealed envelopes super scribed as
Technical Bid for House Keeping Services and Financial Bid for House Keeping
Services . An Earnest Money Deposit of Rs.1,25,000/- (Rs. One Lac Twenty Five
Thousand only) i the fo of De a d D aft o Ba ke s Che ue o ly of a y s heduled bank should be in third envelope along with covering letter and it should be
superscripted Earnest Money Deposit for Housekeeping Services . All three sealed
envelopes should be put in a fourth sealed envelope and should be super scribed
Tender for House Keeping Services . Sealed tenders should be addressed to the
Director, Kerala Hydel Tourism Centre, 4th
Floor, KSEBL, Vydhuthi Bhavanam, Pattom,
Thiruvananthapuram-695004.
The completely filled Tender should be handed over in person to the Secretary in the
office of the Director, Kerala Hydel Tourism Centre, 4th
Floor, KSEBL, Vydhuthi
Bhavanam, Pattom, Thiruvananthapuram-695004 by the stipulated date and time.
Tender submitted or received after the closing date and time will not be
considered . In the absence of EMD or any the mentioned details, the tender will be
summarily rejected.

5. The Earnest Money Deposit will be refunded to the unsuccessful tenderer only after
finalization of the contract. In case of the successful tenderer EMD will be refunded
after receipt of the performance security deposit. No interest will be paid on the EMD.
6. The bid shall be valid for 180 days from the date of opening of tender.
7. No Tenderer will be allowed to withdraw his tender after submission during the bid
validity period (180 days). In case the tenderer does not honour his bid, the EMD
submitted by the tendering firm would stand forfeited.
8. All entries in the Tender form should be legible and filled clearly. Any overwriting or
correction which is unavoidable has to be signed by the authorized signatory.
9. Each page of the Tender document and papers submitted along with, should be
numbered, signed and stamped by the authorized signatory as a token of acceptance
of the terms and conditions laid down by the KHTC.
10. The Tenderer shall quote as per Financial Bid failing which the bid shall be considered
nonresponsive, incomplete and tender will be summarily rejected.
11. Tender incomplete in any way will be rejected out rightly. Similarly conditional
Tenders will also be rejected out rightly.
12. Technical Bids will be scrutinized, by the evaluation committee as constituted by the
Director, KHTC to check all requisite and relevant documents and their authenticity. The
Tenderers, whose Technical Bids are accepted will be informed about the date and
time of opening of Financial Bids.
13. In case the successful Tenderer declines the offer of Contract, for whatsoever reason(s),
his EMD will be forfeited.
14. A formal contract shall be entered into with the successful tenderer. In this contract,
the successful tenderer shall be defined as Contractor.
15. The successful tenderer will have to deposit the Performance Security Deposit of
Rs. 10,00,000/-(Rs. Ten Lac Only) i the fo of De a d D aft/Ba ke s he ue of a y scheduled bank, drawn in favour of The Director, Kerala Hydel Tourism Centre
payable at Thiruvananthapuram and commence the operation within 15 days of
acceptance of tender or handing over the site whichever is later otherwise the contract
may be cancelled and EMD will be forfeited. Out of the Performance Security Deposit
Rs 7,00,000 ( Rupees Seven Lakhs Only) has been earmarked for Management of
property at Madupetty, Rs 2,00,000( Rupees Two Lakhs only) for Management of
property at Kundala and Rs 1,00,000( Rupees One Lakh Only) for Management of
property at Poringalkuthu.

16. An agreement between Successful Bidder & KHTC will be entered into on Rs. 200/- Non
Judicial Kerala Stamp Paper. Stamp value will be paid by the bidder.
17. The Director, KHTC reserves the right to withdraw/relax/modify any of the terms and
conditions mentioned in the tender document if it is felt necessary in the benefit of the
KHTC.
18. The Director, KHTC reserves the right to reject all or any tender in whole, or in part,
without assigning any reason thereof.

II. GENERAL CONDITIONS OF CONTRACT (GCC)
1. The Contract shall initially be valid for a period of Ten years and may be extended for
further period based on satisfactory performance and with mutual consent, as per the
same rates, terms and conditions.
2. KHTC reserves the right to terminate the contract by serving three o th s oti e, i writing if the services of the contractor are not found satisfactory. The Contractor may
also ask for the same by giving three o th s oti e ut he has to p o ide the house keeping facility till the next agency is engaged and this action shall be limited to a
maximum period of six months from the date of receipt of the notice from the
Contractor .
3. The persons to be deployed by the Contractor should be properly trained, have
requisite experience and skills for carrying out a wide variety of housekeeping work
using appropriate materials and tools/equipments.
4. The Contractor will have to provide standard liveries as approved by KHTC
administration at his own cost to its housekeeping staff. The staff shall be in proper
uniform all the time with their identity card properly displayed. Samples of liveries will
have to be submitted by the Contractor for the approval of competent authority.
5. The contractor will arrange all items needed for his staff viz., time keeping machine,
computerized inventory of stores, computerized daily duty roster chart etc.
6. KHTC will provide the space for setting up a control room for the Contractor in the
premises of the Centre from where the contractor and his own supervisory or office
staff can control the house keeping labour force working in the Centre.
7. KHTC will provide space for a store room to the Contractor in the premise of the Centre
to the extent possible. The store keeper deployed by the contractor will store all their
liveries, materials, equipments in the store room. The stores shall be opened to
inspection by KHTC Staff if required.
8. The Contractor should ensure the Health and safety measures of the employees. KHTC
may also conduct health check up of the staff deployed at regular intervals.
9. The Contractor will be responsible for supply / installation / refilling / maintenance of
all consumables, items and equipments used in all areas of the Centre awarded to them
for housekeeping purpose.
10. The Contractor must employ adult and skilled labour only. Employment of child labour
will lead to the termination of the contract and necessary action under Indian Penal

Code also.
11. The Contractor shall engage only such workers, whose antecedents have been
thoroughly verified, including character and police verification and other formalities.
The Contractor shall be fully responsible for the conduct of his staff.
12. The Contractor at all times should indemnify KHTC against all claims, damages or
compensation under the provisions of Payment of Wages Act, 1936, Minimum Wages
A t , E ployer’s Lia ility A t , the Work e Co pe satio A t , Industrial Disputes Act 1947, Maternity Benefit Act 1961, Payment of Bonus Act, 1965
or any other law relating thereto and rules made there under from time to time. KHTC
will not own any responsibility in this regard.
13. The tenderer should quote their charges in Financial Bid after confirming their total
expenses strictly in accordance with the minimum wages/other acts as decided by the
Central Govt. for the State of Kerala.
14. Under any circumstances whatsoever, the manpower deployed shall be paid wages
not below the Minimum wages set by Central Govt.
15. All the rates quoted by the bidder shall remain unchanged during the period of contract.
16. In case of breach of any terms and conditions attached to the contract, the
Performance Security Deposit of the Contractor will be liable to be forfeited by KHTC
besides annulment of the contract.
17. The Contractor shall:-
a) Ensure Pest/Animal and Rodent free environment in the premises of KHTC allotted to
them,
b) Provide all items and consumables to his housekeeping staff.
c) Ensure that their managers / supervisors are equipped with mobile phones, and are
available round the clock.
d) Only deploy the workforce that is on his payroll.
e) Provide Waste Management Services including all equipment, containers, trolleys
etc.
f) Arrange for a garbage disposal vehicle and other equipments required for
segregation and disposal of waste in a professional manner,
g) Plan, manage, collect, mechanically screen and segregate dry and wet garbage in the
earmarked area, efficiently transport and dispose the garbage in the disposal area.
The work should be carried out in an eco friendly manner. The Contractor will
arrange for required resources, including manpower, machinery, disposables etc
which is used by the house keeping staff.
h) Ensure that the garbage collection / disposal work does not adversely affect the
surroundings or personnel deputed for the work. Protective gear including boots,
gloves etc. shall be provided by the Contractor to the housekeeping staff.

18. Variations
The KHTC Management may order variations in the scope through a written variation order
based on requirement.
The Contractor may increase the Room / Block on a space available basis, at the rate as
defined below. Such increase shall be confirmed in writing and signed by the KHTC and
Contractor. In no case shall the Room Block be reduced except in writing signed by the KHTC
and the Contractor
19. Payment Procedure:
Payment has to be made in the first week of the succeeding month along with the
submission of the bills. Payment of the bill for occupancy will be based on computerized
print outs in standardized Performa approved by KHTC. The bill submitted along with the
payment due to KHTC shall also include computer generated attendance sheet in respect
of the occupancy.
The payment shall be made on monthly basis on verification of attendance sheets of
occupancy.
20. Liquidated Damages:
Whenever and wherever it is found that the Cleanliness/Management is not up to the mark,
it will be brought to the notice of the supervisory staff of the Contractor by KHTC
representative and if no action is taken within next 24 hours, liquidated damages @ Rs.
1000/- per complaint shall be imposed. The decision of Supervisor of the Centre shall be
final in this regard.
21. Manpower
Any misconduct / misbehavior on the part of the manpower deployed by the Contractor
will not be tolerated and such person will have to be replaced by the Contractor at his own
costs, risks and responsibilities immediately, with written intimation to the Head of the
Centre of KHTC.
22. Risk Clause
a. The Contractor shall at all times have standby arrangements for carrying out the work
under the Contract in case of any failure of the existing arrangement. KHTC reserve the
right for termination of the contract at any time by giving three month written notice, if
the services are found unsatisfactory and also has the right to award the contract to any
other selected tenderer at the cost, risk and responsibilities of Contractor and excess
expenditure incurred on account of this will be recovered by the KHTC from the

b. All necessary reports and other information will be supplied by the contractor as per the
direction of the KHTC Administration. Contractor and its staff shall take proper and
reasonable precautions to preserve from loss & destructions of the above reports and
information. Contractor and its staff shall take proper and reasonable precautions such
that the waste or misuse the areas of responsibility given to them by the KHTC, and shall
not knowingly lend to any person or company any of the effects or assets of the KHTC,
under its control.
c. In the event of loss/damage of equipments etc. at the premises of the KHTC due to
negligence/carelessness of Contractor staff, the Contractor shall compensate the loss to
KHTC. The Contractor or its representative/s shall meet KHTC representative/s regularly
to take feedback regarding the services.
d. The Contractor will also maintain a suggestion book and a complaint register to be
produced to the KHTC administration or designated official on weekly basis.
e. The Contractor shall, in performing its part of this Agreement, ensure the safety of the
building, its equipments, furniture, fixtures and the persons working in or visiting the
KHTC Centre premises and shall indemnify KHTC, for any loss or damage caused by any
act of the Contractor or its employees or staff etc.
f. The Contractor shall not assign or sublet this Agreement or any part thereof to any third
party without the written consent of KHTC.
g. The staff shall be regularly trained on behavioral aspects and ethics. They shall also be
made conversant with the way of working of KHTC, its requirements, layout of centre,
fire safety system along with telephone numbers of Police station, fire station, nearby
hospitals.
h. Licenses if any required for the services at the site will be procured by the Contractor.
23. Dispute Settlement
a) It is mutually agreed that all differences and disputes arising out of or in connection
with this Agreement shall be settled by mutual discussions and negotiations if such
disputes and differences cannot be settled and resolved by discussions and negotiations
then the same shall be referred to the Chairman of the Governing Body of KHTC /
Chairman of the Executive Committee of KHTC as the case may be whose decision shall
be final and binding on both the parties.
b) Any legal dispute will be subject to THIRUVANANTHAPURAM Jurisdiction only.
NOTE: The bidder is expected to examine all the instructions, guidelines, terms and
conditions. Failure to furnish all the necessary information as required by the tender
document or submission of a proposal not substantially responsive to all the aspects of
the tender conditions shall be at idde s own risk and may be liable for rejection.

24. Indemnification and Insurance
The Contractor shall indemnify, defend and hold harmless KHTC, its officers, directors,
employees, volunteers and agents, from any and all claims, actions, causes of action, demands
o lia ilities of hatsoe e ki d a d atu e i ludi g judg e ts, i te est, atto eys fees, a d
all other costs, fees, expenses and charges that KHTC, its officers, directors, employees,
volunteers and agents, may incur arising out of the negligence, of the Contractor, its officers,
directors, employees, agents, contractors, or any other person or organization hired by the
Contractor. The terms of this provision shall survive the termination or expiration of the
Agreement executed between the two parties.
The Contractor shall indemnify, defend and hold harmless the KHTC, its officers, directors,
employees and agents, from any and all claims, actions, causes of action, demands or liabilities
of hatsoe e ki d a d atu e i ludi g judg e ts, i te est, atto eys fees, a d all othe
costs, fees, expenses and charges which the KHTC, its officers, directors, employees, and
agents, may incur arising out of the negligence of the Contractor, its officers, directors,
employees, or agents. The terms of this provision shall survive the termination or expiration of
the Agreement executed between the two parties.
The KHTC and the Contractor each agree to carry a minimum of One Lakh in liability and other
insurance protecting itself against any claims arising from any activities conducted in the
Property during the course of stay.
25. Force Majeure
The performance of this Agreement is subject to acts of God, government authority, disaster,
declared war in the India, a ts of te o is o othe ause eyo d the pa ties o t ol, hi h
make it commercially impracticable, illegal or impossible to perform as originally contracted
under this Contract. It is provided that this Agreement may be terminated without liability for
any one or more of such reasons by written notice from one party to the other.
In the event that the parties agree that a Force Majeure has occurred that would allow
termination without liability and Group decides to hold the Meeting despite such
circumstances, the KHTC shall waive fees related to a reduced-sized Meeting (including any

of the operator.
The contract will be awarded to those quoting maximum daily lease rent revenue
share to KHTC by the Contractor in INR above the threshold limit of 20% for the first &
Second year for the entire block per day. From the third year onwards there shall be
an addition of 4% above the quoted rate which shall remain firm for the next 4 years.
Thereafter there shall be an increase of 1% every year up to the 10th
year. Successful

The property is a dilapidated conditions and bidder has the responsibility to develop
the same. Hence the period of lease is fixed as 20 years and threshold limit fixed as
low as 10%.

ADDITIONAL CONDITIONS IF ANY LEFT OUT EARLIER - BINDING ON THE BIDDER
In the event of delay in starting the facilities, irregular conduct/not furnishing all
deliverables, the bidder shall be liable for a penalty at the rate of 2% of the
annual contract value due for that week and up to a maximum of 10% depending on
the nature of the irregularity and after which KHTC shall be at liberty to cancel the
award. For this purpose, part of a week shall be considered as a full week.
Facilities to be provided at the cost of the operator. Minimum electrical and
sanitary fittings are provided in the rooms. The operator can add more facilities
according to the standard as applicable to his business or those facilities, which the
bidder feels necessary for smooth operation.
Landscape should be arranged and kept well suitable for a resort. 24 hours security
should be provided.
Trekking programmes should be arranged with guides and trekking equipments.
Operator can take back the items provided by them on expiry / termination of
contract period at his own cost.
As this is a budget accommodation, the maximum tariff that can be charged by the
operator has to be consulted and finalized with KHTC Management. The operator can
revise the tariff in consultation with KHTC Management.
Operator should provide 24 numbers of accommodation units in each of the Centres
in a calendar year for the official purpose of KHTC or KSEBL free of any charges
subject to availability. For this a room accommodating two persons for a day will
be treated as an accommodation unit. A written request by the Director, KHTC will
be made available to the operator for this purpose.
All other applicable rules and regulations of the State with respect to operation of
such facilities (such of maintenance of details of guests, hygienic standards, safety
measures, etc) have to be complied fully.
Since the land is a KSEBL Property and for any unforeseen reasons, if the KSEBL
notifies this area for any developmental purposes, which may propel the KHTC to
cancel the agreement, the same will be effected with three months notice and the
Licencee will not have any right for claiming compensation or any charges for early
termination of contract.
KHTC would like to have the workers medically certified from approved Registered
Medical Practitioner recognized by Indian Medical Council, to be free from
Communicable and contagious diseases in addition to general fitness. Polite and
respectable manner should be maintained by all employees engaged by the bidder

and as specified by KHTC from time to time.
All the staff in the restaurant & camping centre should wear very clean uniform,
gloves, caps and proper identity cards throughout of the working hours.
The food should be stored and sold after following all the standards/ rules prescribed
by the Commissionerate of Food Safety.
The Operator will be responsible for the cleanliness and proper maintenance of
the structure, crockery, cutlery, utensils, furniture, fixtures etc. A very high standard
of hygiene must be maintained in all respect.
Quick, day-to-day disposal of waste material and refuge shall be maintained at the
own cost of the licensee. Failure in quick disposal of waste will make the contractor
liable to pay fine, which may extend up to 100/- per such occurrence when
reported for the 1st two occurrences and there after 250/- per occurrence. KHTC
reserves its right to take samples of all stores including edibles/raw materials both
perishable and non-perishable from the Cafeteria for the purpose of inspection &
Investigation and get the same tested in laboratory with a view to maintain the
requisite standard of quality. Any irregularity or providing sub standard items will lead
to penalty including prosecution.
Every dispute, differences or question which may at any time arise between the
parties here to or any person claiming under them, touching or arising out of or in
respect of the agreement or subject matter shall be referred to the Director, KHTC

Floor, KSEBL, Vydhuthi Bhavanam, Pattom, Thiruvananthapuram whose decision
shall be final and binding on all concerned.
The facilities should open and work on all days. The operation time shall be 24 hours.
The operator should ensure that hazardous or inflammable item or any other
intoxicating materials are not stored in the building and its premises. Proper fire
fighting equipments should be installed in the premises besides normal safety
measures.
The operator shall not sublet the contract to anybody without the consent of KHTC.
They shall not use the space provided for stocking or keeping goods/articles other
than those needed for use in the restaurant or building nor shall they do any
structural additions & alternations to the premises without written sanction of the
KHTC management. The operator shall not stock or s e l l any spirituous liquor or
any other intoxicants within the said premises.
The bidder/operator shall comply with all the provisions as required under the
appropriate acts of Government and also statutory requirements as applicable.
The lease rent for every month should be remitted before 5th
day of every succeeding

month. This system should be continued throughout the contract period. The
remittance shall be made as per the instructions of the Unit Head and shall accompany
attendance details of occupancy.
All operational expenses such as payments of respective fee to respective
authorities, insurance, electricity bill, water bill etc should be borne by the operator
and shall indemnify the KHTC from any dues after the expiry of the lease period.
