CUSTOMER ORDERING INFORMATIONTERMS & CONDITIONS

Customer agrees to be bound by the following terms and conditions:

Pricing – No employee, ENI-JR286, Inc. or Nike sales representative or other party is authorized to change ENI-JR286, Inc. pricing and other terms and conditions of sale. All prices are subject to change without notice. Orders will be invoiced at prices prevailing at time of shipment. Prices are not guaranteed. Partial shipment of an order shall not bind ENI-JR286, Inc. to deliver remainder of an order at the same prices.

Orders – All orders are subject to acceptance by ENI-JR286, Inc.

Back Orders – Back orders will be shipped when available. All back orders will be shipped F.O.B. shipping point. No deductions are allowed for freight, parcel post, or UPS charges. Partial shipments will not be considered a valid reason for return. Any back order over 30) days will automatically be cancelled.

Terms of Sale – All ENI-JR286, Inc. products are sold F.O.B. shipping point, unless specifically noted otherwise. Payment terms are net 30) days from invoice date, unless otherwise specified. Title to the products and all risk of loss or damage with respect thereto will pass and be borne by the Purchaser upon delivery by ENI-JR286, Inc. to the carrier. All shipping and insurance charges shall be borne by Purchaser. No discounts will be allowed on any invoice paid past the invoice discount period or to any customer having an overdue balance. All past due accounts will be assessed a finance charge equal to an annualized rate of 18%.

Transshipment/Diversion of Merchandise – To enhance informed selection and promote product image, ENI-JR286, Inc. only sells to selected retail outlets on the express condition that such outlets may not resell to any person or entity who is also not the final user or consumer. Accordingly, the resale, transshipment or any form of diversion of ENI-JR286, Inc. product to any other than the final consumer is expressly prohibited. Such activity may subject the violator to termination of their account and/or cancellation of orders, and shall constitute a breach of contract of sale for which ENI-JR286, Inc. may seek the appropriate legal remedies, including money damages or injunctive relief.

Cancellations – Orders may be cancelled by the Purchaser only upon written notification to ENI-JR286, Inc. and are subject to authorization by ENI-JR286, Inc. Orders may not be cancelled within 45) days of the scheduled shipment date. Cancellation of orders may result in loss of discount.

Shortage/Freight Problems – Customers should inspect all shipments carefully. They should verify the total number of cartons and that all are properly labeled/consigned. Customers should also inspect exterior of cartons for damage or signs of being tampered with or resealed. Cartons are sealed top and bottom when sent to ENI-JR286, Inc. All claims for lost, damaged, or concealed shortages (pilferage) must be made directly to the carrier’s “Claims Department” within 10) days of delivery.

Packing Errors – Packing errors must be reported in writing within 10) days of receipt of shipment. Adjustments can be made only if reported within 10) days to ENI-JR286, Inc. customer service.

Returns/Claims Policy – All returns must be approved by the ENI-JR286, Inc. customer service department and are subject to a 15% restocking charge, unless waived by ENI-JR286, Inc. management. Requests for return of goods must be received in writing within 30) days of the invoice date (except for defects). All authorized returns require a “Return Authorization Form”. The return authorization number must be clearly marked on the outside of the shipping carton and on the face of the shipping documents. Any package returned without bearing the authorization number and proper documentation will be returned at the customer’s expense. All returns must be shipped prepaid at the dealer’s expense. If the return is occasioned by a ENI-JR286, Inc. error, the freight charges will be credited at the time credit for the return is issued. Returned merchandise may result in loss of discount.

Liability – All merchandise contained in our catalogs is sold under the condition that we cannot guarantee the user freedom from injury. The user assumes all risks related to the use of the merchandise and no company representative can waive or change this condition. Product specifications in this catalog are subject to changes in the production.

Ticketing Policy – If an order requires tickets, the customer must provide tickets to ENI-JR286, Inc. within 45) days of the ship date. Ticketing instructions must appear on original purchase order. If ENI-JR286, Inc. is asked to provide tickets, the customer will be charged a ticketing fee, unless waived by ENI-JR286, Inc. management.

• With the exception of phone orders, orders that are sent in for manual entry must be emailed or faxed on a standardized order form. Correct completion of all fields in the form will help ensure orders are fulfilled per their shipping address and instructions, order styles and quantities, and with PO # and in compliance with the pre-negotiated pricing set up in the system.

• Requested and cancel dates are required on all orders. If there is no cancel date provided, Customer Service will enter the cancel date 30 days from receipt of order.

• Please allow 3-5 business days from receipt of the order for order entry, processing, picking, packing, and shipping.

• Order quantities should be sent in style minimums.

• Backorders will be automatically canceled out of the system after 60 days. In order to receive the backordered quantities of product, a new PO must be submitted.

• Purchase Orders may be cancelled, but all cancellations over 100 units on a Purchase Order must have a written request to cancel sent via fax or email.

• Defective product is defined as one that is unusable per a design or manufacturing flaw. If a customer wishes to return an item or order, they must call their CSR prior to sending the units back to receive a return authorization number. The product MUST be returned within 30 days, or the RA number is no longer valid. Credit will be issued for product quantities inventoried upon receipt of return, not product quantities notated on the Return Authorization.

• Once contacted about a credit issue/on hold order, customers will have 15 days past the requested ship date to resolve the issue, or the effected order will be cancelled
