student group which may receive Chapter funds upon approval of the Chapter Board of Directors.” after “self-supporting” so that it would read: D. Obligations Each Special Interest Group shall: 1. Operate under bylaws that shall not be inconsistent with Chapter or
Association bylaws and that shall be approved by the Chapter Board of Directors.
2. Not levy special assessments that carry punitive action or loss of good standing.
3. Maintain complete and accurate financial records which shall be audited annually.
4. Submit to the Chapter annual reports of its activities and such other reports as may be requested by the Chapter Board of Directors.
5. Hold meetings in conformity with Chapter policy. 6. Be self-supporting with the exception of a student group, which may
receive Chapter funds upon approval of the Chapter Board of Directors.
7. Issue a statement that members of such groups are not required to belong to an Association section of like nature or with similar interest.
RATIONALE: The Student Special Interest Group (SSIG) Bylaws, as approved by the Chapter BOD, state that all student PT/PTA members are automatically members of the SSIG, which precludes the SSIG from imposing dues as the AASIG and AIPT currently do to generate operating funds. Fundraising initiatives by the SSIG are limited due to legal restrictions based on the Chapter's not-for-profit corporation status in NYS. Therefore, Chapter funding of the SSIG is appropriate to improve engagement of student members in NYPTA activities. GOAL/OBJECTIVE: Goal 5, Obj. 2 FISCAL IMPACT: None TARGET DATE: Immediate

JC 4-19 MOVED: That the bylaws of the New York Physical Therapy Association Article VII Officers, Board of Directors, & Executive Committee, Section 1 Officers and Directors, A Officers, 1 Elections be amended by substitution: so that it would read: 1. Elections
a. The President, Vice-President, and Speaker of the Assembly shall be elected on the even-numbered year.
b. The Treasurer, the Secretary and the Chief Delegate to the Association House of Delegates shall be elected in the odd-numbered years.
c. Election of officers shall be by plurality vote of the general chapter membership
d. Election may be conducted by electronic means, but all members must be afforded the option to vote by postal mail if they so request.
e. A slate of candidates shall be distributed by the Nominating Committee to the general membership at least 45 days prior to the election deadline with a request for additional nominations to be received no later than 30 days before the election deadline as set by the Nominating Committee.
f. The Election poll shall be open for three (3) consecutive business days; postal ballots must be postmarked within those 3 days to be deemed valid.
g. Election will be by plurality of votes cast by electronic and mail means and announced one (1) week prior to the Delegate Assembly.

1. Elections (See also Article VI, Section 3E).
a. At the annual meeting of the Assembly, The President, Vice-President, and Speaker of the Assembly shall be elected on the even-numbered year.
b. At the annual meeting of the Assembly, The Treasurer, the Secretary and the Chief Delegate to the Association House of Delegates shall be elected in the odd-numbered years.
RATIONALE: Any layer placed between a membership and their elected leaders is a dilution of the democratic process. The immense value that the Delegate Assembly provides to our chapter is the opportunity to debate ideas and make changes as dictated by the representative majority. Effective debate requires a captive grouping of informed individuals. Officer elections however, require no debate on the floor of the assembly. Decisions are based on statements and positions purported by our slate of candidates prior to the convening of the Assembly. With today’s technology there are no barriers for candidates to communicate their positions directly to members, nor are their barriers for members to directly vote for the candidate of their preference. While the Assembly continues to be a valuable instrument for effective governance it is no longer needed to elect chapter officers. Allowing members to vote directly for candidates will not only be a greater form of democratic governance, but will also further engage members and candidates creating a benefit to the organization as whole. This is an idea whose time has come and is instrumental for the future of the success this chapter. GOAL/OBJECTIVE: Goal 4/Objective 3 Goal 5/Objective 1 FISCAL IMPACT: -0-

Moved: That the bylaws of the New York Physical Therapy Association, Article VI. Delegate Assembly, Section 1. General Powers, be amended by striking “and elective powers” after legislative and “the Chapter Officers and” after “elect,” and adding “and the at-large delegates to House of Delegates” so that it would read: ARTICLE VI. DELEGATE ASSEMBLY Section 1: General Powers All legislative and elective powers and all authority to determine the policies of the Chapter including the power to amend and repeal these bylaws are vested in and reside in the Delegate Assembly, hereinafter referred to as the Assembly. The Assembly shall elect the Chapter Officers and the members of the Nominating Committee and the at-large delegates to the House of Delegates. CURRENT BYLAW: ARTICLE VI. In the case of the”, and inserting Delegates to the House of Delegates, and Representative to the Physical Therapist Assistant Caucus after ‘Nominating Committee’, and before ‘shall be’ the so that it would read:

Nominating Committee, by striking b. in its entirety and in a. striking the last sentence ‘Distribution to all members of the Chapter shall be at least one month prior to the Assembly.’, and adding a new 1-4.

JC 6-19 MOVED: that the NYPTA Bylaws, ARTICLE VI. DELEGATE ASSEMBLY, Section 2: Composition be amended by adding ‘in accordance with the Delegate Assembly Procedure Manual.’ in the last sentence after delegates. ARTICLE VI. DELEGATE ASSEMBLY Section 2: Composition The Assembly shall consist of all Registered Delegates. Registered Delegates shall include all those who have filed credentials as District Delegates, as Officers of the Board of Directors, and as Student Physical Therapist and Student Physical Therapist Assistant delegates in accordance with the Delegate Assembly Procedure Manual. RATIONALE: The APTA Parliamentarian posed the following question: … the phrase “registered votes”, and I am not clear what you mean, on two counts. Should the word “votes” actually be “voters”? But there is still a problem:

F. Voting 3.If a decision must be made between Annual Meetings, the Chapter
Board of Directors may, by a majority vote, determine that the District Delegates be polled by mail or by utilizing electronic technology provided all members District Delegates have an opportunity to participate.
RATIONALE: The following is the comment from the APTA Parliamentarian upon review of the Chapter Bylaws:
Article VI, Section 3.F.3 (initial paragraph): Are you saying that either the District Delegates can make these “in between” decisions or that all the members can participate in the process, at the option of

the Board. If not, please say what you really mean. Chapter Amendment This motion clarifies that the vote is by District Delegates, not Chapter members. Chapter members are notified so that there is an opportunity to provide advisement to the District Delegates. JC 8-19 MOVED as amended: that the Bylaws of the NYPTA, Article VI, Section 3.F.3.C be amended by striking ‘registered votes’ and inserting ‘total number of votes indicated on credential cards credentials of registered Delegates’ before ‘must be’. So that F reads: Article VI, Section 3.F.3.C
a. Notice of the vote shall be sent to all Physical Therapist, Retired Physical Therapist, Life Physical Therapist, Physical Therapist Assistant, Retired Physical Therapist Assistant, and Life Physical Therapist Assistant members at least thirty days prior to the response deadline date. The notice shall include an explanation of the reason for the vote and a statement of the facts to be considered.
b. The District Delegates shall then respond to the vote request as instructed by their District members.
c. A majority of the registered votes total number of votes indicated on credential cards credentials of registered Delegates must be cast for the vote to be considered valid.

The subsection uses the phrase “registered votes”, and I am not clear what you mean. You might well amend the bylaws to explain what you really mean.
