experts. With this, Buhler proves that with sensible, simple engineering and exact
construction of all parts, it can indeed be done.

Code of Conduct
SEDEX (Supplier Ethical Data Exchange)
I. Corporate Governance:
Swiss Code of Best Practice for Corporate Governance. Buhler bases its corporate
governance activities on the principles of the Swiss Code of Best Practice, although
this is not mandatory for non-listed companies. The Swiss Code is a useful instrument
for clearly defining internal powers and responsibilities and optimally designing the
interaction between the board of directors, the corporate management, and the Internal
Audit Group department.
II. Risk Management:
Buhler's Board of Directors and Group Management have a wide range of tools at
their disposal in order to actuate their responsibilities as regards overseeing the
company's strategic and operative progress, as well as its risk management.
III. Environment:
Accepting responsibility for the environment. For Buhler, environmental protection is
an important business mission. An environmental management concept allows
systematic consideration to be given to ecological aspects and gives them the
necessary significance beside economic and social matters. Its guidelines are binding
upon all Buhler manufacturing sites worldwide. Buhler was one of Switzerlands first
companies whose production facilities were ISO 14001-certified (1996) and have
successfully passed all intermediate and recertification audits.Buhler complies with
the targets defined by the REACH directive of the European Union. If Buhler does
not register the substances applied itself, it demands a confirmation from the
respective suppliers stating that the substances purchased from them is in conformity
with the REACH directives.

Energy efficiency:
Prudent consumption of resources is a high priority. Due to a slight increase in output
and a larger building volume, energy consumption at the Groups sites in Switzerland
increased from 129.4 terajoules to 155.1 terajoules. The entire water consumption in
Uzwil dropped from 65,218 cubic meters to 56,300 cubic meters, whichamong
other factorsis attributable to process improvements in the factory. The different
types of waste are separated and all but completely recycled.
In addition to our own in-plant efforts, our environmental protection philosophy also
focuses on the products and services that we provide to customers. Combined, the
plants we have supplied to all parts of the world offer a high potential for conserving
resources. Approximate calculations have revealed that we install an electric drivepower of about 220 to 250 megawatts every year.
IV. People:
Improved industrial safety. Employee safety is a top priority especially in plant and
equipment manufacturing companies. For years now, Buhler has made considerable
efforts to prevent occupational accidents and to mitigate their consequences. In the
past year, a large number of measures once again enabled us to diminish the
occurrence of incidents and thus to reduce industrial accident insurance premiums.
V. Code of Conduct:
The Code of Conduct is binding upon all companies of Buhler Group worldwide and
serves as guidelines for all employees, showing how our core corporate business
principles are to be lived up to in our everyday activities. It mentions the expectations
that employees and business partners must meet; defines the applicable standards in
complying with laws and regulations; and describes the rules concerningcommunications, employees rights, health and security, and the financial integrity of
Buhler. Buhler expects these standards to also be applied by suppliers and other
business partners.
Anti-Bribery and Corruption Rules (ABC Rules):
The so-called ABC Rules underscore in a clear and easy-to-understand manner the
fact that bribery and corruption will not be tolerated in our Group. In particular, they
refer to collaboration with agents.

VI. SEDEX and Buhler:
Supplier Ethical Data Exchange. An increasing number of Buhler customers are
demanding auditing on the basis of the so-called Supplier Ethical Data Exchange
(SEDEX). In this audit, an acknowledged certification company verifies to whatextent suppliers assume their social responsibility and satisfy general ethical
principles in the fields of employee rights, job satisfaction, job security, health care,
and environmental protection, in addition to general legal requirements (Corporate
Social Responsibility, CSR). Buhler successfully passed the SEDEX audit in
2012.SEDEX is a non-profit organization for companies committed to continuous
improvement of their ethical-social conduct along their supply chains.
For Buhler, to act socially means more than just to comply with legal provisions. It
implies making efforts beyond legal conformity to align business, social, and
ecological objectives.
In the context of the SEDEX database, which contains the data of more than 27,500
members from 23 industries in over 150 countries, the status of social responsibility is
surveyed and evaluated in the form of a risk management tool on the basis of a
questionnaire. The first data survey at Buhler was held in the first half-year of 2012
using an electronic questionnaire (SEDEX Self-Assessment Questionnaire, SAQ),
which contains over 400 questions.
As a SEDEX member and following the successfully passed SEDEX audit, Buhler
has come very much closer to achieving its goal of providing an overview of its
corporate social responsibility activities along the value chain ranging from pre-
suppliers to the shipping of Buhler products. It will also continue along this road in
the future.
Number of employees:
Buhler in India

Performance of Buhler:
The following discussion and analysis dated December 17, 2012 was prepared by
management and should be read in conjunction with the consolidated financial statements
prepared in accordance with International Financial Reporting Standards (IFRS).
Highlights:
Sales volume:
The Company reached record sales levels for the second consecutive year. Revenues for the
year increased by $78.5 (27.8%) to $361.2, over the previous record of $282.7 seen in the
previous year. The Company set sales records in each quarter of fiscal 2012. The rise in sales
was due to strong demand for tractors in North America and overseas, as well as increased
demand for sprayers and seeding and tillage lines introduced in recent years.

Gross profit:
Gross profits set a record for the year, finishing at $55.8, an increase of $12.6 (29.2%) over
theprior years record of $43.2. As a percentage of sales, gross profit for the quarter was
15.4%, an increase from the 15.3% seen in 2011. The increase in margin was due largely tothe increase in sales levels.
Net earnings:
Net earnings were a record $16.4, up from $11.9 in the prior year, a 37.8% increase. Sales
and gross margin have increased dramatically from 2011, resulting in a much higher income
from operations. The recent acquisitions of the sprayer, seeding and tillage lines have led to
higher interest and depreciation costs. The Company has also continued to invest significant
amounts into research and development for new products.
Research and development:
In keeping with the Companys strategy to invest in the development of new products for the
future, expenditures for research and development continued to be high. In 2012 the
