� ������� New Century Insurance Services Incorporated (New Century), an independent insurance agency, was founded in September 1988 in Los Angeles, California. As is commonly expected, many traditional, professional firms are named after their founders. However, New Century was aptly named to represent greeting and meeting the needs of the new millennium and beyond. The essence of our company is grounded in the true spirit of teamwork - no individual is larger than the sum of the firm itself. With this team philosophy firmly etched into the heart and soul of our loyal staff, we have steadily grown to over fifty professionals covering nearly all lines of insurance. We do not measure our success by the number of employees but we are proud to serve the community while growing in capacity. Our goal is twofold, 1) to earn the trust of our clients by consistently soliciting and delivering valuable insurance products with outstanding customer service; and 2) to maintain a long-term, viable insurance marketplace. In the early to mid 1990s, the property and casualty insurance market experienced an industry phenomenon called a “hard market”. It is an occurrence when premiums are inflated due to the lack of competition between insurance companies. Consumers in the commercial sector were faced with large renewal premium increases. For some, the cost of insurance was unaffordable. New Century seized this opportunity to help our consumers solicit and secure affordable insurance coverage. The business nature of an independent insurance agency is like serving two masters at the same time. In winning the trust of our customers, we have consistently been delivering valuable insurance protection products and policy services thereby amassing a loyal base of satisfied customers. On the other hand, in maintaining a viable marketplace, we have been successful at underwriting our customers and matching qualified ones with the right insurer. We have steadily grown the pool of insurers we represent and enhanced fruitful business relationships with them. We proudly represent over 200 top quality insurance companies with underwriting capabilities locally, nationally, and internationally. In 1995, we moved into our own office facility of 15,000 square feet in Alhambra, California. The new facility was a reflection of our growth and provided ample space for future growth. Soon after, our humble group entered a joint venture with a team of life insurance professionals. However, in 1997, we experienced an unforeseen challenge. Several producers left our booming company to form their own agencies and become our natural rivals. The financial impact was significant. Our operational and management philosophy was forced to undergo a critical re-evaluation itself. Several lessons were painfully learned as we reflected on our past. Did we lack trust and respect

among ourselves? Did we not deliver on our promises by providing opportunities and equally sharing the fruits of our results? Were we fair to everyone? Were we a true team as we proclaimed? Despite this formidable challenge, we joined hands as a team and overcame our growing pains. It was a true blessing to recognize our weaknesses and capitalize on our strengths. We grew five times in gross revenue and eleven times in net profit respectively during a ten year period. In 2001, we began doing business with overseas partners by providing international insurance coverage. Today, overseas business represents 15 percent of our total commercial property and casualty premium. In 2005, we expanded our territorial market by establishing an office in Diamond Bar, California.

�Directors and officers are considered to have a certain duties. Violating one or more of these obligations is grounds for a lawsuit: The duty of care, whereby they follow the “prudent person rule”, make informed decisions, perform in good faith, and act in the best interest of the company. They also have a duty of loyalty that includes no furthering of personal interests and refraining from personal action damaging to the corporation. Finally, they have a duty of obedience to perform duties within the corporate charter/by-laws and act in accordance with all laws, statutes and regulations pertaining to their industry.
