Sub: Intimation of closure of buy-back REERE

This is in furtherance to our letter dated February 26, 2021 in-relation to the outcome of the Board

meeting of the Company and the Public Announcement with regard to buy-back of equity shares of

the Company dated February 27, 2021 (published and filed with the Exchanges on March 1, 2021).

The Board of directors in its meeting held on February 26, 2021 authorized the Company to buy-

back its fully paid-up equity shares having face value of Rs.2/- each from the open market through the

stock exchanges mechanism in accordance with the Securities and Exchange Board of India (Buy-

Back of Securities) Regulations, 2018 (“Buy-back Regulations”) at a price not exceeding Rs.100

(Rupees one hundred only) per equity share ("Maximum Buy-back Price") for an aggregate amount not exceeding Rs.150.00 Crores (Rupees one hundred and fifty crores only) ("Maximum Buy-back

Size"} from all Shareholders of the Company, excluding promoters and promoter group of the Company.

The buy-back was commenced on March 3, 2021 in accordance with the provisions of the buy-back Regulations and the Company has bought back 1,83,69,362 (One crore eighty-three lakhs sixty-nine

thousand three hundred and sixty-two only) equity shares at an average price of Rs.70.38 (Rupees Seventy and paise thirty-eight only) per equity share as on Aupust 27, 2021. Accordingly, the

Company deployed approximately Rs.[29.29 Crores (Rupees One hundred twenty-nine crores and

twenty-nine lakhs only) (excluding buy-back tax, other taxes and transaction costs), which represents approximately 86.20% of Maximum buy-back Size.

Further, the Board of the Company at its meeting held on August 27, 2021 (which commenced at

11:00 a.m. (IST) and concluded at 12:15 p.m. (IST)), inter-alia resolved to close the buy-back and

thereby the Company announces early closure of its buy-back with effect from close of business hours of today i.e. Aupust 27, 2021.

The pre and post buy-back shareholding patterns of the Company are enclosed as Annexure - A.

Updates on Buyback

The Company Secretary updated the Board w.r.t buyback of equity shares announced by the Company on February 26, 2021 as follows:

Pursuant to the resolution passed by the Board of directors of the Company on February 26, 2021, the Company was authorised to buyback its fully paid-up equity shares each having a face value of Rs.2/- ("Equity Shares") from the open market through the stock exchange mechanism, for a total amount not exceeding Rs.150.00 crores (Rupees One hundred and fifty Crores only), excluding brokerage charges, turnover charges, taxes such as securities transaction tax, buyback tax and goods and services tax (if any), stamp duty and other transaction charges/ fees/ costs etc .. ("Maximum Buyback Size"), and at a price not exceeding Rs.1 00/- (Rupees One Hundred Only) per Equity Share (the "Maximum Buyback Price"), payable in cash.

Accordingly, the Company has commenced the buyback on March 3, 2021 in accordance with the provisions of the buy-back Regulations and the Company has bought back 1,83,69,362 (One crore eighty-three lakhs sixtynine thousand three hundred and sixty-two only) equity shares at an average price of Rs.70.38 (Rupees Seventy and thirty-eight paisa only) per equity share as on August 27, 2021. Accordingly, the Company deployed approximately Rs.129.29 Crores (Rupees One hundred twenty-nine crores and twenty-nine lakhs only) (excluding brokerage charges, turnover charges, taxes such as securities transaction tax, buyback tax and goods and services tax (if any), stamp duty and other transaction charges/ fees/ costs etc.), which represents approximately 86.20% of Maximum buy-back Size.

Pursuant to the provisions of SEBI (Buyback) Regulations, 2018, the above said buyback offer can be continued upto September 2, 2021 as allowed in the said Regulations. However, the Company's stock has been trading above the maximum buyback price of Rs.1 00, which has rendered no activity in share buyback for some time. The Board noted the above details and after due deliberations and after taking into account the present market price of the Company's shares (as on the date of this Board meeting) considered the early closure of the Buyback offer by passing the following resolution for formal closure of the Buyback.

RESOVLED THAT the details of buy back of equity shares as authorised by the Board in its meeting held on February 26, 2021, as given below be and are hereby reviewed and noted.
