1 GENERAL TERMS AND CONDITIONS a/ NCB means National Council for Cement and Building Materials;

2 SCOPE OF CONTRACT

2.1 Location: National Council for Cement and Building Materials is located at NCB Bhavan, Old Bombay Rao, Near Gachibowli, Hyderabad – 500 104. T S

2.2 The Contractor agency shall render the following services and shall make all arrangements incidental thereto :

a/ Ensure proper discipline, law and order at NCB premises at the aforesaid locations and guard vulnerable points;

b/ Security of all personnel, property and assets, moveable and immovable of NCB or its officials and contractors, stored or lying in the premises of NCB;

c/ Checking and control of all in-coming and out-going consignments with reference to delivery challans and outward challans and keeping proper records of materials of NCB going out of its premises in two separate registers, one each returnable and non-returnable, recoveries and proper follow-up of the returnable materials shall be done by the contractor and necessary returns submitted to NCB as prescribed by it from time to time.

d/ Fire-fighting services and maintaining all fire-fighting equipment in working order in the premises of NCB and confirming the same by a return each month;

e/ Carry out internal investigations as required by NCB and submit report(s); f/ Duty allocation of movement of staff; g/ Collection of information both internally and externally which are of the

interest to NCB in its management and submission of daily information/events reports giving observations and incidents, as prescribed by NCB from time to time;

h/ Locking and opening of all rooms including closing and opening of doors, windows and ventilators in accordance with the instructions issued by NCB;

i/ Advise NCB of such systems as may be necessary to carry out the above activities;

j/ Introduction and maintenance of Gate-Pass/attendance systems and

screening of visitors as per the instructions of NCB from time to time; k/ Keeping records of the movement of office equipment, office vehicles and

personal vehicles of the employees of NCB and to ensure their security while in the premises of NCB.

2.3 The control of incoming materials and employees will be exercised by the agency.

2.4 The present minimum requirements of security staff, for round the clock security,

are as under : Security Supervisor - 03 (1 person for shift 3 shifts)

Security Guards - 12 (4 persons for shift 3 shifts) However, the strength of Security Staff may be increased or decreased during the

contract period depending on the requirement of NCB. The persons to be deployed shall be subject to verification of character and

antecedents. 2.5 QUALIFICATIONS & EXPERIENCE OF SECURITY STAFF In order that the NCB gets services of high standard, the qualification and experience of

the security staff to be deployed at the NCB shall be as under:

Security Supervisor Graduate or equivalent, should be a retired/ released Subedar / Naib Subedar or equivalent from Defence Services. Age not to exceed 60 years during deployment at NCB.

Security Guard Middle class pass Ex-Servicemen or trained civilian with not less than 5 years relevant service experience. Preference should be given to ex-servicemen. Age not to exceed 60 years during deployment at NCB.

2.5.1 Copies of all testimonials including the Aadhar Card copy to be provided.

2.6 UNIFORMS

2.6.1 All the items of uniform , Torch Light & Umbrellas will have to be provided by the Agency at its own cost. NCB will not contribute in any manner whatsoever for the same.

2.6.2 All the security personnel deployed at the NCB shall always be in neat and clean ironed

uniform of Terricot or woollen cloth as applicable to the season while on duty. The items of uniforms which shall be worn while on duty will be as under :

At the time of ceremonies/functions/VIP visits etc the Guard shall wear hackles on the caps.

2.7 There will be no increase in the rates during the period of the contract for any reasons whatsoever except when there are statutory revisions made by the RLC Central.

2.8 In case any additional security assistance is required, the Agency shall provide the same at proportionate additional cost.

2.9 It shall be the responsibility of the Agency to maintain the minimum strength on all days. However, in case the Agency fails to maintain the minimum strength agreed to, deduction on proportionate basis shall be made.

2.10 Whosoever the Agency appoints for NCB, will have to be issued appointment letters by the Agency, a copy of which duly acknowledged by the personnel appointed, deposited along with his Bio-data with Passport size photograph shall be deposited with NCB.

2.11 Deployment of any security personnel on duty for more than 8 hours a day is not permitted except in very exceptional cases with prior permission/approval, overtime upto 4 hours may be authorised by the NCB representative.

2.12 The contractor shall be wholly and solely responsible for the complete security and safety of all the property, assets, moveable and immovable of the NCB and in case there is any loss to the NCB on account of theft, pilferage, act of dishonesty or connivance/inefficiency/carelessness/negligence of the security, as determined by the NCB and the contractor shall be liable to compensate the NCB to the extent of loss in full by recovery from any payments due. In case loss is more than the dues, then the same shall be paid by the contractor separately on demand. About the quantum of the loss, decision of NCB authorities shall be final and binding on the contractor. 2.13 The contract will be on principal to principal basis and should not be transferred or assigned by the Agency without the written consent of the NCB.

2.14 Personnel deployed shall be the sole responsibility of the Agency and all expenses or charges or statutory liabilities arising out of their employment shall be borne by the Agency and the NCB shall not bear any liability whatsoever with regard to them. The Agency shall also issue photo identity cards of its personnel deployed at the NCB. If during the course of performing the duties any security staff of the contractor gets injury or dies, the NCB shall not be responsible for any compensation and it shall be the sole responsibility of the contractor to give compensation if any and for that purpose he shall make adequate arrangements under ESI coverage, as mentioned in Clause 2.20

2.15 Persons employed by the Agency and deployed in NCB under the Obligation of the Agreement shall neither indulge in any activity prejudicial to the interests of NCB nor shall be members of any other body. This is without prejudice to the right of the NCB to turn out such persons from the premises of the NCB without any notice or terminate the contract of the Agency without notice or liability on the part of the NCB.

2.16 The Agency shall comply with all instructions issued from time to time by a duly nominated representative of the NCB and shall obtain his prior approval before introducing any system or maintaining any records.

2.17 No residential or living accommodation whatsoever shall be provided by the NCB to any of the security personnel deployed by the Agency and it shall be the responsibility of the Agency to make such arrangements.

2.18 The Agency shall maintain an observation register with the respective Security Supervisor of the premises and it shall be the responsibility of the Agency to attend to the observations recorded therein within three days to the satisfaction of the NCB.

2.19 The contract shall be valid initially for a period of one year AND thereafter with mutual consent. The contract can, however, be terminated by either party at any time by giving three months' written notice to the other party without assigning any reason and without any liability whatsoever. However the liability of any party arising under any clauses of the contract shall not be prejudiced. The Agency shall be bound to extend the contract at the existing rates/terms and conditions, if the NCB so desires. Notwithstanding

above, NCB has the right to terminate the contract at shorter notice under statutory obligations, Government Notification/Instructions for abolition of such contract system.

2.20 The contractor shall pay online payment by transferring their monthly wages in their respective bank accounts to the security staff deployed at NCB on or before 7th day of every month. The wages sheet certifying the payments which should not be less than the rates prescribed as the “Minimum Wages” by the Regional Labour Commissioner, Central, from time to time for such category of personnel. In order to satisfy the NCB that the payment of wages is as per rates prescribed by the RLC Central, the contractor will provide NCB an attested photocopy of the paid wage bill alongwith the monthly bill for the month following the month of payment. The payment proof as a bank transfer statement of salary shall be provided to NCB for fulfillment of the requirement of the Contract Labour (Abolition and Regulation) Act 1970. The contractor undertakes to discharge full legal responsibilities of an employer in respect of payment of wages, contribution to ESI Scheme, EPF Scheme etc under the various labour laws and shall keep NCB indemnified against any demand for payment of wages and statutory requirements. Since the charges playable to the contractor include ESI, EPF charges etc., a certificate to the effect with the relevant document as a proof of deposit, with the copy of the Online Electronic Challans deposited in Bank shall be submitted by the contractor to the NCB every month. The payment of the bill of the contractor for the preceding month will be made within 30 days of its receipt provided the bill is in order and supported by all the requirements mentioned hereinabove.

2.21 SECURITY DEPOSIT

At the time of entering into a formal contract for the execution of works, the Contractor shall lodge with the Owner, a Security Deposit of Rs.4,00,000/- (Rupees Four Lakhs Only) or equivalent to one months contract charges whichever is higher. The security deposit shall be in the form of FDR/CDR or Bank Draft in favour of the National Council for Cement and Building Materials, Hyderabad. The deposit thus lodged by the Contractor shall be held as a Security for the due and proper performance and completion of this contract subject to these conditions. All compensations, or other sums of money payable by the contractor may be deducted from or paid by the sale of a sufficient part of his security deposit, or from the interest arising therefrom or from any sums which may be due to, or may become due to the Contractor by NCB on any account whatsoever and in the event of his security deposit being reduced by reason of any such deductions or sale as aforesaid, the Contractor shall within 10 days make good the same in cash, or bank draft payable to the Director General NCB. The deposit with accrued interest, if any, will be released to the Contractor, when the contract is completed.

2.22 Within 14 days of the receipt of an intimation from NCB on the acceptance of the tender, the Agency shall be bound to execute and implement the contract by signing an agreement on the stamped paper of the requisite value. In any case once NCB communicates its acceptance of the tender to the Agency, it shall constitute a binding agreement between the Agency and NCB whether formal contract is or is not subsequently entered into or is delayed for any reason whatsoever. Failure to comply with the aforesaid will lead to cancellation of the contract by NCB and forefeiture of earnest money deposit.

2.23 If the contractor on any day fails to provide a minimum of 50% of the agreed manpower, he shall reimburse to the NCB 50% of the minimum wages for that day in respect of the absentees. 2.24 Except where otherwise provided in the agreement all questions and disputes relating to the meaning of any of the clauses of this agreement and as to the quality of the performance, or as to any other question, claim, right, matter or thing whatsoever, in any way, arising out of or relating to the agreement of the execution or failure to execute the same whether arising during the progress of the agreement or after the completion or abandonment thereof shall be referred to the sole arbitration of the person appointed solely by the Director General, National Council for Cement and Building Materials. Arbitrator to whom the matter is originally referred being unable to act for any reason, the Director General NCB shall be entitled to proceed with the reference from the stage at which it was left by his predecessor. It is also a term of this agreement that no persons other than a person appointed by the Director General NCB as aforesaid should act as Arbitrator.

The reference to the arbitration can be made only after the completion of the work under this agreement on expiry of the final period of this agreement and before accepting payment in full and final settlement. The award of the Arbitrator shall be final and binding on all the parties of this agreement. Subject to, as aforesaid, the provisions of the Arbitration and Conciliation Act 1996, or statutory modification or enactment thereof and the rules made thereunder and for

the time being in force shall apply to the arbitration proceedings under these clauses.
