Return Policies; ExchangesReturns and exchanges are governed by the policies of the retailerwhere you purchased the Product.

Dell Software License AgreementThis is a legal agreement (Agreement) between you, the user, andDell Products L.P or Dell Global B.V. (Dell). This Agreement coversall software that is distributed with or for the Dell product (andupgrades and updates thereto), for which there is no separate

license agreement between you and the manufacturer or owner ofthe software (collectively the "Software"). This Agreement is not forthe sale of Software or any other intellectual property. All title andintellectual property rights in and to Software is owned by themanufacturer or owner of the Software. All rights not expresslygranted under this Agreement are reserved by the manufacturer orowner of the Software. By opening or breaking the seal on theSoftware packet(s), installing or downloading the Software, or using

the Software that has been preloaded or is embedded in yourproduct, you agree to be bound by the terms of this Agreement. If youdo not agree to these terms, promptly return all Software items(media, written materials, and packaging) and delete any preloadedor embedded Software.

You may use one copy of the Software on only one Dell computer ordevice at a time. If you have multiple licenses for the Software, you

may use as many copies at any time as you have licenses. "Use"means loading the Software in temporary memory or permanentstorage on the computer or device. Installation on a network serversolely for distribution to other computers or devices is not "use" if (butonly if) you have a separate license for each computer or device towhich the Software is distributed. You must ensure that the numberof persons using the Software installed on a network server does not

exceed the number of licenses that you have. If the number of usersof Software installed on a network server will exceed the number of

licenses, you must purchase additional licenses until the number oflicenses equals the number of users before allowing additional users

to use the Software. If you are a commercial customer of Dell or aDell affiliate, you hereby grant Dell, or an agent selected by Dell, the

right to perform an audit of your use of the Software during normalbusiness hours, you agree to cooperate with Dell in such audit, andyou agree to provide Dell with all records reasonably related to youruse of the Software. The audit will be limited to verification of yourcompliance with the terms of this agreement.

The Software is protected by United States and other applicablecopyright laws and international treaties. You may make one copy of

the Software solely for backup or archival purposes or transfer it to asingle hard disk or storage device provided you keep the copy solelyfor backup or archival purposes. You shall reproduce and includecopyright and other proprietary notices on and in any copies for theSoftware. You may not sublicense, rent or lease the Software or copy

the written materials accompanying the Software, but you maytransfer the Software and all accompanying materials on apermanent basis as part of a sale or transfer of the Dell product if youretain no copies and the recipient agrees to the terms hereof. Any

transfer must include the most recent update and all prior versions.You may not reverse engineer, decompile or disassemble, modify orcreate derivative works of the Software. If the packageaccompanying your computer or device contains optical discs orother storage media, you may use only the media appropriate foryour computer or device. You may not use the optical discs or

storage media on another computer, device or network, or loan, rent,lease, or transfer them to another user except as permitted by thisAgreement.

Limited Software Warranty

Dell warrants that the Software media will be free from defects in

materials and workmanship under normal use for 90 days from thedate you receive them. This warranty is limited to you and is nottransferable. Any implied warranties are limited to 90 days from thedate you receive the Software. Some jurisdictions do not allow limitson the duration of an implied warranty, so this limitation may notapply to you. The entire liability of Dell and its suppliers, and yourexclusive remedy, shall be, at Dells option, either termination of thisAgreement and (a) return of the price paid for the Software or (b)

replacement of any media not meeting this warranty that is sent witha return authorization number to Dell within the 90 day warrantyperiod, at your cost and risk. This limited warranty is void if anymedia damage has resulted from accident, abuse, misapplication, orservice or modification by someone other than Dell. Any replacementmedia is warranted for the remaining original warranty period or30 days, whichever is longer.

Dell and it suppliers do NOT warrant that the functions of theSoftware will meet your requirements or that operation of theSoftware will be uninterrupted or error free. You assumeresponsibility for selecting the Software to achieve your intendedresults and for the use and results obtained from the Software.

DELL, ON BEHALF OF ITSELF AND ITS SUPPLIERS, DISCLAIMS ALLOTHER WARRANTIES, EXPRESS OR, IMPLIED OR OTHERWISE,

U.S. Government Restricted Rights

The software and documentation are "commercial items" as that term

is defined at 48 C.F.R. 2.101, consisting of "commercial computersoftware" and "commercial computer software documentation" assuch terms are used in 48 C.F.R. 12.212. Consistent with 48 C.F.R.12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4, all U.S.Government end users acquire the software and documentation withonly those rights set forth herein. Contractor/manufacturer is DellProducts L.P., One Dell Way, Round Rock, 78682.

General

This license is effective until terminated. It will terminate upon theconditions set forth above or if you fail to comply with any of its

terms. Upon termination, you agree that the Software andaccompanying materials, and all copies thereof, will be destroyed.

This Agreement is governed by the laws of India, without regard toprinciples of conflicts of laws. Each provision of this Agreement isseverable. If a provision is found to be unenforceable, this findingdoes not affect the enforceability of the remaining provisions, terms,or conditions of this Agreement. This Agreement is binding onsuccessors and assigns. Dell agrees and you agree to waive, to themaximum extent permitted by law, any right to a jury trial withrespect to the Software or this Agreement. Because this waiver may

not be effective in some jurisdictions, this waiver may not apply toyou. You acknowledge that you have read this Agreement, that youunderstand it, that you agree to be bound by its terms, and that this is

Supplemental Terms For EMC Software

You may use one copy of the Software on only one computer or

device at a time for your own internal business purposes. You shallnot, without Dell's prior written consent copy, provide, disclose orotherwise make available Software in any form to anyone other thanyour employees, consultants or independent contractors who shalluse the Software in a manner that is consistent with this Agreement.

Notwithstanding anything to the contrary in the Agreement, licensesto Software are non-exclusive, non-transferable and non-sub

licensable and subject to the restriction that the Software be usedsolely in conjunction with the equipment (storage system or switch/hub) or related central processing unit for which it was licensed.

IF YOU DONOT AGREE, DO NOT USE THE PRODUCT, AND YOU MAY RETURNTHE PRODUCT TO YOUR PLACE OF PURCHASE (subject to its returnpolicy).

1. OTHER DOCUMENTS

These Terms and Conditions may not be altered, supplemented, oramended by the use of any other document(s) unless otherwiseagreed to in writing and signed by both the Customer and Dell.

2. WARRANTY

2.1 Unless specified otherwise, Dell warrants to the Customer thatDell branded Products (excluding third party products andsoftware, even if packaged and sold with the Products), will befree from defects in materials and workmanship affectingnormal use for a period of one year from the date of purchase

("Standard Warranty").2.2 This Standard Warranty does not cover damage, fault, failure or

malfunction due to external causes, including accident, abuse,misuse, liquid contact, problems with electrical power, servicingnot authorized by Dell, usage and/or storage and/or installationnot in accordance with Product instructions, failure to performrequired preventive maintenance, normal wear and tear, act of

God, fire, flood, war, act of violence or any similar occurrence;any attempt by any person other than Dell personnel or anyperson authorized by Dell, to adjust, repair or support theProducts problems caused by use of parts and components notsupplied by Dell, cosmetic damage, including but not limited toscratches and dents, to damage caused by operating theproduct outside the permitted or intended uses described byDell, to a product or part that has been modified to alter

functionality or capability without the written permission of Delland to defects caused by normal wear and tear or otherwisedue to the normal aging of the Product. Dell does not warrant

that the operation of the Products will be uninterrupted or errorfree. The Standard Warranty does not cover any items that arein one or more of the following categories: software; externaldevices; accessories or parts added to the Product through

Dell's Custom Factory Integration (CFI) program; accessories or

parts that are not installed in the Dell factory or added by anyperson other than Dell personnel or any person authorized byDell; or third party products purchased under Dell Software &Peripherals (S&P) Program.

2.3 Return Policies; Exchanges. Returns and exchanges aregoverned by the policies of the retailer where you purchased

the Dell branded Product.

2.4 Dell does not give any warranty that the Products are fit for anyparticular purpose and this Standard Warranty is given in placeof all warranties, conditions, terms, undertakings andobligations implied by statute, common law, trade usage, course

of dealing or otherwise including warranties or conditions ofmerchantability, fitness for purpose, satisfactory quality and/orcompliance with description, all of which are hereby excluded

to the fullest extent permitted by law. No Dell retailer, reseller,agent, or employee is authorized to make any modification,extension or addition to this warranty.

3. SERVICE AND TECHNICAL SUPPORT

Dell will provide general service and technical support to Customerin accordance with the then-current service and technical supportpolicies in effect as set out at http://www.dell.com/ap/TandC/in/en/index.htm.Service and support offerings may vary from product to product.

4. LIABILITY4.1 Dell's total liability herein in respect of each event or series of

connected events shall not exceed the purchase price paid bythe Customer for the Products.

4.2 The Customer shall indemnify Dell and keep Dell fully andeffectively indemnified against any loss of or damage to anyproperty or injury to or death of any persons caused by anynegligent act or omission or misconduct of the Customer, its

employees, agents or sub-contractors.4.3 Dell and Customer agree that Dell will not be liable for Products

not being available for use, or for data or software which is lost,corrupted, deleted or altered. Dell shall not be liable to theCustomer for any incidental, indirect, special or consequentialdamages arising out of or in connection with the purchase, useor performance of Products or services, even if Dell has been

advised of their possibility.4.4 Any service response times stated by Dell in the service

contracts are approximate only and Dell shall not be liable forany direct or indirect loss or damage arising from its failure tomeet such response times, howsoever occasioned.

4.5 Any typographical, clerical or other error or omission in salesliterature, quotation, price list, acceptance of offer, invoice orother documents or information issued by Dell shall be subject

to correction without any liability on the part of Dell.

5. FORCE MAJEURE

Neither party shall be liable for any delay in performing any of itsobligations under these Terms and Conditions if such delay is causedby circumstances beyond the reasonable control of the party sodelaying, and such party shall be entitled to a reasonable extensionof time for the performance of such obligations.

6. EXPORT RESTRICTIONS

The Customer acknowledges that the Products purchased orlicensed, which may include technology and software, are not onlysubject to the export control laws and regulations of the UnitedStates ("U.S.") but may also be subject to the export control laws andregulations of the country in which the Products are purchased. The

Customer agrees to abide by all applicable export control laws andregulations. Under such laws and regulations, the Productspurchased may not be sold, leased or otherwise transferred torestricted end-users or to restricted countries. In addition, the

Products may not be sold, leased or otherwise transferred to, orutilized by, an end-user engaged in activities related to weapons ofmass destruction, including but not necessarily limited to, activitiesrelated to the design, development, production or use of nuclearmaterials, nuclear facilities, or nuclear weapons, missiles or supportof missile projects, or chemical or biological weapons. The Customerunderstands that applicable requirements or restrictions may vary

depending on the Products delivered and may change over time andthat, to determine the precise controls applicable to the Productsacquired, it may be necessary to refer to relevant laws andregulations.

7. GOVERNING LAW

These Terms and Conditions shall be governed by and construed inaccordance with the laws of India and shall be subject to theexclusive jurisdiction of the courts of Bangalore, India.

8. GENERAL

8.1 If any provision of these Terms and Conditions is held by anycompetent authority to be invalid or unenforceable in whole orin part, the validity of the other provisions of these Terms andConditions and the remainder of the provisions in question shall

not be affected thereby.

9. Privacy

Dell respects your privacy. Across our business, around the world,we will only collect, store and use your personal information fordefined purposes. We use your information to support and enhanceour relationship with you, for example, to process your purchase,

provide service and support, and share product, service and

company news and offerings with you. We safeguard and protectagainst unauthorized access, use and disclosure of your informationby using appropriate measures and processes to maintain security.We do not sell your personal information. We only share your

personal data outside the Dell family of companies with yourconsent, as required by law or to protect Dell, its customers, or thepublic, or with companies that help Dell fulfill its obligations with you,and then only with partners who share Dell's commitment toprotecting your privacy and data. At any time you may contact Dellwith any privacy questions or concerns you may have. You also mayask at any time to see the personal data you have given us and

request correction or deletion. We strive to protect the security ofyour personal data by use of appropriate measures and processes.
