Preamble1.0 Preamble

MiracleLifeMinistries(MLM)wasstartedin1994andlater,MiracleLifeFamilyChurch (MLFC) was established on May 17, 1997 with seventeen members atPamodziHotel inLusaka.PastorDavidandCherylNewberrywerethefoundingPastors. The vision of the founding Pastors which carries on today is that itshouldbeaninternationalchurchforall,achurchofgreat influencethatwouldimpact society in an effective way, a Church that would be an example andinspirationtomanychurches.The Church is autonomous and maintains the right to govern its own affairsthrough this Constitution, independent of any denominational control.Recognizing thebenefitsof cooperationwithother churches inworldmissions,this Church may voluntarily affiliate with any churches or ministries of likepreciousfaith.

NameofOrganization2.0 NameoftheOrganization2.1 ThenameoftheorganizationisMiracleLifeFamilyChurch.

2.1.1 TheorganizationisrecognizedasandconductsbusinessintheregisteredidentityofMiracleLifeFamilyChurch,aswellastheacronymMLFC.

2.1.2Registered Office: The registered office of the organization shall besituatedatPlotNo.256,ZambeziRoad,FoxdaleintheLusakaProvinceoftheRepublicofZambia.Thisphysicallocationshallnotlimittheactivitiesorinterestoftheorganization.

Purpose/Vision/Mission3.0 PurposeofExistence3.1 Purpose:TousethemiraclepowerofGod inbuildingstrongChristian families

andequippingthesaintsforworksofministry,becausepeoplematter.

Strategies

3.1.1 Spreading the Gospel of Jesus Christ and theworship of God among itsattendants and practice the Christian virtues inculcated in the HolyScripturesbyanyandallmeanspossible.

3.1.2 Ordaining, employing and discharging ordainedministers of the gospel,

andothers,toconductandcarryondivineservicesattheplaceofworshipof the Church, and elsewhere, and to collect and disburse any and allnecessary funds for the maintenance of said Church and theaccomplishmentofitspurposewithinthenationofZambiaandelsewhere.

3.1.3 Educating the body of Christ through any and all educational means

deemedappropriate.

3.1.4 Providing adult training through skills development courses, usingclassroom instruction, utilizing anyandall formsofmedia available andthose yet to be developed i.e. radio, television, printed material andelectronicandanyotherformofmediathatmaybedeveloped.

3.2 Vision:

3.2.1WeseeaChurchofthousandsthatishealthy,growingandfulloflove;

3.2.2WeseeaChurchthatisradicallyintentionalandeffectivetopresenteachpersonmatureinChrist;

3.2.3We see a Church where large numbers of children and youth are

presentedwiththegospelinamannerthattheycanunderstand;

3.2.4We see a Churchwhere believers are developed through a process intogodlyleaderswhoarematureincharacter,knowledgeandskill;

3.2.5WeseeaChurchwhosebeautiful andgreencampus isabustlinghubof

kingdomactivity;

3.2.6We see a Church that sets a new Biblical standard on the Africancontinent;

3.2.7We seeaChurchwhosehead is Jesus,whosehelp is theHolySpirit and

whosefocusistheGreatCommission.

3.3 MissionStatement

“SharingChrist,MaturingBelievers,ChangingtheWorld”3.4 Values

3.4.1BiblicalAuthorityandInstruction

We value the Bible as the inspired, unalterable, unchangeable Word ofGod. Therefore, we will equip disciples with sound doctrine, alwaysrelyingontheBibleasourfirstandfinalauthority.(2Timothy3:16-17,2Timothy4:2)

3.4.2Excellence

AsaChurch,webelieve that to showvalue forpeople is toperformandservewithexcellence.Therefore,wewill servewithpunctuality, quality,sharpness, and accuracy. We also believe that excellence should beextendedtoanindividuallevel,soastosetastandardandbeanexampleofGod’s kingdom to those aroundyou. (Matthew5:14-16, 1Corinthians10:31-33,1Corinthians14:40)

3.4.3Family

We believe that the nuclear family and the Church family are thefoundationalpillarsofagoodsociety.WereflectGod’sloveandvalueforpeoplebywelcomingthemandministeringtothemateverystageoftheirlives.Wealsohavemarriageconferences,men’sandwomen’sevents,andSundaymorningsermonsdesigned tobuildonGod’sblueprintof family.(1Timothy5:8,1Thessalonians5:11,Acts2:44,46-47)

3.4.4Worship

AsaChurch,webelieveinNewTestamentworshipthatisnotonlyintheformof singing but also in our giving of tithes and offering, prayer, andcommunion.Forthesereasons,weprovideopportunitiesformemberstotakepart in these activities as a family. (2Corinthians9:6-8,Philippians4:6-7,1Corinthians11:24-26)

3.4.5Diversity

WebelievethatGodsentHisSonJesustodieforeachandeverypersonintheworld. Therefore, as an international Church, we open our doors topeopleof all races,nationalities, agegroups, andsocial classes. (Romans10:12-13,Revelation7:9)

3.4.6EvangelismandMiracles

WebelievethatGodhascommissionedeachoneofus tobringtheGoodNewstothelost.AsaChurchweaspiretocorporatelywinpeopletofaithin Christ. Therefore, we will pursue and strategically plan foropportunities towitness forHim.Wealsobelieve thatGodmoves in thelivesofpeoplewiththeevidenceofsignsandwonders,andthattheHoly

Spirit has empowered each one of us to believe and to have what webelievefor.(Mark16:15-18)

3.4.7LeadershipandTeamDevelopment

WebelievethatGoddesignedtheChurchsothatmembersareempoweredcontributors,eachoneusinghisorhergiftsandtalentsfortheworkoftheministry. We aspire to deliberately coach, teach, train, and mentormemberstousetheirgiftsinservingothers.(2Timothy2:2,1Corinthians12:12)

3.4.8PersonalResponsibilityandService

We believe that your relationship with Jesus is personal, and that Godholdseachoneofusresponsibleforthepartweplayinourfamilies,lives,jobs,andministry.WealsobelievethatmatureChristiansbearthefruitofservice.Weare to serveas Jesusmodeled service tous.AsaChurchweaspiretohaveourmembersgrowinChristthroughteaching,sothefruitsof their hearts make an impact on the lives of people around them.(Matthew25:14-30,Matthew20:26b-28)

3.5 PartnershipswithOtherOrganizations:

3.5.1 The Church is amenable to any affiliation to religious, charitable andeducational institutions with similar beliefs or sharing commonobjectives;

3.5.2 The Church may accept, hold, invest, reinvest and administer any gifts,

legacies,bequests,devises, fundsandpropertyofanysortornature,andto use, expend, or donate the income or principal thereof for, and todevotethesameto,theforegoingpurposesoftheChurch;

3.5.3 The Church may do any and all lawful acts and things which may be

necessary, useful, suitable, or proper for the furtherance of,accomplishmentofthepurposesofthisChurch.

3.5.4 Long term partnerships shall require approved “Memoranda of

Understanding” between the organizations. All activities and affiliationsthatareperformedshallnotviolatetheLawsofZambia.

3.6 Limitations

ThepowersoftheChurchtopromotethepurposessetoutabovearelimitedandrestrictedinthefollowingmanner:

3.6.1Nopartof theearningsof theChurchshallaccruetothebenefitoforbe

distributabletoitstrustees,officersorotherprivatepersons,exceptthatthe Church shall be authorized and empowered to make payments anddistributions(includingreasonablecompensationforservicesrenderedtoorfortheChurchorreimbursementofexpenditures)infurtheranceofitspurposesassetforthinthesearticles.

3.6.2 No part of the activities of the Church shall be the carrying on ofpropaganda,orinterventionsin(includingthepublicationordistributionofstatements)anypoliticalcampaignonbehalfofanycandidateforpublicoffice.

3.6.3 TheChurchshallnotacceptanygiftorgrantcontainingconditionswhich

would restrict or violate any of the Church’s religious, charitable oreducationalpurposesorifthegiftorgrantwouldrequireservingaprivateasopposedtoapublicinterest.

ARTICLEFOUR

Membership4.0 Membership

TheChurchshallhavetwoclassesofmembership,fullmembershipandassociatemembership.

4.1 FullMembership

Fullmembershipshallconsistofpersonswhohavemetandcontinuetocomplywiththefullqualificationsandareonthemembershiproll.

4.2 AssociateMembership

Associatemembershipshallconsistofpersonswhoreside in theCityofLusakaforaperiodoftimenotexceeding5years,providedtheyhavearecommendationletter from their home church in the case of those who will be coming fromanotherchurch.

4.3 Functionsofmembers

4.3.1 ToactivelyparticipateintheactivitiesoftheChurch;4.3.2 ToparticipateintheimplementationoftheChurchvisionandmission;4.3.3 Togivetime,talents,tithesandotherresourcestotheChurch;4.3.4 To conduct themselves in aChrist likemanner insideandoutsideof the

Church;and4.3.5 Totakeresponsibilityforpersonalspiritualdevelopment.

4.4 QualificationsforMembership

Theminimumqualificationsformembershipareasfollows:

4.4.1 A personal commitment of faith in Jesus Christ for salvation and awillingnesstoliveagodlyandsanctifiedlifestyleasdescribedandagreeduponatthecompletionoftherequiredmembershipclasses.Thepurposeofmembership classes is to provide plural expectations of the applicantand the Church family in areas of commitment and service that flow inbothdirections.

4.4.2 Applicants for membership should have attended church services at

MiracleLifeFamilyChurch forat least threemonthsconsecutively.Eachadult family member above the age of 18 years must make a writtenapplication for membership. Applicants from other churches may berequiredtosubmitlettersofrecommendationfromtheirformerchurches.

4.4.3Members are expected to regularly participate in the activities of the

Church.InvolvementintheactivitiesoftheChurchshallbedeterminedbytheleadershipoftheChurchassetupbythePastoralTeam.

4.5 LossofMembership

Membershipshallceaseunderthefollowingreasons:

4.5.1 Onthewrittenrequestofthemember;4.5.2 Onthetransferofmembershiptoanotherchurch;4.5.3 Upondeathofthemember;4.5.4 Upon amember’s failure to consistently attend Church for a continuous

periodofsix(6)months;4.5.5 TerminationofmembershipbytheOfficeoftheSeniorPastorasaresultof

themembernotrespondingtobiblicalrestorativecounselanddiscipline.This termination would only be exercised as a last option and done inconsultationwiththePastoralTeam.

4.6 RestorationofMembership

Membershipmay be restored by re-application except for loss of membershipunder4.5.1and4.5.2above.Membershipunder4.5.4willberestoredbyspecialconsiderationsoftheOfficeoftheSeniorPastorinconsultationwiththePastoralTeam.

ARTICLEFIVE

Governance5.0 Offices

ThereshallbethefollowingofficesrecognizedatMiracleLifeFamilyChurch;SeniorPastorPastoralTeamBoardofTrusteesBoardofOverseers

5.1 Congregation

The congregation shall consist of all members of MLFC. Any member of thecongregation can be called upon to assist the Pastoral Team and Board ofTrustees in fulfilling the objectives of the Church. The Church members shallcontributetothegovernanceoftheChurchthroughconsultationsbytheOfficeoftheSeniorPastorandotherleadersoftheChurch.

5.2 Confidentiality

All persons serving in the offices prescribed shall hold in confidence allinformation that comes to their attention by virtue of serving in these officesunderMLFC.

5.3 ConflictResolution

Members ofMLFC shall at all times resolve any conflicts thatmay arise in linewithBiblicalteachingascontainedinMatthew18:15-17andshallapproachtheaffectedpersononaoneononebasisandifthisdoesnotresolvetheconflict,awitnessmaybecalledinbeforeescalatingthemattertotheChurchleadership.

5.4 AnnualGeneralMeeting(AGM)

MLFCshallholdanAnnualGeneralMeetingbeforetheexpiryofninetydaysaftertheendofthefinancialyear.OnlymembersofMLFCshallbeeligibletoattendtheAGM. The notice for the AGM shall be 21 days communicated by way ofannouncementinChurchandonChurchwebsite.

5.5 ExtraOrdinaryGeneralMeeting(EOGM)

TheBoardofTrusteesmayconveneanExtraOrdinaryGeneralmeeting for themembersofMLFCatany timeduring theyear.OnlymembersofMLFCshallbeeligible toattend theExtraOrdinaryGeneralMeeting.Thenotice for theEOGMshallbe7dayscommunicatedbywayofannouncementinChurchandonChurchwebsite.

5.6 CommonSeal

TheMLFCcommonseal shallbeheld in safe custodyat the registeredofficeofMLFCandshallbeusedonlywiththeauthorityoftheBoardofTrustees.

5.7 Logo

TheMiracleLifeFamilyChurchlogoisacrossinfrontofthestarburst.Thestariswhiteinaroyalbluesetting.ThissignifiesthecentralityoftheredemptiveworkofJesusChristonthecrossandthehopeandlightthatHischurchbringstotheworld.Therearethreecolorsinthelogo:Thecrossisyellowandthestariswhiteinaroyalbluesetting.

OfficeofSeniorPastor

6.0 TheOfficeoftheSeniorPastor

TheoversightofMiracleLifeFamilyChurchshallbewiththeOfficeoftheSeniorPastorandwillbeassistedbytheofficerscoveredinarticles7,8and9.

6.1 Purpose

6.1.1 TheOfficeoftheSeniorPastorshallberesponsibleforthespirituallifeofthe Church by providing leadership and direction that ensures thefulfillmentofthevision,missionandvalues;

6.1.2 The Office of the Senior Pastor may be occupied by two peoplesimultaneously with distinct roles as shall be set out in their jobdescriptions;and

6.1.3WheretheOfficeoftheSeniorPastorisoccupiedbytwopersons,theLead

Senior Pastor role shall be determined administratively at the time ofappointment.

6.2 Qualifications

6.2.1 ThequalificationsofthepersonorpersonsselectedfortheserolesaretheBiblically based descriptions of those aspiring for the office of Elders asstipulatedin1Timothy3:1-7andTitus1:6-9“An elder must be blameless, the husband of one wife, a man whosechildren believe and are not open to the charge of being wild anddisobedient. Since an elder is entrusted with God’s work, he must beblameless – not overbearing, not quick tempered, not given todrunkenness,notviolent,notpursuingdishonestgain.Rather,hemustbehospitable; onewho loveswhat is good, who is self controlled, upright,holyanddisciplined.Hemustholdfirmlytothetrustworthymessageasithasbeen taught, so thathewillencourageothersbysounddoctrineandrefutethosewhoopposeit.”(Titus1:6-9)

6.2.2 A holder of a Bachelors Degree or equivalent from a recognizedinstitution;

6.2.3 AholderofaDiplomaorequivalentinTheologyorBiblicalstudiesfroma

recognizedinstitution;6.2.4 Avisionaryandstrategicthinker;6.2.5 A team builder and team player with excellent coaching skills so as to

developleadersandprovidementorship;and

6.2.6 Shoulddemonstrateagenuineloveforpeoplethroughtheirconductandobservablecommitmenttoservingothers.

6.3 Selection

6.3.1 TheOfficeoftheSeniorPastorshallselecttheirsuccessor(s)afterprayerandconsultationwith theBoardofTrusteesandtheBoardofOverseers.ThegoalistoselectGod’smenorwomentoleadtheChurchintoitsfuturetoachievethevisionandmissionasdefinedinthisConstitution;and

6.3.2Where theOffice of the Senior Pastor is unable or becomes ineligible toselect their successor(s), the selection shall be done by the Board ofOverseersasreferredtounderarticle9.

6.4 Functions

6.4.1 Overseeand coordinate theday todayministryof the congregationandoperations of the Church with the help of the Pastoral Team andadministrativestaff;

6.4.2 AppointaBoardofOverseerspursuanttoarticle9;

6.4.3 Select Trustees pursuant to article 8 who will exercise oversight of the

businessoftheChurch;

6.4.4 Preach and teach God’s word, counsel, mentor and provide generalpastoralcareandsupporttothecongregation;

6.4.5 Oversee budgeting, hiring staff, projects, ministry and specialized

ministries;

6.4.6 Ensure that all orders and resolutions of the Board of Trustees areimplemented;

6.4.7 Authorize the purpose, structure, and content of all services. No person

shallbe invitedtospeak, teachorministerataserviceheldunderMLFCwithouttheapprovaloftheOfficeoftheSeniorPastor;

6.4.8 ProvideaBiblicalvisionandstrategicdirectionfortheChurch;

6.4.9 Beex-officiomembersofallstandingandadhoccommittees;and

6.4.10Exercise general powers and duties of supervision and management

vestedintheOfficeoftheSeniorPastor.6.5 Removal

ASeniorPastormayberemoved fromtheirpositionby theBoardofOverseersforthefollowingreasonspursuanttoarticle9.

6.5.1 Questionablemoralconductsuchasillicitsexualactivities;

6.5.2 Questionablepracticessuchastheft,fraud,ortaxevasion;6.5.3 Departurefromfundamentalteachingsofscripturesandtenetsoffaithof

MLFC;6.5.4 Mental or physical incapacity to discharge the functions of the office on

recommendationsofaMedicalBoard;6.5.5 Breachofthepastoralcodeofconduct;and6.5.6 Any conduct, criminal or otherwise, that may bring the integrity of the

Churchintodisrepute.6.6 TransitionandSuccession

6.6.1 If a Senior Pastor in good standing with the Church is removingthemselvesbecauseofresignation,retirementorrelocation, theOfficeoftheSeniorPastorshallappointtheirsuccessors.

6.6.2 If a Senior Pastor is removed by the Board of Overseers, they shall notparticipateintheselectionprocessofthenewSeniorPastor.TheBoardofOverseersshallappointthenewSeniorPastor.

PastoralTeam7.0 PastoralTeam7.1 Purpose

The Pastoral Team shall be made up of men and women called by God andappointed by the Senior Pastors as those who help carry the ministerialresponsibilities for MLFC. The Pastoral Team shall be responsible forcoordinatingandimplementingtheministryprogramsoftheChurch.

7.2 Qualifications

7.2.1 The qualifications of persons selected for these roles are the BiblicallybaseddescriptionsofthoseaspiringfortheofficeofEldersasstipulatedin1Timothy3:1-7andTitus1:6-9“An elder must be blameless, the husband of one wife, a man whosechildren believe and are not open to the charge of being wild anddisobedient. Since an elder is entrusted with God’s work, he must beblameless – not overbearing, not quick tempered, not given todrunkenness,notviolent,notpursuingdishonestgain.Rather,hemustbehospitable; onewho loveswhat is good, who is self controlled, upright,holyanddisciplined.Hemustholdfirmlytothetrustworthymessageasithasbeen taught, so thathewillencourageothersbysounddoctrineandrefutethosewhoopposeit.”(Titus1:6-9)

7.2.2 Demonstratetheskillsetsthatareconcurrentwiththeresponsibilitiesofthespecificareaofministryrequiredfortheirfunction;and

7.2.3 The Pastoral Team shall be responsible for the smooth running of the

ChurchandimplementationofpoliciesasformulatedbytheOfficeoftheSeniorPastorandBoardofTrustees.

7.3 Selection

Members of the Pastoral Team shall be recruited by the Office of the SeniorPastor.

7.4 Functions

The Pastoral Team shall be responsible to the Office of the Senior Pastor andassigned with the oversight of the spiritual life of the Church by providingleadership and direction that ensures the fulfillment of the vision,mission andvalues.

7.5 Removal

AnymemberofthePastoralTeammayberemovedfromtheteamanddismissedfromemploymentunderthefollowingcircumstances:

7.5.1 WhentheyalongwiththeSeniorPastorsdetermineGodiscallingthemto

transitiontoanotherareaofministry;

7.5.2 Notperformingtotherequirementsoftheircontractedresponsibilities;

7.5.3 Questionablemoralconductsuchasillicitsexualactivities;7.5.4 Questionablepracticessuchastheft,fraudortaxevasion;7.5.5 Departurefromfundamentalteachingsofscripturesandtenetsoffaithof

MLFC;

7.5.6 Mental or physical incapacity to discharge the functions of the office onrecommendationsofaMedicalBoard;

7.5.7 BreachofthePastoralcodeofconduct;and

7.5.8 Any conduct, criminal or otherwise, that may bring the integrity of theChurchintodisrepute.

ARTICLEEIGHT

BoardofTrustees

8.0 BoardofTrustees8.1 Purpose

ThereshallbeaBoardofTrusteeswithafiduciaryobligationtotheChurch.8.2 QualificationsofTrustees

8.2.1 MustbeanactivememberofMLFCwhoconsistentlyparticipates,servesandtithes;

8.2.2 Mustbeabovereproach,husbandofonewife, temperate,selfcontrolled,respectable, not given to drunkenness, not violent but gentle, notquarrelsome,nota loverofmoney,mustmanagehis familywellandhischildrenmustobeyhimwithproperrespect;

8.2.3 TheTrusteesshallbeselectedbasedontheirexperienceandskillssetthatwillhelpguidetheChurchintothefuture;

8.2.4 A person appointed Trustee shall be a person who has the capacity tocreate,toholdanddisposeofanyequitableestateorinterestinproperty;

8.2.5 The Office of the Senior Pastor, shall not appoint two immediate familymemberstoserveastrusteesatanyonetime.Immediatefamilymembershall be defined as spouse, father, mother, son, son in law, daughter,daughterinlaw,grandchild,brother,sister,brotherinlaw,sisterinlaw;

8.2.6 ExceptfortheOfficeoftheSeniorPastor,nomemberofMLFCwhohasa

spouse, father, mother, son, son in law, daughter, daughter in law,grandchild,brother,brotherinlaw,sisterorsisterinlawservingasafulltimememberofstaffunderMLFCshallbeeligibleforappointmenttotheBoardofTrustees.

8.3 SelectionCriteria

8.3.1 TheBoardofTrusteesshallconsistofninepersonsincludingmembersofOfficeoftheSeniorPastor;

8.3.2Where theOfficeof theSeniorPastor isoccupiedby twoSeniorPastors,

theOfficeoftheSeniorPastorshallappointsevenTrustees;8.3.3WheretheOfficeoftheSeniorPastorisoccupiedbyoneSeniorPastor,the

Senior Pastor shall appoint eight Trustees in accordance with thequalificationsstipulatedunderarticle8.2;and

8.3.4 The Board of Trustees shall ratify the appointments after thorough

consultationwithmaturebelieversthatunderstandthequalificationsandrequirementsfortheselectionofaTrustee;

8.3.5 The Trustees shall elect a Chairperson from among themselves and any

person or persons occupying the Office of Senior Pastor shall not beeligibleforelectionasChairpersonoftheBoardofTrustees.

8.4 Functions

8.4.1 The Board of Trustees shall have powers to buy and sell real estate,borrowmoneyorsecurerealestateleasesonbehalfoftheChurch;

8.4.2 TheBoardofTrusteesshallbeempoweredtosetupAdhocCommitteesto

assistincarryingoutitsfunctions;8.4.3 Oversee the provision of the physical facilities needed by the Church

includingcoordinationofconstructionprojects;8.4.5 The Board of Trustees shall be responsible for ensuring that an annual

auditiscarriedoutbyanindependentpublicaccountingfirm;8.4.6 TheBoardofTrusteesshallberesponsibleforensuringthattitleof land,

buildings and property are registered in the name of the Church asprovidedforundertheLand(PerpetuityandSuccession)Act,Chapter186oftheLawsofZambia;

8.4.7 The Board of Trustees shall be responsible for the protection and the

8.4.8 Setting compensation for the Senior Pastors to be reviewed annually aspartoftheannualbudgetprocess;

8.4.9 Toensurepolicyformulationandadherenceonmattersrelatedtothe Management of the Church including but not limited to financial

management, Human resource management, risk management andprocurement;

8.4.10Toapproveandmonitortheimplementationofthebudgetwithprovisionforregularlyscheduledreviews;and

8.4.11TocontacttheBoardofOverseersinamatterinvolvingthemisconductofthe Senior Pastors pursuant to article 6.5 after a resolution has beenpassedbyatwothirdsmajorityofthosepresent.

8.5 Tenure

8.5.1 The term of office for each Trustee shall be three years mutuallyrenewableforanadditionaltwotermsaccordingtoministryneeds;

8.5.2 A Trustee who has served three consecutive terms may be eligible for

futuretermsaftertakingayear’sbreak.

8.6 Removal

8.6.1TheOfficeoftheSeniorPastormayremoveaTrusteeifcircumstancessowarrantinconsultationwiththeBoardofTrustees;

8.6.2 Questionablemoralconductsuchasillicitsexualactivities;

8.6.3 Questionablepracticessuchastheft,fraud,ortaxevasion;8.6.4 A Trustee who is removed or resigns shall make good and proper

handovertotheBoardofTrusteesandrendertrueanddetailedfinancialaccountsoftheirstewardship;

8.6.5 Iftheynolongermeetthequalificationsinarticle8.2;

8.6.6Mental or physical incapacity to discharge the functions of the office onrecommendationsofaMedicalBoard;

8.6.7 ATrusteeceasestoholdofficeiftheyresignfromoffice;and8.6.8 Any conduct, criminal or otherwise, that may bring the integrity of the

Churchintodisrepute.8.7 Meetings

The Trustees shall hold at least four pre-scheduled meetings in the year. TheOffice of the Senior Pastor or the Chairpersonmay call a meeting at any timesubjecttoattainmentofaquorum.AnyTrusteecanproposeameetingthroughtheChairpersonorOfficeoftheSeniorPastor.

8.8 LocationofMeetings

MeetingsoftheTrusteesmaybeheldatsuchaplaceorplacesasshallfromtimetotimebedeterminedbytheTrusteesorfixedbytheOfficeoftheSeniorPastorand designated in the notice of themeeting, provided that the annual generalmeetingshallbeheldattheregisteredofficeoftheChurch.

8.9 Teleconferencing

At any meeting of the Board of Trustees, any Trustee may participate in themeeting by telephone provided all members of the Trustees present at themeeting or by telephone can hear and speak to each other. Participation bytelephoneshallbeequivalenttoattendingthemeetinginperson.

8.10 Quorum

Fivemembers shall constitute a quorum for the transaction of business at anymeeting of the Board of Trustees. Failure to constitute a quorum shall lead toadjournmentofthemeetinguntilaquorumisestablishedortosuchdateasshallbeproposed.Aresolutionshallbepassedbyasimplemajority.

8.11 Remuneration

Trustees shallnot receiveany salariesor allowancesor compensation for theirservicesunlesstheTrusteeisalsoanemployeeoftheChurch.However,Trusteesmayclaimreimbursementsofexpenses incurred in carryingoutofficialChurchfunctions.

BoardofOverseers

9.0 BoardofOverseers

The Board of Overseers, who shall be ex officio members of MLFC, shall beselected fromwithinZambiaandelsewheresoasnot tohavevested interest inthe operations of the Church. Thiswill guarantee objectivity in the handling ofissues.

9.1 Purpose

There shall be a Board of Overseers consisting of five Senior Clergy whoseprimary role shall be to select Senior Pastors where the incumbent Pastor isunabletoselecttheirsuccessorduetoremovalordeath.

9.2 Qualifications

ThemembersoftheBoardofOverseersmustbeactiveSeniorClergyofrespectedcongregationswhoknowand loveMLFCand its SeniorPastorsorbeministersknown for their Godly wisdom and authority. They must agree to makethemselvesavailabletoMLFCwhenevercalleduponbytheBoardofTrustees.

9.3 SelectionCriteria

ABoardofOverseers shall be appointedby theOfficeof the SeniorPastor andratifiedbytheBoardofTrusteesafterconsultationswiththeirpeersandthoseinauthorityoverthem.

9.4 RemovalofOverseers

TheOverseersshallberemovedunderthefollowingcircumstances:

9.4.1 Questionablemoralconductsuchasillicitsexualactivities; 9.4.2 Questionablepracticessuchastheft,fraud,ortaxevasion;

9.4.3 Mental or physical incapacity to discharge the functions of the office onrecommendationsofaMedicalBoard;

9.4.4 Death;9.4.5 Resignation;and9.4.6 Departure from the fundamental teachings of scriptures and tenets of

faith.

9.5 Functions/Roles

9.5.1 The main function of the Board of Overseers shall be to select SeniorPastorswhentheincumbentisunabletoappointtheirsuccessor;

9.5.2 They shall be called upon by the Board of Trustees at a time when it

becomesnecessarytoreplacetheSeniorPastorsforallegedmisconduct;9.5.3TheBoardofOverseersshallremoveaSeniorPastorbasedonthereasons

stipulatedunderarticle6.5;9.5.4Should the Board of Overseers be asked to investigate alleged pastoral

misconduct,aconsensusofthreeofthefiveOverseersshallberequiredtotake disciplinary action. With such a consensus, the Overseers shallassume complete authority over the Senior Pastors; theymay decide toremove them from their position or to discipline them in anyway theydeemnecessary;and

9.5.5TheOverseershavenoauthorityinMLFCunlesscontactedbytheBoardof

Trustees and then only in so far as permitted by this Constitution. TheOverseers shall only respond to a request that is made by a motionsupportedbytwo-thirdsoftheTrusteespresent.

AmendmenttotheConstitution

10.0 AmendmenttotheConstitution

10.1 TheBoard of Trustees shall, at anymeeting, amend this Constitution bytwo-thirdsmajorityvotesofTrusteeswiththeexceptionoftheStatementofFaith.

10.2 The meeting referred to in article 10.1 shall be valid upon giving the

Trustees 21 days written notice of the meeting together with proposedamendmentsandexplanationstotheproposedamendments.

10.3 At the determination of the Board with specific guidelines, a select

multidisciplinaryteamofeminentchurchmembersshallbeappointedtodeliberateandrecommendtotheBoard,therepealingandreplacementoftheConstitutionforenactment.

THESCRIPTURES-TheBible istheinspiredWordofGod,theproductofholymenofoldwhospokeandwroteastheyweremovedbytheHolySpirit.TheNewCovenant,asrecordedintheNewTestament,weacceptasourinfallibleguideinmatterspertainingtoconductanddoctrine(2Tim.3:16;1Thess.2:13;2Peter1:21).

THETRINITY -TheSon is theWord flesh-covered, theOneBegotten,andhasexistedwith the Father from the beginning (John 1:1; John 1:18; John 1:14). The Holy SpiritproceedsforthfromboththeFatherandtheSonandiseternal(John14:16;John15:26).

MAN,HISFALLANDREDEMPTION-Manisacreatedbeing,madeinthelikenessandimageofGod,but throughAdam's transgressionand fall, sincame into theworld.TheBiblesays"...allhavesinned,andcomeshortofthegloryofGod,"and"...Thereisnonerighteous, no, not one." (Rom. 3:10; 3:23). JesusChrist, the SonofGod,wasbornof avirgin, lived a sinless life, was crucified and buried, rose again and ascended to theFather.JesusChristwasmanifestedtoundotheworksofthedevilandgaveHislifeandshedHisbloodtoredeemandrestoremanbacktoGod(Rom.5:14;1John3:8).

Salvation is the gift of God to man, separate from works and the Law, and is madeoperative by grace through faith in Jesus Christ, producing works acceptable to God(Eph.2:8-10).

ETERNAL LIFE AND THE NEWBIRTH - The new birth is necessary to all men, andwhenexperienced,produceseternallife(2Cor.7:10;John3:3-5;1John5:12).

WATERBAPTISM-Baptisminwaterisbyimmersion,isadirectcommandmentofourLord,andisforbelieversonly.TheordinanceisasymboloftheChristian'sidentificationwithChristinHisdeath,burial,andresurrection(Matt.28:19;Rom.6:4;Col.2:12;Acts8:36-39).

BAPTISMINTHEHOLYGHOST-TheBaptismintheHolyGhostandfireisagiftfromGod as promised by the Lord Jesus Christ to all believers in this dispensation and isreceived subsequent to the new birth. This experience is accompanied by the initialevidenceofspeakinginothertonguesastheHolySpiritHimselfgivesutteranceandbythe subsequent manifestation of spiritual power in public service (Matt. 3:11; John14:16,17;Acts1:8;Acts2:38,39;Acts19:1-7;Acts2:1-4).

SANCTIFICATION - We believe in the Doctrine of Sanctification as a definite, yetprogressiveworkofgrace,commencingatthetimeofregenerationandcontinuinguntiltheconsummationofsalvationatChrist'sreturn.TheHolySpiritenablesthebelievertolive a life of holiness and obedience. DIVINEHEALING-Healingisforthephysicalillsofthehumanbodyandiswroughtbythe power of God through the prayer of faith, and by the laying on of hands. It isprovided for in the atonement of Christ, and is the privilege of everymember of theChurchtoday(James5:14,15;Mark16:18;Isaiah.53:4,5;Matt.8:17;1Peter2:24).

RESURRECTIONOFTHEJUSTANDTHERETURNOFOURLORD-TheangelssaidtoJesus'disciples,"...thissameJesus,whichistakenupfromyouintoheaven,shallsocomeinlikemannerasyehaveseenhimgointoheaven."Hiscomingisimminent.WhenHecomes,"...thedeadinChristshallrisefirst:ThenwewhicharealiveandremainshallbecaughtuptogetherwiththeminthecloudstomeettheLordintheair..."(Acts1:11;1Thess.4:16,17).

Following theTribulation,Heshall return toearthasKingofkings,andLordof lords,andtogetherwithHissaints,whoshallbekingsandpriests;Heshallreignathousandyears(Rev.5:10;20:6).

HELLANDETERNALRETRIBUTION-TheonewhophysicallydiesinhissinswithoutacceptingChristishopelesslyandeternallylostinthelakeoffireand,therefore,hasnofurther opportunity of hearing the Gospel or repenting. The lake of fire is literal. Theterms"eternal"and"everlasting,"usedindescribingthedurationofthepunishmentofthedamnedinthelakeoffire,carrythesamethoughtandmeaningofendlessexistenceasusedindenotingthedurationofjoyandecstasyofsaintsinthePresenceofGod(Heb.9:27;Rev.19:20).

Dissolution12.0 Dissolution

12.1 Dissolutionmayarisevoluntarilyorasaresultofcourtaction.Voluntarydissolution will involve the congregation making submissions and onlyafter a two-thirdsmajority of themembers of the Church voting for thedissolution.

12.2 UpondissolutionorwindingupoftheChurch,theBoardofTrusteesshall,

after paying ormaking provision for payment of all the liabilities of theChurch, distribute all the remaining assets of the Church to anyorganization/organizations of like faith andwhich is exempt from taxesundertheregistrarofsocieties.

12.3 Intheeventthatthedissolutionisnecessitatedbycourtaction,thecourt

maydeterminehowtheliabilitiesshallbepaidandhowtheassetsshallbedisposedof.
