At this point, Trustee Lindsay Anderson requested a motion to permit Trustee Dennis Cullen

who was unable to physically attend the meeting, to join the meetings on September 10-11,

2015, by conference call pursuant to Section 7(c) of the Open Meetings Act.

Trustee Dorinda Miller made the following motion:

That SURS Trustees be allowed to participate via conference call for all meetings on

September 10-11, 2015, pursuant to Section 7(c) of the Open Meetings Act.

Trustee Antonio Vasquez seconded and the motion carried with all Trustees present voting in

favor.

APPROVAL OF MINUTES

Trustee Anderson presented the Minutes from the Board meetings of June 12, 2015 and

August 17, 2015.

Trustee Paul R.T. Johnson Jr. moved that:

The Minutes from the June 12, 2015 Board of Trustees Meeting be approved as

presented.

The Minutes from the August 17, 2015 Board of Trustees Meeting be approved as

presented.

Trustee Aaron Ammons seconded and the motions carried with all Trustees present voting in

favor.

Trustee Anderson presented the Minutes from the Trustee Orientation of August 17, 2015.

CHAIRPERSON’S REPORT

Trustee Anderson welcomed all of the new Trustees to their first Board Meeting and to the

SURS Office in Champaign. Trustee Anderson remarked that going forward, in the interest

of cost savings, we will no longer be doing organized board dinners, as in the past; however,

she informed all Trustees that they are still allowed to be reimbursed for dinner in accordance

with the SURS Board of Trustee Travel Policy and if they have any questions, to please ask.

Trustee Anderson had no formal Chair report at this time.

BOARD ADMINISTRATION

Election of Officers and Committee Assignments

Trustee Anderson introduced Mr. Bryan Lewis noting that he had compiled the input from all

Trustees in regards to the interests for committee assignments. Mr. Lewis presented

suggested committee assignments for the upcoming year noting that he had tried to

accommodate everyone’s interests, prior experience, and fields of expertise. Ms. Mary

Patricia Burns noted that in June, the Board voted to increase the number of members of the

Executive Committee from three to five in order to increase the Board participation in what

Trustees thought was an important Committee that could rule on Board matters. Trustee

John Engstrom noted that in June, it was determined that the Executive Committee was to

present a slate of candidates to the Board for review; however, that due to the fact that we

had several new Board Members, the Executive Committee felt it was prudent to bring this to

the full Board for consideration. Ms. Burns stated that the Bylaws make it clear that

whatever the Executive Committee was going to suggest, had to be approved by the full

Board anyway, thus the reason the election of officers and committee assignments are

bringing to the full board for consideration at this time. Upon conclusion of the discussion,

Trustee Ammons moved:

That the Committee Assignments be approved as discussed until the 2016 Annual

Meeting.

Trustee Vasquez seconded and the motions carried with all Trustees present voting in favor.

Trustee Ammons moved:

That Trustee Dorinda Miller serve as the Vice-Chairperson of the SURS Board of

Trustees for FY 2016.

That Trustee John Engstrom serve as the Treasurer of the SURS Board of Trustees for

FY 2016.

Trustee Fred Giertz seconded and the motions carried with all Trustees present voting in

favor.

RECESS

Trustee Anderson noted that with no other formal business to come before the Board at this

time, she would entertain a motion to recess the Board meeting until September 11, 2015, at

9:30 a.m.

Trustee Vasquez moved:

That the Board meeting recess until September 11, 2015, at 9:30 a.m.

Trustee Johnson seconded and the motion carried with all Trustees present voting in favor.

RECONVENE

Trustee Anderson reconvened the meeting of the Board of Trustees at 9:30 a.m. on

September 11, 2015.

Per the motion approved at the Board meeting on September 10, 2015, Trustee Dennis Cullen

is allowed to participate via conference call for all meetings on September 10 & September

11, 2015, pursuant to Section 7(c) of the Open Meetings Act.

EXECUTIVE DIRECTOR’S REPORT

Mr. Bryan Lewis presented the organization’s goals and objectives noting that he has asked

senior staff to work with their teams to connect each employee’s objectives to the overall

organizational goals and objectives. He wants to make sure that everyone in the organization

understands why they are here and how their work adds to the overall success of the

organization. He also provided a brief overview of the SURS Strategic Plan.

REVIEW OF COMMITTEE ACTION

Administration Committee

On behalf of the Administration Committee, Trustee AntonioVasquez moved:

That the results from the 2015 Economic Assumption Review, the long-term assumed

rates of investment returns, and price and wage inflation rates be deferred until the

December 2015 meeting.

That the SURS Inclusion Policy be approved as presented.

That the SURS aspirational goal for contracts and purchases from businesses owned

by minorities, female, and persons with a disability be 25% for Fiscal Year 2016.

That the SURS aspirational goal for increasing racial, ethnic and gender diversity of

its senior staff be to embrace diversity, ensure a culture of inclusivity and recruit from

a diverse, qualified pool of potential applicants.

Trustee Johnson seconded and the motions carried with all Trustees voting in favor.

Investment Committee

On behalf of the Investment Committee, Trustee Craig McCrohon moved:

That Fidelity Investments be retained as a recordkeeping service provider for the

SURS Self-Managed Plan subject to successful pricing negotiations.

That TIAA-CREF be retained as a recordkeeping service provider for the SURS Self-

Managed Plan subject to successful pricing negotiations.

That Fidelity Investments be retained as the lead administrator for the SURS Self-

Managed Plan, subject to successful contract negotiations and legal review.

That the proposed investment options available through Fidelity Investments be

approved, with mapping of assets from terminated options to approved options as

presented.

That the proposed investment options available through TIAA-CREF be approved,

with mapping of assets from terminated options to approved options as presented.

That the revised Investment Policy document for the defined benefit plan be

approved, as presented.

That the revised Investment Policy document for the Self-Managed Plan (SMP) be

approved, as presented.

That the SURS Fiscal Year 2016 Investment Plan be accepted and filed.

That a search be conducted to identify qualified providers of hedged strategies

consistent with the criteria expressed in the 2016 Investment Plan.

That a search be conducted to identify qualified providers for portfolio overlay

strategies and portfolio rebalancing consistent with the provisions of the 2016

Investment Plan.

Trustee Johnson seconded and the motions carried with all Trustees voting in favor.

Corporate Governance – No Action.

Audit & Risk Committee

On behalf of the Audit & Risk Committee, Trustee Engstrom moved:

That the Internal Audit Plan for FY ’16 & ’17 be approved as presented.

Trustee Johnson seconded and the motions carried with all Trustees voting in favor.

Legal & Legislative Committee

On behalf of the Legal & Legislative Committee, Trustee Anderson moved:

That SURS Staff be authorized to pursue a legislative proposal regarding SMP default

investments.

BOARD TRAVEL

Mr. Daniel Allen presented the Board with travel and conference opportunities for the

Board’s review and approval. He reported that pursuant to Public Act 96-0006, the Trustees

are required to have 8 hours of annual training. A majority of the Board must approve all

Board travel in order to qualify for reimbursement of expenses in accordance with the

Board’s Travel Approval and Expense Reimbursement Policy. Staff develops a list of

upcoming training opportunities and this list is then presented to the Trustees with their

regular meeting materials.

Trustee Johnson moved:

That the Board of Trustees travel to attend conferences or trainings listed on the

September 2015 list of Upcoming Training Opportunities be approved and that all

resulting allowable expenses consistent with the SURS Travel policy be reimbursed.

That the Board of Trustees travel to NEPC client and educational conference be

approved and that all resulting allowable expenses be reimbursed.

Trustee Ammons seconded and the motions carried with all Trustees present voting in favor.

A copy of the staff memorandum, entitled “Board Training Requirements and Travel

Approval” which includes the list of upcoming training opportunities as of September 2015 is

incorporated as a part of these Minutes as Exhibit 1 .

2016-2017 MEETING DATES

Trustee Anderson presented the calendar for the 2016-2017 meeting dates noting that the

2016 dates were previously approved last year; however, since there has been some transition

on the Board recently, she would like to provide the Board an opportunity to weigh in on

these dates and times. Trustee Anderson recommends moving the meeting that is scheduled

to be held in Springfield to Champaign instead. At the conclusion of the discussion, Trustee

Johnson moved:

That the meeting dates proposed for 2016-2017 be approved, with the exception of

March 2016 meeting in which the location will be moved to Champaign.

Trustee Ammons seconded and the motions carried with all Trustees present voting in favor.

A copy of staff memorandum, entitled “2016-2017 Meeting Dates” is incorporated as a part

of these Minutes as Exhibit 2.

SB 1761 BOARD RECOMMENDATION

Trustee Anderson remarked Senate Bill 1761 which was signed into law on July 23, 2015,

created the Illinois Investment Policy Board, consisting of 4 members appointed by the

Governor and 3 members appointed by each of the Boards of the State Universities

Retirement System, Teachers Retirement System, and Illinois State Board of Investments,

respectively. The Illinois Investment Policy Board will identify all Iran-restricted

companies, Sudan-restricted companies, and companies that boycott Israel and develop a list

of restricted companies for the retirement systems.

Trustee Anderson would like entertain a motion to appoint SURS Executive Director, Mr.

Bryan Lewis to represent the SURS Board on the Illinois Policy Board.

Trustee Johnson moved:

That Bryan Lewis be appointed as the State Universities Retirement Representative to

serve on the Illinois Investment Policy Board.

Trustee Miller seconded and the motions carried with all Trustees present voting in favor.

Trustee Anderson remarked that she has discussed this with Mr. Lewis and he has committed

to seek the Board’s input and to following up with the Board, as appropriate.

BLIND MAILING POLICY

Mr. Bryan Lewis presented the Blind Mailing Policy noting that as a service to our members

and member organizations, we have partnered over the years to provide a conduit for

annuitants associations via the policy to send out information to members. SURS works

through a third party vendor when providing the information.

Mr. Lewis provided an overview of what has been done in the past as well as discussed a

couple of recent requests for use of the Blind Mailing Policy and asked the Board for their

input. This policy states that SURS can provide names and addresses of benefit recipients to

annuitant organizations and recently, SURS has been asked by other entities/organizations to

use the service. Mr. Lewis also noted that there is a specific rule that makes exceptions

during the SURS Election Process. Ms. Burns reminded the group that this policy was

recently adopted by the Board in their Board Governance Manual. Discussion continued and

it was the consensus of the Board that SURS adhere to the current policy and the service only

be offered to annuitants associations as defined in the policy. Mr. Lewis remarked that this

policy was adopted in 1996 and he is aware that there are several things that should be

reviewed and possibly updated within the policy and he would like to place this policy on the

agenda for review with plans to bring back to the Board with any updates or changes for

approval at a future meeting.

Trustee Anderson moved:

That SURS Staff follow the current Blind Mailing Policy until the policy can be

reviewed and changes or updates will be presented to the Administration Committee

for approval.

A copy of SURS current “Blind Mailing Policy” is incorporated as a part of these Minutes as

Exhibit 3.

Trustee Anderson proposed that before going into closed session that the Board consider

going out of the regular order of business and change the order of the agenda items to allow

both closed session items on the agenda to be discussed while in closed session. The

Fiduciary Liability Insurance agenda item would then occur after the closed session.

Trustee Giertz moved:

That the Board goes out of the regular order of business to go into closed session to

discuss both the Fraud Referral and the General Counsel Recommendation.

Trustee McCrohon seconded and the motion carried with all Trustees present voting in favor.

CLOSED SESSION

Trustee Johnson moved that the Board of Trustees go into closed session under the Open

Meetings Act pursuant to §2(c)(11).

Fraud Referral

Trustee Johnson moved:

• That the Board directs delivery of Fraud Referral Letter pursuant to Section 40 ILCS

5/1-135.

Trustee Ammons seconded and the motion carried with all Trustees voting in favor.

General Counsel Recommendation

Trustee John Engstrom moved:

That SURS Staff is authorized to proceed with the General Counsel vacancy as

discussed in closed session.

Trustee Ammons seconded and the motion carried with all Trustees voting in favor.

FIDUCIARY LIABILITY INSURANCE

Ms. Mary Pat Burns provided a brief explanation of Fiduciary Liability Insurance noting that

SURS has in place Fiduciary Liability Insurance coverage that protects the Trustees and Staff

and at this point, we are up for an annual renewal of this policy. She further explained that

Mesirow is an Illinois based insurance broker that was selected through SURS formal

procurement process to provide Fiduciary Liability Insurance to the Board of Directors,

Trustees, SURS Staff and the fund for allegations of breaches of fiduciary duties. Ms. Burns

then introduced Mr. Timothy Bowen of Mesirow Financial Insurance Services (Mesirow).

Mr. Bowen then provided a brief summary of the proposed insurance policy for SURS stating

that based upon the plans’ asset base, participant count, peer purchasing data and other

contributing data, they continue to recommend renewal of the current fiduciary insurance

policy in the amount of $15 million. At the request of staff, Mr. Bowen noted that they have

pro-rated the policy for 10 months in order to get the policy on a Fiscal Year Calendar. Ms.

Burns reminded the Trustees that, in addition to this fiduciary insurance policy, SURS also

provides each Trustee with an indemnification agreement.

Trustee Giertz moved:

The fiduciary insurance policy be renewed at the existing coverage levels for

Fiscal Year 2016 based on the recommendation of the insurance broker.

Trustee Vasquez seconded and the motion carried with all Trustees present voting in favor

except for Trustee McCrohon who opposed.

Trustee Anderson referenced the informational items included in the agenda materials and the

following items were provided for reference and are incorporated as a part of these Minutes:

3. Exhibit 6 - Report on Refunds, Disability, Death, Survivor, Retirement and

PUBLIC COMMENT

There were no public comments presented to the Board of Trustees.

Since there was no further business before the Committee, Trustee Ammons moved that the

meeting be adjourned. The motion was seconded by Trustee Vasquez and carried with all

Trustees present voting in favor.

MEMORANDUM TO: Board of Trustees FROM: Mr. Daniel L. Allen Chief Investment Officer RE: Board Training Requirements and Travel Approval DATE: August 28, 2015 In order to assist Trustees in obtaining the 8 hours of annual training required by Public Act 96-0006, staff has developed the attached list of upcoming training opportunities. This list will be updated and provided to the Trustees with the regular meeting materials. Public Act 96-0006 also requires that all Board travel be approved by a majority of Trustees in order to qualify for reimbursement of expenses in accordance with the Board’s Travel Approval and Expense Reimbursement Policy. Each Trustee is eligible to be reimbursed for two out-of-state trips, each fiscal year, for educational purposes. SURS is a voting member of the Council of Institutional Investors (“CII”). In March of 2013, the SURS travel policy was amended, to provide that attendance at the semi-annual meetings of CII not be included in the two-per-year limit for board member attendance at educational conferences, since such conferences are not educational meetings, rather, are working meetings of an organization of which SURS is a member. Staff Recommends that the following motions be approved at this time:

• That the Board of Trustees travel to attend conferences or trainings listed on the September 2015 list of Upcoming Training Opportunities be approved and that all resulting allowable expenses consistent with SURS travel policy be reimbursed.

• That the Board of Trustees travel to NEPC client and educational conferences be approved and that all resulting allowable expenses consistent with SURS travel policy be reimbursed.

BLIND MAILING POLICY

It is the policy of the State Universities Retirement System of Illinois (SURS) that its participants, annuitants, and benefit recipients have a valid expectation of privacy as to the contents of such persons’ files, records, papers, and communications, except for purposes directly related to the administration of the System, and except for information required to be released under the Illinois Freedom of Information Act (5 ILCS 140), or other applicable laws or regulations. From time to time, SURS is requested by annuitant organizations to furnish them with names and addresses of benefit recipients. The following shall be considered upon receipt of such requests:

At no time shall SURS furnish the name, address, or any other

confidential information of SURS benefit recipients to annuitant organizations unless it is determined by the fund that such disclosure is directly connected with the administration of the fund, or otherwise required by law.

If any annuitant organization wishes to correspond with SURS benefit recipients for the purpose of providing informational material, SURS shall not furnish the names or addresses of any SURS benefit recipients pursuant to such request nor shall SURS assist in effectuating such correspondence, other than through a blind mailing.

An annuitant organization is defined as a voluntary association or labor organization which represents, or whose membership consists of, retired community college or university employees and which would be authorized to receive dues or other contributions in accordance with the provisions of the “State Salary and Annuity Withholding Act” (5 ILCS 365), if such Act applied to the State Universities Retirement System.

As defined by SURS, a “blind mailing” is a procedure by which SURS provides a list of SURS benefit recipients to an independent mailing house. The annuitant organization provides the correspondence to the mailing house. The mailing house mails the correspondence to the SURS benefit recipients on the mailing list. The annuitant organization is responsible for all costs associated with the blind mailing. The annuitant organization makes arrangements directly with the mailing house for its fees. The mailing house is prohibited from disclosing the names or addresses of SURS benefit recipients to any individual or organization, including the annuitant organization.

Whether a blind mailing will be permitted and the content of any blind mailing correspondence shall be approved by the SURS Executive Director in his or her absolute discretion or, upon his or her referral, the SURS Board of Trustees, who shall have absolute discretion to approve or reject the blind mailing and to approve or reject any correspondence in whole or in part.

Annuitant organizations requesting to correspond with SURS benefit recipients are limited to one mailing during a 12 month period, determined by counting the months since the last mailing. This provision may be waived by the Executive Director in his or her absolute discretion or, upon

Insurance Refunds The processing of insurance refunds payable due to the Kanerva vs. Weems decision is almost complete. The majority of the refunds were processed by the June 15th deadline, with the exception of those payable to deceased members. The Court Order allowed an additional 90 days to process these refunds. On September 1st, SURS will issue refunds to the estates of over 1,200 deceased members. Claims The chart below provides a monthly breakdown of retirement claims by calendar year from 2011-2015. The spike in June and July 2012 was due the change in Money Purchase factors and the spike in June 2014 was due to potential pension reform.

6% Billings Since inception, SURS has sent 2,707 employer bills totaling over $33.1 million, and received over $10.2 million in payments.

Overview

As of June 30, 2015 the average SMP participant’s account balance was $83,945 based on 19,705

participants - 13,061 active and 6,644 terminated - with participants’ investments totaling

$1,654,146,781. 59% of participants’ assets were invested with Fidelity and 41% with TIAA-CREF. The

average participant is invested in 3.4 funds.

Since January 1, 2011, 6,014 (18.34%) of the 32,798 TIER II new hires chose the SMP. 9.81% chose

Traditional, 23.03% Portable and 48.82% Defaulted to Traditional.

15.1% of all active SURS participants are in the Self-Managed Plan, 23% Portable, 16% Traditional, 42.6%

Traditional by default and 3.3% No Election.

Education-

In the 2nd Quarter I provided 45 members with 1 on 1 counseling. An SMP webinar, “Navigating the Self-

Managed Plan”, was presented on May 6th with 133 attendees. This webinar is designed primarily for

“newer” participants and is intended to help answer procedural questions. The webinar also directs our

members to links to the Fund Providers where they can obtain guidance in asset allocation and fund

selection. The next webinar is scheduled for August 12th and we currently have over 150 registered for

this webinar.
