2. ANTECEDENTES

NSC deberá promover la comercialización y exportación de

Alimento Marino Noruego. NSC es el propietario y titular de las

Marcas y el Material Publicitario.

2. BACKGROUND

NSC shall promote marketing and export of Norwegian

Seafood. NSC is the owner and proprietor of the Trade Mark(s)

and the Marketing Material.

El Licenciatario es un productor, importador o exportador de

Alimento Marino Noruego que busca utilizar la(s) Marca(s) y/o

el Material Publicitario en relación con la producción,

distribución, comercialización y/o venta de productos de

Alimento Marino Noruego.

The Licensee is a producer, importer or exporter of Norwegian

Seafood who wishes to use the Trade Mark(s) and/or the

Marketing Material in connection with its production,

distribution, marketing and/or sale of Norwegian Seafood

products.

NSC podrá otorgar licencias a otras entidades para el uso de

la(s) Marca(s) bajo términos y condiciones que pueden ser

distintos a los previstos en este Convenio.

NSC may grant other entities license to use the Trade Mark(s)

under terms which may differ from those set forth in this

Agreement.

NSC acuerda en otorgar al Licenciatario una licencia para el

uso de la(s) Marca(s) de conformidad con los términos y

condiciones previstos en este Convenio.

NSC has agreed to grant the Licensee a license to use the

Trade Mark(s) on the terms and conditions set out in this

Agreement.

Este Convenio cubre el uso de la(s) Marca(s) de los Productos

y etiquetas que han sido aprobados por NSC.

The Agreement covers the use of the Trade Mark(s) for

Products and labels which has been approved by NSC.

3. DEFINICIONES

Los términos mencionados a continuación en este Convenio

tendrán los siguientes significados:

In this Agreement the following expressions shall have the

following meanings:

“Convenio” significa este Convenio, incluyendo los Anexos

listados en la Sección 1.

"Agreement" means this Agreement inclusive of the Exhibits

listed in Section 1.

“Certificados de Aprobación” significa uno o más certificados

emitidos por la autoridad nacional competente que permita al

Licenciatario la producción o importación de alimentos del

mar.

"Approval Certificates" means one or more certificates issued

by the relevant national authority which allows the Licensee to

produce or import seafood.

“Alimento Marino Noruego” significa el alimento marino

proveniente de peces u otros productos marinos, como se

define en el artículo 1 de la Ley número 9 para la Exportación

de Pescado de Origen Noruego (Norwegian Fish Export Act No

9) del 27 de abril de 1990, y que habitan en forma natural en

las aguas marinas y dulces de Noruega y que son obtenidos

mediante pesca o cultivo de conformidad con las regulaciones

sectoriales de Noruega y que son descargados en tierra dentro

del territorio de Noruega.

"Norwegian Seafood" means seafood which originates from

fish or other marine products as defined in art. 1 of the

Norwegian Fish Export Act No 9 of 27 April 1990 and which

naturally inhabits the seawaters or freshwaters of Norway and

is caught or farmed in compliance with Norwegian sectorial

regulations and landed on Norwegian land territory.

“Productos” significa los productos aprobados por NSC, en el

entendido que los mismo califican como Alimento Marino

Noruego, y que son clasificados bajo el capítulo 3, con

excepción de harinas, alimentos y pellets de pesado que sean

aptos para el consumo humano (Código del Sistema

Armonizado 030510), y el capítulo 16, posición 16.04 y/o

16.05 de la Nomenclatura del Sistema Armonizado.

"Products" means the products approved by the NSC, provided

that these qualify as Norwegian Seafood, and are classified

under chapter 3, with the exception of flours, meals and

pellets of fish, fit for human consumption (HS Code 030510),

and chapter 16, position 16.04 and/or 16.05 in the HS

Nomenclature.

“Marca(s)” significan las solicitudes de marca y las marcas

registradas, de conformidad con el Anexo 3, referidas en forma

individual o conjuntamente, según resulte aplicable.

"Trade Mark(s)" means the trademark applications and

trademark registrations as set out in Exhibit 3, referred to

separately or jointly, as the case may be.

“Comercialización” significa la producción, distribución,

comercialización y/o venta de Productos.

"Marketing" means production, distribution, marketing and/or

sale of Products.

“Material Publicitario” significa los materiales utilizados por la

Comercialización de Alimento Marino Noruego que sea

realizado por o en representación de NSC, y que, de tiempo en

tiempo, puedan ser puestos a disposición del Licenciatario.

"Marketing Material" means materials used for the Marketing

of Norwegian Seafood which is made by or on behalf of NSC

and which may be made available to the Licensee from time

to time.

“México” significa los Estados Unidos Mexicanos.

"Mexico" means the United Mexican States.

“Territorio” significa el territorio de México.

"Territory" means the territory of Mexico. 4. GARANTÍAS E INDEMNIZACIÓN POR

PARTE DEL LICENCIATARIO

4.1 El Licenciatario garantiza que:

- en los casos en los que sea requerido, cuenta con los

Certificados de Aprobación,

4.1 The Licensee warrants that:

- where required, it has valid Approval Certificates,

- deberá notificar a NSC en forma inmediata si una o

más de las Aprobaciones Requeridas fueron

revocadas, expiradas, terminadas, limitadas o si

cualquier acción similar es realizada afectando la

capacidad del Licenciatario para producir o importar

alimento marino en el Territorio,

- it shall notify NSC immediately if one or more of its

Approval Certificates are revoked, expired,

terminated, limited or if any similar actions are

applied which affects Licensee's ability to produce or

import seafood in the Territory,

- cumplirá con cualquier requisito legal que resulte

aplicable a su negocio en el Territorio en relación con,

en forma enunciativa mas no limitativa, la declaración

de Productos bajo códigos de arancel adecuados, así

como elaborar e incluir en los Productos la

información alimenticia que sea requerida y

obligatoria de conformidad con las leyes y

- it will comply with any legal requirements applicable

for its business in the Territory as regards for

instance, but not limited to, declaring Products under

proper customs tariff codes and furnishing and

applying required and mandatory food information to

the Products as per applicable laws and regulations,

consentimientos que sean necesarios para la

Comercialización de los Productos en el Territorio,

necessary for the Marketing of the Products in the

Territory,

- la Comercialización de productos que sean

etiquetados con la(s) Marca(s) deberá estar limitado a

los Productos aprobados, y deberá ser realizado en la

forma en que NSC determine que no pone en riesgo la

plusvalía (goodwill) de la(s) Marca(s), de NSC o de la

reputación del Alimento Marino Noruego y que no

resulte engañoso para los consumidores,

- its Marketing of products which are labelled with the

Trade Mark(s) shall be limited to the Products

approved, and conducted in a way which NSC

determines does not jeopardise the goodwill of the

Trade Mark(s), NSC or the reputation of Norwegian

Seafood and does not mislead consumers,

- el uso de las marcas que son propiedad del

Licenciatario junto con la(s) Marca(s) no viola

derechos de terceros,

- Licensee’s own trademarks used in conjunction with

the Trade Mark(s) do not violate any third party rights,

- sólo utilizará la(s) Marca(s) de conformidad con los

términos y condiciones previstos en este Convenio.

- it will only use the Trade Mark(s) in compliance with

the terms and conditions set out in this Agreement.

4.2 Indemnización:

- El Licenciatario deberá indemnizar y sacar en paz y a

salvo a NSC respecto de cualquier pérdida, daños,

responsabilidad y cualquier reclamación de cualquier

tercero, derivado de o en relación con los siguientes:

(i) como resultado del incumplimiento por parte del

Licenciatario de cualquier de las obligaciones

previstas en este Convenio; (ii) en caso de que el

Licenciatario, sin contar con la previa autorización por

parte de NSC, utilice la(s) Marca(s) para cubrir otros

productos y/o servicios distintos de los mencionados

en este Convenio; y (iii) cualquier otro asunto

relacionado con los Productos o la Comercialización

por parte del Licenciatario, el uso de la(s) Marca(s) o

el Material Publicitario, incluyendo en conjunto con el

uso de las marcas que son propiedad del

Licenciatario.

4.2 Indemnification:

- The Licensee shall indemnify and hold harmless NSC

against all losses, damages, liabilities and any claims

from any third party arising out of or caused: (i) as a

result of the breach by Licensee of any of its

obligations hereunder; (ii) in the event that Licensee

uses the Trade Mark(s) to cover other products

and/or services than those set forth herein, without

obtaining the prior written consent of NSC; and (iii)

any other matter related to the Products or

Licensee´s Marketing, use of the Trade Mark(s) or

Marketing Materials, including in conjunction with the

use of the Licensee’s own trademark.

5. MANTENIMIENTO DE LA(S) MARCA(S)

POR PARTE DE NSC

5.1 NSC pagará cualesquier cuotas para la renovación de

los registros de la(s) Marca(s), en los casos que

resulte aplicable, en los casos en los que la

actualización de los registros sea considerado

relevante por parte de NSC.

5. NSC'S MAINTENANCE OF THE TRADE

MARK(S)

5.1 NSC will pay any renewal fees for registered Trade

Mark(s) when applicable, in order to maintain a

registration where maintenance of registrations at

NSC's sole discretion is considered relevant.

6. OTORGAMIENTO DE LICENCIA

6.1 NSC otorga al Licenciatario una licencia de uso

temporal, no exclusiva para utilizar la(s) Marca(s) y el

Material Publicitario junto con los Productos, los

cuales han sido aprobados por NSC, sujeto a los

términos y condiciones previstos en este Convenio y

6.1 NSC grants the Licensee a temporary, non-exclusive

license to use the Trade Mark(s) and the Marketing

Material in association with Products, which have

been approved by NSC, subject to the terms and

conditions set out in this Agreement and solely in

connection with the Licensee's Marketing of the

Products in the Territory for the duration of this

Agreement. Any goodwill in the Trade Mark(s) existing

either prior to or arising during the term of this license

is owned by NSC. Licensee assigns any goodwill

arising during the term of the license to NSC as and

when it arises.

6.2 La licencia objeto de este Convenio, en relación con

la(s) Marca(s), será otorgada en forma gratuita.

6.2 The license subject matter of this Agreement, with

respect to the Trade Mark(s) shall be free of charge.

6.3 El Licenciatario no cuenta con autorización para sub-

licenciar la(s) Marca(s) o en cualquier otra forma

transferir o ceder los derechos derivados de las

mismas.

6.3 The Licensee is not authorized to sublicense the

Trade Mark(s) or in any manner transfer or assign its

rights hereunder.

6.4 De tiempo en tiempo, NSC, a su sola discreción, podrá

proporcionar ciertos Materiales Publicitarios al

Licenciatario. En cualquier momento, NSC podrá

retirar cualquier Material Publicitario o el permiso en

favor del Licenciatario para utilizar dicho Material

Publicitario.

6.4 NSC may, from time to time and at NSC’s sole

discretion, provide certain Marketing Materials to the

Licensee. NSC may withdraw any Marketing Material

or its permission to the Licensee to use such

Marketing Material at any time.

6.5 La(s) Marca(s) y el Material Publicitario sólo podrá ser

utilizado en aquellos casos en los que el Alimento

Marino Noruego sea el principal ingrediente, y no

podrá ser utilizado en, o en relación con, cualquiera

de las siguientes:

6.5 The Trade Mark(s) and the Marketing Material may

only be used where Norwegian Seafood is the main

ingredient, and cannot be used on, or in connection

with, any of the following:

(a) productos que no sean percibidos como

productos de alimento marino por el

consumidor promedio;

(a) products that are not perceived as a seafood

product by the average consumer;

(b) productos respecto de los cuales el uso de la

Marca y/o del Material Publicitario induciría

al error por parte del consumidor;

(b) products where the use of the Trade Mark

and/or Marketing Material would mislead

consumers;

(c) productos que también contengan y/o sean

mezclados con alimento de origen del mar

proveniente de destinos distintos a Noruega,

o que no cumplan con la definición de

Alimento Marino Noruego en los términos

previstos en este Convenio;

(c) products which also contain and/or are

mixed with seafood from other territorial

origins than Norway, or which otherwise does

not comply with the definition of Norwegian

Seafood as set out herein;

(d) productos que no sean aptos para el

consumo humano;

(d) products not intended for human

consumption;

(e) aditivos y suplementos alimenticios;

(e) additives and food supplements;

(f) productos que contengan volúmenes poco

significativos de otras proteínas animales,

como son el pollo, puerco o res o que son

comercializados como dichos productos;

(f) products containing non-negligible volumes

of other animal protein such as chicken, pork

or beef or are marketed as such products;



(g) productos respecto de los cuales el uso de la

Marca y/o el Material Publicitario, a la sola

discreción de NSC, pudiera poner en riesgo

las características distintivas y plusvalía

(goodwill) de la Marca, NSC o la reputación

del Alimento Marino Noruego; o

(g) products where the use of the Trade Mark

and/or Marketing Material, in NSC's sole

discretion, would jeopardise the

distinctiveness and goodwill of the Trade

Mark, NSC or the reputation of Norwegian

Seafood; or

(h) productos que también sean etiquetados

junto con la(s) marca(s) del Licenciatario, en

los casos en los cuales la(s) Marca(s) del

Licenciatario, a la sola discreción de NSC,

pudieran poner en riesgo la plusvalía

(goodwill) de la Marca, NSC o la reputación

del Alimento Marino Noruego

(h) products also labelled with the Licensee’s

trademark(s) where Licensee's trademark(s),

in NSC's sole discretion, would jeopardise the

goodwill of the Trade Mark, NSC or the

reputation of Norwegian Seafood.

6.6 La(s) Marca(s) utilizadas en los Productos sólo

deberán ser utilizadas conjuntamente con la marca

del Licenciatario y/o cualquier marca de su(s)

cliente(s), y la(s) Marca(s) no deberán representar

una porción dominante de las mismas. La(s) marca(s)

del Licenciatario y/o cualquier marca(s) de su(s)

cliente(s) no deberán ser diseñadas o contener

palabras u otros elementos que pudieran confundirse

con la(s) Marca(s) o que en forma alguna induzcan al

error del consumidor o de cualquier persona que

pudieran considerar que dichas marcas se

encuentran relacionadas con los productos de NSC o

que NSC y el Licenciatario son socios, asociados (joint

venturers) o compañías afiliadas. La(s) marca(s) del

Licenciatario y/o cualquiera de las marcas de su(s)

cliente(s) deberán acompañarse por una descripción

del producto (e.g., “Salmón Noruego” o cualquier otro

similar). La descripción del producto deberá ser

identificada en forma clara en el empacado del

producto. NSC podrá, previa solicitud por parte del

Licenciatario o por su propia iniciativa, proporcionar

orientación adicional en relación con el uso adecuado

de la(s) Marca(s) en contextos específicos, en cuyo

caso el Licenciatario deberá apegarse a las

instrucciones o sugerencias de NSC.

6.6 The Trade Mark(s) used on the Products shall only be

used together with the Licensee's own trade mark

and/or any trade mark of their customer(s), and the

Trade Mark(s) may not form a dominant part. The

Licensee's own trade mark(s) and/or any trade mark

of their customer(s) may not be designed in a manner

or contain words or other elements which may be

confused with the Trade Mark(s) or in any way

misleading consumer or others into believing that

these are related to products of NSC or that NSC and

Licensee are in any way partners, joint ventures or

affiliated companies. The Licensee's own trade mark

and/or any trade mark of their customer(s) must be

accompanied by a product description (e.g.

"Norwegian Salmon" or similar). The product

description must be clearly displayed on the

product/packaging. NSC may, upon request by the

Licensee or on its own initiative, provide further

guidance regarding the proper use of the Trade

Mark(s) in specific contexts, in which case the

Licensee shall follow the instructions or suggestions

provided by NSC.

6.7 El Licenciatario no tendrá derecho a utilizar la(s)

Marca(s) en relación con otros productos que sean

distintos de los Productos.

6.7 The Licensee shall have no right to use the Trade

Mark(s) in connection with any other products than on

the Products.

6.8 La(s) Marca(s) y el Material Publicitario sólo podrá ser

utilizado por el Licenciatario y/o en relación con los

Productos que son importados o adquiridos de

compañías que sean exportadores registrados de

Alimento Marino Noruego y/o que puedan preparar

declaraciones de exportación y/o certificados

noruegos de pesca.

6.8 The Trade Mark(s) and Marketing Material may only

be used by Licensee on/in connection with Products

which are imported or bought from companies which

are registered exporters of Norwegian Seafood and

which may furnish export declarations and/or

Norwegian catch certificates.



6.9 Todos y cada uno de los productos empacados que el

Licenciatario busca utilizar junto con la(s) Marca(s),

de forma previa a su comercialización, deberán ser

presentados y aceptados mediante una autorización

por escrito de NSC.

6.9 All and any product packaging which the Licensee

wishes to use in association with the Trade Mark(s),

shall be presented and accepted by NSC in writing

prior to commercial use.

6.10 Si el Licenciatario desea utilizar la(s) Marca(s) en

cualquier medio electrónico, e.g., en Internet, dicho

material deberá ser aprobado por NSC y aceptado

mediante escrito de forma previa a su uso externo. Si

el Licenciatario desea utilizar la(s) Marca(s) o

cualquier otro material publicitario o impreso, NSC

tendrá la facultad de solicitar una muestra para su

aprobación. A su sola discreción, NSC podrá aceptar o

rechazar cualquier empaque o cualquier otro uso de

la(s) Marca(s) y no será responsable por cualquier

retraso o rechazo de dichos empaques o uso de la(s)

Marca(s).

6.10 If the Licensee wishes to use the Trade Mark(s) on

any electronic medium, e.g. the Internet, such

material shall be provided to NSC and accepted in

writing prior to external use. If the Licensee wishes to

use the Trade Mark(s) on any other marketing or

printed material, NSC has the right to ask for samples

for approval. NSC shall have full discretion to accept

or deny any proposed product packaging or other use

of the Trade Mark(s) and shall bear no liability for any

delay or denial of such proposed product packaging

or use of the Trade Mark(s).

7. INSTRUCCIONES DE RASTREO,

REPORTES Y AUDITORÍAS

7.1 Con el fin de prevenir que el alimento de origen

marino que no corresponda a Alimento Marino

Noruego sea etiquetado o comercializado con la(s)

Marca(s), el Licenciatario deberá utilizar un sistema

de rastreo que permita controlar todos los productos

etiquetados con la(s) Marca(s) o que de cualquier

forma sean comercializados con la(s) Marca(s), que

permita rastrear y documentar que los productos

comercializados bajo la(s) Marca(s) sean originados

como Alimento Marino Noruego, y que el mismo se

encuentra sujeto a una Licencia de conformidad con

este Convenio,

7. TRACKING INSTRUCTIONS, REPORTING

AND AUDITS

7.1 In order to prevent that seafood which is not

Norwegian Seafood is labelled or marketed with the

Trade Mark(s), the Licensee shall use a tracking

system which enables control of all products labelled

with Trade Mark(s) or in any other way marketed with

Trade Mark(s), which can trace and document that

the products sold under the Trade Mark(s) origin from

Norwegian Seafood, and otherwise are subject to a

License under this Agreement,

7.2 El sistema de rastreo del Licenciatario deberá ser

documentado, confiable y verificable. Dicho sistema

podrá ser inspeccionado y auditado por un auditor

externo que será nombrado por NSC.

7.2 The Licensee's tracking system shall be documented,

reliable and verifiable. It may be checked and audited

by a third party auditor appointed by the NSC.

7.3 Todos los productos y alimento marino que son

vendidos o comercializados junto con la(s) Marca(s)

deberán ser manejados de forma que el origen de

cada componente y/o ingrediente pueda ser

rastreado a través de todo el proceso de producción y

procesamiento hasta el punto en el cual los productos

terminado y/o productos sean empacados de

conformidad con los requisitos de etiquetado y de

información alimenticia correspondientes.

7.3 All products and seafood that are sold or marked with

the Trade Mark(s) must be handled in such a manner

that each component and/or ingredient's true place

of origin can be traced throughout the entire

manufacturing and processing phase until the

finished goods and/or products are packed in

accordance with the relevant labelling and food

information requirements.

7.4 En particular, y sin perjuicio de los términos generales

mencionados anteriormente, el Licenciatario deberá

ser capaz de demostrar que:

the above, the Licensee must be able to verify that it:



- cuenta con un sistema de rastreo legítimo que

permite el rastreo del lugar de origen de los

componentes utilizados en cualquier producto y/o

alimento marino que sean etiquetados con la Marca,

- has a legitimate tracking system enabling the tracing

of true place of origin of components used in any

product and/or seafood labelled with the Trade Mark,

- en todo momento, asegurar que la materia prima

adquirida como Alimento Marino Noruego sea

acompañado por certificados noruegos de pesca, en

los casos que resulta aplicable, los cuales podrán ser

producidos en cualquier momento a solicitud expresa

por parte de NSC y/o el auditor externo,

- at all times ensures that raw material purchased as

Norwegian Seafood is accompanied by a Norwegian

catch certificate, where applicable, which may be

furnished at any given time upon express request by

NSC and/or the third party auditor,

- en todo momento, cuenta con sistemas y controles

que aseguren que la producción y fabricación de un

producto que ostente la Marca sea claramente

separado y no mezclado con otros procesos de

fabricación de otro(s) tipo(s) de producto(s),

- at all times has systems and controls to ensure that

the production and manufacturing of a product

bearing a Trade Mark is clearly separated and not

mixed with any other manufacturing processes for

other type(s) of product(s),

- en todo momento, que puede rastrear y documentar

el manejo, alteración, procesamiento, división o

segmentación del Alimento Marino Noruego que sea

realizado bajo el control y actividades del

Licenciatario, desde la recepción de la materia prima

If the Licensee employs any third parties or

subcontractors during handling of the Norwegian

Seafood, Licensee shall ensure that this third party

will comply with this Agreement.

7.5 De forma regular, y por lo menos una vez al año, el

Licenciatario deberá reportar a NSC respecto al uso

de la(s) Marca(s) por parte del Licenciatario. Los

reportes del Licenciatario deberán prepararse en un

formato que incluya la información y especificaciones

que sean solicitadas razonablemente por NSC. NSC

deberá establecer las fechas límites para la entrega

de dichos reportes.

7.5 The Licensee shall on a regular basis, minimum once

a year, report to NSC regarding the Licensee's use of

the Trade Mark(s). The Licensee's reports shall be in a

format and with the information and specifications

reasonably requested by the NSC. NSC sets the

deadlines for the reports.

producidas, en el entendido que dicha(s) solicitud(es)

sean razonables, asumiendo que deberá prestarse

atención para la protección de la información

confidencial del Licenciatario, y que la(s) solicitud(es)

sean limitadas a información estrictamente

relacionadas con el desempeño del Licenciatario en

relación con este Convenio, y

- have access to information from and access to

relevant data bases, files or records in addition to

other data as well as statistics available or which may

be produced, provided such request(s) are

reasonable, assuming that due attention will be paid

to the protection of the Licensee's confidential

information, and that the request(s) are restricted to

information strictly relating to the Licensee’s

performance of this Agreement, and

7.6 Como parte del programa de Licencia NSC, y con el fin

respecto de fabricante(s), cuyo costo será a cuenta de

NSC.

7.6 As part of the NSC License program, and in order to

preserve the integrity of the Trade Mark(s), NSC will

annually request third party audit of selected

manufacturer(s), costs of which will be borne by NSC.

7.7 Si NSC considera o cuenta con un motivo para

considerar, a su sola discreción, que el Licenciatario

ha incumplido con los requisitos previstos en este

Convenio, en cualquier momento, NSC podrá solicitar

una auditoría externa.

7.7 If NSC believes or has reason to believe, at NSC's sole

discretion, that the Licensee is not in compliance with

requirements under this Agreement, NSC may at any

time request a separate third party audit.

7.8 Sin limitar las disposiciones previstas anteriormente,

7.8 Without limiting the foregoing, Licensee shall be in

compliance with any applicable traceability laws and

regulations.

7.9 In the event of non-compliance of this clause 7, and

without limiting any other remedies available, the

Licensee is obliged to immediately withdraw the

applicable Products from the market.

8. DERECHOS DE PROPIEDAD INTELECTUAL

8.1 El Licenciatario reconoce que NSC es el único

propietario y titular de la(s) Marca(s) y el Material

Publicitario, y que el Licenciatario no deberá obtener

o reclamar derecho(s) sobre la(s) Marca(s) o el

Material Publicitario excepto por el derecho de

licenciar, en términos de lo previsto en este Convenio.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 The Licensee acknowledges that NSC is the owner

and proprietor of the Trade Mark(s) and the Marketing

Material, and that the Licensee shall not obtain or

claim any right(s) to the Trade Mark(s) or the

Marketing Material except for the right to license as

expressly set out in this Agreement.



8.2 El Licenciatario no registrará o utilizará nombre de

dominio o marcas que contengan textos o elementos

figurativos que se incluyan o sean similares a

elementos incluidos en la(s) Marca(s) o que de

cualquier otra forma puedan confundirse o

relacionarse con NSC o la(s) Marca(s).

8.2 The Licensee shall not register or use any domain

names or trademarks which contain text or figurative

elements included in or similar to elements included

in the Trade Mark(s) or which may in any other way be

confused with or associated with NSC or the Trade

Mark(s).

8.3 El Licenciatario utilizará marcas que sean propiedad

de NSC y que no se encuentren listadas en el Anexo 3

de este Convenio.

8.3 The Licensee shall not use any trademark held by

NSC that it is not contained in Exhibit 3 of this

Agreement.

8.4 The Licensee shall not present any document before

governmental authorities in order to exercise legal

actions against the trademarks held by NSC.

9. INCUMPLIMIENTO DE

COMERCIALIZACIÓN

9.1 En caso de que NSC, a su sola discreción, determine

que la(s) Marca(s) son utilizadas en una forma que

puedan inducir al error o que en cualquier forma

resulten abusivas e inconsistentes con este Convenio

o con la imagen o reputación de NSC o el Alimento

Marino Noruego, será considerado como un

incumplimiento material de este Convenio. Asimismo,

NSC podrá exigir cualquier compensación por

cualquier pérdida (ya sea económicas o no-

económicas).

9. NON-COMPLIANT MARKETING

9.1 Should NSC, in its sole discretion, determine that the

Trade Mark(s) are used in a manner that is

misleading or in any other way in an abusive manner

inconsistent with this Agreement or the image or

reputation of NSC or Norwegian Seafood, this will be

deemed a material breach of the Agreement. Further,

NSC may demand compensation for all losses (both

economic and non-economic).

9.2 En tanto que sea determinado el incumplimiento de

este Convenio de forma posterior a la auditoría que

sea realizado por un tercero, NSC exigirá la

compensación por todos los costos incurridos en

relación con dicha auditoría y el Licenciatario acuerda

established following third party audit, NSC will

demand compensation for all costs incurred in

connection with the audit and Licensee agrees to

reimburse such costs.

10. INCUMPLIMIENTO O USO NO

AUTORIZADO POR PARTE DE TERCEROS

10. INFRINGEMENT OR UNAUTHORISED USE

BY THIRD PARTIES

10.1 The defense of the rights derived from the Trade

Mark(s) is reserved to NSC. In the event that the

Licensee becomes aware of any infringement of

NSC's intellectual property by a third party, including

unauthorized use of the Trade Mark(s) or the

Marketing Material, it shall promptly notify NSC so

10.2 NSC disclaims any warranties as to registrability of the

Trade Mark(s), or infringement of third parties’ rights,

merchantability, and fitness for a particular purpose

with regard to the Products or Marketing Materials on

which the Trade Mark(s) are used.

11. DURACIÓN Y TERMINACIÓN

11.1 Este Convenio surtirá efectos en la fecha en la que el

mismo sea firmado por última vez, y terminará en un

plazo de 3 años contados a partir de dicha fecha. Las

Partes podrán acordar por escrito la renovación del

Convenio por un plazo de 3 años adicionales.

11. DURATION AND TERMINATION

11.1 This Agreement shall enter into force upon the last

date of signature of this Agreement, and shall expire

at the date of 3 years thereafter. The Parties may

agree in writing to extend the Agreement for

subsequent 3 year periods.

11.2 En cualquier momento durante la vigencia del

Convenio, y para beneficio de las Partes, ambas

Partes podrán terminar el Convenio, mediante

notificación previa por escrito a la otra Parte dentro

de un plazo de 90 días. La terminación del Convenio

podrá incluir todas o alguna de la(s) Marca(s).

11.2 During any current Agreement period, both Parties

may terminate the Agreement for convenience at any

time during the term of the Agreement by giving the

other Party at least 90 days prior written notice. The

termination may cover all licensed Trade Mark(s) or a

specific Trade Mark.

11.3 Este Convenio y la licencia prevista en relación con

la(s) Marca(s) y el Material Publicitario terminará, con

efectos inmediatos, en caso de que (i) el Licenciatario

entre a concurso mercantil, liquidación, sea

insolvente o descontinúe el curso habitual de sus

negocios, (ii) el Licenciatario se encuentre en caso de

incumplimiento en relación con las cláusulas 4, 6, 7,

8 o 9, (iii) los Certificados de Aprobación del

Licenciatario sean revocados, expirados, terminados

o cualquier otro similar, (iv) la(s) Marca(s) registradas

sean revocadas o consideradas inválidas, o (v) el

Licenciatario haya incumplido el Convenio en forma

material.

11.3 This Agreement and the license hereunder to all

Trade Marks and Marketing Material terminates with

immediate effect in the event that (i) the Licensee

enters into bankruptcy process (concurso mercantil),

liquidation, becomes insolvent or discontinues its

general course of business, (ii) the Licensee is in

breach of any of its obligations set out in clause 4, 6,

7, 8 or 9, (iii) the Licensee's Approval Certificates are

revoked, expired, terminated or similar, (iv) registered

Trade Mark is being revoked or held invalid or (v) the

Licensee is in material breach of this Agreement.

11.4 En la fecha terminación o vencimiento de este

termination or expiry may be marketed and sold in the

Territory for a period of maximum 30 days after

shall be in compliance with this Agreement. The

Licensee agrees to return to NSC any document which

contains evidence of the Trade Mark(s) or the rights

12. INEXISTENCIA DE ASOCIACIÓN O AGENCIA

12.1 Ninguna de las disposiciones previstas en este

Contrato tiene por objeto la creación de una asociación,

joint venture o relación legal de cualquier tipo que

pueda resultar en la imposición de responsabilidad a

una de las Partes por los actos u omisiones de la otra

Parte.

12. NO PARTNERSHIP OR AGENCY

12.1 Nothing in this Agreement is intended to create a

partnership, joint venture or legal relationship of any

kind that would impose liability upon one Party for the

acts or omissions of the other Party.

14. INTERPRETACIÓN Y MODIFICACIONES

14.1 El incumplimiento de cualquiera de las Partes para

ejecutar, en cualquier momento o por cualesquier

periodos, cualquier disposición de este Convenio no

deberá ser considerarse como una renuncia al mismo o

al derecho de dicha Parte de poder ejercer todas y cada

una de las disposiciones previstas en el Convenio.

14. INTERPRETATION AND AMENDMENTS

14.1 The failure of either Party to enforce at any time or for

any periods of time any provision of this Agreement

shall not be construed as a waiver thereof or of that

Party’s rights thereafter to enforce each and every

provision hereof.

15. SOLUCIÓN DE CONFLICTOS Y LEY

APLICABLE

15.1 Este Convenio y cualquier otro asunto derivado o en

relación el mismo deberá regularse por e interpretado

de conformidad con la ley de Noruega.

15. DISPUTE RESOLUTION AND GOVERNING

LAW

15.1 This Agreement and any other matter arising from or

in connection with it shall be governed by and

construed in accordance with Norwegian law.

15.2 Cualquier disputa, controversia o reclamación derivada

de o en relación con este Convenio deberá buscarse

que la misma sea resuelta en forma amigable. Si una

solución amigable no es acordada dentro de un plazo

de 30 días contados a partir de la solicitud que sea

realizadas por cualquiera de las Partes con el fin de

negociar para resolver la disputa, controversia o

reclamación, entonces dicha disputa, controversia o

reclamación deberá ser resuelta en forma definitiva por

el Instituto de Arbitraje de la Cámara de Comercio de

Estocolmo (Arbitration Institute of the Stockholm

Chamber of Commerce) de conformidad con las Reglas

de Arbitraje del Arbitraje de la Cámara de Comercio de

Estocolmo (Arbitration Institute of the Stockholm

15.2 Any dispute, controversy or claim arising out of or in

connection with this Agreement shall first be sought

to be settled amicably. If an amicable solution is not

reached within 30 days of a request by either Party to

enter into negotiations to resolve the dispute,

controversy or claim,, then such dispute, controversy

or claim shall be finally settled by the Arbitration

Institute of the Stockholm Chamber of Commerce in

accordance with the Arbitration Rules of the

Arbitration Institute of the Stockholm Chamber of

Commerce. The seat of the arbitration shall be

Stockholm, Sweden. The arbitral tribunal shall be

composed of three arbitrators. The arbitration shall be

conducted in the English language. The arbitration

proceedings and the arbitral award shall be kept

private and confidential. For the avoidance of doubts,

this clause does not prevent either Party from seeking

injunctive or other immediate relief from a competent

court in the applicable jurisdiction.

“Alimento Marino Noruego” significa el alimento

marino proveniente de peces u otros productos

de Origen Noruego (Norwegian Fish Export Act

No 9) del 27 de abril de 1990, y que habitan en

forma natural en las aguas marinas y dulces de

Noruega y que son obtenidos mediante pesca o

cultivo de conformidad con las regulaciones

"Norwegian Seafood" means seafood which

originates from fish or other marine products as

defined in art. 1 of the Norwegian Fish Export

Act No 9 of 27 April 1990 and which naturally

inhabits the seawaters or freshwaters of Norway

and is caught or farmed in compliance with

Norwegian sectorial regulations and landed on

Norwegian land territory.
