A Subsidiary of CKE Restaurants ATTENTION: ALL MEXICO FRANCHISEES FROM: MIKE WOIDA DATE: MARCH 1, 2012 RE: MEXICO IMAGE AND REMODEL STANDARDS CC: NED LYERLY, RON COOLBAUGH, BRAD SOMMER, DON JONES, MEXICO FBC’S During the last (36) months, Carl’s Jr. has undertaken, a company and franchise remodel initiative that insures that our brand remains competitive and exhibits an attractive, comfortable, and relevant image. To-date, (91%) CKE and (56%) franchise operated restaurants have been remodeled in the United States It has now been slightly more than twenty-years since the first Carl’s Jr. opened in Mexico and although we have (and are) enjoying tremendous success in developing our brand and establishing a very loyal customer base, it is important that we continue to evaluate our position in the marketplace and insure that our brand exhibits a best-in-class operation from our facilities, products, and our service. To support this, we will be reviewing all remodel- eligible1 Carl’s Jr. restaurants operating in Mexico to assess if exterior and/or interior renovation and signage upgrades are required and determine, with the franchisee, the scope of needed enhancements. Remodel Program Details The following exterior and interior standards have been approved for use in Mexico for both remodel and new restaurant projects. In light of the many various ‘exterior’ configurations in Mexico, these will require individualized review to determine which exterior format is appropriate and application of customized treatments that will depend on the original Carl’s Jr, building type. We understand that many restaurants in Mexico, for various reasons are unique and these need be treated rationally in determining the type and scope of enhancements needed (if any). Exterior Options: 1. Standard T-25/27 Building Elevations (Carl’s Jr. - United States) 2. ‘E Type’ Exterior (Mexico) Interior Options:

1. ‘Classic Star’ (Carl’s Jr. United States) 2. “Contemporary’ 3. ‘Modern’

1 Extensive structural changes, major remodeling and renovations and substantial modifications to existing equipment and improvements to modernize and conform the Licensed Restaurant to the image of the Carl’s Jr. System for new restaurants shall be required at CKE’s request (but not more often than every 5 years).

Your Franchise Business Consultant (“FBC”) will be your key contact through the remodel process should any of your restaurants be identified to participate in the remodel program. The process of assessment will begin in April, 2012 and your FBC will contact you to plan a preliminary meeting to review potential restaurants that are eligible for remodel and an individual assessment of identified restaurants will follow that will include the FBC and the franchise owner/operator. Working with the International development team, you and your FBC you will establish a remodel schedule and determine the final scope of work and estimated completion dates. Remodel Deadlines for Franchised Carl’s Jr. Restaurants in Mexico 1. If you operate one Carl’s Jr. Restaurant, the identified Restaurant must be fully remodeled by June 30, 2013 2. If you operate two Carl’s Jr. Restaurants, one identified restaurant must be fully remodeled by June 30, 2013,

and the second identified restaurant must be fully remodeled by June 30, 2014.

3. If you operate three or more Carl’s Jr. Restaurants, at least 33% of the identified restaurants must be fully remodeled by June 30, 2013, an additional 33% of the identified restaurants must be fully remodeled by June 30, 2014, and the remaining 33% of the identified restaurants must be remodeled by June 30, 2015.

While CKE is committed to keeping the implementation process on-track and on-time, we recognize that special circumstances may exist for a specific restaurant that justifies extending a deadline or, completing a remodel that may not be a ‘full-remodel’ due to imminent or near-imminent lease expirations, as an example. Your FBC will discuss these factors with you during the identification and assessment process. From a global perspective, it is essential that we bring our premium products and facility to our local guests, wherever we are, and maintaining a ‘system-wide’ Carl’s Jr. image. Following the lead of our remodel initiative in the United States, we are confident that our guests will notice the improvements and continue to think of Carl’s Jr. when they think of big, juicy, premium hamburgers. Your FBC will be in contact with you soon to provide additional information as well as the resource manuals for your reference and use. This Checklist along with the Interior Design Manual establishes an overall understanding of the elements of the Interior Design Remodel. For any specific Restaurant, there may be items or actions not identified in this Checklist that must be completed in order for that Restaurant to be “fully remodeled.” This Checklist is not a complete construction ‘Scope Of Work’ for any specific Restaurant. This Checklist does not include any actions that a Franchisee must take in order to comply with: any country, state, or local zoning, use ordinances or restrictions; or any restrictions in any real property lease or sublease, for which Franchisee will be solely responsible. CKE will not consider a Restaurant to be “fully remodeled,” unless that Restaurant complies with the standards set forth in this Checklist or any other written directives and the remodel is approved by CKE in writing.

The design guide is intended to provide guidanceto both corporate and franchisee community of theCarl’s Jr. Brand. The basic design elements thatsupports this brand consist of Visibility (Signage),Sensory (Color) and Design consistency (Material).These three elements together are minimumrequirements to create an arrival destination to theCarl’s Jr. brand.

Visibility of the brand must be free fromobscurity, ambiguity and should be easilyunderstood. Signage is paramount to Carl’s Jr.'svisibility thus main façade signage must beunobstructed and clear from all points facing themain façade. Placement of signage shouldalways occur on main towers or tall parapet wallsmounted in front of masonry or an approvedcontrast material.

Single stars may be placed near the rear or alongthe curve arcade and to match slightly theadjacent material. All stars angle must matchangle of the star in cloud sign with no exceptions.


SENSORY03

CKE DESIGN GUIDE

Color and lighting are the most important designelements when considering the immediateguest's experience. Main body color shouldstrengthen the brand while keeping a consistentlook that enhance the overall building designand serves as the secondary signage.
