1. Definitions and interpretation

1.1 In your Merchant Agreement:

Annual Participation fee meanstheannualfeeappliedforCardSchemeregistrationprogrammes.

Applicable Lawsmeansanyandallregional,national,localorotherlaws,statutes,regulations,rules,codesorordinancesenacted,adopted,issuedorpromulgatedinanyjurisdictionintheworldbyanycourtorregulator,totheextentapplicabletousoryou,ouroryourbusiness,orouroryourperformanceofobligations under this Agreement.

ApplicantmeanstheApplicantforMerchantServicesfromFirstData,whosubmitstheApplicationFormto FirstData.

Application FormmeanstheformsubmittedbytheApplicantapplyingforMerchantServicesfromFirstDatatobeprovidedunder the terms of your Merchant Agreement.

Assessment fees means the Assessment fees charged by First Data by reference to the rates set by the Card Schemes fromtimetotimeforeachCardTransactionprocessedonbehalf of a Merchant under your Merchant Agreement.

Assured ReservationsmeansthefacilitywherebyaMerchantwhomakesareservationofaccommodationforaCardholderwillmaintainthatreservation,regardlessofthetimeofarrivalofthecustomeronthedayforwhichthereservationismadeandmaychargetheCardholderinrespectofthereservationwherethecustomerdoesnotarrive.

Attest meanstodemonstrateandconfirmyourcompliancewiththePCIDSSandanychangeswhichmayoccurtothosestandards,bycompletingaself‑assessmentquestionnaireandattestationthroughthePCIDSSComplianceProgramme,eitheron‑line,overthetelephoneorinpaperform,orsubmittingareportofcompliancefromaPCIDSSaudit.

Authorisation meansourapprovalforaCardTransactiontogoahead.AuthorisationonlyconfirmsthattheCardhasnotbeenregisteredaslostorstolenandhasavailablecreditatthetimeoftheCardTransaction.ItdoesnotconfirmthatthepersonwhopresentstheCardisthegenuineCardholderand,therefore,aloneitdoesnotpreventtheCardTransactionbeingchargedbacktoyouinaccordancewithclause19.AllCardTransactionsaboveyourFloorLimitmustnormallybeauthorised.

Authorisation fee also known as Consolidated Authorisation feemeansthefeechargedinrespectofeachelectronicrequestforAuthorisationofaCard Transaction.

Bureau de Change Transactions means Card Transactions acceptedaspartofaBureaudeChange business.

Business meansyourBusinessasaMerchantasdescribedinyourMerchantAgreementorsuchotherdescriptionaswemay agree from time to time.

Business DaymeansanydaywhichisnotaSaturday, SundayorabankholidayinanypartoftheUnited Kingdom.

Card meansanyvalidPaymentCardapprovedbyFirst DatafromtimetotimeandtowhichyourMerchantAgreement applies.

Card Acquirer means any bank or other body duly authorised toprocessCardTransactionsfromaMerchant.

Cardholdermeansthecompany,firm,individualorotherbodyforwhoseuseaCardhasbeenissuedatanytime.

Cardholder’s Account means the account in the name of theCardholderwhichmaybedebitedorcreditedbytheCardAcquirerinrespectofCardTransactions.

Cardholder Information means any information relating to a Cardholder including any Card Number and any Personal Data.

Card Issuer means any bank or other body authorised by a Card Scheme to issue Cards.

Card Not Present Floor Limit means the Total Value for eachCardNotPresentTransactionatwhichyoumustobtainAuthorisation.ThisissetoutintheApplicationFormandwemayincreaseordecreasethisatanytimebygivingyouwrittennotice from time to time.

Card Not Present Transaction meansanytypeofCardTransactionwheretheCardholderisnotpresentortheCardisnotprovidedphysicallytoyouatthetimeofthetransaction,includingCardTransactionsmadethroughthetelephone,mailorder and/or a Website.

Card Number meansthenumberdisplayedonaCardidentifying the Cardholder’s Account.

Card Present Floor Limit means the Total Value for each Card PresentTransactionatwhichyoumustobtainAuthorisation.ThisissetoutintheApplicationFormandwemayincreaseordecreasethisatanytimebygivingyouwrittennoticefromtime to time.

Card Present Transaction meansanytypeofCardTransactionwheretheCardholderispresentandtheCardisphysicallyprovidedtoyouatthetimeofthe transaction.

Card Refund meansanyRefundgiveninrespectofaCardTransactionforcredittotheCardholder’s Account.

Card Refund Data means the details of a Card Refund processedthroughaTerminaloraWebsiteinaformwe approve.

Card Sales Data means the details of a Card Transaction processedthroughaTerminaloraWebsiteinaformwe approve.

Card Scheme meansVisaInternational,MastercardInternational,Diners,JapaneseCreditBureauandanyothercardschemeweapprovefromtimetotime.

Card Scheme Rules meanstherulesandoperatinginstructionsissuedbytheCardSchemesfromtimeto time.

Card Transaction meansanypaymentmadebytheuseofaCard,aCardNumberorinanyothermannerauthorisedbytheCardholder for debit to the Cardholder’s Account.

Cashback meansaserviceprovidedtoCardholderswherebycashisdispensedwithaPaymentCardpurchasetransactionat the Point-of-Sale.

Cashback fee meansthefeechargedmonthlyifwepermityou to offer Cashback to Cardholders.

Charges has the meaning assigned to it in Clause 16.1.

Chargeback meansaCardTransactionthatisdisputedbyaCardholder or Card Issuer and is returned to First Data under therelevantCardScheme Rules.

Chargeback fee meansthefeechargedinrespectofeachCardTransactionwhichissubjecttoa Chargeback.

Chip and PIN Card meansaCardinrespectofwhichaPINmaybeenteredinaPINEntryDevice.

Clearing fee meansthefeechargedbyusinrespectofeachCardTransactionweclearthroughtheCard Schemes.

ClientLine fee means the fee charged monthly for online accesstotransaction,bankdepositandChargebackdata history.

Controller hasthemeaninggivenintheGDPR.

Data Protection Laws meanstheGDPRandanyotherlawsorregulationsapplicabletotheprocessingofPersonalData.

Data Subject hasthemeaninggivenintheGDPR.

Debit Card meansaVisaDebitCard,VisaElectronCard,InternationalMaestroCard,MaestroCard,DebitMastercardandsuchotherCardsasnotifiedbyustoyoufromtimetotime as being Debit Cards.

Deferred Payment has the meaning set out in clause 17.5.

Deferred Supply Period meansthemaximumperiodspecifiedinyourApplicationForm,ortheperiodagreedwiththeCardholderatthetimeoftheCardTransaction(ifless),withinwhichyoumustsupplygoods,services,accommodationorotherfacilitiesfollowingthetimeoftheCard Transaction.

Deferred Supply Transactions means Card Transactions wherethegoods,services,accommodationorotherfacilitiesaresuppliedtotheCardholderatatimelaterthanthetimeoftheCard Transaction.

Disabling Device meansanysoftware,viruses,worms,timeorlogicbombs,Trojanhorsesorothercomputerinstructions,intentionaldevicesortechnologiesthatcanorweredesignedtothreaten,infectordisrupt,damage,disableorshutdownalloranypartofacomputerprogram,networkorcomputerdata.

E-Commerce means a business transaction conducted electronically.ThisincludesCardTransactionstakenoverthe internet.

Electronic Link meansanycomputersystem,serverornetworkusedbyyoutocommunicatewithFirstDataorwith Cardholders.

Equipment meansallequipment,includingTerminals,hardwareandsoftwarethatweorouragentshaveapprovedorsuppliedtoyouinconnectionwithyourMerchant Agreement.

Express Checkout means a facility that enables Merchants offeringaccommodationtoimprovetheefficiencyoftheircheckoutprocedures,whichinvolveshavingtheirTerminaldownloadedwiththeappropriatesoftware.

Express Funding means the funding method that facilitates paymentofTransactionDatasettlementwithinaspecifiednumberofdaysfollowingthetransactionprocessingday.

Express Funding fee means the monthly fee charged for the ExpressFundingmethod.

FallbackmeansatransactiontakenusingapapervoucherwhenyourelectronicTerminal/Point‑of‑Salesystemshave failed.

Fallback Floor Limit means the Total Value for each Card TransactionatwhichyoumustobtainAuthorisationwhileyourTerminalorotherEquipmentisoutoforderortheWebsiteoranyElectronicLinkisnotavailableorfunctioningcorrectly.ThiswouldnormallybetheCardPresentFloorLimitortheCardNotPresentFloorLimit(asapplicable)unlesswenotifyyouotherwise.

Fallback Procedures meanstheproceduresyoumustfollow,assetoutintheOperatingGuideoraswemaynotifyyoufromtimetotime,ifyourTerminalorotherEquipmenthasfailedforatechnicalreasonoraWebsiteorElectronicLinkisnotavailableorfunctioningcorrectly.

Fallback Vouchers meanstheVoucherswesupplyorapprovewhichyoumustuseforCardTransactionswhereyourEquipmenthasfailedforatechnicalreasonortheWebsiteorElectronicLinkisnotavailableorfunctioningcorrectly.FallbackVouchers may be in the same form as Sales Vouchers.

First Data meansFirstDataEuropeLimited,aprivatelimitedcompanyincorporatedinEngland(company number02012925)witharegisteredaddressatJanus House,EndeavourDrive,Basildon,Essex,SS143WF.

First Data Products meanstheproductsmadeavailabletoyou by First Data from time to time on the terms set out in your Merchant Agreement.

Floor Limit means the Card Present Floor Limit or Card Not PresentFloorLimit(asapplicable).

Foreign Currency Card Transactions means Card Transactionswherethecurrencyofpaymentistobeinacurrencyotherthanpoundssterling.

Funding Method meansthechosenmethodofpaymentforCard Transaction Settlement.

Gateway Documentation meansanyandallmanuals,operatingpoliciesandproceduresandotherwrittenmaterialsinanyformorformatprovidedormadeaccessibletoyouinconjunctionwithanyelementoftheGatewayServices,asamendedbyusfromtimeto time.

Gateway Services meanstheprovisiontoyoubyFirstDataof:(i)ourgateways,togetherwithrelatedGatewaySoftwareandGatewayDocumentation,whichprovideaninterfacefor transmission of Transaction Data and the transmission of responseandrelateddatafromustoyouinconnectionwithyouruseoftheMerchantServicesandincludesFirst DataAPI ServicesandFirstDataConnect;and(ii)supportservices andanyotherancillaryorvalue‑addedservicesrelatedtoourgatewaysthatareprovidedtoyouunderyourMerchant Agreement.

Gateway Set-Up fee meansthefeechargedtoconfigureyourGatewayServices.

Gateway Software meansallprotocols,softwarecomponentsandotherinterfacesandsoftwarerelatingtothe GatewayServicesprovidedbyustoyouoraccessedbyyoupursuanttoyourMerchantAgreement,includinganyand allupdates.

Gateway Transaction fee means the fee charged for each AuthorisationrequestthatissubmittedthroughtheGatewayServices.VATappliestothischarge.

GDPR meansRegulation(EU)2016/679ontheprotectionofnaturalpersonswithregardtotheprocessingofPersonalDataandonthefreemovementofsuchdata.

Group meansFirstDataEuropeLimited,anyholdingcompanyofoursoranysubsidiaryofoursorourholdingcompany.Forthepurposesofthisdefinition,“subsidiary”and“holdingcompany”shallhavethemeaningsgiventotheminsection736oftheCompaniesAct1985including anysubsidiaryacquiredafterthedateofyourMerchant Agreement.

Independent Sales Organisation meansathirdpartyFirst Datamayretaintorefernewcustomer relationships.

Insolvency Event meansoneormoreeventsdescribedinclause28.2.2.2toclause28.2.2.9 (inclusive).

Intellectual Property Rights meansallpresentandfutureintellectualpropertyrights,includingpatents,utilitymodels,tradeandservicemarks,tradeorbusinessnames,domainnames,rightsindesign,copyrights,moralrights,topographyrights,databaserights,tradesecretsandrightsofconfidenceinallcaseswhetherornotregisteredorregistrableinanycountryforthefulltermofsuchrights,rightstoapplyforthesameandallrightsandformsofprotectionofasimilarnatureorhavingequivalentorsimilareffecttoanyoftheseanywhereintheworld.

Interchange fees meansthepercentageofthevalueofatransactionorotheramountchargedbyorpayabletoCardIssuersasinterchangefeesforatransactionprocessedonyourbehalfunderyourMerchantAgreement,asdeterminedinaccordancewiththeCardSchemeRules.

Interchange Plus meansInterchangefeesplustheProcessing fees.

Interchange Plus Plus meanstheInterchangefeesplusAssessmentfeesplustheProcessingfees.

Internet Card Transactions means an e-commerce Card Transactionmadeovertheinternet.

Joining fee also known as A/C Startup fee means the fee chargedwhenyourApplicationFormisaccepted.

Mastercard/Maestro EU Acceptance fee means the additionalfeechargedforeachtransactionprocessedonaMastercardorMaestrocardissuedintheareadefinedasEuropebyMastercard.

Mastercard/Maestro EU E-Commerce fee means the additional fee charged for each e-commerce transaction processedonaMastercardorMaestrocardissuedintheareadefinedasEuropeby Mastercard.

Mastercard International Acceptance fee means the additionalfeechargedforeachtransactionprocessedonaMastercardorMaestrocardissuedoutsidetheareadefinedasEuropebyMastercard.

Mastercard/Maestro International E-Commerce fee means the additional fee charged for each e-commerce transaction processedonaMastercardorMaestrocardissuedoutsidetheareadefinedasEuropebyMastercard.

MerchantmeansanysupplierofgoodsorservicesandauthorisedbyaCardAcquirer(inyourcase,First Data)toacceptCards.

Merchant Account means the bank accounts you nominate whichwemaydebitorcreditwithpaymentsinrespectofCard Transactions.

Merchant AgreementmeanstheApplicationForm,theseMerchantConditions,theOperatingGuideandallotheroperatingguidesprovidedtoyouinrespectofanyFirstDataProducts. These documents together form the agreement betweenyouandFirstData.

Merchant Conditionsmeansthesetermsandconditions,asvariedfromtimetotime.

Merchant Liabilitiesmeansyouractualliabilities,oranticipatedliabilitiesforwhichwereasonablybelieveyoumaybecomeliablefor,underorinrelationtoyourMerchant Agreement.

Merchant Services means the Settlement of funds relating toTransactionsthatare:i)submittedtousbyyou;andii)whichareAuthorisedandacceptedbyus,andincludesanyrelatedservicestobeprovidedbyustoyoupursuanttoyourMerchant Agreement.

Merchant Statementmeansthemonthlystatementweissuetoyou,orwhichweagreeyoumayviewelectronically,inrespectofallCardTransactionsprocessedbyFirstDataforyouinthepreceding month.

Merchant Systems meansanyhardwareorsoftwareusedbyyoutoaccesswebsite(s)operatedormaintainedbyusthroughwhichTransactionsaresubmittedforprocessing,andallotherassociated systems.

Minimum Gateway Transaction fee means the Minimum Monthly Charge for Authorisations submitted through the GatewayServices.VATappliestothischarge.

Minimum Monthly Charge also known as Minimum MSF meansthefeechargedforeachmonthinwhichtheamountoftheProcessingfeesinrespectofCardTransactionsdonotexceedthisamount.

Monthly Maintenance fee also known as Monthly Service Charge or Account on File fee means the fee charged for maintenance and administration of your Merchant Account.

Monthly Statement fee (excluding VAT) means the fee chargedmonthlyfortheproductionanddistributionofpaper statements.

MulticurrencymeanstheacceptanceoftransactionsincurrenciesotherthanGBP.Aforeignexchangeprotectionmarginapplieswherethetransactioncurrencyandmerchantfundingcurrencydiffers.TherateofexchangeiscalculatedusingReuters(endofdayrate)plusaforeignexchangeprotectionfeeofupto3%ofthegrosstransactionvaluechargedinconsiderationofcurrencyfluctuationsovertheperiodbetweenpaymentbytheCardholderandSettlementtoyou.

Multicurrency Merchant means a Merchant authorised by us toacceptMulticurrencyCard Transactions.

Non Qualifying means a transaction taken outside the termsofyourMerchantAgreementwithFirstDataornotundertakeninaccordancewithCardSchemeRulesasdetailedintheOperatingGuide.

Operating GuidemeanstheOperatingGuideissuedandvariedbyFirstDatafromtimetotimesettingoutthosedetailedproceduresandoperatinginstructionsyoumustfollowinconnectionwithacceptingandprocessingCard Transactions and your other obligations under your Merchant Agreement.

Payment Card Industry Data Security Standards (PCIDSS) meansthestandardsandanychangeswhichmayoccurtothosestandardslaiddownbytheCardSchemesandpublishedbythePaymentCardIndustryDataSecurityStandardsCounciloritssuccessors,tominimisethepotentialforCardandCardholderdatatobecompromisedandused fraudulently.

Payment RegulationsmeanstheUnitedKingdomPaymentServicesRegulations2017.

Payment Service Provider (PSP)meansaproviderofasecureonlinepaymentgatewaylinkbetweenyouand First Data.

PCI DSS Compliance Programme means our Payment Card IndustryDataSecurityStandardComplianceProgrammeorsuchothercomplianceprogrammedevisedtotestPCIDSSComplianceaswemaynotifyyoufromtimetotime.

PCI DSS Management fee means the fee charged monthly peroutlet,forthemonitoringandreportingofPCIDSSCompliancestatus.

Personal DatahasthemeaninggivenintheGDPR.

PINmeansapersonalidentificationnumberissuedbyaCardIssuertoaCardholderforusewithaPINEntry Device.

PIN Entry Devicemeansthedevicepresentatthe Point‑of‑SaleinwhichaCardholdercanentertheirPIN aspartofaCardPresentTransaction.

Point-of-SalemeansthephysicallocationatwhichyouacceptCardTransactionsand,inthecaseofCardNotPresentTransactionsthroughaWebsite,whereyouhaveyourfixedplaceofestablishment.

Polling meanstheprocessbywhichCardTransactionsarecollectedelectronicallybyusorbyathirdpartypollingbureauappointedbyyou(andapprovedbyFirstData)andsubmittedtousforprocessing.

Polling fee means the fee charged monthly for each Terminal forwhichPollingisused.

Pre-Authorised Orders means those Card Transactions forwhichaMerchanthassoughtAuthorisationpriortothedebitingoftheCardholder Account.

Premium Cards meansVisaConsumerChargeCards,Mastercard World Cards and Mastercard World Signia Cards andsuchotherCardsasnotifiedbyustoyoufromtimetotime as being Premium Cards.

Principalmeansanindividualwhois:

• Asoletrader;

• Apartner;

• Inthecaseofalimitedcompany,adirectororacompany secretary;

• Inthecaseofalimitedliabilitypartnership,amemberoradesignatedmember;whoprovidesinformationintheApplicationFormorotherwiseaspartofanapplicationforMerchantServicesfromFirstDataorinperformanceofyourMerchantAgreementincludingduringfinancialreviewsandinterviews.

Privacy PolicymeansapolicyexplaininghowPersonalDataisprocessedandexplainingtherightsofthepersonwhosePersonalDataisprocessedundertheDataProtectionLaws.

Processing DaymeansthedayonwhichaCard TransactionisprocessedfollowingacceptancethroughaPoint‑of‑Saledevice.

Processing fees means the charge made by First Data to youfortheprocessingofCardTransactionsunderyourMerchant Agreement.

ProcessorhasthemeaninggivenintheGDPR.

Purchase with CashbackmeansaCardTransactioninwhichaCardholderreceivescashaswellasgoodsor services.

QualifyingmeansatransactionundertakenwithinthetermsofyourMerchantAgreementwithFirstDatainaccordancewithCardSchemeRules,asdetailedintheOperatingGuide.

Recurring Transactions means those Card Transactions for whichtheCardholderauthorisesyoutodebittheiraccountonaperiodical,recurringbasis.

Refund means the reimbursement to a Cardholder of an earlierCardTransactionbetweenthatCardholderandyou.

Refund Charge means the fee charged for each refund transactionprocessed.

Refund ReceiptmeansareceiptinrespectofRefundsintheformweapproveincludinganElectronicRefundReceiptoraTerminalRefundReceipt.

Reserve Account means an account under our sole control wherefundsduetoyouarecrediteduntilweagreetoreleasethe funds to you.

Sales ReceiptmeansareceiptinrespectofaCardTransactioninaformweapprove,includinganElectronicSalesReceiptandaTerminalSalesReceipt.

Sales VouchermeanstheVoucherswesupplyorapproveforyourusetomakemanualCard Transactions.

Settlementmeansthepaymentofamountstobepaidbyustoyou,orbyyoutous,underyourMerchantAgreement.

Specific Assessment fees means the fees referred to in the ApplicationForm.

TerminalmeansthehardwareapprovedbyFirstDatawhichyouusetoprocessCardTransactions electronically.

Terminal Agreement means the agreement relating to the supplyofyourTerminal.

Terminal Collection feemeansthefeewemaychargeyouforcollectionbyFirstDataofanyEquipmentprovidedtoyouor your agents.

Terminal User GuidemeanstheuserguidesuppliedwiththeTerminal by the Terminal manufacturer.

Termination feemeansthefeepayablebyyouonterminationofyourMerchantAgreementifterminatedwithinsixmonthsofyourMerchantAgreement commencing.

Total ValuemeanstheTotalValue(inpoundssterling)ofanygoods,services,accommodationorotherfacilitiespurchasedusingaCard(includinganypartofthevalueofthepurchasepaidforbyanotherCardorothermethodofpayment).Forexample,aCardholdermaypurchasegoodsfor£100butpayforitusing£50incashand£50ontheircreditcard.TheTotalValueinthatexampleis£100.

Transaction Data means data relating to a Card Transaction including Card Sales Data and Card Refund Data.

United KingdommeanstheUnitedKingdomofGreatBritainandNorthernIreland,butexcludesfortheavoidanceofdoubt,theIsleofManandtheChannel Islands.

Unregulated Card Transaction means any Card Transaction withaCardthatisacommercialcardasdefinedinRegulation(EU)2015/751orissuedbyaCardIssueroutsidetheEEA.

Virtual Terminal or VTmeansanonlinedeviceusedtocaptureCarddetailsforsubmittingCardNotPresentTransactionstoaCardAcquirer.

VT Application FormmeansaVTapplicationformcompleted anddeliveredbyyou,forthepurposeofreceiving VTServices.

VT ChargesmeansthechargesweapplytoyoufortheprovisionofVTServices.

Virtual Terminal User GuidemeanstheuserguidesuppliedbyuswithyourVTandvariedbyusfromtimetotime,whichsetsoutthedetailedproceduresandoperatinginstructionsyoumustfollowinconnectionwithacceptingandprocessingCard Transactions through the VT and other obligations.

VT ServicesmeanstheprovisionofaVTthroughtheinternetbyustoyoutoenableyoutoprocessCardTransactions.

Visa EU E-Commerce fee means the additional fee charged foreache‑commerceandmailorderortelephoneordertransactionprocessedonaVisaCardissuedwithintheareadefinedasEuropebyVisa.

Visa International Acceptance fee means the additional fee chargedforeachtransactionprocessedonaVisaCardissuedoutsidetheareadefinedasEuropebyVisa.

Visa International E-Commerce fee means the additional feechargedforeache‑commerceandmailorderortelephoneordertransactionprocessedonaVisaCardissuedoutsidetheareadefinedasEuropebyVisa.

VouchersmeansSalesVouchers,RefundVouchersandFallback Vouchers.

we, us and our mean First Data and its successors and assignees.

Websitemeansanyinternetwebsiteowned,oroperatedbyyouoryouragentsorotherwiseusedbyyouoryouragentstoprocessCardTransactions.

you or yourmeanstheMerchantwhohasenteredintoyourMerchantAgreementandifyouarejointlyandseverallyliablewithotherpersonsunderclause35 theneachsuchperson.

1.2 In your Merchant Agreement:

1.2.1 (unlessitisclearfromthewordsintheclausethatwedonotmeanthis)ifwerefertoonegenderwearealsoreferringtoallgendersandifwerefertothesingularorpluralwearealsorespectivelyreferringtothepluralor singular;

1.2.2 wehaveputintheclauseheadingsforyourconvenienceonlyandthesedonotaffectthemeaningorinterpretationoftheclause concerned;

1.2.3 wehavereferredtostatutes,statutoryprovisions,regulationsandstatutoryinstrumentsandwherewehavedonesowearealsoreferringtotheamended,extendedorre‑enactedorupdatedversionsoftheseasmaybeinforcefromtimetotime;

1.2.4 theword“including”means“including,withoutlimitation”,andtheword“include(s)”means“include(s),withoutlimitation”;

1.2.5 reference to a clause is to a clause in these Merchant Conditions;

1.2.6 intheeventofanyinconsistencybetweenanyprovisionintheseMerchantConditionsandanyprovisionintheApplicationForm,theOperatingGuideandallotheroperatingguidesprovidedtoyouinrespectofanyFirstDataProducts,theprovisionintheseMerchantConditionsshallprevail;and

1.2.7 whereFirstDataapproval,consentorauthorityisrequired,wemayexercisethatapprovalorconsentrightsubjecttoanyapplicableCardSchemeRules,legalorregulatoryrequirements.

2. Acceptance of Cards

2.1 IfaCardholderwantstopurchasegoods,services,accommodation or other facilities offered by you,acceptancebyyouofanyCardsmustbeinaccordancewithApplicableLaw,CardSchemeRules,theseMerchantConditions,theOperatingGuideandanyotherfraudpreventionmaterialprovidedbyFirstData.

2.2 You may only charge a fee for Unregulated Card Transactions.IfyouindicateapricetoaCardholderforanUnregulatedCardTransactionwhichisnotapriceapplicabletoallmethodsofpaymentacceptedbyyouthenbeforeyouaccepttheUnregulatedCardTransactionyoumustdisplayastatementexplaininganymethodsofpaymenttowhichtheindicatedpricedoesnotapplyandthedifferenceinpriceeitherasanamountorapercentage.Thestatementmustbedisplayedateachpublicentrancetoyourpremisesand(exceptforCardNotPresentTransactions) at each Point-of-Sale. You must also informtheCardholderofthedifferenceinpricefor the Unregulated Card Transaction (either as an amountorapercentage)whentheypresenttheCard.YoumustnotchargemoreforacceptinganUnregulated Card Transaction than the actual cost to youofacceptingthatCardTransaction.StatementsinrespectofCardNotPresentTransactionsmustbemadeinaccordancewiththeOperatingGuide.

2.3 YoumustnotacceptanyCardTransactionandmustnotpresentanyVoucherorTransactionDatarelatingtoanyCardTransactioninrespectofgoods,services,accommodationorotherfacilitiesforwhichthePoint‑of‑SaleisoutsidetheUnitedKingdomunlesswegiveyoupriorwrittenconsent.

3. Authorisation

3.1 IfaCardholderwishestopurchasegoods,services,accommodationorotherfacilitiesfromyouwhichareequaltoorcostmorethantherelevantFloorLimitfortheCardconcernedyoumustgetpriorAuthorisationatthetimeofpurchasebyfollowingtheproceduressetoutintheOperatingGuide.ForRecurringTransactionsyourFloorLimitwillalwaysbenil.

WemayvarytheFloorLimitsatanytimeandbysuchmeansandonsuchnoticeaswemaythinkfit.

3.2 IfAuthorisationisrefused,theCardTransactionmustnotproceedandyoumustnotseekAuthorisationforanydifferent amount.

3.3 All Card Transactions using an International Maestro CardoraVisaElectronCardmust,regardlessoftheamount,beAuthorisedinaccordancewiththeOperatingGuide.

3.4 If a Cardholder does not immediately conclude theCardTransactionfollowingreceiptoftheAuthorisation,youmusttelephoneFirstDataassoonaspossibletocanceltheAuthorisationexceptifotherwiseallowedintheOperatingGuide.

3.5 IfyougetAuthorisation,youmustrecordthedetailsoftheAuthorisationonthe Sales Voucher.

3.6 IfwehavespecifiedaFloorLimitwhichishigherthanthestandardforyourtypeofBusiness(asdetermined by the Association for Payment and ClearingServicesfromtimetotime),anyCardTransactiondisputedbytheCardholderequaltoorinexcessofsuchstandardlimitmaybechargedbackevenwhereyouhavecompliedwithyourMerchantAgreementandevenwherewehavegivenAuthorisation.AnysuchAuthorisationoperatesonlytoconfirmtheavailabilityoffundsandthattheCardhasnotbeenreportedlostorstolenatthetimeof Authorisation.

3.7 Authorisationisnotaguaranteeofpayment.

3.8 ACardholdermayaskyoutosplitapaymentbetweenmorethanoneCard,orbetweenaCardandcashorcheque.Insuchanevent,if thevalueoftheCardelementisbelowyourrelevantFloorLimitbuttheTotalValueofthesaleisequaltoorexceedsit,youmuststillobtainAuthorisationforthevalueoftheCard element.

3.9 YoumustobtainAuthorisationasandwhenrequiredinyourMerchantAgreementfollowingtheproceduresinyourMerchantAgreementoraswemayotherwiseinstructyou.

4. Card Transactions

4.1 You must not use more than one Sales Voucher or processmorethanonesalethroughyourTerminalfor any one Card Transaction unless the Cardholder givesyoumorethanoneCard,eachwithadifferent CardNumber.

4.2 WheretheCardisprovidedphysicallytoyouthenyouagreetoretainanyCardthatwe request.

4.3 FollowingaCardTransaction,aSalesReceiptmustbeprovidedtotheCardholderinaccordancewiththetermsofyourMerchant Agreement.

4.4 YoumustnotacceptorprocessRecurringTransactions,DeferredSupplyTransactions,anyprepayment,oradepositusingaCardunlesswespecificallyallowyoutodosoinwritingandthenonlyinaccordancewiththeOperatingGuide.

4.5 YoumustnotacceptorprocessCardTransactionsinordertogiveCardholderscashunlesswehavespecificallyallowedyoutoofferPurchasewithCashback under clause 6.2.

4.6 YoumustnotacceptanypaymentfromaCardholderorotherpersonforthecreditoftheCardholder’s Account.

4.7 InpresentingorsubmittingVouchersorTransactionDatatoFirstData,youwarrantandrepresentto First Data that:

4.7.1 the Card Transaction entered into by you is one whichrelatesdirectlytoyourBusiness;

4.7.2 the Card Transaction has been entered into by youingoodfaithandincompliancewithalllegalrequirementstowhichyouaresubjectandyourMerchantAgreement;

4.7.3 all information contained in the Vouchers or TransactionDataistrueandcomplete;

4.7.4 youhavesupplied(or,wheretheVoucherorTransactionDatarelatestoaDeferredSupplyTransaction,youhaveagreedtosupply)thegoods,services,accommodationorotherfacilitiestowhichthe Voucher or Transaction Data relates and to the valuestatedtherein;

4.7.5 youarenotawareofanydisputerelatingto,oranymatterwhichmayaffectthevalidityof,aCard Transaction;

4.7.6 youarenotawarethattheCardTransactionhasbeenpreviouslysubjecttoaChargeback;

4.7.7 youarenotawareofanycircumstancesthatwouldormightresultinabreachofanylaworotherlegalorregulatoryrequirement;and

4.7.8 theCardTransactiondoesnotinvolveanyCardissuedinyournameoryouraccount,orofapartnerin,ordirectororotherofficerofyourBusiness,orofthespouseoranymemberoftheimmediatefamilyorhouseholdofanysuchperson.

4.8 IfyouuseaTerminal,CardTransactionsmustbeprocessedthroughtheTerminalexceptiftheTerminalfailstooperate.IftheTerminalfailstooperate,youmustprocessCardTransactionsfollowingtheFallbackProceduresandinsucheventAuthorisation must be sought for Card Transactions equaltoorinexcessoftheFallbackFloorLimit.VisaElectronCardsmustnotbeacceptedifyourTerminalfailstooperate.

4.9 YoumustnotacceptorprocessaCardTransactiononbehalfofanyotherMerchantorthirdparty(otherthanaCardholderinaccordancewiththeterms of your Merchant Agreement) and must notifyFirstDatainadvanceifyouwishtohaveCardTransactionsprocessedbyanotherbankorCardScheme member.

5. Recurring Transactions and Pre-Authorised Orders

5.1 IfyouareallowedtoprocessRecurringTransactions youwill:

5.1.1 inadditiontogettingAuthorisationunderclause3,obtaintheCardholder’swrittenauthoritytodebittheCardholder’sAccountperiodicallywithsumsdue to you;

5.1.2 processTransactionDatainaformweapproveinaccordancewiththeCardholder’sauthorityandprovidedthatnoticeofcancellationhasnotbeengivenbytheCardholder;

5.1.3 notify the Cardholder of the amount of any Recurring TransactionorthedateonwhichtheRecurringTransactionwilltakeplaceifsuchamountordateisdifferentfromthatspecifiedintheCardholder’sauthority,notlessthanfourteen(14)BusinessDayspriortopresentationtoFirstDataoftheTransaction Data;

5.1.4 ceasepresentingTransactionDatainrelation toCardswesonotifyyouoffromtime to time; and

5.1.5 immediately cease making further debits to aCardholder’sAccountuponanyreceiptofacancellation from the Cardholder of their writtenauthority to you.

5.2 YouprocessRecurringTransactionsatyourownrisk.AnyRecurringTransactionwhichisinbreachofanyoftheobligationsinclause5.1aboveortheOperatingGuideorsuchotherrequirementsaswemaynotifyyoufromtimetotimeandwhichisdisputedbytheCardholderand/orCardIssuer may be charged back to you (in accordance with clause 19).

5.3 YoumayonlyofferPre‑AuthorisedOrdersifwespecificallyallowyoutodosoinwritingandthenonlyinaccordancewiththeOperatingGuideandanyotherrequirementswemaynotifyyouoffromtimetotime.

6. Deferred Supply Transactions, Purchase with Cashback and Polling

6.1 IfyouareallowedtoprocessDeferredSupplyTransactionsandyouhavenotsuppliedtherelevantgoods,services,accommodationorotherfacilitieswithintheDeferredSupplyPeriodoftheCardTransaction,youmustprovideaRefundtotheCardholderandadvisetheCardholderthatyouhave doneso.

6.2 YoumustnotofferPurchasewithCashbacktoanyCardholderunlesswespecificallyallowyoutodosoinwritingandthenonlyusingyourTerminalapprovedbyFirstDataforusewhenofferingPurchasewithCashbackandinaccordancewiththeTerminalUserGuideandanyotherrequirementswemaynotifyyouof from time to time.

6.3 When using the Fallback Procedures you may only offerPurchasewithCashbackforMaestroCardsand Visa Debit Cards. You may not offer Purchase withCashbackwhenyouhavetousetheFallbackProcedures for other Debit Cards (including Visa ElectronCardsandInternationalMaestroCards).

6.4 PurchasewithCashbackmayonlybeofferedinCardTransactionsusingCardsandwheretheCardholderreceivesgoodsorservicesaswellascash.Theamountofthecashprovidedmustnotexceedthe Cashback Limit and Authorisation should be soughtforallCardTransactionsinvolvingPurchasewith Cashback.

6.5 CardTransactionsinvolvingPurchasewithCashbackareinallcasesatyourownrisk.AnyCardTransactioninvolvingPurchasewithCashbackdisputedbytheCardholdermaybechargedback(inaccordancewithclause19)evenwhereyouhavecompliedwithyourMerchantAgreement,theOperatingGuideandanyotherrequirementswemaynotifyyouofevenwherewehavegiven Authorisation.

6.6 YoumayonlyusePollinginrespectofCardTransactionsifwespecificallyallowyoutodosoinwritingandthenonlyinaccordancewithourrequirementsandinstructions.

7. Purchasing Card Transactions and other facilities

7.1 You may only offer or undertake Assured Reservations,BureaudeChangeTransactions,ExpressCheckout,ForeignCurrencyCardTransactionsorPurchasingCardTransactionsifwespecificallyallowyoutodosoinwritingandthenonlyinaccordancewiththeOperatingGuideandanyotherrequirementswemaynotifyyouoffromtime totime.

7.2 YouwillonlyprocessPurchasingCardTransactionsandRefundsinrespectofPurchasingCardTransactions so as to enable the Cardholder to obtainsuchbenefitsasmayfromtimetotimebemadeavailablebytherelevantCardSchemetotheirPurchasing Card Cardholders. If you are unable to do soforanyreasonyoumust,priortoprocessingthePurchasingCardTransaction,informthePurchasingCardCardholderthatyouareunabletoprocessthePurchasingCardinawaythatwillenabletheCardholdertoobtainsuchbenefitsandthatyouwillprocessthePurchasingCardasaCardTransaction(subjecttotheprovisionsinclause7.3and7.4).

7.3 ForthepurposesofyourMerchantAgreementthe authorised Floor Limit for all Purchasing Card Transactionsis£0(nil)irrespectiveofanyotherFloor Limit referred to in your Merchant Agreement. WereservetherighttovarytheFloorLimitforPurchasing Card Transactions at any time.

7.4 YoushouldwhereverpracticableobtainfromtheCardholdertheircustomerreferencenumberpriortotheprocessingofanyPurchasingCardTransaction.Forthepurposesofthisclause“customerreferencenumber”shallmeanaCardholderspecificnumberwhichaCardholdershouldsupplywhenusingaPurchasingCardforallbusinesstobusiness transactions.

8. Card Not Present Transactions

8.1 YoumustnotacceptorprocessCardNotPresentTransactionsunlesswespecificallyallowyoutodosoinwritingandthenonlyinaccordancewiththeTerminalUserGuideandtheOperatingGuideandanyrequirementswenotifyyouoffromtimetotime.

8.2 IfyouareallowedtoacceptCardNotPresentTransactionsyouarestillnotpermittedtoacceptorprocessCardTransactionsthroughtheInternetunlesswegiveyoupriorwrittenconsentandthenonlyinaccordancewiththeOperatingGuide.

8.3 Card Not Present Transactions are in all cases at yourownrisk.AnyCardNotPresentTransactiondisputedbytheCardholdermaybechargedback(inaccordancewithclause19)evenwhereyouhavecompliedwithyourMerchantAgreementandwehavegiven Authorisation.

8.4 IfyouacceptorprocessCardNotPresentTransactionsthroughtheInternetyouwarrantandrepresenttoFirstDatathat:

8.4.1 youwill,andyouwillalsoensureyouragentsandcustomers,donotuseanyWebsiteinanywaywhichmightjeopardisetheintegrityorsecurityofourorouragents’Equipment,anyElectronicLinkorothercomputersystemsincludingthroughDisablingDevicesandunsolicitedemails;and

8.4.2 youwilldisplayandmaintainanappropriatePrivacyPolicyoneachWebsiteandprovideinformationontheWebsite’ssecuritycapabilities.ThePrivacyPolicyandinformationonsecuritycapabilitiesmustbeinaccordancewiththerequirementsintheOperatingGuideandallApplicableLaws.

8.5 WemayimmediatelyongivingyounoticewithdrawourpermissionforyoutoacceptorprocessCardNotPresentTransactionswherethereareinoursoleopinionunacceptablelevelsof:

8.5.1 CardholderdisputesresultingfromCardNotPresentTransactions;or

8.5.2 fraudulent Card Transactions.

9. Refunds

9.1 If,intheusualcourseofyourBusiness,youprovideRefundstoyourcustomers,YoumustalsoprovideRefunds to Cardholders on the same terms you provideRefundstoyourothercustomers.RefundsmustbeprovidedtoCardholdersinaccordancewiththerequirementsintheOperatingGuide.

9.2 A Refund may be issued only in reimbursement (full orpartial)ofanearlierCardTransactionusingaCardand must be made on the same Card used in the Card Transaction.

9.3 YoumustnotacceptmoneyfromaCardholderinconnectionwithprocessingaRefundtotheCardholder’s Account.

9.4 WhenyouprovideRefunds,youmustcompleteaRefundVoucherorproduceCardRefundDataandaRefundReceipt.TheRefundReceiptorRefundVouchermustbeprovidedtotheCardholderandthe Refund Voucher or Card Refund Data must bepresentedtoFirstDatainaccordancewiththerequirementsintheOperatingGuide.

9.5 You must not make a Refund:

9.5.1 withcashorbychequetoacustomerwhopaidforthegoods,services,accommodationorotherfacilitiesusingaCard;or

9.5.2 toaCardwherethecustomerpaidforthegoods,services,accommodationorotherfacilitieswithcashorbycheque.

10. Presentation of Vouchers and Transaction Data

10.1 Youmust,ifusingVouchers,submitVoucherstoFirstDatawithinthree(3)BusinessDaysoftheCardTransaction,orifsubmittingTransactionDataelectronically,submitsuchdatatoFirstDatawithintwo(2)BusinessDaysoftheCardTransaction.

10.2 VouchersorTransactionDatanotproperlycompletedorsubmittedinaccordancewiththeOperatingGuideandwithinthetimeperiodsspecifiedinclause10.1willbeNonQualifyingTransactions.

10.3 IfyoupresentRefundVouchersorCardRefundData,thetotalamountoftheRefundshallbedeductedfromthetotalamountrepresentedbytheSalesVouchersandCardSalesDatapresentedandwithinthree(3)BusinessDaysweshallcredityourMerchantAccountwiththisnetamount.

10.4 Ifonpresentationthetotalamountrepresentedbythe Refund Vouchers and Card Refund Data is more thanthetotalamountrepresentedbytheSalesVouchersandCardSalesDatapresented,thenwemaycollectpaymentfromyoubydirectdebitfortheamountbywhichthetotalamountrepresentedintheRefund Vouchers and Card Refund Data is more than thetotalamountrepresentedintheSalesVouchersand Card Sales Data.

10.5 IfrequestedyouwillgiveFirstDatareasonableassistance to facilitate the successful collection anddeliveryofTransactionData.WewillassistyouwhereweareunabletogainaccesstotheTransactionDatabutreservetherighttomakeadditional Charges.

10.6 IncircumstanceswhereTransactionDataistobedeliveredtoFirstDatathroughyournominatedagent,youacceptresponsibilityforthecollection,security,integrityanddeliveryoftheTransactionDatatousinamediumandformatagreedwithFirst Data.In circumstanceswhereyoudeliverTransactionDatatousbywayofmagnetictape(orothersimilarmedium)orbywayofadirectcommunicationslinkestablishedbetweenyouandFirstData:

10.6.1 youacceptresponsibilityforthecollection,security,integrityanddeliveryoftheTransactionDatatoFirst Datainamediumandformatagreedwith First Data;

10.6.2 wereservetherighttorefusetoacceptTransactionDatawheretherequirementsspecifiedinanyinstructions issued by or on behalf of First Data are notsatisfiedinfull.

11. Promotional materials

11.1 YoumustatalltimeskeepprominentlydisplayedateachofyourpremisesatthePoint‑of‑Sale,andinanycatalogueorotheradvertisingmaterialofyours(whetheronaWebsiteorotherwise)suchpromotionalmaterialsaswesupplytoyoufromtimetotimebutonlytoindicatethatyouacceptCardsfor payment.

11.2 YoumustnotuseanypromotionalmaterialthatreferstousoranyothernameassociatedwithFirstDataorouragents,orcontainsanyofourtrademarks,logosorthoseofouragentsorofanyCardSchemewithoutourpriorwrittenconsent.

11.3 You must not indicate that any Card Scheme endorsesthegoods,services,accommodationorotherfacilitiesoffered,soldorprovidedby you.

12. Use of information, security, confidentiality and processing of Personal Data

12.1 Youmustandyouwillensurethatyouragentsandanysub‑contractorshaveinplaceappropriatetechnicalandorganisationalmeasureswhichensureanappropriatelevelofsecurityfortheprocessingofCardholderInformationandprotectCardholder Information against accidental or unlawfuldestructionoralteration,accidentalloss,orunauthoriseddisclosureaccessorprocessing.

12.2 YoumustnotretainorstoremagneticstripeorCVV/CVC2dataafterAuthorisationhasbeenrequestedfor a Card Transaction.

12.3 YouagreetocomplywiththePCIDSSandanychangeswhichmayoccurtothosestandards.YoushallattestyourcompliancewiththosestandardsbyparticipatinginthePCIDSSComplianceProgramme.Intheeventthatwereasonablydeemyoutobenon‑compliantwithPCIDSS,wewillissueyouwithanoncompliancenoticeandyoushallpromptlyremedyareasofnoncompliance.Wemaychargeafeefornoncompliance.IfatanytimeyoudetermineorsuspectthatTransactionDatahasbeencompromisedyoumustnotifyusimmediatelyandprovideallcooperationandassistanceasrequiredbyusorapplicablelawenforcementagency,includingassistanceinprovidingnotificationtosuchpartiesasmayberequiredbylaworCardSchemeRules,orasweotherwisereasonablydeemnecessary.

12.4 Anyinformationrelatingtoourbusiness,ouragents,or your Merchant Agreement shall be treated as confidentialinformationbyyouandmaynotbedisclosedbyyoutoanythirdpartyexceptto:

12.4.1 ouragents;

12.4.2 your agents (acting under a similar obligation of confidentiality);or

12.4.3 asrequiredbylaw.

12.5 WewilltreattheinformationyouprovidetoFirst DataorouragentsinyourApplicationFormorotherwiseaspartofyourapplication,orinperformanceofyourMerchantAgreementincludingdetailsgiventoFirst DataEuropeLimitedorouragentsduringanyfinancialreviewsandinterviews,details of Card Transactions and any information relatingtoyouraccountwithFirstDataEuropeLimitedunderyourMerchantAgreement,asconfidentialinformationevenwhenyourMerchantAgreementwithFirstDatahasbeen terminated.

12.6 WhenmakingcreditdecisionsandwhenmanagingyouraccountwithFirstData,weorouragentsmaymakesearchesatcreditreferenceagencies,including electoral register information. These may be recorded by the credit reference agencies. We or ouragentsmayalsodiscloseinformation,includinghowyouhaverunyouraccount,tothecreditreferenceagenciesforthepurposesofobtainingcreditassessmentsonyouasaBusinessorifyouareanindividualtheninyourpersonalcapacity.Iffalseorinaccurateinformationisprovidedand/orfraudisidentified,detailswillbepassedtofraudpreventionagenciesbyusorouragentstopreventfraud and money laundering.

12.7 Weorouragentsmayrecordtelephoneconversationstoofferyouadditionalsecurity,resolvecomplaintsandimproveourservicestandards.Conversationsmayalsobemonitoredfor staff training.

12.8 You undertake that you are entitled to disclose information about any guarantor and/or any other personwhoseinformationisprovidedbyyouto First Data or our agents.

12.9 Inordertoprocess,use,recordanddisclosePersonalData,weorouragentsmaytransfersuchinformationtocountriesoutsidetheEuropeanEconomicAreaincludingtheUnitedStatesofAmerica,whichmaynothavelawscomparabletothoseintheEuropeanUniontoprotectPersonalData.WeareresponsibleforensuringthatPersonalDatacontinuestobeadequatelyprotectedduringthecourse of any such transfer.

12.10 Processing of Personal Data

12.10.1 Compliance.EachofFirstDataandyou,actingasaController,willprocesstheCardholderInformationincompliancewithapplicableDataProtectionLaws.

12.10.2 Purposes. WewillonlyprocesstheCardholderInformation:

(a) asrequiredinordertomeetourobligationspursuanttotheAgreement;

(b) asagreedinwritingbetweentheparties;

(c) asrequiredorallowedbylawapplicableto us;

(d) forfraudpreventionorinvestigationpurposes,orotherriskmanagement purposes;

(e) forcustomeridentificationandinformationverificationpurposes,includinginconnectionwith“knowyourcustomer”,anti‑moneylaunderingoranti‑terrorismfinancingpurposes;

(f) inaccordancewithCardSchemeRules;

(g) toenforceourrights,ortherightsofotherpersonsinafinancialtransaction;or

(h) tocomplywithpoliciesapplicabletoourobligationsundertheMerchantAgreement,includingtoprotectthesecurityoftheCardholderInformation.

12.10.3 Transparency:

(a) AsaControlleroftheCardholderInformation,youwillprovideaninformationnoticetoDataSubjectsmeetingtherequirementsofDataProtectionLaws,includingtheinformationreferred to in Articles 13 and 14 of the GDPR (the “CustomerPrivacyNotice”);and

(b) AsaControlleroftheCardholderInformation,wewillprovideaninformationnoticetoDataSubjectsmeetingtherequirementsofDataProtectionLaws,includingtheinformationreferred to in Articles 13 and 14 of the GDPR (the “AcquirerPrivacyNotice”).

12.10.4 Assistance:Eachpartywillprovidetheotherpartywithsuchassistanceandco‑operationasitreasonablyrequeststoenabletherequestingpartytocomplywithanyobligationsimposedonitbyDataProtectionLawsinrelationtotheProcessingoftheCardholderInformation.Apartywillbeentitledtorefuseorlimititsassistancewheretherequestingpartyisinthepositiontofulfiltheobligationswithoutthatparty’sassistance.

12.10.5 Notices: All notices and other communications betweenthepartiesunderthisSection12.14mustbeprovidedinaccordancewithSection25and,inthecaseofFirstData,alsobyemailtoourDataProtectionOfficer,[email protected].

12.10.6 Privacy Policy. ForfulldetailsofourPrivacyPolicy,pleasevisitourwebsiteat firstdata.com/privacy.

13. Use and ownership of Equipment, Vouchers and data

13.1 YoumaynotuseanyEquipmentuntilwehavetestedandapproveditslocationandoperation.YoumustoperateandkeepallEquipmentinaccordancewithanyTerminalAgreement,TerminalUserGuide,OperatingGuide,alloperatingguidesprovidedtoyouinrespectofFirstDataProductsandallrequirementsaswenotifyyoufromtimetotime.YouareresponsibleforkeepingallEquipmentingoodworkingorderandyouwillreplaceand/orupgradeallsuchEquipmentaswemayrequirefromtimeto time.

13.2 AllEquipmentandVoucherswhichwesupplyyouwithorwhicharesuppliedonourbehalfshallbeandremainatalltimesourproperty.Ifwesodirect,youmustreturntoFirstDataassoonaspossibleallEquipmentandVoucherswhichweorouragentshavesuppliedtoyou.WemaychargeyouaTerminal

CollectionfeeifwecollectanyEquipmentprovidedtoyou.YoumaynotmakeorpermitanyagentofyoursoranythirdpartytomakeanychangestoanyEquipmentincludingmovingitslocationwithoutourpriorwrittenconsent.

13.3 Cardsacceptedbyyouunderanyagreementotherthan your Merchant Agreement may only be used withEquipmentwithourpriorwrittenconsent.Youacknowledgethatwehavenoresponsibilitytoreimburseyouforthecostofgoods,services,accommodationorotherfacilitiessuppliedagainstpresentationofsuchCards.

13.4 All Transaction Data shall be and remain at all times ourproperty.DuringthetermofyourMerchantAgreementwegrantyouarevocable,nonexclusive,non‑transferablelicencetouse,store,copyanddistribute the Transaction Data as necessary for the performanceofaCardTransactionoryour Merchant Agreement.

13.5 Youmustnotgive,rent,lease,sub‑licenceorselltoanythirdpartyorgrantanyformofsecurity,lienorotherencumbranceoverorceasetobeinpossessionofalloranypartoftheEquipment,Vouchersand/orTransactionData.Youshallpreventanythirdparty,otherthanouragents,fromusingtheEquipmentexceptasauthorisedbyusinwriting.

13.6 YoumustpermitFirstData,duringyournormalbusinesshoursandonreasonablenotice,tohaveaccess to:

13.6.1 anyEquipment(eitherphysicallyorelectronically,asappropriate)toinspect,test,remove,replace,amend,alterorupdatesuchEquipmentordatastoredwithintheEquipment(otherthanTransaction Data);or

13.6.2 anyElectronicLink,VouchersorTransactionDataincludingwhereheldonyouroryouragentscomputersystems,andmustpermitFirstDatatomakecopies,ifnecessary.

14. Indemnity

14.1 YouagreetoindemnifyandkeepFirstDataandouragentsindemnifiedagainstanyandallclaims,losses,costs,penalties,expensesandliabilitieswhichweorouragentsmaysufferorincurwhichinanyway,directlyorindirectly,arisefromorrelatetoanyclaimwhetherincontract,delictortort(includingnegligenceorbreachofstatutoryduty)inrespectofanyCardTransactionbetweenyouandanyCardholder.InrespectofanysuchclaimtheonusshallbeuponyoutoprovetooursatisfactionthatanyCardTransactionwasauthorisedbytheCardholder.

14.2 YouwillatyourownexpenseprovideFirst DatawithallinformationandassistancewhichweorouragentsmayreasonablyrequireinrelationtoanyCardTransactionbetweenyouandanyCardholder.

14.3 Weshallhavesolediscretionwhetherornottoresist,defendorcompromiseanyclaimortonegotiateanysettlementwiththeCardholder.Anydecisionwhetherornottoresist,defendorcompromiseany claim or to negotiate any settlement shall be binding on you.

14.4 Inrespectofanyclaim,theburdenshallbeuponyoutoprovetooursatisfactionthatanyCardTransactionwasauthorisedbythe Cardholder.

15. General indemnity and liability

15.1 YouagreetoindemnifyandkeepFirstDataandouragentsindemnifiedonafullandcontinuingbasisagainstanyandallclaims,losses,costs,expenses,fines,penaltiesorliabilitieswhichweorouragentsmaysufferorincur,arisingdirectlyorindirectly:

15.1.1 inconnectionwithyourMerchantAgreementasaresult of anything done or omitted to be done by you oranyemployeeoranyagentofyoursincludinganybreachorallegedbreachofanyofthewarrantiesandrepresentationsinthisAgreement;

15.1.2 fromyourfailuretorequiretheentryofaPINintoaPINEntryDevicewhereaChipandPINCardisusedaspartofaCardPresent Transaction;

15.1.3 fromoperationoruseofanyWebsite,includingincontraventionofanylaw,regulationorcodeofpracticeoranyinfringementorotherviolationofanyIntellectualPropertyRightsofanythirdparty;

15.1.4 outofabreachofanyoftheobligations(whetherbyyouorbyanyofyouragents)setoutinclause12.1,12.2or12.4;and

15.1.5 inconnectionwithyournoncomplianceorbreachofApplicableLaws,theCardSchemeRules,oranyotherreasonwhereaCardSchemeleviesafee,finepenaltyorchargeagainstFirstDatadueto any action or inaction by you. You shall at your expense,provideusorouragentswithallassistancenecessarytoresolveanydisputearisingundertheCardScheme Rules.

15.2 SubjecttoClause15.4,FirstData’smaximumaggregateliabilityforallclaimsorlosseswhetherarisingincontract,delictortort(includingnegligenceandbreachofstatutoryduty)orotherwiseshallnotexceedthelesser of:

15.2.1 £30,000;or

15.2.2 theamountofChargesreceivedbyFirst Dataintheimmediatelyprecedingtwelve(12) months.

15.3 YouagreethatFirstDatashallnothaveanyliabilitytoyouoryouragentswhetherincontract,delictortort(including negligence or breach of statutory duty) or otherwiseandwhateverthecauseforany:

15.3.1 increasedcostsorexpenses;

15.3.2 lossofprofit,lossofbusiness,lossofgoodwill,lossofdata,orlossofrevenueoranticipatedsavings;or

15.3.3 special,indirectorconsequentiallossordamageofanynaturewhatsoever.

15.4 NothinginyourMerchantAgreementshallexcludeorlimitanyliabilityofyouorFirst Datafordeathorpersonalinjurycausedbynegligenceorfraud,deceitorfraudulentmisrepresentation,howsoevercausedortotheextentthatanysuchexclusionorlimitationisnotpermittedbyApplicableLaws.

16. Charges

16.1 YouwillpaytousallChargesthatbecomedueandpayabletousunderyourMerchant Agreement.

16.1.1 Theadditionalfeessetoutbelowmaybechargedandrepresenttheadditionalcostsrelatedtoinvestigationsofyouraccount,actionsresultingfroma breach of your Merchant Agreement or due to your actsoromissionsinperformanceofyourobligationsunderyourMerchantAgreement,orterminationofyour Merchant Agreement:

a. Notificationofunauthorisedaccountactivity.Afeeof£35maybechargedforeachwarningtoyouofirregularorimproperusageofyourMerchantAccountornoticestoyouofabreachorpotentialbreachofyourMerchant Agreement;

b. Non‑paymentofadirectdebit.Afeeof£30maybechargedinrespectofeachdirectdebitrequestfromustoyourbankthatis rejected;

c. ExcessiveChargebackfee.Afeeof£25perChargebackmaybechargedinrespectofeachChargebackwhichoccursaftertheTotalValueofChargebacksinanymonthexceeds1%oftheTotalValue of your Card Transactions for that month for Visa,MastercardorDinersCardTransactions.

d. Administrativefeeforoperationalguidance.Afeeof£40permailingmaybechargedwhereweneedtoremindyouof,orprovideguidanceasto,yourresponsibilitiesunderyourMerchantAgreementortheOperating Guide.

e. Collectionsfee.Afeeof£40perincidencemaybechargedwhereweagreetoenterintoarepaymentplanwithyouforrepaymentofyouroutstandingamounts due to us.

f. Management fee. We may charge you a fee of £50 perhourwherewehavetotakestepstomanageyour account to include daily monitoring as a result of fraudulentCardTransactions;failurebyyoutofollowstandardoperatingproceduresintheOperatingGuide;implementingaChargebackreductionplan;managinganyrepaymentprogrammewithyou;collectinganyoutstandingamountsowedbyyou;carryingoutareviewfollowingchangeofyourtradingtermsoroperatingprocedures;andmanagingorenforcinganysecuritythatwemayholdinrespectofyourliabilitiesorinrecoveryofamountsduetous.

g. Terminationfee.A£200feemaybechargedintheeventyourMerchantAgreementisterminatedwithinsix(6)monthsoftheAgreementcommencing,dueto:(i)yougivingnoticepursuanttoclause28.1oftheMerchantConditions;(ii)usgivingnoticepursuanttoclause28.2.1;(iii)youbeinginmaterialbreachofyourMerchantAgreementpursuanttoclause28.2.2.1;(iv) anyothereventofdefaultbyyoupursuanttoclauses28.2.2.2to28.2.2.10(inclusive);(v)instructionsreceivedfromanyCardSchemepursuanttoclause28.2.2.11;or(vi)therebeinganexcessivenumberofChargebackspursuanttoclause28.2.2.12 of the Merchant Conditions.

h. PCIDSSNonCompliance.Amonthlyfeeof£35maybechargedintheeventthatyouremainnoncompliantwiththePaymentCardIndustryDataSecurityStandard(PCIDSS),pursuanttoclause12.5 oftheMerchant Conditions.

16.2 WemayaltertheleveloftheChargesfromtimetotime.Ifwedoso,wewillgiveyounoticebeforethechangetakeseffectinaccordancewithclause23.1.

16.3 Wemayalsorequireoneormoreofthefollowing payments:

16.3.1 the amount of any Refunds issued (if not already deductedfromsumspaidbyyoutous);

16.3.2 theamountofanyoverpaymentsmadebyusinrespectofVouchersorTransactionData;

16.3.3 theamountofanypaymentsmadebyusinrespectofinvalidVouchersorTransaction Data;

16.3.4 theamountofanyfees,fines,penaltiesand/orotherChargespayablebyFirstDatatoaCardSchemeoranyotherpersonasaresultofanyfailurebyyoutocomplywiththePCIDSS,CardSchemeRules,ApplicableLawsoryourMerchantAgreement;and

16.3.5 anyothersumsdueandpayablebyyouunderyourMerchant Agreement.

16.4 Any sum due to us under your Merchant Agreement ispayableatthetimespecified.If notimeisspecifieditispayableimmediately.Wemaychargeinterestonunpaidsumsattherateof2%peryearaboveBankofEnglandbaseratefromtimetotime.Interest shall accrue on a daily basis on any sum thatyoufailtopayontimeandwillcontinuetoaccrueuntilyouhavepaidthesumdue(includinginterest) in full.

16.5 IfyoufailtopresentRefundVouchersorCardRefundDatawithinthetimespecifiedinclause10.1,interestshallaccrueinaccordancewiththeratespecifiedinclause 16.4. Interest shall accrue on the total amount thatyoushouldhavepaidtousifyouhadcompliedwiththetimelimitsinclause10.1.

16.6 YouwillcompleteandsignadirectdebitmandateauthorisingthebankatwhichyouholdyouraccounttopayonpresentationallrequestsforpaymentofadirectdebitoriginatedbyusinrespectofsumsdueunderyourMerchantAgreement.YouwillnotduringthetermofyourMerchantAgreementrevokesuch mandate other than to change your account to another bank. If you intend to so change your account,youmustgiveFirstDataatleastthirty(30)dayswrittennoticeandmustcompleteanewdirectdebitmandatetothenewbank.

16.7 Unlessotherwisestated,allCharges,feesandotherpaymentstobemadebyyouunderyourMerchantAgreementareexclusiveofVATandanyotherrelevanttaxes(ifany)andinadditiontopayingsuchsumsyouwillberesponsibleforpayinganysuchVATandotherrelevanttaxes.

17. Payment/Settlement

17.1 WewillendeavourtosettleTransactionswithinfour(4)BusinessDaysoftheirreceiptbyus,unlesswehaveinformedyouotherwise.

17.2 Youagreethatwemaydeductallamountsdueto us from amounts due to you in Settlement ofTransactions,includingfees,charges,costsandChargebacksdueandpayablepursuanttoyour Merchant Agreement or as set out in your Merchant Statement.

17.3 Subjecttoclauses17.4,17.5and22.2,wewillpaytoyouallsumsdueasrecordedonVouchersor as Transaction Data (less the amount of any Refundsandfees),submittedinaccordancewithyourMerchantAgreement,bycreditingyourMerchant Account.

17.4 WemaywithoutnoticewithholdpaymentofsumsrelatingtoCardTransactionsifwesuspectthatanyCardTransactionbetweenyouandaCardholder:

17.4.1 isfraudulent;

17.4.2 involvesanyotherillegalactivity;

17.4.3 wasnotintheordinarycourseofyourBusiness;or

17.4.4 wasnon‑compliantwithPCIDSSobligationsunderthis Merchant Agreement.

Wemaycontinuetowithholdpaymentduetoyouuntilinourreasonableopinionanyofthemattersreferredtoinclauses17.4.1to17.4.4(inclusive)nolongerapplyandsuchCardTransactionsarenolonger liable to be the subject of a Chargeback.

17.5 WemayalterthewaywesettleCardTransactionsbetweenyouandaCardholderbymovingyouontoasystemunderwhichwesettlesuchCardTransactionsbyholdingbackpaymentstoyouforapre‑determinednumberofdays(“Deferred Payment”)if:

17.5.1 eitherpartyprovideswrittennoticeofterminationofthis Merchant Agreement under clause 28.1 or 28.2

17.5.2 wereasonablysuspectthatyourfinancialpositionhasdeteriorated;

17.5.3 the number and/or size of Card Transactions becomesinouropinionexcessivelyhighforaBusinessofyourtypeandsize;or

17.5.4 basedonourreviewsofyourprocessinghistoryweareoftheopinionthatthereisapotentialriskoflosstoFirstDatathrough Chargebacks.

Wherewemove(orintendtomove)youontoasystemofDeferredPayment,wewilltellyouwhentheDeferredPaymentwillstart(whichotherthanincasesofurgencyorwhereweexerciseourrightsunderthisclause17.5willbeatleastseven(7)daysafterwecontactyou)andexplainthetermsonwhichCardTransactionswillbesettledfromthatdate.

17.6 Nointerestshallaccrueinrespectofanyamountwithheldunderthisclause17.

18. Statements

18.1 FirstDatawillprovideyouaperiodicMerchantStatementwhichshallprovidedetailsofallCardTransactionsandconstituteaproperdemandforpaymentoftheamountshownbyitasbeingduefromyoutous,whichwillbeconclusiveunlessinaccurate on the face of the Merchant Statement. You must check each such Merchant Statement on receiptandnotifyusorouragentswithinone(1)month of any errors in it.

19. Chargebacks

19.1 We may charge back to you any Card Transaction withrespecttowhich:

19.1.1 thereisnosignatureontheSalesReceipt,exceptwherethelackofasignatureisbecauseaPINwasused,orthesignatureontheSalesReceiptisdifferentfromthatontheCard,ortheSalesReceiptissignedbyapersonotherthantheCardholder;

19.1.2 theCardTransactioninrespectofwhichtheSalesReceiptwasissuedisillegalorofnolegaleffect;

19.1.3 theCardhasexpired,isnotyetvalidorhasbeencancelledorrevoked,atthedateoftheCardTransaction;

19.1.4 theamountoftheCardTransactionwasequaltoorexceededtherelevantFloorLimitandtheCardTransactionwasnotAuthorisedby FirstData;

19.1.5 youhaveinanywayfailedtocomplywiththeOperatingGuide,theTerminalUserGuideoralloperatingguidesprovidedtoyouinrespectofFirst DataProductsorareotherwiseinbreachofyourMerchantAgreement;

19.1.6 thegoods,services,accommodationorotherfacilitiestobesuppliedbyyouundertheCardTransactionhavenotbeensupplied,aredefectiveornotasdescribed;

19.1.7 theinformationrecordedintheSalesReceiptpresentedtotheCardholdermateriallydiffersfrom the information recorded on the Voucher or containedinTransactionDatapresentedtoFirst Data;

19.1.8 wehavenotifiedyou,whetherinalistorotherwise,thattheCardisfraudulent,lostorstolen;

19.1.9 twoormoreVouchersorsetsofTransactionDatahavebeencompletedorsenttoFirst DataforasingleCardTransaction;

19.1.10 theVoucherorTransactionDataisincompleteornotpresentedtoFirstDatawithinrelevanttimelimits;

19.1.11 theCardholderdenieshavingauthorisedtheCardTransactionandyouareunabletoprovideevidencesatisfactorytousthattheCardTransactionwassoauthorised;

19.1.12 the Card Transaction is a Card Not Present TransactionorinvolvesPurchasewithCashbackandisdisputedbytheCardholderorCardIssuer;

19.1.13 the Card Transaction is charged back for any other reasonwithintherelevantCardSchemeRules;or

19.1.14 theCardTransactiondisputedisaCardPresentTransactionwhereaChipandPINCardispresentedandyoudidnotrequirethepersonpresentingtheChipandPINCardtoenteraPINinaPINEntry Device.

19.2 Wemay,atourcompletediscretion,applyChargebacks immediately or detail them in your MerchantStatementandcollectthemtogetherwithyour monthly Charges. We may at our discretion treataninvalidVoucherorTransactionDataasvalid.

19.3 WeshallnotbeobligedtonotifyyouofthevalidityorinvalidityofaVoucherorTransactionDataexceptwhereaChargebackisinfactmade.Weshallhavenoobligationtoprocure,orassistyouinprocuring,paymentfromaCardholderwhereaVoucherorTransaction Data has been charged back.

19.4 Our Chargeback rights shall not be affected by any arrangementbetweenyouandthe Cardholder.

20. Evidence of Card Transactions

20.1 WemayatanytimerequireyoutoprovetooursatisfactionthatanyCardTransactionwasauthorisedbytheCardholder.Youmustretaintheoriginalpaper,microfilmorelectroniccopyoftheSalesReceiptandanyRefundReceiptforatleasteighteen(18)monthsfrom the date of the Card Transaction (or for Recurring Transactions,atleasteighteen(18)monthsfromthedateofthelastCardTransactionformingpartoftheRecurringTransaction)andproducethemtousorouragentsonrequest.FailuretodosowithintheperiodsetbyFirst DatamayresultinaChargeback.

20.2 IfanyVouchersorTransactionDatathathavebeensubmittedarelostordamaged,youwillresubmittherelevantdatabythemethodagreedbetweenyouand First Data.

20.3 ItisyourresponsibilitytoensurethatallVouchersandTransactionData,whichyouretainoraresubmittingtousorouragents,arecompleteandnotdamaged and that all Transaction Data is securely heldinaccordancewiththeOperatingGuideandcanbereconstitutedinacompleteandeasilyreadable form.

20.4 NeitherFirstDatanoritsagentswillinanycircumstances,otherthanifduetoournegligence,beliableinrespectofthefacevalueofanyVouchersorTransactionDatawhichyouretainoraresubmittingtousintheeventoflossordamageto

suchVouchersorTransactionData,orforthecostsofreconstitutingsuchVouchersorTransactionData,or for any other loss or damage.

If any loss or damage to any Vouchers or to the physicalmediumcontaininganyTransactionDataisduetoournegligence,wewillreimbursetoyouthereplacementvalueofthelostordamagedVouchers ormedium.

21. Financial and other information

21.1 Uponrequestyouwillprovideusorouragentswithsuchcopiesoffinancialaccounts(includingmanagementaccounts),tradingterms,supplierinvoices,customercontracts,productinformationand such other documentation or information concerningyourBusiness.

21.2 You authorise us and our agents to obtain the documents and information referred to in clause 21.1 fromthirdpartiesandmembersofourGroup.

21.3 You authorise us and our agents to contact the individualsatyourBusinessidentifiedinyourApplicationFormandthosewhomyoumaynotifyFirst Data from time to time.

21.4 Youmustadviseusandouragentsimmediatelyof any change in the circumstances affecting your Business including:

21.4.1 anyInsolvencyEvent;

21.4.2 anychangeofvotingcontrolinyouoryourparent company;

21.4.3 anychangeinyourtradingterms,directors,otherofficers,membersorpartners,businessortradingname,legalstatus,emailaddress,businessortradingaddressorinanyofyourotherdetailsthatyouhaveprovidedtoFirstData;and

21.4.4 anysaleorotherdisposalofalloranymaterialpartofyour assets.

22. Security and Set Off

22.1 Wemayatanytime,actingreasonably,requireyoutoprovideadditionalornewcollateral(asthecasemaybe)inaformtobedecidedbyuswhere,inourabsolutediscretion,wedeterminethatsuchcollateral is necessary to act as security in relation totheperformanceofyourobligationsunderthisAgreementonaccountof,interalia,Chargebacks,Refunds,correctionsandyourliabilityforlossordamagesufferedbyus,penaltiesandallotheramountswhichyouoweormayinfutureowetousunderorinconnectionwiththis Agreement.

22.1.1 Forexample,wemayestablishaReserveAccountinrelationtoyou,requireyouoracompanywithinyourgroupofcompaniestoprovideguaranteesorothersecurity,and/orapplyspecialtermsandconditionsinrelationtoyouracceptanceofCardTransactionsatanytime,forthepurposeofprovidingasourceoffundstopayusforanyandallMerchantLiabilities.

22.1.2 TheReserveAccountmay,atthereasonablediscretionofus,befundedby:

(i) requiringyoutodepositintotheReserveAccount a cash amount determined by us within seven(7)BusinessDaysofwrittennotice from us;

(ii) us debiting your Merchant Account for anyamountfordeposittotheReserveAccount; and/or

(iii) usdepositingintotheReserveAccountanypaymentsthatweareobligedtopaytoyouunder your Merchant Agreement.

22.1.3 TheamountofanyReserveAccountmaybesetinour sole discretion and increased or decreased by us aswemaydeterminefromtimetotime.AllfundsheldinanyReserveAccountandallrights,titleandinteresttosuchfunds,areatalltimes(andintheeventofyoubecominginvolvedinanyInsolvencyEvent)exclusivelyforourbenefitandvested inus.

22.1.4 Ifwerequestthatyouprovide,orensurethatacompanywithinyourgroupofcompaniesprovides,aparentcompanyguarantee,suchguaranteeshallbeprovidedintheformprescribedbyusandreceiptbyusofsuchguaranteeshallbeaconditionforustoprovide,orcontinuetoprovide,theMerchantServicestoyou.

22.2 Wemayatanytime(withoutnoticetoyou)setoffanysumwhichyouowetoFirstDataunderyourMerchantAgreementagainstanysumwhichweoweyou(whetherunderyourMerchantAgreementorsomeotheragreementwithFirstData).

23. Variation

23.1 We may from time to time change your Merchant Agreement(includingtheChargesandtheOperatingGuide).UnlesswearerequiredtoimplementachangeonshorternoticepursuanttoApplicableLawsorCardSchemeRules,wewillgiveyouatleasttwo(2)months’noticebeforemakingthechanges.However,changesininterestorexchangeratesmaybeappliedimmediatelyandwithoutnoticewheresuchachangeisafavourabletoyou.

23.2 We may change Floor Limits or cancel facilities withoutlettingyouknowbeforehandinexceptionalcircumstances,forexample,wherewe suspect fraud.

23.3 IfyoudonotwishtoacceptthechangeswemaketoyourMerchantAgreement,youmayterminateyourMerchantAgreementimmediatelybygivingFirst Datanoticeinwritingwithinone(1)monthofsuch change coming into effect. Such notice shall be sent to the address set out in clause 25.5.

23.4 YoumayaskforacopyofyourMerchantAgreementatanytime.TheseMerchantConditionsareavailable at firstdata.com/merchantconditions.

24. Force majeure

NeitherwenorouragentsshallbeliableforanyfailuretoperformourobligationsunderyourMerchantAgreementwherethefailurearisesdirectlyorindirectlythroughwar,civildisturbance,industrialdispute(whetherincludingouremployeesornot),anyEquipmentfailure(includingifanydataprocessingsystemortransmissionlinkfails),anyactofGodoranycircumstancesoreventoccursbeyondourcontrol.

25. Notices

25.1 AnynoticerequiredtobegivenundertheMerchantAgreementmustbeinwritingandinEnglish.Noticesshallbeservedontheotherpartyinthemannerdetailedbelow.Writtennoticeswegiveyoumaybesentby:(a)posttoyourlastknownplaceofbusinessorheadoffice,orwherenone,yourlastknownaddress;(b)emailtotheemailaddressadvisedbyyou;or(c)notificationonastatementmessageorstatement insert.

25.2 Whennoticesaresentbypost,theyshallbedeemedtohavebeenreceivedbytheaddresseeatnoononthesecondBusinessDayafterpostingforfirstclasspost,andfive(5)BusinessDaysafterpostingforsecond classpost(excludingthedayofwhentheywereactuallyputinthepost).

25.3 Whennoticesaregivenbyemail,theyshallbedeemedtohavebeenreceived24hoursafterthetime of transmission.

25.4 Ifwesuspectfraudorasecuritythreat,oriftherehasbeenanactualfraudorsecurityincidentwhichmayaffectyou,wemaycontactyoubysecuremeansusing your contact details.

25.5 AnywrittennoticeyougiveFirstDatashouldbesentbyfirstclasspostorhanddeliverytoFirstData,JanusHouse,EndeavourDrive,Basildon,EssexSS143WF(oranyotheraddresswetellyou).

26. Sub-contractors and agents

26.1 Wemayappointatanytime,andwithoutnoticetoyou,anagentorsub‑contractortoprocessCardTransactionsorperformanyofourobligationstoyouunder your Merchant Agreement.

26.2 Ifyouwanttoappointasub‑contractororagentinconnectionwiththeperformanceofanypartofyourMerchantAgreementyouneedourpriorwrittenconsent,whichwemaywithdrawatanytime.Ifwewithdrawourconsent,yoursub‑contractororagentmuststopactingforyouimmediately.Ifwedo consent you must ensure that the sub-contractor oragentactsandcomplieswithalltermsofyourMerchant Agreement.

26.3 Youacknowledgethatwhereyouappointa sub‑contractororagent,youareandwillremainprimarilyliableforanythingdone(ornotdone)byanysuchsub‑contractororagentappointedbyyouandyouwillindemnifyFirstDataandouragentsondemandinrespectofanyandallclaims,costs,losses,expensesandliabilitieswhichweorouragentsmaysufferorincurasaresult,directorindirect of anything done (or omitted to be done) including negligence by such sub-contractor or agent.

27. Compliance with legal requirements

YoushallcomplywithallApplicableLaws,CardSchemeRules,PCIDSS,andanychangeswhichmayoccurtothosestandardsandcodesofpractice,whichyouareobligedtofollowforthepurposesofyourMerchantAgreement.YoualsowarrantthatallactivitiesconductedunderyourMerchant Agreement do not infringe the rights of any thirdparty,includingIntellectualPropertyRights.WeshallcomplywithallApplicableLawsandCardSchemeRuleswhichweareobligedtofollowforthepurposesofyourMerchant Agreement.

28. Termination

28.1 You may terminate your Merchant Agreement at any timebygivingnotlessthanone(1)months’writtennotice to First Data.

28.2 Your Merchant Agreement may be terminated by First Data at any time:

28.2.1 bygivingnotlessthantwo(2)months’writtennoticetoyou;or

28.2.2 immediatelyintheeventthat:

28.2.2.1 you are in material breach of your Merchant Agreement;

28.2.2.2 anapplicationforanadministrationorderispresented,anadministrationorderismadeoranadministratorisappointedinrelationtoyou,oranoticeofintentiontoappointanadministratorisservedinrelationtoyou,oraresolutionfortheappointmentofanadministratoris passed;

28.2.2.3 apetitionforawindinguporderispresented,awindinguporderismadeoraresolutionforwindingupispassedinrelationtoyou;

28.2.2.4 yousufferanincumbrancertotakepossession,ortoexerciseorattempttoexerciseanypowerofsale,orareceiverormanagerisappointedofthewholeoranypartofyourassetsor undertaking;

28.2.2.5 youbecomeoraredeemedtobeunabletopayyourdebtswithinthemeaningofSection123InsolvencyAct1986,yoususpendpaymentofanydebtordeclareamoratorium,orareotherwiseinsolventorbankrupt;

28.2.2.6 youenterorproposetoenterintoanycompromisearrangementorcompositionwithanyorallofyour creditors;

28.2.2.7 you are the subject of any judgment or order madeagainstyouwhichisnotcompliedwithwithinseven (7) daysoryouarethesubjectofanyexecution,distress,sequestrationorotherprocesslevieduponorenforcedagainstanypartofyourundertaking,propertyassetsorrevenue;

28.2.2.8 ifyouareanindividualorapartnership,you(oranyofyourpartners)arethesubjectofabankruptcypetitionororderoryou(oranyofyourpartners)areunabletopayorhavenoreasonableprospectofpayingyourdebtsor,ifinScotland,you(oranyofyourpartners)becomeapparentlyinsolventwithinthemeaningoftheBankruptcy(Scotland)Act1985orhaveatrusteeinsequestrationappointedtoyour estate;

28.2.2.9 anysimilaroranalogouseventorproceeding(orwhichhasanequivalentorsimilareffect)tothoseset out in clauses 28.2.2.2 to 28.2.2.8 occurs in relationtoyouinanyjurisdictiontowhichyouare subject;

28.2.2.10 anyeventorcircumstancebecomesknowntoFirst Datawhich,inoursoleopinion,givesrisetofraudorsuspicionoffraudorothercriminalactivity,orcausesormaycauseFirst DatatobeinbreachofanylegalorregulatoryrequirementsincludingCardSchemeRules,orisjeopardisingormayjeopardisetheintegrityorsecurityofanyofourorouragentscomputer systems;

28.2.2.11 ifwearerequiredtodosobyanyCardScheme;

28.2.2.12 the number of Chargebacks in relation to yourBusinessareinourreasonableopinionexcessivelyhigh;or

28.2.2.13 ifyoufailtoAttestyourcompliancewiththePCIDSSasrequiredinclause12.5withinsix(6)monthsofusgivingyounoticeofyournoncompliance.

29. Effects of termination

29.1 Termination of your Merchant Agreement shall not affectobligationsalreadyincurredandinparticularclauses11to17,19,20and22andclauses29to36 shall remain in full force and effect.

29.2 If your Merchant Agreement is terminated:

29.2.1 byFirstDataunderclause28.2,youagreethatwemay notify the Card Schemes of the termination and the reasons for it and that details of your MerchantAccountmaybenotifiedtotheCardSchemesandcreditreferenceagencies;

29.2.2 you may not commence Card Transactions after the date of termination of your Merchant Agreement;

29.2.3 youmaynotuse,afterthedateofterminationofyourMerchantAgreement,ourorouragentsnames or any of our trademarks or logos or any promotionalmaterialsweorouragentshaveprovidedtoyouorwhichrefertoFirstDataortheprovisionofMerchantServicesbyusorouragentstoyouas a Merchant;

29.2.4 all Vouchers and Card Refund Data shall be presentedbyyoutoFirstData;

29.2.5 youwill,atyourcost,disconnectallEquipmentandanyElectronicLinksandallowFirstDataaccesstoremoveallTerminalsandotherEquipmentwhichweorouragentshavesuppliedtoyou.Ifwesodirect,youmustatyourcost,returntoFirstDataorouragentsassoonaspossibleallTerminalsandotherEquipmentwhichweorouragentshavesuppliedtoyou;and

29.2.6 youwillpayustheTerminationfee(ifapplicable).

30. Rights of third parties

30.1 Your Merchant Agreement shall not be enforceable byathirdpartyexceptthatanyrightsandanyexclusionorlimitationofliabilityinanytermmaybeenforcedbyorrelieduponbyouragentsunderthe Contracts (Rights of Third Parties) Act 1999.

31. Entire agreement

31.1 YourMerchantAgreementtogetherwithanydocumentsreferredtoinitandanyvariationto it constitutes the entire agreement and understandingbetweenFirstDataandyourelatingto its subject matter.

31.2 YourMerchantAgreementsupersedesallpriororalorwrittenagreements,representationorwarrantiesincludinganypreviousmerchantagreementsbetweenyouandFirstDataprovidedthatanychargesschedulesetoutinapreviousmerchantagreementwillcontinuetoapplyuntilamendedorreplaced.Anyliabilitiesforandanyremediesinrespectofanysuchagreements,representationsorwarrantiesmadeareexcluded,saveonlyinrespectofsuchasareexpresslymadeorrepeatedinyourMerchantAgreementoranyaccruedrights,liabilitiesandobligationswhichhavearisenunderanypreviousmerchantagreementsbetweenyouandFirstDatawhichwill continue.

31.3 YouhavenotenteredintoyourMerchantAgreementinrelianceonanyoralorwrittenagreement,representationorwarrantyfromFirst Data,otherthanthoseexplicitlysetoutinyour Merchant Agreement.

31.4 Fortheavoidanceofdoubt,nothinginthisclause31shalloperatetoexcludeliabilityforanyfraudulent statement or act.

32. Remedies cumulative

ExceptwhereexpresslyagreedotherwiseinyourMerchantAgreement,therightsandremediesofyouandFirstDataunderyourMerchantAgreementarecumulative,maybeexercisedasoftenasweoryouconsiderappropriateandare in addition to your or our rights and remedies under general law.

33. Waiver and enforceability

33.1 NofailuretoexerciseordelaybyFirstDatainexercisinganyright,powerorremedyprovidedbylaworunderyourMerchantAgreementshallimpairthesameorbeconstruedasawaiverorrelease of that right.

33.2 IfanyprovisionofyourMerchantAgreementisheldtobeinvalidorunenforceable,thensuchprovisionshall(sofarasitisinvalidorunenforceable)begivennoeffectandshallbedeemed not to be included in your Merchant Agreement,butwithoutinvalidatinganyoftheremainingprovisionsofyourMerchantAgreement.

34. Assignment/Assignation

34.1 Wemayassign(whetherinwholeorinpart),novate,transfer,disposeof,chargeordealinanyothermannerwith,yourMerchantAgreementandanyinterestorrightsthatwemayhaveunderyourMerchantAgreementuponnoticetoyou.Youagreetoenterintosuchdocumentsaswemayreasonablyrequireinordertoeffectsuchnovation,transfer,disposal,chargeordealing.

34.2 Youmaynotassign(whetherinwholeorinpart),novate,transfer,disposeof,chargeordealinanyothermannerwith,yourMerchantAgreementnorany interest or rights or burdens under your Merchant Agreementwithoutourpriorwrittenconsent.

35. Joint and several liability

35.1 Ifyoucomprisemorethanoneperson,thenyourliability under your Merchant Agreement is joint and several.Thismeansthateachofyouistreatedlegallyashavingassumedtheobligationbothcollectively,onbehalfofeachofyouandindividually.WemayproceedagainstanyoneormoreofyouforthefullperformanceofanyobligationowedtoFirst Dataunder your Merchant Agreement or for all losses or damage arising from a breach or failure by any of you toperform,irrespectiveofwhichofyoucausedthebreach.Ifsuchpersonsareapartnership,thenanyactoromissionofanyonepartnershallbedeemedtobeanactoromissionofallpartners.

35.2 OnterminationofyourMerchantAgreement,yourMerchantAgreementwillterminatewithrespecttoallofyouwhoarejointlyandseverallyliable,subjectto clause 29.

36. Governing law

ThisAgreementandanydisputeorclaimarisingoutoforinconnectionwiththisAgreementoritssubjectmatterorformation(includingnon‑contractualdisputesorclaims)shallbegovernedbyandconstruedinaccordancewiththelawsofEnglandandWalesandthepartiesirrevocablyagreethattheEnglishcourtsshallhaveexclusivejurisdictiontosettleanydisputeorclaimarisingoutoforinconnectionwiththisAgreement or its subject matter or formation (including non‑contractualdisputesorclaims).

37. Gateway Services

IfyousubmitTransactionstoFirstDatausingtheGatewayServices,thefollowingtermsandconditionsshallapply,inaddition to all other terms of your Merchant Agreement:

37.1 Description of the Gateway Service.

37.1.1 UseofSoftwareandDocumentation.Weherebygranttoyouapersonal,non‑exclusiveandnon‑transferablerighttousethePlatform,SoftwareandDocumentationinordertoavailoftheGatewayServicesinrelationtotheCardTransactions,forthepurposesexpresslydescribedintheDocumentation,andforotherCardTransactionswhichwehaveexpresslyagreedtoprocess.IntheeventofconflictbetweenyourMerchantAgreementandanythingsetoutintheDocumentation,yourMerchantAgreementshallprevail.

37.1.2 Restrictions.Youshallnot,andshallnotcauseorpermitanythirdpartyto:

37.1.2.1usetheGatewayServicesinanyway,otherthaninaccordancewithyourMerchantAgreementorasotherwiseinstructedbyusin writing;

37.1.2.2circumventorattempttocircumventanyapplicablesecuritymeasuresofanyelementoftheGatewayServicesincludingdisassembling,decompiling,decrypting,extracting,reverseengineeringormodifyingtheSoftware,orotherwiseapplyinganyproceduresorprocesstotheSoftwareinordertoascertain,derive,and/orappropriateforanyreasonorpurpose,thesourcecodeorsourcelistingsfortheSoftwareoranyalgorithm,process,procedureorotherinformationcontainedintheSoftware;

37.1.2.3exceptasspecificallyauthorisedinaccordancewithyourMerchantAgreement,allowtoanythirdpartyaccesstotheGatewayServicesotherthantoyourauthorisedemployeesandcontractorswhoaresubjecttoawrittenconfidentialityagreement,thetermsofwhicharenolessrestrictivethantheconfidentialityprovisionsoftheseTermsand Conditions;

37.1.2.4 makeanycopiesoftheDocumentation,exceptasnecessarytocomplywiththeobligationsofyourMerchantAgreement;or

37.1.2.5 removeoralterinanywaywhatsoeveranycopyrightnoticeoracknowledgementsappearingonanyelementoftheGatewayServicessavetotheextentinstructedandapprovedinwritingbyus.

37.1.3 Passwords.YoushallensurethatifyoureceiveapasswordfromustoaccessanyelementoftheGatewayServices,youwill:(i)keepthepasswordconfidential;(ii)notallowanyotherpartytousethepasswordorgainaccesstotheGatewayServicesexceptasexpresslyagreedbyus;(iii)beliableforallactsoromissionsofanyuserofthepassword;and

(iv)notifyusimmediatelyiftheGatewayServiceshavebeencompromisedbyuseofthepassword.IfyoureceivepasswordsfromathirdpartyonourbehalforotherwiseinconnectionwithyourMerchantAgreement,youmustprotectsuchpasswordsinthemannerrequiredbysuchthird party.

37.2 Gateway Service Integration

37.2.1 IntegrationwithMerchantSystems.WhileweprovidetheGatewayServicestoyou,youacknowledgethattheGatewayServicesareinthemselvesinsufficienttoallowyourMerchantSystemstofunctionwiththegatewaysprovidedaspartoftheGatewayServices.Programming,developmentandmaintenanceoftheMerchant Systems and their functionality are your soleresponsibility.You havetheultimateresponsibilityto ensure the Merchant Systems function correctly. Youshallberesponsibleforalltechnicalsupportforthe Merchant Systems and integration issues on yourside.Youwillberesponsibleforallofyourowndevelopmentandimplementationcostsassociatedwithsuchintegration.

37.2.2 ShutDownsandSuspension.Wereservetherightinourabsolutediscretion,withoutpriornotice,tosuspendtheprovisionoftheGatewayServicesforareasonableperiodoftimeforanyreasonincluding,butnotlimitedto,maintenanceand/orGatewaySoftware upgrades.

37.3 Intellectual Property Rights

37.3.1 AllIntellectualPropertyRightswithrespecttotheGatewayServicesandFirstDatanames,trademarksandbrands,whethernowexistingorinthefuture,arereservedtoFirstDataanditslicensor(s)(asmaybe the case).

37.3.2 SaveforthelimitedlicencegrantedunderSection37.1.1,nothinginyourMerchantAgreementshallbeinterpretedasgrantingtoyoualicencetouseFirst Data’soritslicensorsIntellectualPropertyRights.

37.3.3 Youwillpromptlynotifyusofanyinfringementorthreatened infringement or of any challenges to validityorownershipofanyIntellectualPropertyRightsorotherrightsbelongingtoFirstDatawhichyoubecomeawareandyouwillprovidereasonableassistancetous,atourreasonableexpense,inconnectiontherewith.

37.3.4 Wemayinclude,atourdiscretion,yourcompanyname,descriptionandhyperlinkonourwebsiteandother marketing material.

37.3.5 Youmay,atyourdiscretion,displayanygraphicorhyperlinkprovidedtoyoubyusonyourwebsite(s)(withoutalteringtheformorpresentationofsuchgraphic,andinnowaythatimpliesorrepresentsthatyouoperateorownanyelementoftheGatewayServicesandourrelatedbrand(s)).

37.4 Legal Responsibility

37.4.1 Youacknowledgethatneitherwenoranyofoursubcontractorsunderwritesoragreestocompensateyouoranythirdparty(includingyourcustomers)forthevalueofanyCardTransaction(orCardTransaction Data) as a result of any failure or delay inprocessingofanysuchCardTransactionpursuanttoorinconnectionwiththisMerchantAgreement.Your sole remedy for such failure or delay shall be forustousecommerciallyreasonableendeavourstocompleteprocessingoftherelevantTransactionassoonaspracticableafterreceiptofnotificationfromyouoftherelevantfailureordelay.

37.4.2 TheprovisionofGatewayServicesbyusdoesnotgiverisetoadditionalorseparateliabilityforthe Authorisation or non-Authorisation of Card Transactions,Chargebacksoranyotherlossesincurred by you.

37.4.3 YouacknowledgeandacceptthatwewillonlybeabletoprovidetheGatewayServicestoyouifyouproperlycollectanddeliverrelevantdata(including,ifapplicable,CardTransactionData)tousinaccordancewiththeGatewayDocumentationorasotherwiseadvisedbyus.

37.4.4 YouacknowledgeandacceptthatneitherwenoroursubcontractorsshallhaveanyliabilitywhatsoeverorhowsoevertoyouinrelationtoanydatasubmittedbyyouortheresultsoftheGatewayServices,includinganyAuthorisationrequestsoughtonyourbehalf.

37.4.5 Youacknowledgeandacceptthatwe donotinanywayguaranteethevalidor non‑fraudulentuseofanypaymentmethodforthepurchaseofgoodsorservicesorofanyoftheGatewayServicesbyyourcustomers.FraudulentorinvaliduseofapaymentmethodcannotbeexhaustivelycheckedforandweexpresslyexcludeanyliabilityforinvalidorfraudulentuseofanypaymentmethodoranyoftheGatewayServices,tothemaximumextentpermittedbyApplicable Laws.

37.5 Indemnification

37.5.1 You shall on demand indemnify and hold harmless First Data and its subcontractors and our and their officers,directors,employees,shareholdersandagentsfromandagainstallloss,liabilities,actions,claims,proceedings,demands,damagesandexpenses(includinglegalfees)arisingoutoforinconnectionwithanyrepresentationsmadetoacardholderconcerningtheGatewayServices,including any communications made to a cardholder abouttheavailabilityornon‑availabilityoffundsinitsaccount.Foravoidanceofdoubt,theindemnificationprovisionssetoutatsection14abovealsoapplytotheGateway Services.

38. Fraud Detect Services

38.1 Whereyouhaveelectedtopurchasefrauddetectservices(describedinmoredetailinSections38.2and38.3below)(the Fraud Detect Services),thetermsofthisSection38shallapplytoyouandshallformpartofyourMerchantAgreementfromthetimethefirstFraudDetectrealtimescoreissuccessfullyprovidedbyustoyou.Accordingly,anyreferencetoGatewayServicesintheseMerchantConditionsor your Merchant Agreement shall be deemed to includereferencetotheFraudDetectServices.If anythinginthisSection38conflictswithanyotherMerchantConditions,thetermsofthisSection38willtakeprecedenceinrespectoftheFraudDetectServicesonly.

38.2 TheFraudDetectServiceswillprovideyouwithinformationusingTransactionData,fraudproductsand/ordataelementsyouprovideormakeavailabletous(whichmayincludegeolocationinformationanddeviceidentification),toassistyouindetectingfraudonapplicableTransactions.TheinformationwewillprovidetoyouandthefraudproductsweusetoprovidethatinformationtoyouwillvarydependingontheFraudDetectpackagethatyoupurchase.TheFraudDetectServicesincludedataprovidedbyourthirdpartyserviceproviders.

38.3 Fraud Detect Package Options:

38.3.1 Essentials Package:Usingafixedreal‑timerulesengine(whichusesfixedtransactionvelocityrules,deviceIDattributes,andnegativelook‑uprules),wewillprovide:

(a) Real‑TimeScore,consistingofapass/failrecommendation;

(b) Operationalreporting:

(i) Positive/NegativeListReport–indicatesthedataelementsaddedtothepositiveandnegativetables

(ii) RulePerformanceReport–outlineshoweffectivelytherulesetisperforming

(iii) Accept/RejectReport–numberoftransactionsprocessedandwhethertheywereacceptedorrejected

38.3.2 Advanced Package:Usingaplatform/industryspecificfixedreal‑timerulesengine(whichusesfixedtransactionvelocityrules,deviceIDattributes,andnegativelook‑uprules)andaplatform/industryspecificintelligentmachinelearningalgorithm,wewillprovide:

(a) Real‑timeScore,consistingofapass/fail/reviewrecommendation;

(b) Access to a case management interface to review/resolvetransactionalerts;

(c) Operationalreporting:

(i) FraudandFalsePositiveReport–monthlytransactionalhistory,fraudandfalsepositiverates

(ii) RulePerformanceReport–outlineshoweffectivelytherulesetisperforming

(iii) ModelPerformanceReport–monitorsmachinelearningmodelperformance

(iv) FraudDetectTransactionScoreReport– arepresentationofthetransactionscoring

(v) Accept/Reject/ReviewReport–numberoftransactionsprocessed,andiftheywereaccepted,reviewedorrejected

(vi) AnalystEfficiencyReport(self‑managedmerchantsonly)–outlinesfraudanalystKeyPerformanceIndicators

38.3.4 AdditionalFraudDetectmanagedandprofessionalservicesarealsoavailablebutaresubjecttoyouenteringintoaseparateadditionalagreementwithusforthose services.

38.4 WemayretainthedataprocessedinconnectionwiththeFraudDetectServicesforstatisticalanalysisandelementsofsuchdata,includingdatafromfraudulenttransactions,maybeused,retained,andsharedwithouranalystsanddevelopers(includingourGroupandourthirdpartycontractorswhoaresubjecttonondisclosureobligations)tohelpimprove

theFraudDetectServicesandhelpidentifyfurtherfraud.WewillnotdisclosethesourceofthedataoranypersonallyidentifiableinformationofanyofyourcustomerstoourothercustomersreceivingtheFraudDetectServices.However,suchdatamaybeanonymisedandincorporatedintothefraudmodels,scoresandreportingprovidedtootherFraudDetectServicescustomers.

38.5 YourepresentandwarrantthatyouhavetherighttoprovideormakeavailableanydataprocessedbyusunderyourMerchantAgreementforouruse,retention,andsharingasdescribedinSection38.4.

38.7 In addition to any termination rights under the Agreement,wemayterminatetheprovisionofFraudDetectServicestoyouuponwrittennoticetoyouifourrightsoraccesstothirdpartyserviceproviders’technologyorsoftwareusedtoprovidetheFraudDetectServicesisterminated.

38.8 UponterminationoftheFraudDetectServicesforanyreason,youagreetopayanyfeesorexpensesincurredforyouruseoftheFraudDetectServicespriortotheterminationdate,ceaseattemptstoaccesstheFraudDetectServices,andreturnallusermanualsorothermaterialsreceivedinconnectionwiththeFraudDetectServices.

38.9 TheFraudDetectServicesareprovidedtoyou“AsIs”withoutrepresentationsorwarrantiesofanykind,andwedisclaimallexpressandimpliedwarranties.We make no assurances that the Fraud Detect Serviceswillaccuratelyidentifyeveryinstanceoffraud,orthateverytransactionthatmayappearfraudulent is in fact so.

39. Virtual Terminal

IfyouuseaVirtualTerminal,thefollowingtermsandconditionsshallapply,inadditiontoallothertermsofyourMerchant Agreement:

39.1 Service Specification

39.1.1 ThefollowingarenotwithinthescopeoftheVT Services:

(a) theprovisionofhardwareorsoftware;

(b) theconnectionanddatatransferbetweenyouandtheCardholder;

(c) datatransmissionthroughthird‑partytelecommunicationsnetworksortheflowofinternetdatatraffic(weactonlyasaconduitforthetransmissionofdataandhavenoinfluenceoverthisandacceptnoresponsibilityforavailabilityorreliabilityinthis regard).

39.2 Your Obligations

39.2.1 You must:

(a) provideuswithalltherelevantinformationthatisnecessaryfortheperformanceoftheVTServices;

(b) atalltimescomplywiththecurrentversionofour AcceptableUsePolicyassetoutin section39.1.1;and

(c) haveinternet‑compatiblehardwareandsoftware,aninternet connection and an interface that enables you tousetheVTServices.

39.2.2 Compliance.YouagreetocomplywithallApplicableLaws,CardSchemeRulesandcodesofpracticeincludingPCIDSSthatapplyorrelatetotheVTServicesorotherwisetoyourMerchantAgreement.

39.3 Ownership and Acceptable Use of a Terminal

39.3.1 Youacknowledgethatalltitle,rightandinterestinanytechnologythatisprovidedwiththeVTServices,andanyofourtrademarksorservicemarksarevestedinusorinourlicensors.Youshallhavenoright,titleorinterestinanyoftheabove,exceptforanyrightspecificallygrantedtoyouinyourMerchant Agreement.

39.3.2 Youmaynotreproduce,duplicate,copy,sell,resell,orexploitanyportionoftheVTServiceswithoutourpriorwrittenconsent.YouwillnotusetheVTServicesinamannerprohibitedbyanyApplicableLaws,andyouwillabidebyallapplicableMerchant Conditions.

39.3.3 Withoutlimitingclause39.3.2,youshallnot:

(a) usetheVTServices,orallowtheVTServicestobeused,foranyabusivepurposeorinanywaythatdamagesourSystemsorinterfereswithordisruptsourotherusers;

(b) attempttocircumventuserauthenticationorsecurityofanyhost,System,oraccount(alsoknownascrackingorhacking).Thisincludes,butisnotlimitedto(i)accessingdatanotintendedforyou,(ii)loggingintoaserveroraccountthatyouarenotexpresslyauthorisedtoaccess,and(iii)probingthesecurityofothernetworks;

(c) attempttointerferewithservicetoanyuser,host,orSystem(denialofserviceattacks).Thisincludes,butisnotlimitedto(i)floodingofnetworks,(ii)deliberateattemptstooverloadaservice,and(iii)attemptstocrashahost;

(d) useanykindofprogram/script/command,orsendmessagesofanykind,thataredesignedtointerferewithauser’ssession,byanymeans,locallyorthroughtheinternet;

(e) usetheVTServicesortakeanyactionthatwillresultin(i)excessiveconsumptionorutilisationofourSystemorSystemresources,(ii)weakeningofourperformance,or(iii)reducedperformanceoftheVTServicesforothercustomers,allasdeterminedinoursolediscretion.IntheeventthatwedetectexcessiveorabusiveuseofyourVTServices,wemay:(i)restrictyouraccesstotheVTServices,(ii)increasetheVTCharges,includingupgradingyoutoahigherclassofVTServices,and/or(iii)terminateorsuspendyourVTServices.WehavetherighttorestrictanyuseoftheVTServicesthatwebelieve,violatetheAgreementoranyApplicableLaws;or

(f) give,sub‑licenceorsell,orgrantanyformofsecurity,lienorotherencumbranceoveralloranypartof,theVTortheVTTransactionData.Youshallpreventanythirdparty,otherthanouragents,fromusingtheVTexceptaswemayagreeinwriting.

39.3.4 WemayimmediatelysuspendorterminateyourVTServiceswithoutnoticetoyouifwesuspect(i)abuseorfraudulentuseoftheVTServices,(ii)interferencewithourSystem,or(iii)aviolationoftheAgreement.Youwillcooperatewithusinanyfraudinvestigationanduseanyfraudpreventionmeasuresweidentify.YourfailuretocooperatemayresultinthesuspensionorterminationofyourVT Services.

39.3.5 YoumustoperateandmaintaintheVTinaccordancewiththetermsoftheAgreement,theVirtualTerminalUserGuideandanyotherrequirementsaswenotifyyou from time to time.

39.3.6 Cardsacceptedbyyouunderanyagreementotherthan your Merchant Agreement may be used withourVTonlywithourpriorwrittenconsent.Youacknowledgethatwehavenoresponsibilitytoreimburseyouforthecostofgoods,services,accommodationorotherfacilitiessuppliedagainstpresentationofsuchCards.

39.3.7 Wemayatanytimeinspect,test,remove,replace,alter,amendorupdatetheVT(otherthanTransactionDatastoredwithintheVT),andinspectanyElectronicLinkandmakecopiesofanyVTTransactionData,whereverstored.

39.4 No Warranty

39.4.1 TheVTServicesareprovidedonan“asis”and“asavailable”basiswithoutwarrantiesofanykind,eitherexpressorimplied,saveforthosestatutoryandimpliedwarrantiesthatcannotbeexcluded.

39.4.2 Anystatementsmadeinanypackaging,manualsorotherdocuments,orbyanyofouremployeesorrepresentatives,areprovidedforinformationpurposesonlyandnotaswarrantiesbyus.

39.4.3 VTServicesareonlyavailablewithinthecoverageareaofourSystem,whichissubjecttochange.Youacknowledgethatservicemaybetemporarilyunavailableforscheduledorunscheduledmaintenance,equipmentmodificationsorupgrades,andforotherreasonswithinandwithout ourdirectcontrol.

39.4.4 Althoughsecuritymeasuresareemployed,wecannot guarantee the security of data transmission orstorage,orthatviruses,worms,trojanhorses,or other code that manifests contaminating ordestructivepropertieswillbedetectedorremediatedbytheservice.

39.5 In addition to the effects set out at section 29 above,clause39.4shallsurviveterminationofyour Merchant Agreement.

39.6 Suspension of VT Services

39.6.1 Withoutprejudicetoanyotherrights,wewillbeentitledtosuspendtheVTServicesif:

(a) youhavefailedtopaytheVTChargesorothersumspayablebyyouwithin30daysofthedue date;

(b) wesuspectthatyouareinvolvedinfraudulent activity;

(c) wereasonablybelievethatyourWebsite,scriptorotherapplicationisthecauseofinterruptionstoourabilitytoserviceothercustomers;

(d) thereisaforcemajeureevent;or

(e) youareinbreachoftheAcceptableUsePolicy.

39.6.2 Theperiodofsuspensionshallbeatourdiscretionandwewillinformyouinwritingofthereasonforsuspension(otherthaninthecaseofasuspensionunderclause39.6.1(b)).Youmaybegivenanopportunitytoremedytheproblem.

39.7 Acceptable Use Policy

39.7.1 ThisAcceptableUsePolicyformspartoftheAgreementbetweenFirstDataandyourelatingtotheprovisionbyusofVTServicesanditissubjecttoreviewinoursolediscretionfromtimetotimebyus.PleasereadandfollowthisAcceptableUse Policy carefully.

39.7.2 ProhibitedActivities

Forthebenefitofallmerchants,asaconditionoftheVTServices,weprohibitthefollowing:

(a) Intellectual Property Infringement. You may not usetheVTServicestostore,transmitorreceiveany material that infringes on any Intellectual PropertyRightsofanyperson.

(b) Objectionable Material. You may not use the VT Servicestostore,post,transmit,ordisseminatematerialorinformationthatisunlawful,harmful,threatening,abusive,harassing,libellous,defamatory,hateful,obscene,indecent,orotherwiseobjectionableorwhichencouragesorparticipatesinconductthatwouldconstituteacriminaloffence,givesrisetoacivilliability,orotherwiseviolatesanyApplicableLaws.

(c) Fraudulent Activity. You may not use the VT Servicestomakefraudulentofferstosellorbuyproducts,items,orservicesortoadvanceanytypeoffinancialscamsuchaspyramidschemes,Ponzischemes,orchainletters.Youmaynotusetechniquestohideorobscurethesourceofanye-mail or other communication.

(d) Impersonation. YoumaynotusetheVTServicestoimpersonateanyperson,falselystateormisrepresentyouraffiliationwithanyperson,orcreateafalseidentityforthepurposeofmisleadingothers.Withoutlimitingtheforegoing,youmaynotuseinvalidorforgedheaders,invalidornon‑existentdomainnamesorothermeansofdeceptiveaddressing.

(e) Software Viruses. You may not use the VT Servicestouploadfilesortransmitanymaterialthatcontainsviruses,worms,trojanhorses,timebombs,cancelbots,corruptedfiles,orother code that manifests contaminating or destructive properties.

(f) Collecting Information. You may not use the VT Servicestostoreorcollect,orattempttostoreorcollect,personalinformationaboutthirdpartieswithouttheirpriorknowledgeandconsent.

(g) Use of Your Account by Others. Youmaynot,throughactionorinaction,allowotherstousetheVTServicesforillegalorimproperactivitiesorforanypurposeorinanymannerprohibitedbythisAcceptableUsePolicy.YoumaynotpermityourSystem,throughactionorinaction,tobeconfiguredinsuchawaythatgivesathirdpartythecapabilitytousetheVTServicesinanillegalorimpropermannerorforanypurposeorinanymannerprohibitedbythisAcceptableUsePolicy.

(h) Reselling. You may not directly or indirectly reproduceduplicate,copy,sell,provision,resell,rent,lend,pledge,transfer,distributeorexploitanyportionoftheVTServiceswithoutourpriorwrittenconsent.

(i) Security Precautions. Youaresolelyresponsibleforimplementingsufficientproceduresandcheckpointstosatisfyyourparticularrequirementsforaccuracyofdatainputandoutput,andformaintainingameansexternaltotheVTServicesfor the reconstruction of any lost data.

(j) Violations of Acceptable Use Policy. In the eventthatyouviolatethisAcceptableUsePolicy,wemay,withoutlimitation,restrictyouraccesstoourSystemorimmediatelyterminateorsuspendyourVTServicesinaccordancewithclause39.6.

(k) Monitoring the Service.WehavetherighttomonitororrestrictanyuseoftheVTServicesthatwebelieveviolatesthisAcceptableUse

Policy,anypartofyourMerchantAgreementorApplicableLaws.YouaresolelyresponsibleforallcontentthatyoutransmitorreceiveutilisingtheVTServices,andareresponsibleforabuseofyouraccountbyothers.ToprotectourmerchantcustomersandourSystem,wemayblockandallowtraffictypesasweseefitatanytime.

(l) Reporting Violations.WerequestthatanyPersonwhobecomesawareofaviolationofthisAcceptableUsePolicyreporttheinformationtous.Ifavailable,pleaseprovidetheIPaddressusedtocommittheallegedviolationandthedateandtimeoftheallegedviolation.Wemaytakeanyappropriateactionaswedeemfit,including,butnotlimitedto,oneormoreofthefollowing:issueawarning;suspendtheMerchant’sAccount;terminatetheMerchant’sAccount;bringappropriatelegalactiontoenjoinviolationsand/ortocollectdamages,ifany,causedbyviolations.

(m) Notices and Procedure for Making Claims of Copyright Infringement.Ifyoubelievethatyourcopyrightortrademarkhasbeenusedbyoneofourmerchantswithoutpermission,suchthat the use may constitute infringement of your IntellectualPropertyRights,youmustsendanoticeinaccordancewithsection25.
