MEMORANDUM OF UNDERSTANDING BETWEENTHE CITY OF HOOVER, ALABAMA; THE PUBLIC PARK AND RECREATIONBOARD OF THE CITY OF HOOVER; AND JEFFERSON COUNTY, ALABAMA
This Memorandum of Understanding ("MOU") is made and entered into this __ dayof June 2014, by and between the City of Hoover, Alabama, a municipal corporation (hereinafterreferred to as the "City"), the Public Park and Recreation Board of the City of Hoover(hereinafter referred to as the "Park Board"), and Jefferson County, Alabama (hereinafterreferred to as "County").
WITNESSETH THAT:
WHEREAS, the County is charged, by the state of Alabama, with providing vehicle tagrenewal services to the residents of Jefferson County, Alabama, and wishes to provide theseservices in an additional location to more efficiently serve the densely populated Southern areaof the county; and
WHEREAS, there is existing office space available at the Hoover Metropolitan Stadium("Hoover Met") owned by the Park Board that would accommodate the County's tag renewalprocess and the Hoover Met is centrally located with convenient access from the interstate andample free parking;
WHEREAS, the City also wishes to provide the convenience of tag renewal services toits residents; and
WHEREAS, in order to provide tag renewal services to ALL residents of JeffersonCounty, the City, Park Board and County deem it necessary to enter into this MOU.
NOW, THEREFORE, the parties hereto agree as follows:
1. The Park Board will immediately make available to the County the former ticketsales offices at the Hoover Met, located at 100 Ben Chapman Drive, Hoover,Alabama 35244 ("the Area"), at no cost to the County. The ticket sales officesare more specifically located near the current Park Board's administrative offices.
2. The County will use the Area to provide tag renewal services to all residents ofJefferson County, including Hoover residents, beginning August 1, 2014. TheCounty will provide services to the public Monday through Friday, from 8:00a.m. to 5:00 p.m., except for recognized national, state and local holidays,inclement weather and when mutually agreed upon between the parties. TheCounty will cooperate with the City and Park Board to accommodate events at theMet.
3. The City of Hoover will provide all utilities (electrical, water, and sewer) as wellas heating and air conditioning, restrooms, housekeeping and maintenance
services for the Area, and walk-in safe, at no cost to County. County will provideits own telecommunication, data communication, computer, software, and relatedtechnology at its own expense. County agrees that it will undertake no alterationsto the Area without first obtaining the prior written approval from the City andPark Board.
4. The Hoover Police Department will provide roving patrols for increased security.
5. The City, Park Board and County understand that this MOU is temporary and thatthe goal of this MOU is to provide immediate services to the public. The partieswill continue due diligence to locate a more permanent facility in Hoover whereexpanded services may be provided to the residents of Jefferson County by theCounty to include all services currently provided at other County RevenueDepartment annexes.
6. Each party, City, Park Board or County, has the right to terminate this MOU bygiving at least sixty (60) days prior written notice to the other parties. ThisMemorandum of Understanding will terminate automatically should the Countycease providing services as defined by this MOU. The effective termination datewill be 12:00 a.m. (midnight) on the day following the day that the last service isprovided by the County in the Area.
7. Any notice, whenever required or permitted under the provisions of this MOU,shall be in writing and sent by a nationally recognized overnight carrier, handdelivered, or mailed by U.S. mail, via first class mail with prepaid postage,addressed to the other parties as follows:

Such notice shall be deemed to have been given when received or, if given by U.S.Mail, within three days after the deposit of such notice in the U.S. Mail, via firstclass mail, postage prepaid.
IN WITNESS THEREOF, the parties hereto, in their duly authorized representativecapacity, have caused this Memorandum of Understanding to be executed as of the day and yearfirst above written.
