Attached is the InterContinental Los Angeles agreement for your comments.  Here are a few things I would like to see changed:  CUT OFF DATE:  If there are rooms available we get our rate not rack rate.  EARLY DEPARTURE FEE: I feel there shouldn’t be an early departure fee as long as we are still within our attrition number.  GUEST ROOM ATTRITION/ROOM BLOCK REVIEW:  I would like 80% not 90%.  RESERVATION PROCEDURES:  3rd paragraph – Cancellation in 24 hours not 48 and only pay for that night.  BILLING ARRANGEMENTS:  We should be billed and not pay the entire balance October 30th.  CREDIT CARD BILLING:  3rd paragraph – We should not be responsible for “any balance due”, just the previously stated items the company is responsible for – room, tax and parking.  If the hotel is negligent in getting a crew members credit card and there are room charges they walk away from we should not be responsible for that.  PRIOR APPROVAL:  I don’t believe this applies to us.  Please let me know your thoughts.  Thanks,  Robin     From: Jennifer Smith [mailto:[email protected]] Sent: Wednesday, October 23, 2013 9:09 PM To: Robin Le Chanu Cc: Kate Galbraith; Tim Patterson; Noah Gorin Subject: Re: Greetings from the InterContinental Los Angeles / RE: Columbia Pictures Production Group Hello! The rates provided for the Group have been negotiated based on the needs and the size of the Group over the dates specified. All rates are subject to the appropriate state, local and any occupancy taxes in effect at the time of the Group’s meeting. These taxes are currently 14% percent plus CA Assessment Tax of $0.19 per unit and 1.5% LA Tourism Assessment Tax, per day. These rates are confirmed on a net non-commissionable basis.

SPECIAL CONCESSIONS

CUT OFF DATE We have established a cut-off date of October 25, 2013 by 5:00pm for guest room accommodations. Any requests received after this date shall be handled on a space available basis. If the group rate is not available after the cut-off date, the prevailing rack rates will apply for any reservations confirmed. Additionally, after such date, we have the right to release the rooms not reserved. EARLY DEPARTURE FEE Hotel will apply an early departure fee equal to one night room and tax based on the rate for that evening to the guest’s individual account for any guest that fails to inform the Hotel of a change in departure and/or length of stay the time of guest check in. Guest wishing to avoid an early checkout fee should advise the hotel at or before check-in of any change in planned length of stay. The Hotel will inform members of your group of this potential charge upon check-in and request that you also inform your attendees of this obligation. The hotel will deduct any collected early departure fees from the amount you may owe as performance damages. GUEST ROOM ATTRITION/ROOM BLOCK REVIEW In the event the guestroom pickup falls below 90% (126 Room Nights) of the original confirmed block, Group will be responsible for 100% of the reduction multiplied by the room rate of $180.00, plus applicable taxes. RESERVATION PROCEDURES Rooming List – Room and Tax and Parking to the Master Account We understand you have decided to forward a Rooming List with Room and Tax and Parking charges billed to the Master Account, we request this list be submitted to the Hotel no later than October 25, 2013 by 5:00pm. This list should denote specific arrival and departure information. Note: Rooming List has been submitted Reservations must be guaranteed with a credit card or to a Master Account for each room reserved. Cancellation will be accepted up to 4:00 p.m. forty-eight (48) hours prior to arrival. After 48 hours, a cancellation or no-show will result in a charge of one (1) night’s room and tax and will be charged to the Master Account. The room will count towards the group pick-up requirement. Subject to availability, the Hotel will allow Group members to extend their stay up to three (3) days prior and three (3) days after the official meeting dates at the group rate based upon availability. Furthermore, reservation requests received after the cut-off date will be accepted on a space and rate available basis. Please note our guest check-in time is 3:00 P.M. Every attempt will be made to accommodate those guests arriving prior to 3:00 P.M. Check-out time is 12:00 P.M. A credit card will be required upon check-in to guarantee incidentals. The Hotel does not accept debit cards as a method of payment.

DEPOSIT A deposit of $7,000.00 is to be paid to the Hotel on signature of contract. BILLING ARRANGEMENTS The Hotel accepts all major credit cards for payments of a portion or the entire balance of your Master Account. All estimated charges for the event are due in full in form of certified funds or through a major credit card 3 business days prior to the event (October 30, 2013). CREDIT CARD BILLING In order to guarantee the room block listed above, credit card information must be submitted to the hotel to be used as a guarantee. The information below must be completed and submitted with the signed contract. A credit card guarantee must be supplied with the signed Contract as a guarantee of payment for any additional charges. Please complete the attached Credit Card Authorization form. This Contract authorizes the InterContinental Los Angeles Century City to charge the credit card on file for any unpaid amount upon the group departure. Upon payment, the InterContinental Los Angeles Century City will call the credit card Company and release the hold on the authorized amount. Any balance due will be placed on a valid credit card upon completion of your event and any overpayments will be refunded within two weeks of your event. SHIPMENTS For storage purposes, any shipments made to the hotel should be scheduled to arrive no earlier than three days prior to your function and should have the name of your function, date of meeting, name of Catering/Conference Service Manager plus inside delivery specified. PACKAGE HANDLING FEE 1 – 5 boxes (10lbs and under): Complimentary 6 or more: $5.00 per package + tax All pallets: $150.00 each + tax PRIOR APPROVAL Please be advised that in order to maintain our property, it is necessary to have prior approval from the Catering Manager on any modification to our facilities and/or the hanging of signs or props. It is hotel policy that items are to be displayed on easels and not attached to any wall surface throughout the hotel. It is also prohibited, the placement or movement of equipment across carpeted areas. If damages occur, or equipment is not replaced, your organization will be financially responsible for repair/replacement costs. Signage in the hotel lobby is prohibited. LEGAL AUTHORITY In the event that this agreement is signed in the name of a corporation, partnership, association, club or society, the person signing represents to the hotel that he/she has full authority to sign such contract. In the event that he/she is not so authorized, he/she will be personally liable for the faithful performance of this contract. HOTEL LOGO & ADVERTISING Use of the hotel’s name or logo in advertising is prohibited without prior written approval of the Catering Office of the InterContinental Los Angeles Century City. PARKING Overnight Valet Parking is $33.00. A 10% City Parking Tax will be added.

CANCELLATION Should your group cancel prior to the function date(s), the InterContinental Los Angeles Century City would experience significant monetary losses which will be difficult to calculate due to the uncertainty and cost of obtaining replacement business. Therefore, your group would be required to pay, as liquidated damages, a cancellation fee of a percentage of lost revenue based on the guestroom requirements. This fee is based on the time between cancellation and scheduled arrival and is calculated as follows: Date of signature to date of arrival ($30,296.97) 100% of anticipated revenue, plus tax All deposits are non-refundable. INDEMNIFICATION AND HOLD HARMLESS: Hotel and Group each agree to indemnify and hold harmless the other party from and against all claims, actions or causes of action, liabilities, including reasonable attorneys' fees and costs arising from the defense of any claim, action, cause of action or liabilities arising out of or resulting from any act taken or committed by Hotel or Group pursuant to the performance of each party's obligations hereunder. Hotel and Group each agree to indemnify and hold harmless the other party for any claim, action, cause of action and liabilities which may be asserted by third parties arising out of the performance of either party's obligations pursuant to this Contract, except for the willful misconduct or gross negligence of the other party. FORCE MAJEURE The performance of this Agreement by either party is subject to acts of God, war, government regulation, disaster, strikes, civil disorders, curtailment of transportation facilities, or other emergency making it inadvisable, illegal, or impossible to provide the facilities and/or services for your meeting. It is provided that this Agreement may be terminated for any one or more of such reasons by written notice from one party to the other. ACCEPTANCE Prior to execution by both parties, this document represents an offer by the Hotel. Unless the Hotel otherwise notifies Columbia Pictures Industries, Inc. at any time prior to Columbia Pictures Industries, Inc. execution of this document, the outlined format and dates will be held by the Hotel for Columbia Pictures Industries, Inc. on a first-option basis until October 25, 2013. If Columbia Pictures Industries, Inc. cannot make a commitment prior to that date, and there is no extension of the Decision Date, the arrangements will be released, in which case neither party will have any further obligations. Upon receipt by Hotel of a fully executed version of this Agreement prior to October 25, 2013, or upon Hotel’s acceptance of a fully executed version of this Agreement after such date, it will be placed on a definite basis and will be binding upon Hotel and Columbia Pictures Industries, Inc.
