i20junkin is only a starting point for our ultimate goal of mapping every shopping destination in the United States. Once i20junkin is fully functional, we intend to dedicate our efforts to Interstate 95, however, we encourage all owners to take a proactive role in getting your premium store listing on the app. The quicker we increase our volume of store listings in other parts of the country, the faster we can launch JunkinUSA, which will cover the entire US.

PREMIUM LISTING/SUBSCRIPTION SERVICE AGREEMENT
THIS AGREEMENT is made on _____________________BETWEEN ________________________________(Buyer),
agent of _______________________________________(Store) and I20JUNKIN/Mema Had One/Pamela Hayes
(Service Provider), collectively referred to as the “Parties”.
RECITALS
The Buyer wishes to be provided with the Services (defined below) by the Service Provider and the Service Provider agrees to
provide the Services to the Buyer on the terms and conditions of this Agreement.
1. KEY TERMS
1.1 Services
The Service Provider shall provide the following services (“Services”) to the Buyer in accordance with the terms and conditions
of this Agreement:
PREMIUM LISTING ON THE I20JUNKIN MOBILE APP FOR A PERIOD OF ONE or TWO YEAR(S), UPON FULL PAYMENT.
Premium listing includes links to Facebook and store webpage, call button, store hours, brief store
description, up to 4 photos, which may be updated on a minimal basis at Buyers discretion, and on-demand viewer stats. Buyer
will also receive branded tangibles to include bookmarks with display rack and door decal.
1.2 Delivery of the Services
a. Start date: The Service Provider shall commence the provision of the Services on ________________________.
b. Completion: The Service Provider shall complete/cease to provide the Services on _________________(“Completion”)
unless Buyer renews Premium Subscription on or prior to that date.
1.3 Price
c. As consideration for the provision of the Services by the Service Provider, the price for the provision of the Services is
$349 per year (“Price”) or $549 (“Price”) for 2-years.
1.4 Payment
d. Buyer agrees to pay the Price to the Service Provider in full unless other arrangements are specified below:

f. The Buyer shall pay such invoices within 14 days of receipt.
i. The method of payment of the Price by the Buyer to the Service Provider shall be by:
i. Check made payable to MEMA HAD ONE sent to: 2328 WASHINGTON RD AUGUSTA, GA 30904 or provided to Sales Rep.
ii. Credit card payment in person with a Sales Representative of the Service Provider
iii. Credit card payment over the phone with the Sales Director of the Service Provider at 706-691-9336
iv. Through our secure online e-commerce site at i20junkin.com
1.5 Refund
g. Due to the nature of the service provided, refunds or charge-backs will NOT be allowed. By making a transaction with
i20junkin, you are confirming that you have read and understand our no refund policy and that you are purchasing a
1-year or 2-year premium subscription on the mobile app i20junkin, effective immediately upon full payment.
While you may cancel your listing at any time, the fee is non-refundable.
2. GENERAL TERMS
2.1 Intellectual Property Rights
Any and all of the copyright, other intellectual property rights and any other data or material used or subsisting in the Material
whether finished or unfinished belongs solely to the Service Provider. For the purposes of this Clause 2.1, “Material” shall mean
the materials, in whatever form, used by the Service Provider to provide the Services and the products, systems, programs or
processes, in whatever form, produced by the Service Provider pursuant to this Agreement.
2.2 Warranty
a. The Service Provider represents and warrants that:
i. it will perform the Services with reasonable care and skill; and
ii. the Services and the Materials provided by the Service Provider to the Buyer under this Agreement will not infringe or
violate any intellectual property rights or other right of any third party.
2.3 Limitation of liability
b. Subject to the Buyer’s obligation to pay the Price to the Service Provider, either party’s liability in contract, tort or
otherwise (including negligence) arising directly out of or in connection with this Agreement or the performance or
observance of its obligations under this Agreement and every applicable part of it shall be limited in aggregate to the Price.
c. To the extent it is lawful to exclude the following heads of loss and subject to the Buyer’s obligation to pay the Price,
in no event shall either party be liable for any loss of profits, goodwill, loss of business, loss of data or any other indirect or
consequential loss or damage whatsoever.
2.4 Termination
d. To Cancel Your Premium Listing: email customer support at [email protected] with your store name, owner/manager
contact info and address. Please put “CANCEL” as the subject. You will receive a confirmation of cancellation email.
Termination in no way constitutes any refund of fees. See item 1.5 of agreement.
2.5 Relationship of the Parties
The Parties acknowledge and agree that the Services performed by the Service Provider, its employees, agents or sub-con-
tractors shall be as an independent contractor and that nothing in this Agreement shall be deemed to constitute a partnership,
joint venture, agency relationship or otherwise between the parties.
2.6 Miscellaneous
e. Neither Party shall be liable for failure to perform or delay in performing any obligation under this Agreement if the failure
or delay is caused by any circumstances beyond its reasonable control, including but not limited to acts of god, war,
civil commotion or industrial dispute.
f. This Agreement shall be governed by the laws of the jurisdiction in which the Buyer is located (the “Territory”) and the
parties agree to submit disputes arising out of or in connection with this Agreement to the non-exclusive of the courts
in the Territory.
