III. Presentation of the TIFA LLC Audit Report

Mr. Halikman presented the 2015 audit report. He advised that it was a clean audit opinion. The auditor's required "Communication with those charged with Governance" letter

was also presented. Member Ball moved to accept the 2015 audit report. Member Brown concurred and the report was accepted.

IV. Presentation of the Management Representation Letter

Member Brown moved to approve the Management Representation Letter to Moore Stephens Lovelace, P.A. Member Ball concurred and the letter and the signing of it were approved.

V. Presentation of the TIFA LLC Tax Return

The 2015 tax returns were presented to the members by Mr. Halikman. Member Ball moved to approve the 2015 tax returns. Member Brown concurred and the 2015 tax returns were approved.

VI. Ratification of Expenses Paid from Operating Account and Request for Reimbursement

Member Ball moved to ratify the expenses paid from the operating account and the request for reimbursement in the total amount of $10,546.95. Member Brown concurred and the motion passed.

Staff Reports/Informational Items

VII. Area IV Phase 2 Update

Mr. Jantzer stated, the wellfield is producing at 100% capacity through February. We have the outstanding wellhead defect claim and final payment being withheld for that. On February 24th CPH issued the claim notification to Felix basically saying that the wellhead assemblies are currently damaged by the repair work and pointing out that instrumentation and cabling were not protected during that work and asking that the wellhead assemblies and instruments and cables exposed to that work be replaced and that final payment under the construction contract is pending receipt of the plan of action by Felix to address those issues. On March 4th Felix issued a response stating that the position that Felix repair all the leaks and they have been functioning since December 16th there are no defects and any concerns by the owner about damages are speculation. If there are issues the warranty bond is in place to address any future issues and they obtained a certificate of final completion on December 16th and accordingly Felix is demanding final payment in the amount of $327,204.79 in accordance with their documents. Since that response an investigating team of city, Miami Corp. legal and engineering reps have discussed an approach and we have procured three proposals from weld inspecting agencies, to do a visual and dye testing inspection and X-ray inspection of the nine wellheads to come up with a quantitative, independent opinion as to whether or not that work is acceptable or defective. That would gauge the future direction of this claim but we thought it was important to have that independent field test information in. The low bidder on that was an inspection firm by the name of Renegade in the amount of $1, 168 to do that work for all nine wells. They broke it into the visual and dye testing of $518 and the X-Ray testing of $650 and

they expect to do all nine wells in one day. That would provide independent background information on the integrity of the welds because at this point the counterclaim is that our claims of damage are speculation, everything was sealed and working properly.

Member Brown asked did we get references on this company and what was the amount of the other bids?

Mr. Jantzer stated, the background on these inspectors is that to my knowledge they are all certified weld inspectors, certified by the prevailing organization that I think is the American Welding Society so it is an accredited program and we figured if they had that accreditation they were eligible and because they have the X-Ray testing equipment that is an investment that only reputable inspectors use so we know they are qualified for this type of work.

We did get different initial opinions from the different inspection agencies as to what type of tests to do. One agency said they didn't recommend the X-Ray testing the other agency said it was important that it be done in order to be able to see what was going on underneath the welds not just at the surface. We decided to be conservative and get more information and that the investment of the additional $650 for X-Ray testing would be good information to have.

Member Ball asked what was the spread on the bids? I understand the explanation regarding their qualifications and equipment but did they submit any kind of experience and qualifications with their bid?

Mr. Jantzer stated, there was not a request for review of qualifications, this was pulled together pretty quickly so we basically did it by phone tracking down these testing agencies through word of mouth and collected the bids. Just for the visual and dye penetrant testing $518 for Renegade, Space Sciences Services $760 and QC Laboratories $2,500. There was a pretty good spread although one and two were pretty close. For the X-Ray Renegade the low bidder their cost was $650, Space Sciences Services did not bid because they felt the X-Ray was not going to provide information or be feasible for these sites and QC Laboratories quoted $600 for the X-Ray component but QC had the high number for the visual and dye penetrant. As a package we found that Renegade Testing was the low bidder.

Mr. Broome stated, we share the same concern and that is that we get an inspection firm whose findings are going to be without dispute.

Member Brown stated, I feel very much like the inspection team that the X-Ray portion of that is probably going to be significant based on what I understand about welding. X-Ray is the only way you are going to be able to tell how deep that crack is that you see on the surface.

Member Ball stated, I'm comfortable in authorizing this work it is not that much to help determine the proper course of future action.

Member Ball moved to approve a proposal from Renegade to conduct an independent field test of nine wells in the amount of their low bid of $1,168. Member Brown concurred and the motion passed.

Member Ball stated, on the basis of what you told us about the response from Felix it sounds like there is a focus just on whether there is damage as a result of the work. I think part of the question ought to be in addition to whether we actually see damage is did we get what we paid for from a quality workmanship aspect? Is that a defensible approach on the claim as well? It may not be busted but it is not what we anticipated and it is not up to the quality of workmanship and spec that we had.

Mr. Broome stated, one of the things you will have to look at if we go down that path is if it is not then why was it accepted. What happened in that inspection and what did we rely on? It is my understanding that a lot of these repairs were done subsequent to the acceptance of the equipment so one of the things we need to look at is, is it faulty work in making repairs that we are having issues with, which are warranty or is actually as you stated not getting what we paid for originally, which would not be warranty it would go to the contract itself. We have to realize this was apparently accepted work under the contract and a certificate of acceptance was issued.

Member Ball stated, then we may have to look at a broader range of responsible parties. Mr. Broome asked Andy how soon do you think we can get a report back on the X-Ray? Mr. Jantzer stated, Jim Boyd was doing the one on one contact with this firm but I think

we were able to get them out next week. Mr. Broome asked do you know if part of this bid also involves a written report of their

findings? We are going to need that for the members and I suggest as soon as we get that report we have a meeting rather than wait for a month. I know we need to schedule the next meeting but maybe we need to have a special meeting between now and then if we get those results back. We know there might be a claim coming from non-payment of the contract amount soon. I don't know how long Felix is going to wait.

Mr. Jantzer stated, it says in their proposal acceptance criteria will be required in order to issue a test report. Test reports will be available the same day as inspection so it sounds like they have this worked out where they have automated inspection and reporting. The one point they bring up is acceptance criteria will be required in order to issue a test report. That has come out in our discussions that there was actually no well standards specified under the contract and this was brought up by more than one inspecting agent that in order to get quantifications in their inspections they really need to have a well specification in order to cross reference it to. That doesn't exist in this contract and we don't even have at this point a specific standard such as an A WWA standard or similar that was referenced. We may end up just adopting, say give us the most relevant standard and work with that.

Mr. Broome stated the original well the part of the assembly that we had issues with I thought it was the way they attempted to do the repairs and I don't know how you have criteria for a repair other than maybe an industry standard. Are we addressing an original failure as designed and completed or is it faulty repair work subsequent to acceptance of the contract? I'm not real clear on that.

Mr. Jantzer stated, there is kind of both going on. One of the details of the claim is that the original work leaked at eight of the nine wells and that required the repairs and the follow-up issue is the workmanship that went into the repairs.

Mr. Broome stated, that's what I'm wondering based on what we are paying this contractor to go out and do this X-Ray, etc. are they merely going to report and X-Ray the repair work or are they also maybe going to be able to evaluate the underlying original weld?

Member Brown stated, the X-Ray will do that based on what I understand about the X­Ray process. I'm not an expert but in the realm of business I have been exposed to that X-Ray will show the original reason for that repair and then should show you whether that repair is substantial enough to last.

Mr. Broome stated, I think it is important that we analyze both, that they understand we are asking for both. We don't have criteria they will just have to judge it on maybe an industry standard.

Member Brown asked was that not addressed by our design team?

Mr. Broome stated, I'm being told that there may not be specific criteria. Mr. Jantzer stated, we asked CPH for the well specification that was used and they said

there was none. I checked the contract documents myself and I didn't see one either. Member Ball asked why would they not have used a well specification, what would be

their answer to that? Mr. Jantzer stated, after their reply that there was none we didn't follow-up because that

was done with an email. Member Ball stated, I think we ought to get a little bit of CPH fingerprints on that. Mr. Broome stated, I alluded to that before and I agree. I think if CPH and I'm not sure

who inspected the work to determine that it met the criteria, the standards of the contract but how did they measure it ifthere was no criteria and what standard did they use? We rely on others to tell us that the contract was completed as designed when he accepted it. I would be curious as to what standards they used there must be something they judged this by. I think some of our direction for the managers might be to go to CPH and get that answer so we can provide it.

Member Ball moved to request staff to obtain written documentation from CPH as to how they determined the wells were acceptable and what standards they used if any and if not why did they determine as the engineer responsible for acceptance of the work why there was no standard needed. Member concurred and the motion passed.

Ms. Gagliardi stated, that seems reasonable. Member Ball stated, it is really asking them to document how they got to where they got

to. Mr. Broome stated, that is going to help us understand where we can and need to go

whether this is warranty or not or what we are dealing with. I think we need all that information to make an educated decision on how we are going to move forward.

Member Ball stated, that is two pieces of data we should be in a position to discuss when we have our special meeting, the results of the inspection and the documented feedback from CPH.

Mr. Jantzer stated, if there is a request for a specific design criteria since we have none in hand I think we are going to ask for something that replicates the industry standard in the opinion of the inspector and use that as the baseline for this review. At least if they need a standard to work with we will say work with your best industry standard on this.

Member Ball stated, I think what I hear you saying and I would agree with is that in their · opinion there should be an industry standard that if not specified would have been expected by anybody knowledgeable within that industry as to an acceptable well.

Mr. Broome asked do you think there is an industry standard something that is done in a professional workmanlike marmer?

Mr. Jantzer stated, yes I think Jim Boyd was looking into that and they came up with an ASME, Society of Mechanical Engineer type of standard that would probably be used on that but that will be just details that they will work out.

Member Brown stated, I would have thought an M.E. would have designed that portion of the project with the metallurgy and the welding that specifically would have required and that would have been in CPH's shop.

VIII. Update on Rail Trail Project

Mr. Jantzer stated, talking about the south section first, they were proceeding quickly. The city has been watching the activity and on March 7'h we issued a letter of concern to the general contractor and design engineer saying that your work is progressing toward the point where the project merges with our water main and fiber optic utilities and they are still not shown on the drawings properly and we also pointed out deficiencies in the field marking of them. We issued a letter of concern the contracting firm president replied within an hour and said that we are not going to work north of Station 335, which is a point we stipulated not to work north of until these concerns are resolved. He agreed to it and it sounds very cooperative.

Member Brown asked at what point are north and south separated? Is there a road name south of some address? They are clicking right along.

Mr. Jantzer stated, they do have other issues that are holding them from going basically where Folsom Road merges toward the rail trail that is the Station 335 that we pointed out to put the brakes on. I think there are a few other issues that they were also holding up work beyond that point as well, some drainage they are working out with the county. Their schedule is to have this resolved in about 30 days from this week, basically have the clearances to proceed further north after that point.

The north section of the project the drawings have just been completed the 60% drawings have been uploaded into the FDOT review site and now it needs to be disbursed to the stakeholders, which includes the City of Titusville so we will be reviewing that and review comments are due on that April 1 ''.

Other Business

Member Ball asked can I go back and ask about the certificate of completion? Were there any contingencies or conditions on that? Was it absolute? What did they get? Were there any limiting conditions or contingencies subject to further testing or pressurization?

Mr. Jantzer stated, my impression is that the certificate of final completion did not even have a punch list on it, everything was deemed done.

Member Brown stated, that would have been generated during startup phase. Mr. Jantzer stated, the startup phase initiated with the substantial completion certificate

then there was a punch list then they went through a couple months of addressing all the punch list items and CPH did on demand inspections as each punch list item was done. Once those were all done it is my understanding that they were cleared to do the final certificate of inspection once all the bonds and closeout paperwork issues and items were in order. Once that occurred they issued the final completion certificate and that would have released all the retainage as well. Normally if there is a punch list outstanding there is retainage outstanding but this is a final payment of all the holdings including retainage. Along that line of logic I think everything was deemed complete with that certificate.

Member Brown asked what was the date on it? Mr. Jantzer stated, December l 6'h. Member Brown stated, on the 31st of December there were repairs going on for the leaks.

They actually had a welder out the day before and the day of our meter read that month because the city had two folks there, one was overseeing or witnessing the repair work the other was involved in the meter reading with the auditors, myself and GMS.

Member Ball asked that repair work was the result ofleaks having been detected? Member Brown stated, that was the discussion. Member Ball asked was CPH the agent involved in directing the repairs? Member Brown stated, sure and there was some discussion some time ago about the

repair work whether or not anybody really had to direct repair work because at that point in time I understood it had not been accepted so any repair work may or may not have been overseen by CPH. If it was something that had been completed you would expect there to be oversight of the repair. I'm not sure of the details at that point. I think staff has a better handle on that than my memory.

Mr. Jantzer stated, it is my recollection that in that part where we had repairs occurring after completion that was classified as warranty activities and so it was between Felix and CPH who was acting as the agent in that and there were notifications from CPH to the city that Felix is doing repairs of leaks to the wellheads.

Member Ball stated, I think it would be useful to get a timeline because what I'm hearing is that if there was a certification signed off on December l 61

h and repair work on leaks was taking place two weeks later. Did the leaks just show up during that two-week period? When were the leaks detected, the day after they signed off on the equipment?

Mr. Jantzer stated, I think it would be good to do a timeline on that and come up with some solid answers. I will add that to my list.

THIS MODIFICATION OF EASEMENTS, is entered into this ____ day of _________, 2016, by MIAMI CORPORATION, a Delaware corporation, whose mailing address is 410 North Michigan Avenue, Room 590, Chicago, Illinois, 60611; FARMTON WATER RESOURCES LLC, a Delaware limited liability company, whose mailing address is 410 North Michigan Avenue, Room 590, Chicago, Illinois 60611, and SWALLOWTAIL LLC, a Delaware limited liability company, whose mailing address is 410 North Michigan Avenue, Room 590, Chicago, Illinois, 60611, (collectively “Grantor”) and TIFA LLC, a Florida limited liability company, whose mailing address is 2836 Garden Street, Titusville, Florida 32796 (“Grantee”).

RECITALS WHEREAS, MIAMI CORPORATION conveyed unto FARMTON WATER RESOURCES LLC, its successors and assigns, certain monitoring well easements dated May 24, 2010 for the purposes designated therein through, over and across property identified and described therein (“Original TIFA Easements”) and FARMTON WATER RESOURCES LLC assigned the Original TIFA Easements to Grantee by instrument dated May 24, 2010 and recorded June 24, 2010 in Official Records Book 6191 Page 2196 of Brevard County, Florida,; and

WHEREAS, ownership of the underlying property for the Original TIFA Easements was subsequently divided between MIAMI CORPORATION and SWALLOWTAIL LLC by deed dated May 14, 2012 and recorded May 18, 2021 in Official Records Book 6603 Page 1113 of Brevard county, Florida; and

WHEREAS, by deed dated March 2, 2016 and recorded March 10, 2016 in Brevard County, Florida in OR Book 7566 Page 382, SWALLOWTAIL LLC transferred the underlying property in its ownership to MIAMI CORPORATION, but joins in this Modification of Easements; WHEREAS, while ensuring compliance with recent modifications to the TIFA consumptive use permit, it was determined that the legal descriptions for specific portions of the Original TIFA Easements were found to overlap, creating redundant easement area; and WHEREAS, legal descriptions for the aforesaid specific portions of the Original TIFA Easements are attached hereto in Exhibit “A” (“Overlapping TIFA Easements”); and WHEREAS, the Grantor and Grantee desire to release the Overlapping TIFA Easements in order to remove redundant easement area and to replace the Overlapping TIFA Easements with modified easements conforming to the legal descriptions attached hereto in Exhibit “B” (“Modified TIFA Easements”); and

WHEREAS, since the Modified TIFA Easements will replace the Overlapping TIFA Easements, the Grantee desires to release and renounce any and all interest, right, title, claim, demand and privilege Grantee has or may have in the Overlapping TIFA Easements; and

WHEREAS, the parties hereby acknowledge that this Modification of Easements is limited to the replacement of the Overlapping TIFA Easements with the Modified TIFA Easements, and in no way modifies any other easement rights and/or interests between the parties;

NOW THEREFORE, in consideration of the covenants and promises of the parties

hereto, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as follows:

1. Grantee hereby releases and renounces any and all interest, right, title, claim, demand

and privilege Grantee has or may have in the Overlapping TIFA Easements described in Exhibit “A” attached hereto.

We would like to clarify that the welded SS wellhead assemblies referenced below are the 12" x 611 SS f lange reducers. Felix's Plan of Action with regards to TIFA's requests are in red:

Based on all of the above observations, TIFA requests the following Repair Work be conducted by Felix at Felix's expense (unless otherwise noted, see Item No. 2):

1. In order to address concerns that the instruments and appurtenances may have internal damage from improper wrenching procedures, heat damage from field welding repairs, or thread damage from repeated tightening cycles, it is requested that the existing level sensors and pressure transducers, including associated instrument cables and mounting adapters, be replaced with new items. There currently has been no evidence that there is any damage to the instruments and appurtenances. The existing level sensors and pressure transducers, including associated instrument cables and mounting adapters wi ll be disconnected and/or removed as necessary to replace the welded SS wellheads. We will inspect, reinstall and verify calibration and operation such that they are all working as intended.

2. In order to address the aforementioned pressure transducer clearance issues, TIFA wishes to relocate the pressure transducers to the ductile iron spool piece located above the flow meter. This connection can be made with a Mueller Series DR2S service saddle (see attached cut sheet) and the aforementioned Diaphragm x NPT adapter (WIKA Part #2252651, see attached cut sheet). Since this is an Owner-requested relocation, TIFA is willing to pay for the new service saddle and longer section of flexible electrical conduit, as well as the instrument recalibration work associated with the relocation of the pressure transducers. However, the new pressure transducer and mounting adapter would be provided by Felix as requested in Item No. 1 above. This is a design change that Felix will implement. Felix will add the Mueller Series DR2S service saddle ($560), Bellwether Electric wi ll extend the wiring and flexible electrical conduit ($180) and Curry Controls will recalibrate the pressure transducers ($840) for a fee of $1 ,580 per well , based on only being able to do two wells at a time.

3. Due to defective shop weld integrity as evidenced by failed welded connections and leaks observed to shop welds, and substandard weld repairs that have resulted in permanently damaged wellhead assemblies, TIFA believes that all nine (9) SS wellhead assemblies should be replaced so that the resulting installation is in a new and undamaged condition. For quality control purposes, the replacement shop fabricated SS wellhead assemblies should be manufactured under controlled welding shop conditions and pressure tested prior to delivery. Felix should submit shop drawings for the replacement assemblies for review and approval prior to fabrication. The shop drawings should include appropriate materials and welding specifications. The fabricated SS wellhead assemblies should also include new transition fittings for the level sensor cable connections, since TIFA is concerned that the existing transition fittings may have been damaged during field welding. Without admitting the validity of your assertions and in an effort to amicably resolve these issues, AWD wi ll replace all nine (9) SS wellhead assemblies with new assemblies manufactured under controlled welding shop conditions and pressure tested prior to delivery. Once this Plan of Action is approved , AWD will submit shop drawings. The transition fittings for the level sensor cable connections will be removed as necessary to replace the welded SS wellheads. We will inspect, reinstall and verity they are working as intended.

4. It will be necessary to remove the well pump in order to remove the existing wellhead assembly, and once the assembly is removed, there will be no way to support the pump. Therefore, TIFA expects that the replacement SS wellhead assemblies would be shop fabricated and delivered to the site prior to removing the existing assemblies. Under this circumstance, the new assembly would be installed immediately after removal of the existing assembly, thus enabling the pump to be reinserted into the well that same day. assemblies will be delivered to the site prior to removing the existing assemblies. New assemblies would be installed the same day as the removal of the existing assembly.

5. Felix will need to disinfect and conduct bacteriological testing of the wells after the pumps are reinserted. Also, since the pump and instrumentation will be affected by this repair work, it will be necessary for Felix to demonstrate proper functioning of the reassembled well in regard to the pump and the flow, level and pressure sensing instruments. Felix will disinfect the new SS wellhead assemblies and conduct the 2 days of bacteriological testing upon re installation .

6. In regard to the timing of the repairs, please be advised that the repairs are to be scheduled at no more than two wells at any given time. Only two wells will be out of service at any given time.

As previously mentioned, please provide a proposed Plan of Action for resolving these wellhead assembly issues. The Plan of Action should include the approximate scheduling for installing all items addressed in this correspondence, with the understanding that TIFA wishes the work to be completed as expeditiously as possible. The Plan of Action should also include the proposed costs for the equipment and services that will funded by the Owner under Item No. 2.

Plan of Action: 1. Obtain approva l for costs associated with relocation of pressure transducer.

2. Submit SS we llhead submittal from AWD for approva l. 3. Upon approval, AWD will need 3 weeks to procure the materials, fabricate the wellheads, and pressure test. 4. Once the replacement SS we llheads are tested and available, we w ill schedu le the shutdown of two wells. On a

Monday, Fel ix, Bellwether and AWD will coordinate the removal and replacement of the SS wellheads and

relocation of the pressure transducer on both wells. On Tuesday, Felix and Curry wou ld be on site to verify ca libration and operation of the equipment. The Wednesday and Thursday would be the BSPs. Results should be available on Saturday. This would repeat for 5 weeks until al l 9 wells are repaired .

Please advise if this is acceptable.

This letter is in response to two separate sets of correspondence from the City of Titusville on 3130116 and from the City I TIFA LLC on 418116 concerning the Area IV Phase 2 Well Outfitting and Raw Water Transmission Main project. Comments from the correspondence are repeated below, followed by our response.

From City E-mail Received on 3130116:

1 . A review of the conformed construction documents indicate wellhead design includes stainless steel pipe coupled by welds, threads and mechanical couplings. However, beyond drawing ca/louts for 316 stainless steel, TIFA is unable to locate standards and specifications for the manufacture and construction of the welded stainless steel wellhead pipe. For example, the specifications for the Well Drilling Contract cite a number of standards including AWWA C200, Standard for Steel Water Pipe, 6 Inches or Larger; and AWWA C206, Standard for Field Welding of Steel Water Pipe. Also, Section 02511 of the Phase 2 Well Outfitting Specifications assign pipe wall thickness and pressure classes to numerous types of pipe and appurlenances.

a. Is CPH aware of standards conveyed to the Phase 2 Well Outfitting· Contractor for the manufacture and construction of the welded stainless steel wellhead pipe, and if so, what are they?

Response: This has previously been addressed to the TIFA-Miami Corporation ("T-MC") representative. Per e-mail sent to the T-MC representative and the City on 3111116, no specific standards I qualifications (on the welding) were required. However, the Contractor is required to conform to industry standard practice for 316 stainless steel material and installation including welding. The plans and specifications used for the Area IV Ph. 2 wellfield are the same that were used for the Area IV Phase 1 wellfield, and have also been used successfully for multiple wellfield projects throughout the State. It is not typical for the "manufacture" of the pipe to be addressed beyond reference to the ASTM standard (in this case ASTM 316 stainless steel pipe). ASTM standards are used so as to not have the need to dictate pipe manufacturing requirements that differ from standard industry practice. Additionally, please note that for the Phase 1 project the City provided to CPH a drawing dated 7127109 which shows the wellhead piping and indicated "stainless steel flange welded to stainless steel pipe" and "glued schedule 80 PVC companion flange". CPH added the requirement for the stainless steel pipe to be ASTM 316 and in consultation with the City changed the companion flange from glued PVC to stainless steel (welded to the casing).

b. If CPH did not provide this Contractor with instructions regarding the manufacture and construction of the welded stainless steel wellhead pipe, why not?

Response: As indicated in the previous response, it is not necessary to address pipe manufacturing beyond reference to ASTM 316. The note requiring the pipe and base plate I fiange to be welded is typically sufficient since the implication is that welding of stainless steel pipe to a stainless steel flange is to be in accordance with standard industry practice.

2. A review of the shop drawing records indicate that beyond Submittal 035 for the pressure transmitter connector, there were no shop drawings for the manufacture and construction of the welded stainless steel wellhead pipe.

a. Is CPH aware of shop drawing information other than Submittal 035 provided by the Well Outfitting Contractor for the manufacture and construction of the welded stainless steel wellhead pipe, and if so, what is it?

Response: This has been addressed previously. There are no shop drawings I submittals that address this.

b. If CPH did not require the Well Outfitting Contractor to provide shop drawings regarding the manufacture and construction of the welded stainless steel wellhead assemblies, why not?

Response: The lack of a submittal on the base plate and stainless steel pipe was overlooked, not only by CPH, but all of the other parties who reviewed shop drawings and submittals. There were over 140 submittals for the project; we endeavor to make sure all major items are addressed.

3. Contract Book Section 4 states, "All workmanship shall be first class and by persons qualified in the respective trades necessary to properly complete the Contract." As Engineer of Record for the Well Outfitting Contract, CPH performed progress inspections and milestone inspections. Substantial Completion Certificates were issued for most of the wells in August 2016. Certificates of Final Completion were issued for the wells in September, October and December 2015, which accepted the Work "excluding latent defects." The detected wellhead leaks and Contractor repairs spanned from October to December 2015. On 0112112016, the TIFA representatives provided CPH with a detailed, written notice of suspected systemic defects with the wellhead Work, and proposed that the Contractor be requested to replace the wellheads and affected instrumentation. On 0112612016, CPH executed an Engineer Certification of the Final Payment application certifying the Contractor is due final payment based on on-site observations. Considering the events and timeline:

a. What types of inspections and testing were conducted to determine that the welded stainless steel wellheads and wellhead assemblies were acceptable and complete?

Response: Primary inspections throughout construction were by the City/TIFA not CPH. The City/TIFA had full time inspectors versus CPH's extremely limited inspection time. The CPH

inspections were budgeted at 13 hours per week for 36 weeks. The actual construction time, based on the start offield work on 8/11 /14, suspension of Work by the Contractor on 8/29/14, resumption of suspended Work on 10120114, and substantial completion on the last well (Well WR-5A) on 1217115, results in over 61 weeks of Work. This equates to less than 1 day per week on average for the inspections and travel time to and from the site. Per the Scope of Services (paragraph 2.7. 7): " ... The CONSUL TANT's limited inspection services consist of periodic visits to the work site to observe the progress and report to TIFA as to the amount of work complete, the overall quality of executed work, and observed impediments to the successful contract completion ... The CONSUL TANT will observe work during execution to observe construction methods and techniques, and will selectively observe delivered materials on-site (not including materials testing) as to compliance with the Contract Documents ... Through on-site observations of the work in progress and field checks of installed work, materials and equipment, the CONSUL TANT will endeavor to provide further protection for TIFA against defects and deficiencies in the work, but this inspection and observation work shall not make the CONSUL TANT responsible to find or note all discrepancies in the work nor for the Contractor's failure to perform the construction work in accordance with the plans, specifications or other contract documents ... ". Responses to items below further address inspections that were conducted.

b. On what basis did CPH certify that the welded stainless steel wellhead pipe, wellhead assemblies and completed repairs complied with the Contract and justified release of retainage and final payment?

Response: This was previously addressed to the City and T-MC representatives during our conference call on 2/3/16. As pay applications are processed, Work at each well site for which the Contractor is requesting payment is reviewed in the field by representatives of the City, T­MC, CPH, and the Contractor. Work at all Wells except WR-5A was field reviewed and included in Applications for Payment No. 5 (period ending date of 4/30/15) through No. 8 (period ending date of 7/31/15). Therefore, Work at all Wells except WR-5A was initially field reviewed by all parties (not just CPH) from April through July 2015 at the time the Contractor submitted an application for payment (day to day inspection was by the City/TIFA, not CPH). Once the well construction was complete, the wells were then disinfected and tested, with the wells pumping at approximately 100 GPM over a period of 8 days during the bacteriological testing (some wells were run more than 8 days). Following testing and receipt of clearance to place the wells into service from the Florida Department of Environmental Protection (FDEP), start-up of the wells took place. The primary inspection of the completed wells takes place during the start-up of the wells. Except for Well WR-5A, the start-up for the wells took place between 815/15 and 9/8/15 (the startup for well WR-5A took place on 12/7/15). During start-up, the wells are run and the visible components at the well are reviewed, including the pipe, fittings and valves. Start-up also includes electrical and controls, running off a generator, and running the pumps at various speeds. At all wells, no visible leaks or signs of leaks (such as stains or rust) were noted. When final inspection of each well takes place, the items that were on the punch list are reviewed (no leaks were apparent).

As noted during the 2/3/16 conference call, the Final Application for Payment (Application for Payment No. 12) was for retainage release and some of the Work that had not previously been paid in full such as mobilization and invasive plant species post construction inspections. There was also minor Work at Well WR-5A that was included. This Work for the application for payment (at Well WR-5A) was field reviewed by CPH and representatives of the City and T-MC on 12/7/15. The review of the Work on the Application for Payment would not include wells that had already been turned over to Tl FA (TIF A took over ownership and operation of the wells except for Well WR-5A between 10/1/15 and 10/22/15; and began ownership and operation of Well WR-5A on 12/17/15). The first draft of Application for Payment No. 12 was received from the Contractor on 12/24/15 (CPH forwarded the draft application for payment to the City and T­MC representative on 12/24/15). On 1/2/16, the City sent the following e-mail to CPH: "TIFA would like to have the final invoice from Felix during the first week of January so that TIFA can. book the Phase 2 construction to fixed assets prior to our yearly audit. Please work with them to meet the deadline". This e-mail from the City implies the application for payment needs to be processed as soon as possible. CPH responded to the City on 1/4/16 indicating: "Has TIFA paid Felix for the prior application for payment? Usually the delay is Felix getting Lien Rel. from all of the subs and suppliers and cannot get these until A) Felix is paid by TIFA; and B) Felix then pays the subs I suppliers". On 1 /5/16, the Contractor provided the full application package (via e-mail to CPH, the City, and T-MC representative). CPH responded to the Contractor and copied the City and T-MC representative that the retainage column needed to be corrected, the list of subs/suppliers needed to be corrected, and asked the Contractor: "When do you anticipate providing Final Releases of Lien and the Consent of Surety to Final Payment?" Additional e-mails concerning the Final Application for payment were sent to the Contractor and copied to the City and T-MC representative on 1/5/16, 1113/16, and 1/18/16. At no time did the City or T-MC representative indicate that well leaks I wellhead repairs needed to be conducted before the Application for Payment could be processed. When the Final Application for Payment was received from the Contractor on 1 /26/16, it was recommended for approval by CPH since the field review had taken place with all parties on 12/7/15, and the required Final Lien Releases and Consent of Surety to Final Payment were received. Had we known the City wanted well repairs to be addressed before processing the Final Application for Payment, we would have notified the Contractor during the numerous reviews that took place in January. As stated in the 2/3/16 conference call, we considered repairs to the wells to be warranty work. This is based on standard construction practice and is in accordance with e-mail from the City on 12/30/15 where the City indicated "The City has Well 4 shut down due to the leak and is requesting the Contractor to fix the leak as a warrantv repair".

4. CPH previously advised that the welding-related defects should be addressed as a warranty phase claim because TIFA has taken ownership, is operating the wells and has received the Material and Workmanship bonds. What is your opinion on whether the "excluding latent defects" clause in the Final Completion Certificate classifies the correction of welding defects as Work under the original construction contract, and therefore enables the Owner to require correction of newly discovered defects prior to final payment/re/ease of retainage. Is that not the purpose for the latent defects clause?

Response: The well leaks are a latent defect since they were not apparent until after the wells had been in operation. It is the City who called the leaks "a warranty repair". As indicated during our 2/3/16 conference call, warranty repairs are typically brought to the attention of the Contractor, and in the event the Contractor refuses to address the repairs, the Owner (in this case TIFA LLC) can look to the Maintenance Bond for repair work to be conducted. At no point during the review process for the Final Application for Payment did the City or T-MC representatives indicate that they wanted the repairs to be addressed before the Final Application for Payment could be processed. We had no reason to suspect that the Contractor would not address well leak repairs as they had responded to all previous City requests for leak repairs starting in October.

From City/TIFA Letter Dated on 4/8/16:

In response to Felix's assertion that TIFA 's concerns are "speculation," as you are aware TIFA hired an independent inspection/testing company to evaluate the wellhead assemblies.

Response: The response from Felix was specific to heat damage (they indicate "Your "concerns" of heat damage to various system components is speculation'). The independent testing company evaluated the welds and it is not apparent they evaluated the entire wellhead assembly.

The Contract required that the materials and equipment furnished would be of the best quality and free from defects. Apparently, this work was not free from defects and according to the Report, the defects should have been obvious.

Response: We do not agree that the defective welds should have been obvious and if so they would have been discovered by the City/TIFA full time inspection personnel. When the welds were new when the start-ups took place between 8/5/15 and 9/8/15 (all wells except WR-5A) and on 12/7/15 (Well WR-5A), no visible surface defects were apparent. Over time, weathering (temperature and exposure) and operational pressures can expose a latent defect. We have further conformed with licensed welders and inspectors that a new weld that does not leak cannot be looked at and determined to be defective (unless there are obvious surface issues of which none were noted during start-up). When the inspections and x-raying of the welds took place on 3/24/16, those welds were not the same as what was reviewed during start-up as the welds had since been repaired (in some cases more than once) and subjected to weathering. The City inspectors were present during the weld repair work (CPH was not present during either the initial welding or the weld repair work). CPH had not field reviewed the welds since start-up took place and were accepted by all parties last year.

Despite these deficiencies, CPH issued a "Certification of Engineer" to TIFA stating that "based on on-site observations ... the work ... has been performed in accordance with the Construction Contract Documents and the Contractor is entitled to payment." It is not clear why CPH issued this Certification.

Response: As indicated above, the City and T-MC representatives had approved the proposed application for payment based on the 12/7/15 field review; the City called the repairs "warranty work"; the City and T-MC representative were copied on numerous final application for payment correspondence to the Contractor; the City I Tl FA asked that the final application for payment be submitted in January; and at no point did the City or TIFA indicate the well repair work needed to be addressed prior to processing the Final Application for Payment (in lieu of handling as warranty repair work that is done either by the Contractor or under the Bond if the Contractor fails to make the repair).

In light of the inspection report received from Renegade, ii would seem to be important that CPH reassess its conclusions and discuss appropriate steps to insure proper completion of the project.

Response: There appears to be some confusion on what "conclusions" CPH has made to date. As indicated above, the Final Application for Payment that was processed by CPH was in accordance with City and T-MC instructions to expedite the application for payment and to consider the repairs to be warranty work. Does the City I TIFA have the right to withhold payment from the last Application for Payment due to "latent defects"? In our opinion, the answer is yes although you should obtain a legal opinion. The next steps that TIFA could undertake are: 1) Provide the report on the welds from Renegade Testing and Inspection, Inc. to the Contractor; 2) Indicate that in light of the defective welds that TIFA will withhold payment from the Contractor until the welds are repaired; 3) Require the Contractor to pay for the testing of the defective welds and subsequent re-inspection and testing; 4) request an extended warranty on the well heads that are repaired; 5) request qualifications on the welder who will be conducting the repair work; and 6) request proposed weld repair procedures (to be submitted by the Contractor for approval).
