A Brief Introduction

Medici Bloodstock Management Limited (MBM Ltd) is a company founded by Mr. Gerry McInerney. The

company offers the opportunity for investors to avail of the increasingly lucrative Irish thoroughbred market.

All bloodstock will be under the management and care of Coolmore Stud. This will be offered to a limited

number of investors, a unique chance to become part of this venture. Recognising that with increased

investment and a larger pool of top quality horses this will both reduce risk and ensure maximum return. We

will be using the services of world leading bloodstock agents in our purchases of quality brood mares, notably

the expertise at Coolmore Stud & Castlehyde. Mr. Eddie Fitzpatrick, manager at Coolmore Stud is a

shareholder in Medici Bloodstock Management Ltd.

Buoyant Industry:

Ireland currently stands as the largest producer of thoroughbreds in Europe and the fourth largest in the

world. Irish bred horses consistently celebrate international success and as a result, bloodstock exports

continue to thrive each year. Many of the most successful breeders in the world choosing to base their

operations here, including Sheikh Mohammed Bin Rashid Al Maktoum, Sheikh Hamdan Bin Rashid Al

Maktoum, HH The Aga Khan, Prince Khalid Abdulla, and the Weinstock family who all invest significant

resources in building up large stud farms and broodmare bands throughout the country. The influx and

establishment of such high profile stud farms has resulted in some of the best stallions in the world standing

here. Last year 34 countries were buying at the Goff’s sales in Ireland.

There are three bloodstock sales companies in Ireland; Goffs, Tattersalls Ireland and Goresbridge. The value of

bloodstock sold at these sales companies combined in 2015 was €152.5 million, with international investment

greater than ever, and horses being exported to over 34 different countries.

MBM Ltd in conjunction with Coolmore is very upbeat about this new venture and quite confident that it will

bring further success over the coming years. They believe that with the upturn in the economy, the market is

on the rise and in turn there is a huge demand for quality foals and yearlings. Moreover, the foal population

has decreased from 12,500 in 2008 to 8,205 in 2015, creating a huge shortage of horses and thus creating a

bigger demand for quality bred foals.

About Us

Mr Gerry McInerney has been an owner and breeder of flat horses for the last 20 years and has acquired a

wealth of experience in the equine industry from both working in the industry and owning horses of his own.

After studying business and economics at University in the USA he returned to Ireland where he set up

McInerney Sports and has become the leading sports agent in Ireland with particular attention to Manchester

united FC to whom he has been an official agent since 1995. Gerry feels that the time is right for investing in

the thoroughbred industry, all the indicators are pointing to an upward trend over the next few years and very

recently we saw 5 million guineas secure a filly yearling at Tattersalls book 1 sale, the highest ever. Gerry

believes that “the decrease in the foal population will have an enormous effect on prices of quality bred foals

over the next few years”.

Mr. Eddie Fitzpatrick is the current Farm Manager of Coolmore Ireland. Eddie’s wealth of experience and

knowledge in the thoroughbred industry has grown from 25 years of experience in Coolmore. Prior to this

Eddie learned the industry through his time with Timmy Hyde of Camas Park Stud, Cashel, Co. Tipperary. Eddie

Fitzpatrick was quoted as saying “I firmly believe that this market will go through a very strong growth period

in the coming years. Both with the recent upturn in the economy and the much reduced foal population as a

result of the economic crisis in 2008, these factors amongst others will drive prices upwards for quality bred

foals and yearlings. I believe MBM Ltd will have a very strong market presence and be in a good position to

maximise investment in a flourishing market.”

Transparency and Accountability

MBM Ltd places a lot of emphasis on the importance of transparency and accountability throughout the six

year cycle, clients will be able to have access to all information, will be able to visit the Coolmore Stud and get

monthly reports on all stock and pedigree performances both in the sales ring and on track. You will be also

invited to attend the Public Auctions in Goffs or Tattersalls.

Outline of Strategy

The service that MBM Ltd will provide is simple and straightforward. The monies that MBM Ltd will

raise will be used initially to purchase quality Brood Mares in foal, then reselling the foals or

yearlings at Goff’s / Tattersalls each September / November at the yearly foal / yearling sales. We

will then cover the mares with selected stallions each year that we feel will best produce a profit for

our investors.

We also believe that in order to achieve the best returns for our investors that a six year period

would be best suited to maximise returns. The company will adhere to having no borrowings

throughout the 6 year period.

All horses will reside under the management and care of Coolmore Stud.

A management fee of €70,000 per annum will be paid to MBM Ltd.

For example, based on a budget of €1,000,000:

• MBM Ltd purchases 6 brood mares in foal at an average price of €125,000.

• Mares reproduce 5/6 foals between January and May 2016.

• Foals are then re sold at an average price of €90,000, realising €450,000 based on 5

foals at sales in November 2016.

• 6 mares are then covered by selected stallions for following years foal sales

(Coolmore Stud, Ballyhane Stud, Tally-Ho Stud, Darley Stud etc).

• Average stallion fees are approximately €30,000 per mare thus approximately

€150,000 per annum.

• Average price to keep the mare and foal is approximately €12,000 per year to

include keep, veterinary fees, foaling and registration.

• This process is repeated for the next 5 years, in year 6 the Brood Mares will be sold

in foal at either Goff’s or Tattersall’s in the Bloodstock Sales.

• Insurance will cost an average of 2.5% to cover mares.

• As all foal sales are collective and not graded, we would hope that the pedigree we

will purchase will be accepted in either the Orby Yearling Sale at Goff’s or Tattersall’s

Book 1 Yearling Sale. In some cases it may be more astute to sell the horse as a

yearling rather than a foal.

winners, namely Cox Plate winner Adelaide, Taghrooda’s Yorkshire Oaks conqueror Tapestry, Irish

year-old filly Gleneagles and Found.

Coolmore is headquartered in County Tipperary where a number of other stud farms are part of an

extensive network which includes Longfield and Castlehyde Studs. The operation also has branches in

Versailles, Kentucky and at Jerrys Plains, New South Wales, Australia.

Stallion Statistics

The following tables represent cover fees and both foal and yearling prices of progeny produced by

these chosen stallions. The median prices reflect progeny sales for the duration of the career of the

stallion as a sire.

It is evident that cover prices have, in most cases, decreased or leveled off from 2014 to 2015. This is

an opportunity that Medici Bloodstock Management Ltd. is going to exploit to its’ advantage. One can

see that the commercial value of investing in the produce of the very top stallions, such as Galileo, is

not reflective of the value of the progeny that are produced. For this reason we will instead invest in

stallions within the price bracket of €15,000 - €30,000.

GOFFS NOVEMBER FOAL SALES 2015

The tables below represent the top twenty lots of the Goffs November Foal sale for both 2014 and 2015. The tables provide the cost of the mares, where available, the cover fee of the stallion used in the previous year as this was when insemination took pace and the price achieved by their foal. Where no sale records are available, we presume that the mares are of high value to be kept for breeding. The information in both tables indicates that more money was spent on the price of the mare than the stallion. Medici Bloodstock Management ltd. will follow this trend. Spending money on the mare is a much longer term investment than that on a one-off covering fee by a stallion. In many cases below, it appears that mares of lesser value are compensated for with more expensive stallion covering fees. Medici Bloodstock Management Ltd. will invest in high quality mares, to breed from for six years, and will carefully select the stallion in order to make maximum profit and match the mare to an appropriate stallion with regard to conformation, size, race distance and various other factors.

GOFFS NOVEMBER SALES REPORT 2015

A new record price for a colt foal in Ireland topped the fifth and final day of Goffs November Foal Sale when a son of Darley Stud's Dubawi (Lot 1129) out of the Classic winning Nightime was sold by The Castlebridge Consignment to John Ferguson for €1,100,000.

Reflecting on the five day November Foal Sale, Goffs Chief Executive Henry Beeby:

"I nearly don't need to say it but we are, of course, delighted to have smashed a foal record for the second year in succession as the €1.1 million paid by John Ferguson for the Dubawi colt out of Nightime is an Irish record for a colt foal, comfortably eclipsing the €850,000 we achieved for the colt from the first crop of Sea The Stars in 2011.

The Dubawi was the highlight of another superb Goffs Foal Sale that has enjoyed a trade of depth, consistency and real fireworks especially for those that appealed the most. That we were entrusted to offer the only Galileo colt foal of the year anywhere is also a wonderful endorsement of the Goffs service and it was fitting that he was the second highest price of the sale.

Whilst we have not quite kept pace with the records set last year when the sale was topped by the record breaking €1.8 million Frankel filly, and when the average and median were up by 41% and 29%, the statistics are the second best on record which is the cause for some celebration although it must be noted that the clearance rate is less than 2014 which mirrors the trends seen throughout the autumn at the yearling sales to an extent.”

TOP 20 FOAL SELLING PRICES GOFFS NOVEMBER FOAL SALE 2015

In 2015 foals made 1,542,500 euro in excess of the cost of the mare and stallion fee. In 2014 foals made 2,687,930 euro in excess of the cost of stallion fee and the mare, this higher figure includes sale records of an extra five foals. In both cases much more money is spent on the dam than on the stallion fee. The median cost of the 20 stallion cover fees was 22,500 euro. This is within the price range of what we plan to spend on stallion cover fees. The average cost of the dam in both sales was 131,567 guineas, we aim to spend approximately 125,000 euro.The average foal sale price is 185,875 guineas, 208,050 euro, this sale price was achieved using a stallion fee within our price range.

SALE REPORTS OF YEARLING SALES 2015 October Yearling Sale Book 1 – 2015:

A sale-topper of 2.1m guineas was spent on a Dubawi colt out of Loveisallyouneed. Newsells Park concluded as leading vendor. They sold 19 lots for a total of 8,160,000 guineas. A record turnover for any European sale was achieved with 82,744,500 guineas achieved over the course of three days of Book 1. While the average fell by 6%, the median remained at 150,000 guineas.

"This time last year we were reflecting on an extraordinary Book 1 of the Tattersalls October Yearling Sale which had shattered all records and it seems remarkable that we are in a very similar position again," said Ed O’Mahony, CEO Tattersalls UK.

October Yearling Sale Book 2 – 2015:

The Tattersalls October Yearling Sale Book 2 saw a new record price of 750,000 guineas with the purchase of a Dubawi colt by John Ferguson. The sale concluded with an increased number of lots offered and sold on those for 2014. 223 horses were sold. While prices are generally down on sales produced in 2014, this comes after a year of significant growth in sales prices.

TATTERSALLS OCTOBER YEARLING SALES 2015

The following tables represent the pedigree of the top 20 mares at the Tattersalls Book 1 yearling sales, the Goffs premier yearling sales 2015 and these will be compared to the bottom 20 of the Tattersalls 2015 Book 4 October yearling sales. A clear comparison was achieved through identifying black type horses and earnings. Black type horses have won or placed in a group or listed race. Offspring of the mares will be sold as foals, unless in the case of a medical setback or immaturity, where it would be kept and sold as a yearling the following year.

The below tables conclude that most successful dams have had success themselves racing or have a grandam or relative with significant racing success. Relatives include all foals of the dam.

In the top 20 lots of both sales- Tattersalls October yearling sales and Goffs premier sales, sixteen out of the twenty mares had a chief earner of over £50,000. Over half of the mares in the top 20 of the Tattersalls and Goffs sales are black type mares. Furthermore, the Tattersalls book 1 top 20 yearlings have 12 dams of black type success, versus 1 dam with blacktype success in the bottom 20.

The top 20 of the Tattersalls Book 1 Octobers’ chief earners combine to total of £7,136,858. The chief earner is the foal of the dam that has earned the most amount of prize money in their racing career. This figure highlights the quality of their pedigrees when we compare it to that of the bottom 20 of the Tattersalls Book 4 Yearling sales, £2,418,985. The quality of the top 20 mares is again highlighted in the difference in the earnings of the mares themselves racing. The top 20 mares of the Tattersalls Book 1 yearling sale earned a total of £4,026,750 versus that of the bottom 20 of the Tattersalls book 4 that earned a total of £91,871.

These significant differences between the dams of the most expensive yearlings and the least expensive yearlings highlight the fact that in order to produce the top offspring, one must invest in the quality of the mare. That is what we, Medici Bloostock, will do in order to achieve quality progeny.

TATTERSALLS DECEMBER MARE SALES 2015 The following table compares the top twenty lots at the Tattersalls mare sales to mares that made 5,000 and under. There were 876 mores that were sold in the sale. Mares were sold for as little as £800 in this sale. The lowest ranked mare in terms of price that we use was placed 764 out of 876. This excludes withdrawn lots and horses not sold on the day. The top twenty mares have a combination of 38 blacktype relatives, while the 20 mares that cost 5,000 and less combined to form 9 blacktype relatives. The type of black type success of black type relatives were of a much higher standard that those of the lower ranked mares. There were ten relatives of the top ten horses that had success in group 1 races, versus no success at group 1 level in the lower ranked mares. Furthermore, a significant increase in prize money of the more successful mares at the sales is clearly evident. The top 20 mares earned a total of £3,607,329 versus the bottom 20 with a total of £132,544. Through comparison of black type relatives and the earnings of the mare, one can conclude that overall the top 20 mares have notably larger earnings and more successful relatives than the mares of lesser value.

Risk Factors

A downturn in the world economy or events such as the financial crisis of 2008 will have

a negative effect on bloodstock markets all over the world.

The non-production of mares due to baroness etc. or foals dying is another risk. We have

included a loss rate of 10 % as follows selling 32 out of 36 foals / yearlings at the sales.

However the industry average is a loss rate of approximately 8%. We feel that with these

statistics in mind our calculations are quite conservative.

Upon the death of a Beneficiary, the Option shall arise which shall entitle the Holder to

redeem the Loan Note. The Option may be exercised by the Holder on behalf of the estate

of the deceased Beneficiary upon serving notice of exercise of the Option upon the

Company. The price to be paid to redeem the deceased Beneficiary’s Loan Note shall be

calculated by the company’s Auditor applying the Purchase Payment Formula as of the date

of death. Payment shall be made by the Company within 12 months of the option being

exercised.

The stock will be controlled by the pension investors in the event of fraud, misconduct,

liquidation or receivership.

Security will be the loan note lodged with the pension trustee Davys Crest.

The company adheres to having no bank borrowings and all accounts will be audited yearlyby Loftus Maher Accountants.

Sales prices are higher than ever. The value of bloodstock sold in Irish sales companies in

2015 was 152.5 million euro. This was up 30.5 million euro on 2014.

Our focus is on the quality of both the mare and the stallion in order to produce top class

progeny. We feel that not enough emphasis is put on the importance of the quality of the

mare. Research provided proves that top priced yearlings are out of a dam of high quality

pedigree. The median price of a mare is 28,000 guineas. We will spend approximately

125,000 euro.

As illustrated in a table previous, the most profitable price band of stallions is those in the

region of 15-30,000. The majority of the cover prices of stallions within this range have

decreased or leveled off. These are the range of stallions we will cover our mares to.

Camelot is one stallion as an example within this price range.

The average price of mares and stallion cover fees used to produce the top foal sales in

the Goffs November Foal Sale were in the bracket we are aiming to achieve.
