1. All advertisements, advertorials, and advertising materials and articles (hereinafter referred to as “advertisements”) shall be con-sidered for publication by Mortgage Executive Magazine (Publisher) upon the representation that the Advertiser or Agency is authorized to publish the entire contents and subject matter thereof. All adver-tisements shall be clearly and prominently identified by trademark or signature of the Advertiser. The words “paid advertisement” shall be printed at the top of any advertisements that, in the opinion of the Publisher, may be confused with editorial pages. Acceptance of advertisement for publication does not imply endorsement by the Publisher, except when indicated by the Publisher. The Publisher reserves the right to refuse any advertisement that conflicts with the Publisher’s public policies or applicable law. Fees collected prior to such refusal shall be returned to the Advertiser or Agen-cy within forty-five (45) days. If an advertisement must be altered or modified for any reason, Publisher may bill Advertiser or Agency for graphic design services at a rate not to exceed sixty dollars ($60) per hour. Advertisements will not be altered or modified without prior approval of Advertiser or Agency.

2. The Publisher is not responsible for errors contained within copy that the Advertiser or its Agency supplies. The Advertiser or Agency shall supply copy and artwork at such time as shall meet the prepa-ration schedule of the Publisher. If the Advertiser or Agency fails to provide advertising material by the deadline, the Publisher will, at its discretion, either publish the Advertiser’s previous advertise-ment or publish nothing and bill the Advertiser or Agency for the space. If the Advertiser or Agency provides copy or art work that is considered unacceptable by the Publisher, the Advertiser or Agency will be given five (5) business days to provide acceptable copy or artwork. If the Advertiser or Agency fails to submit acceptable copy or artwork within this specified time frame, the Publisher will, at its discretion, either publish the Advertiser’s previous advertisement or postpone the advertisement to a later issue provided that revised copy or artwork acceptable to the Publisher is submitted. The Pub-lisher reserves the right to terminate this agreement if acceptable copy or artwork is not provided by the Advertiser or Agency. Adver-tisement materials will be destroyed by the Publisher one year after the last insertion if disposition instructions are not furnished by the Advertiser or Agency.

3. The Publisher shall not be liable for failure to publish or distribute all or any part of any issue because of labor disputes, accidents, fires, acts of God or any other circumstances beyond the reasonable control of the Publisher. This agreement cannot be invalidated by the Advertiser or Agency for wrongful insertion or omission by the Publisher. The Publisher agrees to credit the Advertiser or Agency for all such omissions and improper insertions. The Publisher’s lia-bility for any and all errors will not exceed the cost of the space paid for by the Advertiser or Agency.

4. In consideration of the Publisher’s acceptance of any advertisements for publication, the Advertiser or Agency shall jointly and severally indemnify and save the Publisher harmless from and against any loss or expense, including, without limitation, reasonable attorney’s

fees resulting from claims or suits based upon the contents or sub-ject matter of such advertisements, including, without limitation, claims or suits for libel, violation of right of privacy, plagiarism and copyright infringement.

5. Payment, based upon the current rate card in effect, shall be made within thirty (30) days of invoice date. First-time advertisers or agencies are required to send payment with artwork for the first insertion. The Advertiser or Agency placing the advertisement with the Publisher shall be jointly and severally liable for payment un-der this contract. The Advertiser or Agency shall designate a party to receive Publisher’s invoice. In the event payment is not made when due, Publisher may terminate the contract. If Advertiser or Agency contracts for a multiple insertion, but does not fulfill the entire contract, Publisher reserves the right to invoice the Advertiser or Agency at the single-insertion rate for any advertisements pub-lished. Should Publisher continue to publish the advertisement for the term of the contract, the Advertiser or Agency agrees to pay late charges and interest as permitted by law, as well as the Publisher’s expenses of collection and/or attorney’s fees; said fee and collec-tion costs not to exceed twenty-five (25) percent of the amount due hereunder. If an Agency fails to respond to a notice for payment, the Advertiser shall be responsible for the invoice and any associ-ated collection costs. Returned checks will incur a twenty-five dol-lar ($25) fee. Production charges for changes to the advertisement made by the Publisher at the request of the Advertiser or Agency will be billed at the rate of sixty dollars ($60) per hour, with a min-imum charge of thirty dollars ($30). Account must be current on payments for advertisements to appear in subsequent issues.

6. Bind-in inserts are available upon request. Please contact Publisher for quote.

7. Adequate notice will be given of any rate changes. The Advertiser or Agency is protected at contracted rates for the duration of current contract.

8. The Publisher will not be bound by any conditions, printed or other- wise, appearing on order blanks or copy instructions when such conditions conflict with the terms and conditions set forth here. No waiver or modification to the foregoing shall be binding on the Publisher unless agreed to in writing.

9. The Advertiser or Agency will be presumed to have read the entire Advertising Contract/Insertion Order and be in agreement with all terms and conditions. Such agreement is indicated by the Advertis-er’s or Agency’s signature on orders placing advertisements with Publisher. This agreement becomes binding when this Advertising Contract/Insertion Order is accepted in writing by the Publisher in writing. This agreement shall be construed under and in accor-dance with the laws of the State of Washington, and all obligations of the parties created under this Advertising Contract/Insertion Or-der shall be performable in King County, Washington.

EXPOSITION LOCATION AND TIME: Mastermind Summit is scheduled for the city and on the dates specified on the Application section of this Contract. Exhibitor acknowledges and understands that the sites, hours, or dates may change and Mastermind Summit may be rescheduled. Mastermind Summit will attempt to notify Exhibitor of any such changes as far in advance as possible.

APPLICATIONS: All applications for exhibit space at the Exposition must be made on this Contract. A counter-signed copy will be returned to the Exhibitor upon acceptance of the Contract by an authorized representative for Mastermind Summit. Mastermind Summit reserves the right, at its sole dis cretion, to decline acceptance of any Contract.

EXHIBIT SPACE ALLOCATION: Mastermind Summit will attempt to assign exhibit space in the order in which Contracts are received. Mastermind Summit will attempt to assign what it considers to be an appropriate space. Mastermind Summit reserves the right, at its sole discretion, to designate exhibit space or make changes in the location, size, layout, arrange-ment and display limits of the exhibits.

EXHIBIT SPACE RENTAL FEE: The exhibit space rental fee (“Rental Fee”) shall be as designated on the Application sec-tion of this Contract. The Rental Fee for raw space includes: booth space, skirted table and chairs. All other expenses are the responsibility of Exhibitor.

PAYMENT: Payment of the Sponsor Fee shall be made by check or by bank transfer payable to “Mortgage Executive Mag-azine” according to the application section of this contract.

CANCELLATION BY EXHIBITOR: In the event Exhibitor wishes to cancel all or part of the exhibit space contracted for herein, Exhibitor must send notice of cancellation in writing to Mastermind Summit, 20611 Bothell-Everett Highway, Ste. 328, Bothell, WA 98012 via certified mail, return receipt requested. Exhibitor’s failure to occupy exhibit space at the commence-ment of Mastermind Summit event shall constitute cancellation by Exhibitor with respect to that event. In the event Exhibitor cancels more than sixty (60) days before Mastermind Summit event at which Exhibitor is renting exhibit space, Exhibitor shall be liable for fifty percent (50%) of the Rental Fee for the can-celed space. In the event Exhibitor cancels less than sixty (60) days before a Mastermind Summit event at which Exhibitor is renting exhibit space, Exhibitor shall be liable for one-hundred percent (100%) of the Rental Fee for the canceled space. Exhib-itor is responsible for payment of such fees irrespective of the reason for cancellation. In the event of cancellation by Exhibi-tor, Mastermind Summit shall have the right to use such space or rent such space to another exhibitor. Re-letting by Master-

mind Summit of an Exhibitor’s canceled space shall not act to excuse Exhibitor from payment of any fees assessed hereunder.

CANCELLATION BY MORTGAGE EXECUTIVE MAGAZINE: Mortgage Executive Magazine and Mastermind Summit re-serves the right to cancel any and all events or to terminate this Contract or Exhibitor’s participation in Mastermind Summit event for any reason at any time upon written notice to Exhib-itor. Upon cancellation or termination by Mastermind Summit, Mortgage Executive Magazine’s sole liability to Exhibitor, and Exhibitor’s exclusive remedy, shall be a refund of the Rental Fee paid by Exhibitor under this Contract for the Mastermind Summit event in which Exhibitor is unable to participate due to such cancellation or termination.

DISPLAYS AND PROMOTIONAL DISTRIBUTION: At its sole discretion, Mastermind Summit may withhold or with-draw permission to display items or distribute souvenirs, advertising or any other material.

LIMITATION OF LIABILITY: Neither Mortgage Executive Magazine nor Mastermind Summit shall in any event be liable for any indirect, incidental, special or consequential damages, or damages for loss of profits, revenue, data, or use, incurred by Exhibitor, whether in an action in contract or tort, even if Mort-gage Executive Magazine or the Mastermind Summit have been advised of the possibility of such damages. Mortgage Execu-tive Magazine and Mastermind Summit’s liability for damages hereunder shall in no event exceed the amount of fees paid by Exhibitor under this Contract.

CARE OF PREMISES: Exhibitor shall not mark, deface or otherwise damage any furnishings or equipment that is provid-ed, including booth structures, or the premises. Exhibitor shall return all furnishings and equipment, and the premises in as good condition as they were received. Exhibitor shall be liable for any damage caused by its failure to adhere to this provision.

AUTHORIZATION: By signing this contract you are authoriz-ing Mortgage Executive Magazine to provide contact informa-tion including your address, phone number, fax number and contact person to the Mastermind Summit and any service ven-dor contracted to conduct work at the Exposition.

ENTIRE AGREEMENT: This Contract constitutes the com-plete agreement between the parties and supersedes all prior or contemporaneous agreements or representations, written or oral, concerning the subject matter hereof. This Contract may not be modified or amended except in a writing signed by a duly authorized representative of each party.
