Company Overview

The word hyla comes from the genus of tree frog found in Europe, Asia, Africa and across the Americas. As a universal symbol of ecological consciousness, the tree frog is a barometer of environmental change — when the tree frog’s habitat changes, so must the frog. Like our namesake, HYLA Mobile strives to be connected and informative in our own wireless ecosystem.

HYLA Mobile, formerly eRecyclingCorps, is one of the world’s leading providers of products and services that capture, extend and optimize the life and value of used mobile devices. The company is transforming the wireless ecosystem by helping consumers realize and immediately take advantage of the residual value of used devices and providing a reliable and responsible way of collecting, processing and distributing used mobile phones. HYLA’s approach delivers economic, environmental and social benefits to the partners, consumers and communities it serves.

HYLA was founded in 2009 when a group of people saw an opportunity to “do well by doing good.” The founders, who are leaders and entrepreneurs in the telecommunications and mass retail industries, noticed a growing issue in the mobile phone industry: e-waste.

This waste, however, comes in many forms. Waste in the form of cell phones being thrown into drawers or, worse, in the trash where they ended up in landfills or in the form of economic assets that were not being utilized; and waste in the form of additional natural resources used to create even more mobile phones. At the same time, consumers were (and still are) clamoring for the latest and greatest mobile phones, creating even more used devices. All of which presented HYLA’s founders with a huge opportunity: to redirect millions of used mobile devices into the hands of people who could use them to enhance their lives.

HYLA’s mission statement says it all: Our work will create economic opportunity for all who participate; help promote digital inclusion by accelerating emerging market access to advanced wireless technology; and protect the environment by reusing mobile phones and responsibly recycling cell phones that cannot be repaired.

David Edmondson co-founded HYLA Mobile, formerly eRecyclingCorps, and is the company’s chief executive officer, in addition to serving on the board. David’s strategic vision and passion identified the need to make bold changes to the current wireless device life cycle model in order to address the growing problem of e-waste, which sparked the development of the company.

David brings more than 25 years of experience in large-scale retail and mass merchandising to HYLA. He started his marketing and distribution career with ADVO (a direct mail marketing distribution company) in 1983. During his 11 years with the company, it grew from $50M in sales to $1.1B and went public. David left ADVO to become the vice president of marketing for RadioShack in 1994. During the next 11 years, RadioShack nearly doubled its revenue, and David moved to the role of president and chief executive officer before leaving in February 2006. David then turned his sights toward entrepreneurial endeavors and founded EasySale, Inc. (a consumer services firm brokering

internet based sales transactions) in March 2007.

David earned his ThG in Theology from Pacific Coast Baptist Bible College and completed the Advanced Management Program at Harvard Business School.

Biju Nair is the chief technology officer of HYLA Mobile. In this role, he leads the effort to expand and enhance the company’s technological vision, focusing on bringing new technology solutions and new business opportunities to the forefront. He is responsible for all aspects of the future technology roadmap to ensure the company’s short and long term goals are realized.

Bringing more than 20 years’ experience to his role, Biju is a recognized entrepreneur and technology industry leader. Most recently, he served as the executive vice president and chief corporate strategy officer for Synchronoss, where he was responsible for leading the technology direction and strategic vision of the company, as well as investor relations. Prior to joining Synchronoss, Biju was the chairman and chief executive officer of Sapience Knowledge Systems, Inc., a venture-backed wireless software company that was acquired by Synchronoss Technologies in 2011. Previously, he held the position of senior vice president and GM of the Connectivity and Security

Group at Smith Micro Software and corporate vice president, GM and founder of Mobility Solutions Group at PCTEL, Inc., which was acquired by Smith Micro in 2008. Additionally, Biju has held senior executive positions at SAFCO Technologies and Agilent Technologies.

Biju is a frequently invited speaker to major wireless conferences and serves on the board of various mobile start-up companies. He also holds numerous patents in the wireless software arena.

Biju holds a Master of Science degree in Electronic and Computer Engineering from Politechnika Warszawska and a Master of Science degree in Computer Science from Illinois Institute of Technology.

Brian Wing is the chief financial officer and chief operating officer of HYLA Mobile. Serving as both the CFO and COO, he is responsible for ensuring the business finance strategy and execution is closely linked with the operational efficiency needed for the company to achieve its strategic growth and financial objectives.

Prior to joining HYLA Mobile, Brian has held numerous executive and senior level finance and corporate positions spanning more than 20 years. Most recently he served as the chief financial officer for Consolidated Electrical Distributors, Inc., based in Irving, TX and named one of Forbes 100 Largest Private Companies in 2012. In 2004, Brian joined MGA Entertainment as the senior vice president of finance, accounting and taxation, where he was later promoted to the position of executive vice president, corporate development. During his tenure of more than 10 years at Ernst & Young, LLP, and prior to being named partner, Brian served in various roles including tax account leader and as a service line leader in international tax services.

Brian is a CPA and has earned Master of Business Taxation and Master of Business Administration degrees from the University of Southern California and a B.S. in Mathematics/Applied Science from the University of California.

Jim Fredericks is the chief administrative officer for HYLA Mobile. He is responsible for all human resource and administrative activity for the company.

Prior to joining HYLA Mobile, Jim held leadership positions at Nike, Coors Brewing Company, RadioShack and provided consulting services to senior management and boards of directors in the areas of human resources, executive compensation and strategy. Jim also spent some time in the non-profit sector, first as the chief operating officer for the prestigious Van Cliburn Foundation and as the executive director of Britt Festivals, a summer concert series.

Jim earned his BA from Wake Forest University, an MS from Boston University and an MFA from Fairleigh Dickinson University.

Steve Klein is the chief information officer for HYLA Mobile, where he is responsible for leading the development and ongoing operation of the company’s operating and back office systems.

Steve founded Quote2bill in 2008, a telecommunications solutions and services consulting firm. Prior to founding Quote2bill, Steve served as vice president of exchange services at Last Mile Connections, a private telecommunications reseller, where he led development of its back office and customer-facing web-based systems. Steve also worked in Cap Gemini’s telecommunications practice for seven years, consulting with a number of Fortune 500 clients in the resale and wireless industries.

Steve earned his BS in Computer Science from Rensselaer Polytechnic Institute and an MS in Computer Science from Rutgers.

Kelly Carnago is the chief carrier operations and sales officer for HYLA Mobile, where she has global responsibility for managing the company’s wireless device trade-in program with the world’s leading telecom carriers across more than 16,000 retail locations. In addition, Kelly oversees the sales and sales support teams focused on the development and management of the distribution channels for the company’s high-quality mobile devices destined for reuse.

Prior to joining HYLA, Kelly held a number of senior level sales and marketing positions with EMBARQ and Sprint Nextel. At EMBARQ, Kelly was most recently vice president of product and business development where she led a senior level cross-functional team to define the long-term product strategy and priorities for the company. As vice president of consumer sales at EMBARQ, Kelly led a multi-channel sales operation of retail stores, indirect sales and e-commerce. At Sprint Nextel, Kelly was vice president of ethics and compliance where she was charged with creating and later integrating a new program for the merged company. She also held positions of assistant vice president of strategic marketing and director of prepaid sales and marketing.

Kelly earned her BA from the University of Utah and her MBA from the Wharton School at the University of Pennsylvania.

Scott Wagner is the chief business development officer for HYLA Mobile and is responsible for global strategy and business development. He and his team lead the development of large-scale, customized solutions for Tier One wireless carriers globally. Scott co-founded the company and has led business development since the company’s inception.

Prior to joining HYLA, Scott spent 15 years in the telecommunications industry with Nortel and Sprint Nextel. His career with Sprint Nextel spanned more than 12 years. He joined Sprint PCS shortly after it was formed and helped develop and launch Sprint’s wireless business. While at Sprint, he held a number of roles in corporate finance, led the development of the business plan used in the Sprint PCS recapitalization and IPO, and played a key role in mergers and acquisitions. Following the Sprint Nextel merger, Scott was appointed CFO for the consumer division, a group that served more than 22M customers and generated more than $20B in revenue annually.

Scott earned his BS in Finance from the University of Colorado and his MBA from Carnegie Mellon University.

Jean François (Jeff) Rallet is managing director of operations for EMEA. In this position, Jeff is responsible for leading strategy and operations for Europe, Middle East and Africa, with a focus on expanding partner relationships with leading operators and retailers across the continent.

Prior to joining HYLA Mobile, Jeff served as vice president for Continental Europe at Verizon Business and was a member of the EMEA executive team. During his time with Verizon Business, Jeff was responsible for business development and managing enterprise accounts across all industry sectors. He has also held management roles for Atos Origin.

Bob Robinson is the chief legal officer at HYLA Mobile, where he is responsible for the management and delivery of legal services for HYLA’s global operations. Bob brings extensive knowledge and experience in corporate governance, intellectual property law, international law and employment law.

Before joining the HYLA team, Bob was most recently with BancTec, Inc., where he served as senior vice president, general counsel and secretary. At BancTec, he provided legal support to their global operations, as well as managed their human resources department in the US. Bob has also held executive level positions with Affiliated Computer Services, Inc., Renew Data Corp., and Vignette Corporation. He has also held an associate position at Pillsbury, Madison & Sutro, LLP.

Bob is a graduate of M.I.T. and received his Law Degree from the Boalt Hall School of Law, University of California at Berkeley in 1994. Prior to law school, he served as a commissioned officer in the United States Navy.

Mauro Montanaro joined HYLA Mobile in 2014 as the General Manager of the company’s operations in the APAC (Asia Pacific) region. With more than 16 years of experience focused on sales, product strategy development and implementation in Asia Pacific, Mauro understands this market and his experience is essential to the company’s growth in this region of the world.

Prior to joining HYLA, Mauro served as the vice president of sales at Nokia (Asia Pacific), where he managed a 44-strong distributor network and 70,000 retailer point of sales across 14 countries. He developed and delivered the Nokia experience that bundled digital content with every phone and service program, finding consistent value for consumers, distributors and the company. He later served as the CEO and president of Fox Mobile Group, one of the largest mobile content providers in the world, and as a General Manager for the Microsoft Consumer Business in Asia Pacific.

Mauro earned his law degree with honors from the Universita’ di Bologna, Italy and completed his MBA at the Helsinki School of Economics & Manchester Business School.

Grant is senior vice president of operations at HYLA Mobile. In this role, he oversees device operations, supply chain management and client supply chain services, as well as pricing, sales and operations planning and margin optimization.

Before joining HYLA, Grant served as the CFO of Flipswap, where he led the finance and administrative functions and was a key member of the senior management team. Prior to that time, Grant was vice president of finance as well as chief accounting officer for Leap Wireless/Cricket Communications, where he rebuilt and led the accounting and tax functions and guided the company’s efforts around cost restructuring and business transformation. Grant spent several years with PricewaterhouseCoopers in Canada, Europe and the United States, and held accounting management positions with Petco Animal Supplies and DFS (Duty Free Shoppers).

How and when was HYLA founded?Formerly eRecyclingCorps, HYLA Mobile was founded in 2009 by former RadioShack CEO David Edmondson and former Sprint PCS CEO Ron LeMay, who serve as the company’s CEO and chairman, respectively. How does HYLA collect phones?HYLA collects phones through a network of carrier partners, including Verizon, AT&T and TELUS, as well as several Tier One operators in Europe, including Orange France. The carrier retail store represents one of the most secure and reliable channels for collection and increasing consumer awareness.

How does HYLA ensure secure data removal from traded-in devices?Consumer sensitivity and the understanding of the importance of protecting and eliminating consumer data from used mobile devices is why HYLA created its own, best-in-class, proprietary protocols to clear and sanitize data. These Data Sanitization Practices and Procedures are incorporated into the company’s contractual and operational controls. All content that a consumer can add to a mobile phone is considered “data,” of which HYLA’s processes are designed to remove or sanitize from the device include: pictures, contact lists, call history, text messages, videos and custom ringtones.

How does HYLA process used phones?HYLA is committed to distributing high-quality, tested, data-free mobile devices to its customers. Traded-in devices go through a series of functional tests and cosmetic check points to help ensure collected phones for reuse are high-functioning, data-free, quality devices.

As one of the world’s leading experts in the handling and erasing of sensitive data from mobile phones destined for reuse, HYLA’s stringent multi-step process is designed to eradicate pre-existing data to protect customer security and privacy.

Ninety-five percent of the cell phones collected through HYLA are processed for reuse, helping to bridge the digital divide. Those devices that cannot be repaired are responsibly recycled for parts and raw materials.

What happens to devices with no monetary value?Approximately 95 percent of the devices traded-in for an incentive are processed and reused around the world. The remaining five percent are recycled responsibly at R2 Certified facilities under HYLA’s zero landfill policy. HYLA is among a select few wireless device trade-in providers to achieve the R2/RIOS Certified Electronics Recycler™ designation.

How do carriers benefit from HYLA?Carriers save time and money by relying on HYLA’s end-to-end service offering, which focuses not on only on recovery of used devices, but reallocation to a growing secondary market. Additional tangible benefits to carriers include:

Currently, the HYLA solution operates in more than 16,000 retail locations across seven countries.

For instance, the Verizon Wireless Device Recycling Program has collected more than seven million wireless phones since the program launched, helping to keep more than 1,500 tons of e-waste out of landfills and delivering more than $200 million in savings to its customers.

How does the environment benefit from HYLA?Since its inception, HYLA has collected more than 25 million mobile devices through its trade-in programs and has distributed them around the world. This means more than 10 million pounds (4,100,000 kgs) of e-waste have been diverted from landfills.

How do consumers benefit from HYLA?Consumers receive instant credit and the chance to make a difference in someone else’s life. HYLA’s web-based platform integrates with the operator’s or retailer’s point-of-sale system, allowing the sales associate to quickly determine device value. Unlike mail-in offerings, the device evaluation process offers complete transparency and removes subjectivity. Consumers are informed of their device’s trade-in value immediately at the time of the transaction and can opt-out at any time. If the consumer accepts the trade-in value, they are instantly rewarded with in-store credit to apply toward a new device, accessory or other service.

How does HYLA determine pricing for traded-in devices?Pricing is based on a comprehensive catalog of more than 4,000 devices and more than 25 million transactions to date. Similar to the Kelley Blue Book, HYLA offers fair current trade-in values at the point-of-sale.

• Extending Internet access in developing economies (to the level seen in developed countries) can create an increase of 140 million jobs (Deloitte, February 2014).

Generational and Economic Influences on Smartphone Usage

• Smartphone ownership among 18-29 year-olds is nearly universal (88%), and it is the most common device among this group (Gallup, 2014).

• In developing countries, 50% of youth who had accessed the Internet did so via a mobile device (GSMA, May 2012).

• Of those surveyed, 20% of youths without mobile phones in developing countries cited cost as the number one reason (GSMA, May 2012).

• Doubling the mobile data use per 3G connection leads to an average increase in annual GDP growth of 0.5% (Deloitte, February 2014).

• In mature markets, most Gen Alphas (generation born after 2010) will get their first mobile phones or mini tablets by the time they are six years-old. (Gartner, October 2013)

Sustainability

• Worldwide, more than one billion mobile devices are estimated to be retired in 2014, which is roughly 453 million pounds of environmental waste (Gartner, May 2014).

• Of the 3.4 billion mobile devices sold between 2011 and 2012, 68 tons of gold, 614 tons of silver and 26,381 tons of copper were used — just to mention the most valuable metals (Gartner, 2013).

Device Trade-In and Replacement Cycles

• The used Smartphone market is poised to explode; Bernstein Research estimates that the market will grow from 53 million to 257 million units during the next five years (Bernstein Research, August 2013).

• Gartner estimates that more than one billion basic and premium phones will be retired by the end of 2014 globally (Gartner, April 2014).

• In 2014, 60.4 million mobile devices are expected to be refurbished and returned to the market. Gartner predicts this number will increase to more than 77 million in 2015 (April 2014).

• Bernstein Research estimates that only about 12% of all Smartphones globally that were upgraded last year were sold/traded-in, which is up from ~4% three years ago (Bernstein Research, August 2013).
