Winston & Strawn LLP (“Winston & Strawn”) as special corporate and finance counsel for the

Debtors, nunc pro tunc to the Petition Date (defined below), for the purposes set forth in the

Engagement Letter dated November 8, 2004 (the “Engagement Letter”), a copy of which is

attached hereto as Exhibit B. In support of this Application, the Debtors rely on (i) the

Declaration of Bruce A. Toth of Winston & Strawn (the “Toth Declaration”), a copy of which is

attached hereto as Exhibit C; and (ii) the First Day Declaration, filed contemporaneously

herewith.2 In further support of this Application, the Debtors respectfully state as follows:

Jurisdiction

1. The Court has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and

1334. This is a core proceeding pursuant to 28 U.S.C. § 157(b)(2).

2. Venue is proper pursuant to 28 U.S.C. §§ 1408 and 1409.

3. The statutory bases for the relief sought herein are sections 327(e), 328, 329, 330,

503(b), 504 and 507(a)(1) of the Bankruptcy Code, 11 U.S.C. §§ 101–1532 (the “Bankruptcy

Code”), Rules 2014, 2016 and 5002 of the Federal Rules of Bankruptcy Procedure (the

“Bankruptcy Rules”) and Rules 2014-1 and 2016-1 of the Local Rules of Bankruptcy Practice

and Procedure for the United States Bankruptcy Court for the Southern District of New York

(the “Local Rules”).

Background

4. The Debtors and their affiliates are a leading global automotive supplier of seat

systems, electrical distribution systems and electronic products globally and supply their

products to all original equipment manufacturers. The Debtors and their affiliates maintain their

global headquarters in Southfield, Michigan and employ approximately 72,000 workers

worldwide, including approximately 5,500 in the United States and Canada. In 2008, the

Debtors and their non-debtor affiliates achieved total net sales of approximately $13.6 billion.

5. The Debtors have experienced significantly greater than expected declines in

revenue due to an unprecedented downturn in the automotive industry during 2008. In

particular, the Debtors’ businesses have been adversely affected by the decreased demand for

light truck and large SUV platforms, the increased cost of raw materials and disruptions in their

supply base. The severe downturn affecting the global automotive industry, together with a

confluence of other macroeconomic factors, have strained the Debtors’ operating performance

and financial position in recent months.

6. Each of the above factors has contributed to the Debtors’ deteriorating financial

condition. On the date hereof (the “Petition Date”), each of the Debtors filed a petition with the

Court under chapter 11 of the Bankruptcy Code (collectively, the “Chapter 11 Cases”) to permit

them to restructure their balance sheets and operations to restore profitability. The Debtors are

operating their businesses and managing their properties as debtors in possession pursuant to

sections 1107(a) and 1108 of the Bankruptcy Code. No request for the appointment of a trustee

or examiner has been made in the Chapter 11 Cases, and no committees have been appointed or

designated. Concurrently with the filing of this Motion, the Debtors have requested procedural

consolidation and joint administration of the Chapter 11 Cases.

Relief Requested

7. By this Application, the Debtors request entry of an order, pursuant to section

327(e) of the Bankruptcy Code, authorizing them to employ and retain Winston & Strawn, nunc

pro tunc to the Petition Date, to represent the Debtors as their special corporate and finance

counsel in the Chapter 11 Cases in connection with general corporate and financial legal issues,

including employee benefit matters, financing and securities matters, general corporate matters

and related matters (as more fully set forth in the Toth Declaration, the “Special Counsel

Matters”).

8. The Debtors seek to retain Winston & Strawn as special counsel at Winston &

Strawn’s customary hourly rates and reimbursement policies, as described in the Toth

Declaration. Winston & Strawn’s hourly rates range from $400 to $995 for all of its partners and

$210 to $670 for all of its associates. The primary attorneys anticipated to work on this

engagement and their current hourly rates are:

9. These hourly rates are subject to the same periodic increases applicable to all

Winston & Strawn clients. Each of the foregoing attorneys is a member in good standing of the

Bar of the State of Illinois and is admitted to practice before the United States District Court for

the Northern District of Illinois.

10. Winston & Strawn has been and will be employed solely by the Debtors and shall

take direction only from the Debtors. Winston & Strawn has advised the Debtors that it will

employ appropriate procedures to ensure that there is minimal, if any, duplication of the efforts

of any other counsel or professionals engaged in these cases.

Basis for Relief

A. Winston & Strawn’s Qualifications

11. The Debtors selected Winston & Strawn to act as special counsel in these cases

because of (a) Winston & Strawn’s extensive experience, knowledge and expertise in the areas

of corporate and securities law, litigation and employee benefits matters; and (b) the specific

historical knowledge and information Winston & Strawn has obtained regarding the Debtors and

their businesses and operations as a result of Winston & Strawn’s prepetition services to the

Debtors.

12. Winston & Strawn has represented the Debtors in connection with numerous

corporate, securities, employee benefits, litigation and patent matters since 1992. As a result,

Winston & Strawn’s attorneys have become intimately familiar with the Debtors’ businesses,

capital structure and financial affairs, as well as with the complex factual and legal issues that

will have to be addressed in these cases. The retention of Winston & Strawn, with its historic

knowledge of and experience with representing the Debtors, will assist in the efficient

administration of the Debtors’ estates, thereby minimizing the costs incurred by the Debtors’

estates.

13. Winston & Strawn’s professionals have worked closely with the Debtors’

management and other professionals in connection with numerous prepetition transactions,

including the following more recent transactions:

a. Senior Credit Facility and Amendments Thereto. Winston & Strawn represented Lear Corporation (“Lear”) in connection with its Amended and Restated Credit and Guarantee Agreement, dated as of April 25, 2006, by and among Lear, certain of its subsidiaries, the several lenders from time to time parties thereto, the several agents parties thereto and JPMorgan Chase Bank, N.A., as general administrative agent, including the following recent amendments thereto: (i) First Amendment, dated as of June 27, 2008, (ii) Second Amendment and Waiver, dated as of March 17, 2009, and (iii) Third Amendment and Waiver, dated as of May 13, 2009.

b. 2008 Exchange Offer. Winston & Strawn represented Lear in connection with its offer (completed in September 2008) to eligible employees to exchange certain of their restricted stock unit awards for a stock appreciation right and/or notional cash account credit.

c. 2007 Proposed Merger with AREP. Winston & Strawn represented Lear in connection with its proposed merger with and into AREP Car Acquisition Corp. The merger agreement was terminated in July 2007 due to lack of support by Lear’s equity security holders.

d. 2006 Divestiture of Lear’s North American Interior Business. Winston & Strawn represented Lear in connection with the divestiture of its North American interior business and formation of a related joint venture.

e. 2006 Divestiture of Lear’s European Interior Business. Winston & Strawn represented Lear in connection with the divestiture European interior business.

f. Senior Notes Offerings. Winston & Strawn represented Lear in connection with its issuance of: (i) $300 million aggregate principal amount of 8.50% senior notes due 2013 and $600 million aggregate principal amount of 8.75% senior notes due 2016, which offerings closed in November 2006; and (ii) $400 million aggregate principal amount of 5.75% senior notes due 2014, which offering closed in August 2004.

Accordingly, Winston & Strawn has the necessary background, knowledge and expertise to

effectively address the potential legal issues that may arise in the context of the Chapter 11

Cases. The Debtors believe that Winston & Strawn is uniquely qualified to represent the Debtors

as their special counsel and that such representation will confer a significant benefit to the

Debtors’ estates.

B. Scope of Proposed Services

14. Subject to the Court’s approval, Winston & Strawn will serve as the Debtors’

special counsel and will represent the Debtors in connection with the following Special Counsel

Matters:

a. general corporate matters including external reporting and corporate compliance matters;

b. financing matters including capital structure and restructuring matters;

c. securities matters;

d. employee benefits and other employment matters;

e. litigation including patent, ERISA and general litigation; and

f. any other matters as the Debtors may specifically request during the pendency of the Chapter 11 Cases for which Kirkland & Ellis LLP is not advising the Debtors.

C. Section 327(e) and Lack of Adverse Interest

15. The Debtors seek to retain Winston & Strawn, subject to the oversight of the

Court, with respect to the Special Counsel Matters and matters related thereto. Such retention is

sought pursuant to section 327(e) of the Bankruptcy Code, which states:

The trustee, with the court’s approval, may employ, for a specified special purpose, other than to represent the trustee in conducting the case, an attorney that has represented the debtor, if in the best interest of the estate, and if such attorney does not represent or hold any interest adverse to the debtor or to the estate with respect to the matter on which such attorney is to be employed.

Special counsel retained pursuant to section 327(e) of the Bankruptcy Code “need only avoid

possessing interests adverse to the debtor or to the estate with respect to the matter on which such

attorney is to be employed.” In re West Delta Oil Co., Inc., 432 F.3d 347, 357 (5th Cir. 2005).

16. Based on the Toth Declaration, the Debtors believe that, except as set forth

therein, Winston & Strawn’s partners and associates do not hold or represent any interest adverse

to the Debtors with respect to the matters for which Winston & Strawn is to be employed.

17. Based upon the Toth Declaration, the Debtors believe that Winston & Strawn’s

partners and associates have no connection with the Debtors, the Debtors’ directors and

executive management, the Debtors’ other professionals, the Debtors’ significant equity holders,

the Debtors’ primary secured creditors, the Debtors’ largest unsecured creditors, the Bankruptcy

Judges of the United States Bankruptcy Court for the Southern District of New York, the United

States Trustee (Region 2) and the Assistant Trustees and trial attorneys in the Southern District

of New York office of the United States Trustee, except as set forth in the Toth Declaration.

18. Winston & Strawn intends to apply to the Court for allowance of compensation

and reimbursement of expenses in accordance with applicable provisions of the Bankruptcy

Code, the applicable Bankruptcy Rules, the Local Rules and general orders of the Court,

guidelines established by the United States Trustee, and such other procedures as may be fixed

by order of the Court. Compensation will be payable to Winston & Strawn in compliance with

the above rules, on an hourly basis, plus reimbursement of actual and necessary expenses

incurred by Winston & Strawn.

19. A statement of the compensation paid for services rendered or to be rendered in

contemplation of or in connection with these cases by Winston & Strawn, and the source of such

compensation, is included in the Toth Declaration.

20. The Debtors believe that the employment of Winston & Strawn as special counsel

is in the best interests of the Debtors and their estates and desire to employ Winston & Strawn,

effective as of the Petition Date, with compensation to be determined upon application to the

Court. Were the Debtors required to engage counsel other than Winston & Strawn in connection

with the Special Counsel Matters, the Debtors, their estates and all parties in interest would be

unduly prejudiced by the time and expense necessarily attendant to such counsel’s

familiarization with the intricacies of the Debtors’ businesses and financial affairs.

Motion Practice

21. This Application includes citations to the applicable rules and statutory authorities

upon which the relief requested herein is predicated, and a discussion of their application to this

Application. Accordingly, the Debtors submit that this Application satisfies Rule 9013-1(a) of

the Local Rules for the Southern District of New York.

Application to Affiliate Entities

22. The Debtors further request that the terms of this Application, as well as the terms

of any orders requested by this Application and entered pursuant thereto, apply to any and all

affiliates of the Debtors that have not yet filed a voluntary petition for relief under chapter 11 of

the Bankruptcy Code as of the Petition Date, but which subsequently file such a petition during

the pendency of the Chapter 11 Cases.

Notice

23. The Debtors have provided notice of this Motion to: (a) the Office of the United

States Trustee for the Southern District of New York; (b) the entities listed on the Consolidated

List of Creditors Holding the 50 Largest Unsecured Claims filed pursuant to Bankruptcy Rule

1007(d); (c) counsel to the agent for the Debtors’ prepetition senior lenders and proposed

postpetition secured lenders; (d) each trustee for each of the Debtors’ notes; (e) counsel to the ad

hoc committee of the Debtors’ unsecured noteholders; (f) the Internal Revenue Service; and

(g) the Securities and Exchange Commission. In light of the nature of the relief requested, the

Debtors respectfully submit that no further notice is necessary.

No Prior Request

24. No prior request for the relief sought in this Motion has been made to this or any

other court.

WHEREFORE, the Debtors respectfully request the entry of an order: (i) authorizing and

approving the Debtors’ retention and employment of Winston & Strawn LLP as special

corporate and finance counsel, effective as of the Petition Date; and (ii) granting such other and

further relief as this Court deems just and proper.

Rules”); the Court having reviewed the Application and the Declaration of Bruce A. Toth (the

“Toth Declaration”) of Winston & Strawn and the First Day Declaration; the Court having heard

the statements of counsel in support of the relief requested therein at a hearing thereon (the

“Hearing”); the Court finding that: (a) the Court has jurisdiction over this matter pursuant to 28

U.S.C. §§ 157 and 1334; (b) this is a core proceeding pursuant to 28 U.S.C. § 157(b)(2);

(c) Winston & Strawn does not hold or represent any interest adverse to the Debtors’ estates with

respect to the matters on which Winston & Strawn is to be employed; (d) to the extent required

by section 327(e), Winston & Strawn is a “disinterested person” within the meaning of section

101(14) of the Bankruptcy Code; and (e) employment of Winston & Strawn is necessary and in

the best interests of the Debtors’ estates, creditors, and other parties in interest; the Court finding

that notice of the Application and the Hearing given by the Debtors was sufficient under the

3. Winston & Strawn shall be entitled to allowance of compensation and

reimbursement of expenses upon the filing and approval of interim and final applications

pursuant to the Bankruptcy Code, the Bankruptcy Rules, the Local Rules and such other orders

as the Court may direct.

4. All objections to the Application or the relief requested therein that have not been

made, withdrawn, waived, or settled, and all reservations of rights included therein, are hereby

overruled on the merits.

5. Notice of the Application and the Hearing was proper, timely, adequate and

sufficient under the particular circumstances.

6. The Debtors are authorized to take all actions necessary to effectuate the relief

granted pursuant to this Order in accordance with the Application.

7. Notwithstanding the possible applicability of Rules 6004, 7062 and 9014 of the

Bankruptcy Rules, or otherwise, the terms and conditions of this Order shall be immediately

effective and enforceable upon its entry.

8. This Order shall apply to any and all affiliates of the Debtors that have not yet

filed a voluntary petition for relief under chapter 11 of the Bankruptcy Code as of the Petition

Date, but which subsequently file such a petition during the pendency of the Chapter 11 Cases.

9. The Court retains jurisdiction with respect to all matters arising from or relating to

counsel for the above-captioned debtors and debtors in possession (collectively, the “Debtors”)

in these chapter 11 cases, pursuant to section 327(e) of title 11 of the United States Code (11

U.S.C. §§ 101 et seq., as amended, the “Bankruptcy Code”), and to comply with sections 328,

329 and 504 of the Bankruptcy Code, Rules 2014(a), 2016(b) and 5002 of the Federal Rules of

Bankruptcy Procedure (the “Bankruptcy Rules”) and Rule 2014-1 of the Local Rules of

Bankruptcy Practice and Procedure for the United States Bankruptcy Court for the Southern

District of New York (the “Local Rules”). Except as otherwise noted, I have personal

knowledge of the matters set forth herein.

Services To Be Rendered

2. The Debtors require Winston & Strawn to act as their special counsel to render

legal services including, without limitation, the following services:

a. advising the Debtors regarding general corporate matters including external reporting and corporate compliance matters;

b. representing the Debtors in connection with financing matters including capital structure and restructuring matters;

c. advising the Debtors regarding securities matters;

d. representing the Debtors in connection with employee benefits and other employment matters;

e. representing the Debtors in pending litigation including patent, ERISA and general litigation; and

f. advising the Debtors in connection with any other matters as the Debtors may specifically request during the pendency of the Chapter 11 Cases for which Kirkland & Ellis LLP is not advising the Debtors.

3. Winston & Strawn will employ appropriate procedures to ensure that there is

minimal, if any, duplication of the efforts of any other counsel or professionals engaged in these

cases.

Statement of Connections

4. The firm has conducted, and continues to conduct, extensive research into its

relationships with the Debtors and various parties in interest.

5. Neither the firm of Winston & Strawn, any partner or associate thereof, nor I,

insofar as I have been able to ascertain, represents any interest adverse to that of the Debtors’

estates in the matters upon which the Debtors seek to engage Winston & Strawn, and I believe

the firm to be a “disinterested person” within the meaning of section 101(14) of the Bankruptcy

Code.

6. Except as otherwise set forth herein, neither the firm of Winston & Strawn, any

partner or associate thereof, nor I, insofar as I have been able to ascertain, has any connection

with the Potential Parties in Interest (as defined below), the Debtors, the Debtors’ directors and

executive management, the Debtors’ other professionals, the Debtors’ significant equity holders,

the Debtors’ primary secured creditors, and the Debtors’ fifty largest unsecured creditors on a

consolidated basis, except that the firm, its partners and associates and I: (a) may appear, may

have appeared and may in the future appear in cases or proceedings under the Bankruptcy Code

or otherwise not related to the Debtors where one or more of the aforesaid parties may have been

or may be involved; (b) may represent, may have represented or may in the future represent

certain creditors of the Debtors in matters not related to the Debtors; and (c) have represented the

Debtors in a variety of matters prior to the commencement of these chapter 11 cases.

7. Neither the firm of Winston & Strawn, any partner or associate thereof, nor I,

insofar as I have been able to ascertain, is so connected with any Judge of the United States

Bankruptcy Court for the Southern District of New York, the United States Trustee (Region 2) or

the Assistant Trustees or Trial Attorneys for the Southern District of New York office of the

United States Trustee, as to render the appointment of Winston & Strawn, as special counsel for

the Debtors, inappropriate under Bankruptcy Rule 5002(b).

8. Except as described herein, neither the firm of Winston & Strawn, any partner or

associate thereof, nor I, insofar as I have been able to ascertain, is a creditor, an equity holder or

insider of the Debtors.

9. Except as described herein, neither the firm of Winston & Strawn, any partner or

associate thereof, nor I, insofar as I have been able to ascertain, is or was a director, officer or

employee of the Debtors as defined in sections 101(14)(B) of the Bankruptcy Code within two

years before the date of this filing.

10. Except as described herein, neither the firm of Winston & Strawn, any partner or

associate thereof, nor I, insofar as I have been able to ascertain, has an interest materially adverse

to the interests of the Debtors’ estates or of any class of creditors or equity security holders with

respect to the matters on which Winston & Strawn is to be employed, by reason of any direct or

indirect relationship to, connection with, or interest in, the Debtors.

11. On the basis of the above, I believe the firm of Winston & Strawn to be a

“disinterested person” within the meaning of section 101(14) of the Bankruptcy Code.

12. Because of the nature of the Debtors’ corporate structure, relationships between

Winston & Strawn (on the one hand) and the Debtors, their shareholders, officers and directors

or certain creditors (on the other hand), may have existed in past years and may exist in the

future. Any such contacts or relationships do not relate to the Debtors’ bankruptcy cases and

thus do not create any conflicts with respect to Winston & Strawn’s special counsel

representation of the Debtors. Winston & Strawn is a large law firm with more than 900

attorneys in eleven offices; as such, the firm’s conflict clearance procedures are understandably

complex. Nonetheless, as of the date of this Declaration, the firm believes it has materially

completed its investigation of its contacts with these cases, based on the information provided to

Winston & Strawn by the Debtors. As additional information is provided to Winston & Strawn,

Winston & Strawn will further pursue its investigation and make further disclosures as

appropriate.

13. In addition to the above investigation, the Debtors provided to Winston & Strawn,

or Winston & Strawn otherwise procured, the names on the list attached hereto as Appendix 1,

including the following individuals or entities who may be parties in interest to these chapter 11

cases: the Debtors, the Debtors’ directors and executive management, the Debtors’ other

professionals, the Debtors’ significant equity holders, the Debtors’ agents and lenders under the

Debtors’ credit agreement, the indenture trustee and known holders of the Debtors’ notes, parties

to certain litigation with the Debtors, the Debtors’ significant customers, parties to pending

litigation with the Debtors, the Debtors’ unions, the Debtors’ insurance providers, beneficiaries

and issuers of the Debtors’ letters of credit, the Debtors’ vendors, the holders of the fifty largest

unsecured claims against the Debtors on a consolidated basis, the Judges of the United States

Bankruptcy Court for the Southern District of New York, the United States Trustee (Region 2),

the Assistant Trustee and Trial Attorneys for the office of the United States Trustee in the

Southern District of New York (collectively, the “Potential Parties in Interest”).

14. Winston & Strawn then entered the names of the Potential Parties in Interest into

a computer database containing the names of all clients and conflict information concerning such

clients of Winston & Strawn. Through the information generated from the above-mentioned

computer inquiry, and through follow-up inquiries with Winston & Strawn’s attorney(s) as

described herein, it was determined that Winston & Strawn had represented no party adverse to

the Debtors or the Debtors’ estates with respect to the matters on which Winston & Strawn is to

be employed, except as identified below. None of Winston & Strawn’s representations

constitutes a conflict with Winston & Strawn’s special counsel representation of the Debtors or

will likely create a conflict in the future.

15. Based on the conflicts clearance process identified above, certain Potential Parties

In Interest (other than the Debtors and their affiliates), who may be designated as creditors of the

Debtors, were revealed to be a current or former client of or otherwise affiliated with Winston &

Strawn, as set forth in Appendix 2 attached hereto (the “Disclosure Parties”).

16. Winston & Strawn currently represents certain of the Disclosure Parties in

connection with a variety of matters, none of which is related to these chapter 11 cases. Winston

& Strawn has not represented and will not represent the Disclosure Parties or their affiliates in

connection with the Debtors or these chapter 11 cases. The gross revenues generated from

Winston & Strawn’s work for each of the Disclosure Parties and/or their affiliates in fiscal year

2008 total less than one percent (1.0%) of Winston’s gross revenue for that period, except for

General Electric Capital Corporation (1.43%), JPMorgan Chase Bank (1.24%), Bank of America

(1.14%) and Ernst & Young LLP (1.03%). Winston & Strawn has not represented, is not

currently representing and will not represent General Electric Capital Corporation, JPMorgan

Chase Bank, Bank of America or Ernst & Young LLP in any matter that directly relates to the

Debtors or these chapter 11 cases.

17. Additionally, as set forth in Appendix 2, Winston & Strawn has represented in

the last five years certain of the Disclosure Parties, who may be designated as creditors of the

Debtors, in matters wholly unrelated to the Debtors and these cases. These creditors are clients

or former clients of the firm that Winston & Strawn represented in connection with a variety of

matters, none of which is related to these bankruptcy cases.

18. None of such current or former representations constitutes a conflict with Winston

& Strawn’s special counsel representation of the Debtors nor will likely create a conflict in the

future.

19. In addition to its connections with the Disclosure Parties, Winston & Strawn has a

connection with one of the Debtors’ former executive officers, Mr. Daniel Ninivaggi. On May

21, 2009 Mr. Ninivaggi resigned from his position as Executive Vice President of Lear Corp.

(“Lear”). On that same date, Mr. Ninivaggi and Lear entered into an agreement whereby Mr.

Ninivaggi will provide transition services to Lear during the period from July 1, 2009 through

December 31, 2009. Under this agreement, Mr. Ninivaggi has been paid cash compensation in

the amount of $100,000. Mr. Ninivaggi remained employed by Lear in a non-executive position

through July 1, 2009.

20. Effective as of July 2, 2009, Mr. Ninivaggi is of counsel at Winston & Strawn. In

his position at Winston & Strawn, Mr. Ninivaggi will work on matters relating to these Chapter

11 Cases.

21. In addition to the foregoing, Winston & Strawn notes the possibility that

intercompany claims may exist and may arise in the future among and between the Debtors.

Winston & Strawn will not undertake to represent any Debtor in connection with such

intercompany claims.

22. The aforementioned matters are subject to the same restrictions Winston &

Strawn places on all such representations in the context of a chapter 11 debtor representation.

Without obtaining appropriate waivers, if necessary, Winston & Strawn will not represent the

Debtors in a lawsuit, adversary proceeding or contested matter against any client. In addition,

Winston & Strawn will not represent any client on any matter involving the Debtors while

engaged as the Debtors’ special counsel in these cases.

23. While Winston & Strawn has undertaken, and continues to undertake, extensive

efforts to identify connections with the Debtors and other parties in interest, it is possible that

connections with some parties in interest have not yet been identified. Should Winston &

Strawn, through its continuing efforts, learn of any new connections of the nature discussed

herein, Winston & Strawn will so advise the Court.

24. Since all representations of the Disclosure Parties are not related to the Debtors’

bankruptcy cases, none of such representations constitutes a conflict with Winston & Strawn’s

special counsel representation of the Debtors nor will they likely create a conflict in the future.

25. Winston & Strawn will not, while employed by the Debtors, represent any other

entity having an interest adverse to the Debtors in matters upon which the Debtors seek to

engage Winston & Strawn during the pendency of these cases.

26. Winston & Strawn has been representing the Debtors in non-bankruptcy matters

since 1992. In connection with its representation of the Debtor on a variety of matters including

certain restructuring matters, Winston & Strawn has received $2,235,644.99 in non-advance fee

payments from the Debtors during the ninety days preceding the Petition Date (the “Payments”).

A schedule of the Payments is attached hereto as Appendix 3.

Statement Under Sections 329 and 504 of the Bankruptcy Code and Under Federal Rule of Bankruptcy Procedure 2016

27. In accordance with sections 329 and 504 of the Bankruptcy Code, Bankruptcy

Rule 2016 and Local Rule 2016-1, I hereby state that neither I nor Winston & Strawn has entered

into any agreements, express or implied, with any other party in interest, including the Debtors,

any creditor, or any attorney for such party in interest in these cases, for the purpose of sharing or

fixing fees or other compensation to be paid to any such party in interest or its attorneys for

services rendered in connection therewith.

28. Winston & Strawn does not hold any claim against the Debtors on account of

prepetition services rendered. Winston & Strawn currently holds a retainer in the amount of

$250,000.00. The retainer was received by Winston & Strawn on June 25, 2009.

29. A schedule of the 2009 hourly rates to be charged by Winston & Strawn in

conjunction with these cases is attached hereto as Appendix 4. These hourly rates are Winston

& Strawn’s standard hourly rates for work of this nature. The hourly rates charged by Winston

& Strawn’s professionals differ based on, among other things, the professional’s level of

experience and the rates normally charged in the location of the office in which the professional

is resident. It is Winston & Strawn’s policy to adjust these rates periodically to reflect economic

and other conditions. Other attorneys and paralegals may from time to time render services to

the Debtors in connection with the matters herein described.
