IMPORTANT NOTICETHIS LICENSE GOVERNS YOUR USE OF THE SOFTWARE LICENSEDHEREUNDER AND ITS ASSOCIATED DOCUMENTATION (COLLECTIVELY, THE "UTILITY").IN ORDER TO ACCESS AND USE THE UTILITY, THE INDIVIDUAL GRANTED LICENSERIGHTS HEREUNDER ("YOU") MUST BE ASSOCIATED EITHER TO A VALID MATLABLICENSE THAT IS CURRENT ON SOFTWARE MAINTENANCE SERVICE OR TO A VALIDLICENSE FOR MATLAB & SIMULINK STUDENT VERSION. THE UTILITY IS THEPROPERTY OF THE MATHWORKS, INC. ("MATHWORKS"), AND YOUR RIGHTS ARELIMITED TO THOSE EXPRESSLY SET FORTH IN THIS AGREEMENT.

BY INSTALLING THE UTILITY, YOU ACCEPT THE TERMS OF THIS AGREEMENT. IFYOU ARE NOT WILLING TO DO SO, SELECT "I DO NOT ACCEPT THE AGREEMENT" ANDTHE INSTALLATION WILL BE ABORTED.

1. LICENSE GRANT. Subject to any restrictions below, The MathWorks, Inc.("MathWorks") hereby grants You a license to install and use the Utility,but only for the purpose of enabling the validly licensed instance ofMATLAB to which Your license is associated to serve an iPhone by means ofa MathWorks-licensed iPhone application. This license is personal,

nonexclusive, nontransferable, and revocable. Your use of the Utilitywill require a MathWorks account log-in. MathWorks may periodicallyperform technical verification of your license to ensure compliance withthese terms.

2. LICENSE RESTRICTIONS. The license in Section 1 does not extend to useof the Utility to serve either a version of MATLAB not current onSoftware Maintenance Service or an invalidly licensed MATLAB & SimulinkStudent Version. You shall not modify or adapt the Utility for anyreason. You shall not allow any third party to use the Utility to accessMATLAB software. Except as permitted in Section 1, You shall not serveany other hardware or software via the Utility; and You shall not use theUtility to enable any other software to act as a server. You also shall

not disassemble, decompile, or reverse engineer the Utility. You shallonly reproduce the Utility for archival purposes or as may be required inorder to allow the Utility to execute. You shall not alter or remove anyproprietary or other legal notices on or in copies of the Utility. Youshall not rent, lease, or loan the Utility, use the Utility forsupporting any other party's use of the Utility, time share the Utility,or provide service bureau use. You shall not sublicense, sell, orotherwise transfer Your rights in the Utility to any third party; and Youshall not disclose, publish, reproduce, or transmit the Utility. Youshall not republish the documentation provided in connection with theUtility. You may not compile the Utility into an executable using anycompiler, including the MATLAB Compiler. You may not run the Utilitydirectly within a MATLAB Distributed Computing Server worker. All other

rights not granted in Section 1, including without limitation rights toreproduce, sublicense, rent, sell, distribute, serve other software bymeans of, decompile, reverse engineer, and disassemble the Utility, areexpressly reserved. You also warrant that your use of the Application iscompliant with any network or security restrictions or policiesapplicable to You.

3. LICENSES FOR THIRD PARTY SOFTWARE AND PRODUCTS. MathWorks hasincorporated certain software written by third parties into the Utility.This software is licensed under separate license agreements which may

require MathWorks to distribute the software to You subject to additionalterms and conditions. Third party licenses binding on You may be viewedat mathworks.com/mobilethirdpartylicense. You may also contact MathWorksto obtain a copy of these licenses. By accepting this Agreement, Youconfirm Your acceptance of such third party software licenses.

4. TERM AND TERMINATION. Either party may terminate this Agreement atany time, for any reason. This Agreement shall also automaticallyterminate upon Your failure or inability to comply with any licenserestrictions set forth in Paragraph 2.

5. EXPORT CONTROL. The Utility may be subject to U.S. and non-U.S.export control laws and other applicable governmental export and importlaws and regulations. In exercising Your rights under this Agreement,You shall not violate any such laws and regulations.

6. U.S. GOVERNMENT: By accepting delivery of the Utility, the governmentagrees that it qualifies as commercial computer software or documentationas defined in the FAR and/or DFARS; that the terms and conditions of thisSoftware Utility License Agreement shall govern the government's use,reproduction, performance, display, and disclosure of the Utility,superseding any inconsistent government provisions.

7. ASSIGNMENT. You may not assign or otherwise transfer this Agreement

and its rights and obligations hereunder, in whole or in part, withoutthe written consent of MathWorks. In the case of any permittedassignment or transfer of or under this Agreement, this Agreement or therelevant provisions shall be binding upon, and inure to the benefit of,the successors, executors, heirs, representatives, administrators andassigns of the parties hereto.

8. LIMITATION OF LIABILITY. Any liability of MathWorks and its thirdparty licensors (whether in relation to breach of contract, negligence orotherwise) shall not in total exceed ten dollars ($10.00); and MathWorksand its third party licensors shall have no liability for any indirect orconsequential loss (whether foreseeable or otherwise and including lossof profits, loss of business, loss of opportunity, and loss of use of any

computer hardware or software). Some states do not allow the exclusionor limitation of incidental or consequential damages, so the aboveexclusion or limitation may not apply to You. MathWorks' and itsLicensors' liability for death or personal injury resulting fromnegligence or for any other matter in relation to which liability by lawcannot be excluded or limited shall not be excluded or limited.

9. DISCLAIMER OF WARRANTIES. The Utility is delivered "as is" andMathWorks makes and You receive no additional express or impliedwarranties. MathWorks and its third party software providers herebyexpressly disclaim any and all other conditions, warranties, or otherterms of any kind or nature concerning the Utility (including, withoutlimitation, any with regard to infringement, merchantability, quality,

accuracy, or fitness for a particular purpose or Your purpose).MathWorks also expressly disclaims any warranties that may be impliedfrom usage of trade, course of dealing, or course of performance. TheUtility is provided with all faults, without any obligation of technicalsupport by MathWorks, and the entire risk of satisfactory quality,performance, accuracy, and effort is with You. MathWorks does notwarrant that the Utility will operate without interruption or be errorfree. You accept responsibility for Your use of the Utility and theresults obtained therefrom.
