MASTER PURCHASE AGREEMENT

This Master Purchase Agreement (Agreement) is between Harlan Laboratories, Inc., an Indianacororation (!ulier) and "o#ance Inc., a $elaware cororation ("o#ance). The e%%ecti#e date o% this

1. Parties The arties are !ulier and "o#ance, but an' A%%iliate, as de%ined below, o% either art' ma'sell or urchase under this Agreement, ro#ided howe#er that an' A%%iliate o% "o#ance, or a site o%"o#ance which has searate urchasing authorit', shall become a art' to this Agreement %rom time totime uon the mutual eecution and deli#er' o% a Particiation Attachment (attached as +hibit A)between such "o#ance A%%iliate and !ulier. "o#ance and each "o#ance A%%iliate that has entered intoa Particiation Attachment shall be collecti#el' re%erred to as /u'er.

+ach /u'er and !ulier will 0ee the other art' in%ormed o% the names and telehone and %acsimilenumbers o% the contact ersons that are rele#ant to the urchase and sale o% roducts and ser#ices underthis Agreement. A list o% such ersons %or "o#ance as o% the +%%ecti#e $ate is set %orth in +hibit /

attached hereto. A list o% such ersons %or each "o#ance A%%iliate shall be attached to the rele#antParticiation Attachment between such A%%iliate and !ulier.

A%%iliate means an' cororation or other business entit' controlled b', controlling, or under commoncontrol with a art'. or this urose, control means (i) direct or indirect bene%icial ownershi o% %i%t'ercent (1*2) or more o% the #oting control, or (ii) the ower to direct or cause the direction o% themanagement and olicies o% such cororation or other business entit'. +ach art' agrees to beresonsible %or an' breach or de%ault hereo% b' its A%%iliates.

2. Term; Termination

.The term (Term) o% this agreement shall begin on the +%%ecti#e $ate set %orth abo#e and continue

until the third anni#ersar' o% the +%%ecti#e $ate. The arties ma' agree to etend the Term %or eriods o%twel#e months (each twel#e month eriod being an +tension Term)3 and an' agreement to etend theTerm shall be in writing signed b' the arties.

. 4otwithstanding the Term or an' +tension Term, "o#ance or !ulier ma' terminate this Agreementwithout cause uon one hundred eight' (5*) da's written notice to the other art'. An' termination o%this Agreement shall not terminate or otherwise a%%ect an' Purchase 6rder which was acceted b'!ulier on or be%ore the date o% termination. The rights and obligations o the !arties "nderSe#tions $% &% 1'% 1(% 1$% and 1) shall s"r*i*e an+ termination.

'. Prod"#ts and Ser*i#es

7.The roducts or ser#ices anticiated to be urchased hereunder are laborator' animals, animal

surgical ser#ices and surgical sulies, rodent contract breeding and animal holding ser#ices, diets,bedding, custom8cut cage liners, biologics, immunological roducts and related roducts and ser#ices.

7. An' roduct or ser#ice to be sulied beginning on the +%%ecti#e $ate is listed in Aendi hereto.An' roduct or ser#ice to be sold hereunder which is not on Aendi hereto but which will subse9uentto the +%%ecti#e $ate be sold hereunder will be added to this Agreement b' mutual written consent o% thearties on an additional Aendi to this Agreement.

7.7 "o#ance ac0nowledges that it has recei#ed and re#iewed a co' o% !ulier:s current ;nited !tatesand ;nited esearch Models and !er#ices (as the same ma' be amendedb' !ulier %rom time to time, the Product =uide) and that its urchase o% an' roducts %rom !ulier

shall be sub?ect to the terms and conditions set %orth therein (including, without limitation, the restrictionson resale and limitation o% liabilit' and disclaimer o% warranties and other terms and conditions set %orththerein) and the terms and conditions o% this Agreement.

@. Prices The rice %or the Term o% an' roduct or ser#ice to be sulied beginning on the +%%ecti#e $ateis listed on the Aendies hereto. "o#ance ma' wish to urchase roducts which are not listed on

Aendies. In the e#ent that "o#ance desires to urchase and !ulier agrees to sul' such roductsand the arties agree to the rice %or such additional roducts, then such roducts will be added to this

Agreement b' wa' o% an additional Aendi to this Agreement. The rice %or roducts and ser#ices to besulied under this Agreement shall be re#iewed annuall' b' the arties during the Term hereo% on4o#ember stbeginning on 4o#ember , **. In the e#ent that the arties are unable to agree to therice b' &anuar' st, such disuted rices shall (a) not, in the case o% roducts and ser#ices described on

Aendies and 7, be increased b' !ulier in the aggregate b' more than a ercentage increasee9ual to the ;nited !tates consumer rice inde %or Aendi and the ;nited elated ee >eductions

In echange, each /u'er agrees to, sub?ect to an' binding obligations with resect to an' trade secrets orcon%idential in%ormation or a good %aith business ?udgment that that it would be detrimental to do so, ha#ediscussions in good %aith with !ulier regarding the ricing and other terms and conditions uon whicheach /u'er ac9uires goods and ser#ices which are cometiti#e with, or are a %unctional e9ui#alent o%,!ulier:s laborator' animals, animal surgical ser#ices and surgical sulies, rodent contract breedingand animal holding ser#ices, diets, bedding, custom8cut cage liners, biologics, immunological roductsand related roducts and ser#ices, with the goal o% increasing the use o% such roducts and ser#ices o%!ulier.

$. Pa+ment"o#ance will a' all undisuted amounts on in#oices within %ort'8%i#e (@1) da's o% the date o%in#oice. Pa'ment shall not constitute accetance %or goods and ser#ices or wai#er o% an' claims relatedthereto.

In#oices will be dated no earlier than the shiing date o% the roduct or ser#ice. In#oices will onl' be aiduon roo% o% deli#er'. In#oices must be insected and cleared uon receit b' /u'er and an'discreancies must be romtl' reorted to !ulier in writing. An in#oice is deemed accurate unless/u'er reorts a discreanc' in writing rior to the due date %or such in#oice. "o#ance shall ha#e theright, at its own eense, to eriodicall' audit the accurac' o% the in#oices with resect to the urchaseorders submitted b' "o#ance. Purchases b' /u'er are taable based on shiment destination and all

alicable taes will be aid and are %or the account o% /u'er. In those countries or states where!ulier collects sales ta, CAT or =!T, !ulier will add the taes to the in#oice and remit to thearoriate taing authorit'. !ulier ac0nowledges that each /u'er ma' reort a'ments to %ederal,state and local ta authorities. A /u'er shall be resonsible to a' all taes re9uired %or sales under theterms o% this Agreement. "o#ance reresents and warrants to !ulier that it is ta8eemt in the stateso% Ariona B Cirginia.

In#oices shall be aid in the currenc' o% the shiment origin (i.e. ;.!. dollars %or roducts shied %roman' ;.!. destination and in the currenc' o% the countr' o% shiment origin %or roducts shied b'!ulier %rom countries outside the ;.!.). In the e#ent o% a disute relating to a seci%ic ortionDitem onan in#oice, the arties will ma0e good %aith e%%orts to resol#e the ortionDitem on the in#oice under disutewithin thirt' (7*) da's. !ulier will include the rele#ant urchase order number on all in#oices.

). rdering; P"r#hase rders"o#ance will ro#ide !ulier with a urchase order %or all roducts it

wishes to urchase. !ulier will use commerciall' reasonable e%%orts to con%irm in writing receit o% theurchase order. Ehen acceted b' !ulier, each Purchase 6rder shall be considered a searate andbinding agreement between the seci%ic /u'er and !ulier to which it relates, howe#er the Purchase6rder shall be go#erned b' the terms set %orth in this Agreement and, i% alicable, the rele#ant ser#ices+hibit. A Purchase 6rder shall not alter or amend the terms and conditions o% this Agreement or aser#ices +hibit and an' term o% a Purchase 6rder which is an alteration or amendment o% this Agreementshall ha#e no %orce or e%%ect. !ulier will use commerciall' reasonable e%%orts to coml' with all termsstated on the Purchase 6rder with resect to 9uantit', roduct, shiing method and destination, deli#er'date and in#oice remittance address, howe#er, !ulier will not be liable %or its %ailure to meet an' suchdeli#er' date(s). !ulier agrees that an' terms on its 6rder Ac0nowledgment or other documents whichare additional to or di%%erent than the terms o% this Agreement are not a art o% this Agreement unless"o#ance eressl' agrees to such terms in writing.

Ser*i#e 0e*el Agreements"o#ance and !ulier will wor0 collaborati#el' to establish the aroriateer%ormance measurements, including, but not limited to 6rder ul%illment, In#oice Accurac', Product and!er#ice Fualit', etc. All er%ormance measurements and the underl'ing calculations o% such metrics, willbe ?ointl' de%ined and agreed uon in writing b' both arties rior to March , *, and will become arto% this agreement in Aendi . !tarting in Aril *, 9uarterl' e#aluations will be er%ormed withinthirt' (7*) da's o% the end o% each calendar 9uarter.

&.A##e!tan#eAnimals deli#ered to /u'er shall be romtl' screened to determine health' condition withno 9ualit' control roblems, and an' health issue or 9ualit' control issue which can be noted uon #isualinsection shall be reorted to !ulier as set %orth in !ection 7. In addition, /u'er shall insect the

Animals during the time eriods %ollowing deli#er' as set %orth in !ection 7 and shall ro#ide writtennotice to !ulier o% an' other reasons %or re?ection o% the Animal. I% no such notice is ro#ided, then the

Animals shall be deemed acceted.

!hould an issue arise with regard to the Accetance o% a roduct or ser#ice under this Agreement, theneach o% !ulier and /u'er shall use its reasonable e%%orts to romtl' resol#e such issue in an amicablemanner, including b' re%erral o% an' issue which is not resol#ed within 7* da's to an aroriate senioreecuti#e o% !ulier and /u'er.

10.Can#ellation Poli#+ !ulier does not charge customers %or cancelled orders o% da'8to8da'in#entoried roduct which would be routinel' sold to other customers. This alies to animal modelsriced b' age u to 58G wee0s old, and animal models riced b' grams u to 7** grams. or thesestandard in#entoried research models, !ulier will accet a cancellation notice rior to the shi date,

without a cancellation %ee charged to "o#ance. or secial research model orders or roducts whichwould not be sold to other customers (i.e., aged, surgicall' modi%ied, secial diet %ed, or timed matedanimals, etc.), there will be a cancellation %ee charged to "o#ance. !ulier will ro#ide to "o#ancewritten documentation o% these charges when con%irming these "o#ance orders. !ee Aendi 7.

11.E!ired Prod"#ts; Prod"#t Re#alls!ulier will sul' non8human rimate and guinea ig diet noolder than G* da's ast manu%acture date at time o% deli#er'. This re9uirement alies to "o#ance sites in4orth America. I% !ulier ro#ides an' non8human rimate and guinea ig diet with a manu%acture date

a%ter the %oregoing eriod such diet will be deemed out o% warrant'.

!ub?ect to the limitations in !ections 7 and @ and the other terms and conditions herein, in the e#entan' roducts are recalled b' !ulier or an' go#ernmental agenc', !ulier shall reimburse "o#ance %orall direct reasonable out o% oc0et costs reasonabl' and roimatel' caused b' such recall including thecost to relace the recalled roducts with e9ui#alent roducts at the same rice as the recalled roductsand shiment costs. !ulier shall noti%' "o#ance i% !ulier recei#es a warning letter %rom the ood and$rug Administration or other regulator' bod' during the Term or within two 'ears a%ter termination o% this

Agreement which relates to an' roduct sold hereunder.

12.eli*er+; Title; Ris3 o 0oss !ulier deli#eries o% animal diet and research models to "o#ancesites will be the %irst sto on all o% !ulier:s deli#er' routes. This re9uirement alies to all "o#ance4orth America sites, ecet %or $en#er, PA, "umberland, CA,and esult) is deli#ered tothe /u'er i% such breach is reasonabl' ascertainable, or i% not, within ten (*) da's a%ter disco#er'. The/u'er:s sole remed' and !ulier:s eclusi#e liabilit' %or a breach o% this reresentation shall be, at!ulier:s otion, either the re8er%ormance o% the ser#ice or a re%und o% the amount aid %or the ser#ice in9uestion.

!ulier reresents that to its 0nowledge as o% the +%%ecti#e $ate it has the right to sell theroducts and o%%er the ser#ices.

A /u'er shall ha#e the right, but not the obligation, to audit !ulier:s animal %acilities. !ub?ect to a/u'er:s comliance with !ulier:s standard olicies %or entrance into the animal %acilities, the aro#al o%!ulier:s #eterinar' ser#ices, and AAALA" guidelines, !ulier will allow a /u'er reasonable access tothe animal %acilities %or insection. 17.Conidentialit+

+ach art' ma' disclose to the other in%ormation it considers con%idential (K"on%identialIn%ormationK). All such in%ormation shall be considered "on%idential In%ormation i% such in%ormation (i) is
