MPC TERMS AND CONDITIONS Mason Plastics Company (MPC) does not recognize or agree to any terms, conditions, testing, packag-ing, or requirements outside our MPC normal and customary terms and conditions. Any deviation from these conditions must be supplied by the customer, received in writing by MPC, and agreed to in writing by an authorized MPC representative prior to any order being processed. Addendums to purchase or-ders are not considered prior approval. QUOTATIONS Unless otherwise specified, quotations on stock products are for immediate acceptance, subject to prior sales. Quotations on non-stock or custom items are subject to acceptance within thirty (30) days from date of quotation. Pricing is based upon quantity quoted and quantity shipped at one time. Custom items are subject to a plus or minus of up to ten percent (10%) of quantity ordered, unless otherwise stated in quotation. PRICING & MINIMUMS UPS or other small package shipments are subject to a $50.00 minimum. Truck shipments are subject to a $100.00 minimum. Custom-made items are priced per quotation only. Other charges may include cutting fee, set up, tooling, engineering, crating, and special handling. Rush orders may be quoted with expedite fee.


WIRE TRANSFER If paying invoice by wire transfer, customer is required to have entire amount of invoice transferred to MPC. Customer is responsible for any and all service charges/fees incurred by wire transfer. Any bal-ance remaining on account after transfer is received will be considered “due and payable.” Any balances due may delay shipment of new orders. CLAIMS & RETURNS All shipments should be inspected by customer immediately upon receipt. Claims for damaged product must be signed for as damaged. Claims of incorrect material or shortages must be made with forty-eight (48) hours of receipt of goods. Requests for returns of product that was “ordered in error” are evaluated on an individual basis and are subject to a restocking fee. TAXES Any tax or governmental charge or increase in the same hereafter becoming effective increasing the cost to MPC of producing, selling, or delivering goods or of procuring material used therein, and any tax now in effect or increase in same payable by MPC because of the manufacture, sale, or delivery of the goods, may at MPC’s option, be added to the price. TERMS OF PAYMENT Subject to the approval of MPC’s credit department, terms are net thirty (30) days from the date of MPC’s invoice, in U.S. currency. If any payment owed to MPC is not paid when due, it shall bear inter-est, at a rate to be determined by MPC, which shall not exceed the maximum rate permitted by law, from the date on which it is due until it is paid. MPC shall have the right, among other remedies, either to ter-minate the agreement or to suspend further performance under this and/or other agreements with buyer in the event buyer fails to make any payment when due. Buyer shall be liable for all expenses, including attorneys’ fees, relating to the collection of past due amounts. SHIPMENT AND DELIVERY Shipments are made F.O.B. MPC’s shipping point. Any claims for shortages or damages in transit shall be submitted by the buyer directly to the carrier. While MPC will use all reasonable commercial efforts to maintain the delivery date quoted for the goods, all such dates are approximate. MPC reserves the right to make partial shipments and to segregate “specials” and made-to-order good from normal stock goods. MPC shall not be bound to tender delivery of any goods for which buyer has not provided shipping in-structions. QUANTITY Buyer agrees to accept overruns of up to ten percent (10%) of the order on “made-to-order” goods, in-cluding parts. Any such additional items shall be priced at the price per item charged for the specific quantity ordered. BUYER-SUPPLIED DATA To the extent that MPC has relied upon any data or information supplied by buyer to MPC (“Data”) in the selection or design of the goods and/or provision of the services and the preparation of MPC’s quotation, and the data is inadequate or inaccurate, any warranties or other provisions contained herein which are affected by such conditions shall be null and void. TECHNICAL ADVICE It is expressly understood that MPC assumes no responsibility or liability for any technical advice given without charge and furnished by MPC with respect to the use of the goods. All such technical advice, or results obtained, is and accepted at buyer’s risk.
