Guest Writer Agreement

We have agreed that from time to time Mashable, Inc. (“Mashable”) may consent to publish certain articles (“Articles”) written by you on Mashable’s website, but only on the following terms and conditions:

(i) you hereby irrevocably transfer and assign to Mashable all right, title and interest in and to all such Articles, including without limitation any and all “moral rights” that you may have in any Articles;

(ii) you will receive a promotional “byline” in connection with such Articles, which byline must be

approved by Mashable’s editorial staff; (iii) any requests by you to use any Article for any purpose must be made in writing to Mashable’s CEO and

COO, and, if approved, any such usage must contain a notice stating that the Article is used with such permission, and was originally published on Mashable’s website (with url stated);

(iv) you will receive no compensation for any Article, or the rights granted to Mashable herein; and (v) the term “Articles” will also include all articles previously submitted by you and published by

Mashable. You agree to indemnify Mashable and hold it harmless from and against all claims, damages, losses and expenses, including court costs and reasonable fees and expenses of attorneys, expert witnesses, and other professionals, arising out of or resulting from any action by a third party against Mashable that is based on any claim that any Article infringes a copyright or other proprietary right or violate a trade secret.

The laws of the State of California (other than the provisions thereof relating to conflicts of laws) will

govern this Guest Writer Agreement. If the foregoing accurately reflects our agreement with respect to the subject matter hereof, please so

indicate by signing a copy of this Guest Writer Agreement in the space provided below, and sending the original of that signed copy to me.
