Announcements This volume contains meeting minutes for November 14, 2015, the Special Meeting Minutes have been approved and are on the website. They are For January 18 and February 16, 2016. The file was too large for email with all three sets of minutes. March Meeting Minutes have not been approved as of this date. In order for the minutes to be approved via email the Board must vote at the meeting to do so and the vote must be unanimous. As you read the minutes you will notice that Director Geer consistently votes against this motion. Therefore the minutes are always behind leaving the membership behind what is happening at the meetings. COMPLAINTS

At the March Meeting, there was a Complaint from a Member, Ms. Gindelsperger, regarding dogs running loose and chasing her while driving on her ATV. In Mohave County Dogs are not allowed to run in an uncontrolled manner. The

ranch is for everyone’s enjoyment, so we should be more empathetic to our neighbors. Please everyone control your animals.

A Message from our President: I am happy to tell everyone that now we have several people working and volunteering for us all over the Ranch. We are now able to repair the roads and work all year round. The Crews are repairing the roads as quickly as possible. It still takes cooperation from all of us working together. You will be seeing the WCR volunteers and workers out on the roads. There will be workers at the front entrance soon so … Please drive carefully. Dayton Girdner

A Word from the Secretary : Happy Spring to everyone! The Elections are coming upon us quickly! The deadline for submitting a resume is in May, so if you know of someone who would like to run for a Director seat, Please let them know. They should be emailed in or handed in by our next Meeting, as already stated in this newsletter. This year there are 4 Director seats up for election, those Directors who seats are up for election are: Dayton Girdner, Jess Peters, Ron Henderson, and Christine Abrahamian. The email address again is: [email protected] or [email protected] I want to thank the members who have sent in emails regarding the roadwork and the volunteers. Everyone really appreciates the sentiments and the thanks…we usually only hear the complaints! I make sure I pass them on to the road crew. I especially want to thank Ms. Kanke, she always lets us know how much she appreciates us all!! The last page of this newsletter contains a sample of emails. The letter sent out by the Concerned Neighbor group is NOT from Willow Creek Ranch POA, however they do send it to us, and they forward comments to us. Which I do appreciate, it keeps us aware of how members feel about what is happening with the roads. The comments were all positive which I spoke about at the meeting, so thank you to all those members. I hope you will read the minutes and go to the website to check out the rest of the Minutes, and Financials. In the minutes you will be able to keep up with all the road projects going on all over the Ranch. They are listed under the Road Report. Date: November 14, 2015 Time: 1:00 P.M. Place: Kingman Christian Church 2830 Gordon Ave. Kingman, AZ. 1). Call to Order/ Announcement Regarding Comment Sheets Members comments will be time limited • President Dayton Girdner called meeting to order at 1:08 P.M. 2). sheet. Please fill one out and any comments will be addressed at the end of the meeting.

3). Approval of Agenda Motion: Director Peters made motion to approve todays agenda. Seconded by President Girdner. • Director Henderson asked why there is nothing about legal issues that have come up.

Director Rodak states that a letter had been received by a member, but it was not a lawsuit. He also asked about the status of other legal issues against the board. Director Pippin said, there is nothing new on that to discuss. • Director Henderson said, that at the last meeting it was voted to send out to all Directors,

the correspondence from 5:00 P.M. till the closing, of emails for auctioned property. He has not received them yet. • Director Henderson also asked what the status is on the short-cuts with the State

Department. Director Rodak says there is really no change at this time on the short-cuts.

• Director Geer brings up the disciplinary action taken against Mr. Cavanaugh. The vote was taken and it was determined that it had failed. President Girdner stated that he had announced that it had passed. Director Geer asked how should we interpret an abstain vote? Director Pippin states that we are getting off the agenda here and need

to get back to approving todays agenda. Vote: For 6-1 Against (Henderson)- 0 Abstain Motion: Passed 4). Approval of Minutes- A). September 26, 2015 Meeting Minutes distributed via Email-Discussions, Motion, Vote • Director Geer says, that at the time of the meeting the motion had failed for the

disciplinary action. He feels that it should state that in the minutes. Director Rodak says that after listening to the recording and the vote, she needed to correct it. It had passed because abstains, do not count for either, For or Against.

Motion: Director Geer made a motion to correct September 26, minutes to read that disciplinary action failed. Seconded by Ron Henderson. Discussion: Director Pippin feels that there was so much commotion in the audience that the vote was recorded incorrectly. Betty Gindlesperger is out of order and being disruptive. Director Rodak informs Betty Gindlesperger that she will not contend with her constant interruptions at this meeting. • Elaine Cavanaugh is out of order and being very disruptive. President Girdner asked her

several times to sit down and be quiet. Vote: For 2 (Geer, Henderson)-5 Against (Girdner, Pippin, Peters, Rodak, Abrahamian)- 0 Abstain Motion: Failed Motion: President Girdner made a motion to pass the September 26, 2015 minutes. Seconded by Jess Peters. Vote: For 5(Girdner, Peters, Pippin, Rodak, Abrahamian)-2 Against(Geer, Henderson)-0 Abstain Motion: Passed • Director Henderson says, he feels that there are personal attacks in the minutes.

Several Directors wanted to know what he meant by personal attacks on certain people. Director Rodak says, the comments are showing the way people act at the meeting.

B). Special Meeting Minutes October 26, 2015. Distributed via email-discussion, motion, vote Motion: President Girdner made motion to approve minutes on special meeting on October 26, 2015. Seconded by Jess Peters. Vote: For 5( Girdner, Pippin, Geer, Peters, Rodak)-0 Against- 2 Abstain( Henderson, Abrahamian) Motion: Passed 5). Officers Reports A). Secretary Report (Secretary Rodak & Mrs. Miles) 1). Correspondence • Director Henderson filed a complaint with the sheriffs department, about dirt being

removed from his private property.

• The church here has not had the money to repair its heating and air conditioning in this meeting room. The January meeting may not be held here if repairs are not done

to the system. She has been looking into other meeting areas and they are quite expensive. If the January meeting is possibly canceled or moved to another location, a letter stating so will be sent out with the dues mail out in December. President Girdner tells Betty Gindlesperger and Richard and Elaine Cavanaugh to please stop interrupting. Richard and Elaine Cavanaugh asked him what he was going to do. President Girdner replied that he would call the Sheriff and have him removed. Motion: Director Henderson made a motion that if the January meeting is canceled or moved to another meeting location. There will be a notice put in with December dues mail out. Seconded by Dwight Geer. Vote: For 7 (unanimous) Motion: Passed • John Goossens has resigned as the road committee chairman. Due to his job promotion

and extended work, but he will still be on the road committee. • Director Rodak also received an email from Mr. Schust offering to give us the butterflies.

She states they are not really wanted at this time, because they are not up to Department of Transportation expectations. • She has also received a few emails from Alice Thomas and Mr.& Mrs. Radke that they

are pleased with the road work being done. • Director Pippin states that their was a complaint filed against the POA board. With the

Department of Fire, Building and Life Safety, by Richard Cavanaugh. Those complaints have been answered by a 65 page document. We are now waiting for a reply. Scott Meyer is out of order and being disruptive. President Girdner has to repeat again to several members to please be quiet. • Director Rodak states that any litigation is done during a closed meeting. B). Treasurer Report 1). Financial Report • Total current assets of $120,339.52, that in compasses an Emergency Repair Fund of

$15,000.00, Fish and Game Fund $16,000.00, and other remaining in checking account of $89,778.71, Petty cash draw -$3.83. • Income for the year is $61,021.56, Total Expenses of $80,187.12, for a net of -

$19,165.56. • Delinquent age report is now down to $8,102.00 • Out of the total checking $89,778.71, earmarked for current road repairs of $31,894.28. 2). Check Requests • Treasurer Pippin states there are 3 check requests that need approval. He also has 15

that have been pre-approved and just need signatures. • First approval needed is $200.00 for the annual meeting at the Katherine Heidenreich

Adult Center. Motion: Director Pippin made a motion to approve $200.00 for that meeting. Seconded by Ron Henderson. Payment to be when necessary. Vote: For 7 (unanimous) Motion: Passed • Check request for $100.00 to replenish the Petty Cash. Motion: Director Pippin made motion to approve $100.00 to replenish Petty Cash. Seconded by Jess Peters. Vote: For 7 (unanimous)

Motion: Passed • Director Pippin says the next is for Treasurer expenses for October and November

of$150.00. Motion: President Girdner made motion for Treasurer expenses of $150.00 for October and November of 2015. Seconded by Jess Peters. Vote: For 7 (unanimous) Motion: Passed 3). Updates on Liens / Property Acquired • Treasurer Pippin gives update on foreclosure of Unit 3, Parcel 77, all back dues and

fees have been cleared. • We also approved foreclosure on a second property and that owner is in the process of

making payments. Which is suppose to be paid up by December 1st, if not paid by then we will go forward with the foreclosure. • Treasurer Pippin would like the board to approve up to $5,000.00 for foreclosure

proceedings for Unit 3, Parcel 71. Motion: Treasurer Pippin made motion to approve up to $5,000.00 to go forward with foreclosure of Unit 3, Parcel 71, payable as necessary. Seconded by Dayton Girdner. Discussion: Director Henderson asked, how much is owed right now and for how long? Treasurer Pippin replied $1,710.00, for about 5 years. Motion: For 7 (unanimous) Motion: Passed 4). Property of Beach-Pesicka late fees waived by exception • Treasurer Pippin reads a letter received from one of the delinquent accounts. She

explains her situation and at this time is caught up on the past dues only. She would like to see the late fees and penalties be waived. He asks the board to make special consideration for this owner.

Motion: President Girdner made motion to waive the late fees and penalties. Seconded by Jess Peters. Discussion: Director Henderson asks, if there are any fees that the POA would be out money? Director Pippin suggests that we exclude the recording fees and the administration fees which are $133.00. and just excuse the late fees. Paid by the end of 2015. Motion: Director Pippin added to the motion already on the floor. That we waive the late fees of $310.00, but retain the lien and recording fees of $40.00 and the administrative fees of $93.00. As long as she pays by December 31, 2015. Seconded by Dayton Girdner. Vote: For 7 (unanimous) Motion: Passed 5). Recommendation for 2016 Budget and Dues • Treasurer Pippin made recommendation for the budget and dues for 2016. The budget

will include the money currently on hand in the checking and what is expected for 2016. The recommendation is to keep the dues at $5.00 per acre, but we will bring this up at New Business.

Motion: President Girdner made motion to accept Treasurers Report. Seconded by Jess Peters. Vote: For 6-0 Against-1 Abstain(Pippin) Motion: Passed 6). Committee Reports

A). Road Reports/Update on Road Work and Volunteers/Recommendations on Future Projects/Presentation by Chairmen John Goossens • President Girdner announced that John Goossens has resigned, so we will elect a new

Road Chairman today. The presentation was narrated by Dave Mikuski. John Goossens was unable to do the narration for the presentation. • Over 120 dump truck loads of sand have been put on through out the ranch. • Road work has been done by Flying Eagle Ranch, which has been done several times

this year. The roads can not be graded anymore, they need to be built back up. Volunteer Dave Mikuski and Skip Porter repaired this area with Skip Porters equipment. • WCR-5, rock breaking was done by volunteer Dave Mikuski. He says the only way to

make this area drain properly is to remove the large rocks. This takes a lot of work and a lot of time. • WCR-9, plating was done around Parcel #2. Sometimes it takes over 45 minutes to

make around trip to bring in plating materials. Then the Operator comes in and still has to spread the plating material around. Which makes for very long days for these people. • Intersection widening was done on Wapiti Drive and Spotted Fawn Trail Roads, this

required rock breaking. • Marble Hill, plating materials were donated by Steve Mason, which was removed by

volunteers from his property. Project is not complete yet. As the material is being spread by the skip loader, volunteers are picking up rocks and throwing them out of the road by hand. • Ed & Jean Brown donated plating material, which is being stock piled for future use on

WCR-5. • Eleka Trail, south side creek crossing, forms were built and cement poured, still needs

curbing before job is complete. President Girdner says he was out of town when the cement was poured. The contractor hired didn't pour the cement like he was instructed to, so it has no curbing as it was stated in the contract. So he would like to withhold $1,500.00 from his payment or until he comes back and completes the project. More discussion and it is decided that $2,000.00 would be more appropriate. Director Henderson says that pouring curbing now, would ruin the integrate of the whole pour. President Girdner agreed, that is why he wants to hold some money back from the payment. D&C Concrete will not be hired for anymore contracts. The job was pre-approved by the board for $9,070.06,

Motion: President Girdner made motion to hold back payment of $2000.00 from D&C Concretes contract. So they will receive $7,070.06 along with attached letter of explanation, and if check is cashed they have accepted the deal. Seconded by Jeanne Rodak. Vote: For 7 (unanimous) Motion: Passed

B). Rules and Regulations-Communications Revisions-Discussions • Director Pippin would like to purpose a revision in Rules and Regulations under

Communications. He sent out copies to all Directors prior to todays meeting. He would like to strike the last sentence in #4, which reads, Meetings will generally be conducted referencing Robert’s Rules of Order, circa 1915. And adding the following, #5. Annual Membership Meetings will generally be conducted referencing Robert’s Rules of Order, circa 1915. This is to afford the property owners at large ample opportunity to open

discussion of issues for concerns prior to the seating of a new Board of Directors. #6 Periodic Board of Directors Meetings, scheduled at the convenience of the Board, are not public forums or Owner’s Meetings. They are therefore not conducted in accordance with Robert’s Rules or other normal public protocol. Although routine Board meetings are announced for owners to attend if they desire, Owners entrust Board Members by written vote each year to perform duties on their behalf, and therefore relinquish public input except as described in Regulation 1-7. Disruptions from the normal Board agenda and interruptions from Owners during these critical operational meetings will not be tolerated. The rest of the Regulations remand the same other than the numbers.

Motion: President Girdner made motion to adopt the wording for #5 and #6 for Rules and Regulations. Seconded by Jess Peters. Discussion: Director Geer doesn’t feel comfortable throwing out Robert’s Rules of Order out of our periodic Board meeting’s. Director Pippin says that Robert’s Rules of Order are written for membership meetings, they are not written for Directors meetings. Director Rodak says, that is why we put out comment sheets, for the members comments. Director Pippin also states, that we have a Chairman, his job is to run the meetings. Director Henderson feels if Robert’s Rules of Order is removed then there would be no discussions on a motion. Director Henderson and Geer would like it re-written and brought up at the next Board meeting. Director Pippin says that he will try and have it re-written by the next Board meeting. Motion: President Girdner withdrawals his motion, and it will be postponed till the next Board meeting. 7). Unfinished Business A). Updates on Water Tanker for Road Work • President Girdner has gathered more information on a water tank. One already to go

would be around $12,000.00. So he has located a trailer, water tank, and water pump and feels that he could put one together for under $4,000.00.

8). New Business A). Minutes Approval by email for this meeting • President Girdner would like approval for todays minutes to be done by email. Director

Henderson states that we have had a good discussion today. He feels that if things go this way next meeting he will approve minutes by email. Director Pippin asks if he can go back to Unfinished Business all Directors agreed that he could. He brings up the discussion about the vote on disciplinary action against Richard Cavanaugh. He brings up the fact about an Abstained vote and how they work. Anyone that Abstains from a vote is saying that they don’t want to vote For or Against, that the majority rules.

Motion: Director Pippin made motion that in the future at all Board meetings and Membership meetings. That anyone that Abstains is not casting a vote for that particular issue. And for the people remaining that do not Abstain, that the majority of votes left rules on the vote. Seconded by Jess Peters. Discussion: Director Rodak states, that members are getting confused over a quorum and a majority rules. In a Law Dictionary an Abstention means you are not casting a vote either way. Vote: For 7 (unanimous) Motion: Passes

Motion: Director Pippin made motion to approve the minutes from this meeting by email. Seconded by Jess Peters. Vote: For 5(Girdner, Rodak, Peters, Pippin, Abrahamian)-1 Against(Geer)-1 Abstain(Henderson) Motion: Failed • Director Pippin states that this requires a unanimous vote so it has failed. B). Appoint New Road Chairman-Vote Motion: President Girdner made motion to nominate Dave Mikuski as Road Chairman. Seconded by Jess Peters. • President Girdner asks if their is any other nominees? Vote: For 6 (Henderson, Geer, Girdner, Pippin, Rodak, Peters)-0 Against-1 Abstain (Abrahamian) Motion: Passed • President Girdner announces that Dave Mikuski is now the new Road Chairman. C). Road Projects-Discussion-Vote • President Girdner request another $2,000.00 for Ram-hoe and Backhoe work for

December and January. The previous amount has been used up, for the billing he has had for October and November. Director Henderson says, he has not seen any billing on previous expenditures. Director Pippin shows Director Henderson what has been spent so far, some billing has not been turned in yet. • Skip Porter comments that repairs had been done on Spotted Trail and completed, and it

has turned out very well. Motion: President Girdner made motion for a request of $2000.00 for December and January, for Ram-hoe and Backhoe work. And possible skip loader work, which is just labor cost. With payment made as it is due. Seconded by Jess Peters. Discussion: Director Henderson would like to know how documentation is being kept? President Girdner says that he keeps hours on the billing and we get a bill from Porter Equipment if he is hired for any work. It is agreed by all Directors that if Anthony Mikuski is hired for skip loader operator that he must submit a bill. Vote: For 7 (unanimous) Motion: Passed D). Budget/Dues for 2016-Discussion, Motion, Vote Motion: Director Henderson made a motion that we accept the budget that Treasurer Pippin purposed for 2016. Seconded by Jeanne Rodak. were out at the ranch for the day. He just wanted to thank, Director Pippin for using his own equipment and time to repair the road a few miles from his property. He wants to say that he appreciates everything the board is trying to do. And wonders why anybody would stay on the board with all the stuff that has to be put up with at these meetings.

Hi Jeanne, Another message for the road crew: Today i drove my Toyota Corolla in and out on my

usual route along WCR 8 & 9. These roads are in the best condition they have ever been. The Corolla and I especially enjoyed the recent fill work on that set of back-to-back steep

hills on WCR 9 that used to not so affectionately be called "devil's backbone" in our neighborhood. THANK YOU !!

The new approach to resurfacing the roads has made driving them much more enjoyable and that means a lot to me when it takes 45 minutes one way from mailbox to home.

A vote for any of these dedicated Board Directors is a vote to continue progress in a positive direction with respect to the maintenance, repair and improvement of our ranch road system. Since the election/appointment of these Directors, the new majority Board, things are really looking up especially when compared to the malaise associated with the road maintenance efforts of the prior 15 years. I hope that more POA members are made aware of the overwhelmingly positive efforts and results brought about by the above Board Directors, and that those members will vote to re-elect these Directors in the upcoming election.
