CONSULTING IN CORPORATE
FINANCIAL MATTERS
Advised and assisted a PLC to undertake a voluntary plan of reorganization to strengthen
its balance sheet.
The Challenge
A public listed entity ("the PLC") with strong balance sheet and value had difficulty uncovering
and getting strengths reflected in its share price.
Our Approach
Advised and assisted the PLC to undertake a voluntary plan of reorganization to
strengthen its balance sheet.
Advised and assisted the PLC in enlarging its share capital base with strategic foreign investor.
The Result
The PLC’s market price increased by 45% following the reorganization exercise, which was a
better and more accurate reflection of its net book value.
Increase in the PLC’s profile among investors, with a strategic foreign investor investing into the
PLC and providing strategic advice and value.

Advised and assisted a private company in listing on the appropriate stock exchange for the

The Challenge
An established construction company was evaluating options to expand beyond its current
geographical segment and planned to extend its current service offering in the local market.
Our Solution
Advised and structured the company to float on the most relevant stock exchange via a reverse
takeover, taking into account its plan to tap into its desired geographical market, which enabled
them to efficiently raise capital for business expansion.
The Result
Following our proposal, our client was able to create more opportunities for overseas business
expansion via a proposed joint venture and was able to leverage on its listed company status to
obtain better financing costs.

Evaluated various means and devised plans to increase the value of the PLC’s share price
including but not limited to balance sheet optimisation, creating investor relation awareness of the
PLC’s presence and business, restructure the PLC’s share capital base and introducing relevant
professionals to assist the PLC’s development.
The Result
Following our involvement and coupled with the PLC’s better financial performance throughout
the financial reporting period, the PLC’s share price grew four folds in the span of less than 1
year.

A stockbroking company (“the Stockbroker”) was looking for objective advice and specialist
skills with the aim of creating value, maximising growth and improving business performance,
and to assist the company renewing its licence with the relevant authorities.
Our Approach
Analyzed and conducted a comprehensive SWOT analysis of the Stockbroker, placing it in its
current positioning matrix.
Analyzed & crafted a two-prong strategy and implementation plan with strategic positioning and
sales and marketing plan to provide more option to generate revenue.
Detailed the Stockbroker’s competitive advantage, coupled with the appropriate risk assessment
and financial forecasting.
The Result
The Stockbroker, had found a niche market in growing its stockbroking business and its licence
was renewed by the relevant authorities.

Formulated and managed a discretionary equity portfolio with a high Sharpe ratio (ratio that
shows the factor of risk and return).

A high networth individual (“the Client”) needed to grow his investment portfolio to achieve
positive real net returns in a highly inflationary environment, while preserving his retirement
nest.

Meet our core team that forms Leverage3.
A banking and business management veteran of 33 years, Kamal has an exemplary track record
in areas of credit and risk management, global transactional services, capital markets, corporate
finance, derivatives and various EXIM financing packages in his years of service with global
financial institutions such as Citibank, ABN Amro Bank and Deutsche Bank. Well-known and
recognized for his wide circuit in handling relationships with global multinationals, financial
institutions and the local corporates in Malaysia. Kamal’s last posting prior to Leverage3
International saw him as the Senior General Manager of one of the largest insurance companies
of Malaysia (i.e. the Malaysia Nasional Insurance Berhad).
From 2008 to 2011, Kamal headed the Global Corporate and Financial Institutions division for
the Commercial Bank of Qatar in Doha, Qatar where he was exposed to the aspects of another
regional market.
A graduate of Henley / Brunel University, United Kingdom in Masters of Business
Administration, Kamal has constantly re-engineered and updated himself in the field of finance
through various courses with the global financial institutions he had served with.
AHMAD KAMAL SHEIKH AWABDIRECTOR / ADVISOR
A banking and business management veteran of 33 years, Kamal has an exemplary track record
in areas of credit armed with more than 25 years of experience in the Banking & Finance
Industry, Kamil is an invaluable member of the management team. Prior to joining Leverage3,
Kamil was the Vice President, Corporate and Commercial Banking Department for Asian
Finance Bank (AFB) where he was responsible for the overall growth of the Corporate Banking
Business across the various market segments which includes government, government-linked
companies (GLC), Multi National Companies (MNC), Large Local Corporate (LLC) and
Institutional clients. Apart from being a specialist in corporate banking products such as term
financing, working capital financing, bridging financing, and trade financing, Kamil was also
tasked with the responsibility of overseeing and managing the team of Relationship Managers
within the Corporate and Commercial Banking Department of the Bank.
Prior to joining AFB, Kamil was the Head of Islamic Banking for Eon Bank Berhad where he
managed the overall operations of the banking group’s Islamic Banking Operations. As a result
of his contribution during his tenure, the Bank has become one of the market leaders in the
provision of Islamic Banking in the Malaysian market today. Kamil’s Islamic Banking
experience spurned from his days as a Senior Manager with MBf Finance Berhad, combined
with his experience from working for Perwira Affin Bank, Public Bank Berhad and Bank
Bumiputra Malaysia Berhad; has truly molded him into a versatile, knowledgeable and
experience senior banker.
Kamil is a graduate from Northern Illinois University (NIU), USA with a Bachelor of Science
Degree in Finance, and a graduate from Morehead State University (MSU), Kentucky, USA with
a Masters Degree in Business Administration (MBA). He was also a graduate from UiTM,
Malaysia with a diploma in Banking Studies.
KAMIL SUHAIMI ABDUL MAJIDDIRECTOR / ADVISOR
Bryan brings with him 7 years of experience in auditing and investment banking, including in the
areas of capital raising, due diligence, valuation, equity capital market, and corporate finance
services. He has substantial experience in IPO & RTO exercises spanning Malaysia, Singapore
and Australia.
Prior to joining Leverage3, he built his technical knowledge and gained practical experience with
Ernst & Young Singapore in the audit division. He subsequently joined Inter-Pacific Securities
and CIMB Investment Bank in Malaysia where he was involved in various transactions which
leveraged on his skills in financial evaluation, management and coordination, preparation of
submissions and liaison with authorities and other professionals. He then moved to V Capital as
the Vice President of Advisory where he was involved in corporate exercises such as capital
raising, floating companies on the Australian Securities Exchange (ASX) and business due
diligence.
Bryan is a member of the Association of Chartered Certified Accountant (ACCA) and has
completed the first two levels of the Chartered Financial Analyst (CFA) examination. He has
completed the relevant Securities Commission Malaysian modules in relation to advising on
corporate finance.
