FOREWORD The Supply Chains that support today’s modern and lean manufacturing environment are more complex and wide-ranging than ever before. In recent years, sourcing strategies have changed significantly and product is now purchased from every part of the globe as the financial benefit of buying from new and emerging markets has become more commonplace.

As the supply chain has become more extended, with product being shipped across and between continents, greater reliance has been placed on the relationship between the parties (customer, supplier, transport organizations, etc.) involved in the physical movement of the goods.

Clearly, it is normal for a contractual relationship to exist between the various supply chain partners in the form of a purchase order or contract that specifies the services to be provided and the associated costs involved. However, it is also important that the operational and day-to-day working relationship between the parties is documented in a Logistics Agreement so that roles and responsibilities are clarified.

The purpose of this Global Materials Management and Logistics Agreement (GMMLA) document is to provide recommendations and advice regarding the format and content of such an agreement.

In 2003 Odette, which represents the European automotive industry, released the initial version of the Logistics Agreement. In June 2007, a project group comprising members of AIAG, which represents the North American automotive industry, and Odette began developing a global version. The document was completed and published in January 2008.

INTRODUCTION This Global Material Management Logistics Agreement (GMMLA) document contains operational guidelines for a materials management and logistics agreement between parties. The main objective of the Logistics Agreement, hereafter designated as 'the Agreement,' is to ensure that the day-to-day operational relationship is properly defined and documented in order to clarify roles and responsibilities, expectations, and commitments and to avoid the possibility of misunderstandings and conflict.

The Agreement should be developed as a supplement to the contractual agreement/purchase order that exists between the parties. The GMMLA defines the operational conditions applicable to materials management and logistics operations between the parties. Unless explicitly mentioned, the Agreement does not override the contractual conditions already existing between the parties. If there is a discrepancy or inconsistency between the sales contract and the Logistics Agreement, the parties shall agree on which document will be adhered to.

Figure 1 below shows that the GMMLA is part of the suite of best practices for Materials Management and Logistics. The GMMLA defines the operational relationship between the customer and supplier/carrier/logistics service provider (LSP) and any other appropriate parties. The GMMLA is complementary to other global documents, including:

• Materials Management Operation Guideline/Logistic Evaluation (MMOG/LE), which is used to assess supplier capability

• Global Logistics Evaluation for Carriers & LSPs, which is used to assess Carrier/LSP capability

• Key Performance Indicators for Global Materials Management and Logistics (KPI4GMML), which measures supplier performance

and the following Odette document

• Key Performance Indicators for Carriers and Logistics Service Providers, which measures logistics performance.
