4.0 No extension of time for submission of bid shall be considered. 5.0 Owner/Consultant reserve the right to assess bidder’s capability and capacity to execute the

contract by taking in to account various aspects such as concurrent commitments, performance etc., of the bidder and accordingly decide and consider for evaluation.

6.0 Owner/Consultant reserve the right to accept / reject any or all the bids without assigning any

INSTRUCTIONS TO BIDDERS

1.0 GENERAL INSTRUCTIONS

1.1. Luxor Energy Private Limited (hereinafter referred to as LEPL), intend to carry out

Topographical survey of the proposed plant area for 2 x 660 MW Thermal Power Plant, being planned at Bijapur, Karnataka, India, as set forth in the accompanying Bid Documents.

1.2. LEPL has appointed Fichtner Consulting Engineer (India) Limited, as their consultant for

Detailed Engineering for the project. 1.3. All Bids shall be prepared and submitted in accordance with these instructions. 1.4. Bids received after the due date and time, as set out in the “Notice Inviting Bids”, will be

summarily rejected. 1.5. OWNER’ reserves the right to accept any Bid or reject any or all Bids or cancel /

withdraw “Notice Inviting Bids”, without assigning any reason for such decision. Such decision by OWNER shall not be subject to question by any Bidder and /OWNER shall bear no liability of any kind whatsoever, consequent upon such a decision.

1.6. The scope of work, the Bidding procedures and the Terms and Conditions of Contract

are brought out in the Bid Documents which include: Volume – I : NIB, ITB GCC & Commercial condition. Volume – II : Scope of works, GTS, Bid Drawings Volume – III : Schedule of prices & Tender Forms. 1.7. All the costs and expenses incidental to preparation of their proposal, discussions and

conferences if any, including pre-award discussions, technical and other presentation in the OWNER’s office or elsewhere shall be to the account of the Bidders and OWNER shall bear no liability whatsoever on such costs and expenses.

1.8. The issue of the Bid documents to a prospective Bidder shall not mean that he is

considered qualified and the Bid documents issued to an entity is not transferable to any other entity.

2.0 PROJECT INFORMATION

Information regarding the project size, plant capacities, location, approach to the site etc.,

meteorological conditions, etc. are provided in the “VOLUME – 2, Section 4 of the Bid Document”.

However no undertaking is given to the accuracy of this information and it shall in no way

invalidate the contractor’s obligations under various clauses and conditions of the contract in case any variation is encountered during execution stage. Before quoting, the Bidder shall visit the site, obtain all necessary details regarding plant facilities available to ascertain for himself of all site and local conditions, location of supply points for construction power and water etc.

3.0 INSPECTION OF SITE BY BIDDER

3.1 Before submission of his bid, the Bidder shall inspect the site. Bidder shall examine and obtain

all information required and satisfy himself regarding matters and things such as access to site, communication, transport, right of way, the type and number of equipment facilities required for the satisfactory completion of the work, etc. The submission of a bid by the Bidder will be construed as evidence that such an examination was made by him and any later claims/disputes in regard to rates quoted or work schedule shall not be entertained or considered by the Owner. Ignorance of site conditions will not be considered (by the Owner) as a basis for any claim for compensation.

3.2.0 The rates quoted by Bidder shall be based on his own knowledge and judgment of the conditions

and hazards involved and shall not be based on any representations of the Owner / Engineer

4.0 TOOLS AND MATERIALS

4.1 Contractor shall provide and maintain at the site necessary number and type of machinery and

equipment including survey instruments in good working condition for proper setting out and timely completion of the various works covered under this specification. All arrangements for transporting the equipment to and from the site shall be done by the Contractor at his own expense. No claim shall be entertained for mobilising additional equipment and/or personnel to complete the work within the stipulated time.

5.0 WORK EXECUTION AND SUPERVISION

5.1 Contractor shall have at the site accredited and qualified engineers and Supervisors with

adequate number of years of experience in execution of similar works and also operators of machinery and equipment, for satisfactory progress and timely completion of the works.

5.2 Contractor shall be fully responsible for the correctness and accuracy of the works. The work

shall be executed in a professional manner, with full understanding of the importance of the structure for a project of this magnitude.

5.3 Should the work be suspended by reason of strikes / riots by Contractor’s own employees or any

other cause whatsoever, Contractor shall take all precautions necessary for the protection of works. Contractor shall make good, at his own expense, any damage arising from any of these causes.

5.4 In the event of occurrence of any accidents at / near the site of work or in connection with

execution of the work, a report shall be made immediately to the Owner / Engineer, giving full details of the accident. He shall also report such accidents to all the competent authorities wherever such reports are required by them

6.0 PRICES AND RATES

6.1 Prices and rates quoted shall include cost of all materials, labour, supervision, setting out,

machinery and equipment, transport charges, Mobilising/demobilising and all taxes. 6.2 No escalation is applicable for this bid.

6.3 Local taxes and any other taxes based on statutory authorities in respect of this contract shall be

payable by the Contractor and Owner will not entertain any claim whatsoever in this respect

7.0 INFORMATIONS REQUIRED WITH THE BIDS

i. Letter of capability, including:

a. Full details of the Bidder’s financial and technical capabilities, experience and facilities for executing the Work as specified.

b. Head Office and Site management list showing designation of the Bidder's staff and

personnel he proposes to employ on the Contract. ii. Complete Technical Particulars.

Bid which is not accompanied by the above may not be considered. Bid which is incomplete or does not include the whole of the Works covered by the Bid

Documents will not be considered. 8.0 CLARIFICATIONS ON DOCUMENTS AND SPECIFICATIONS Bidder requiring any clarification in bid Documents may notify the Owner in writing within the

stipulated time as mentioned in Notice Inviting Bid. The Owner will respond within 2 days of receipt in writing to any request for such clarification of the Bid Documents.

9.0 AMENDMENTS TO BID DOCUMENTS

The Owner reserves the right to issue any revision, amendments, clarifications, etc. to the

specifications and documents to all Bidders who had obtained the Bid Documents, giving reasonable time, prior to the last date of receipt of the Bid. Owner will bear no responsibility or liability arising out of non-receipt of the same in time or otherwise.

10.0.0 LOCAL CONDITIONS

10.1.0 It will be imperative for each Bidder to fully inform himself of all local conditions and factors which

may have any effect on the execution of the Works covered under these documents and specifications. It is recommended that the bidder visit the site and obtain all relevant details.

10.2.0 The Contractor shall obtain and pay for all permits and licenses or other privileges necessary to

complete the work, original copies of which shall be delivered to the Owner or his authorized representative and will become the property of the Owner.

10.3.0 It must be understood and agreed that such factors have properly been understood and

considered while submitting the bid. No claim whatsoever including those for financial adjustment to the contract awarded under these specifications and documents will be entertained by the Owner, neither any change in the time schedule of the Contract nor any financial adjustments arising thereof shall be permitted by the Owner, which are based on the lack of such clear information or its effect on the cost of the Works to the Bidder.

10.4.0 The laws, rules and regulations of the Government (Central as well as State) and all

Government Authorities in India, having jurisdiction over the work shall govern the work of this contract with the same force and effect as if incorporated in full into the Contract Documents. Where such laws, rules and regulations conflict the Contract Documents, the more stringent requirements as interpreted by the Owner or his authorized representative shall govern. Should

such conflict require changes in the Contract Documents, the Contractor shall promptly notify the Owner.

11.0.0 PRICE BASIS, CURRENCIES AND PAYMENTS

11.1.0 The Bidders shall quote in their proposal, for the entire scope of work (covered under the Bid

Documents) as required in the Schedules enclosed with the Bid Documents, on Firm price basis for the entire Contract period. Bidders quoting a system of pricing, other than that so specified, run the risk of rejection of their bids.

11.2.0 The Bidders shall note that the rate quoted shall be inclusive of all Taxes and Duties and

inclusive of Service Tax and works Contract Tax.

12.0.0 CUSTOMS DUTIES AND TAXES

12.1.0 The bidder has to pay the Tax and Duties as applicable by Indian Laws.

13.0.0 VALIDITY OF THE BID

13.1.0 The bid should be kept valid for acceptance for a period of 30 days from the last date of

submission of bids or the extended as mutually agreed by both the parties. In case any bidder quotes a lower validity period than that called for, his offer shall be rejected.

13.2.0 The bidder shall furnish along with techno-commercial unpriced bid EMD for Rs 15,000, in the

form DD/BG format as per the format enclosed in section 3 of volume I (valid for 60 days, from the last date of submission of bid or the date mutually agreed by both the parties)

14.0.0 AWARD OF CONTRACT

14.1.0 Letter of award of contract shall be made in writing to the successful Bidder by the Owner.

15.0.0 SECURITY DEPOSIT FOR CONTRACT PERFORMANCE GUARANTEE

15.1.0 As a contract performance security the successful bidder will have to furnish a Security Deposit

of 10 (ten) percent of the total value of the contract for the faithful performance of the contract in accordance with the terms and conditions specified in the contract and in the Bid Documents. The Security Deposit shall be remitted either by Demand Draft or by Bank Guarantee. Bank Guarantee obtained from scheduled banks of India alone is acceptable.

The proforma of the Security Deposit for Contract Performance shall be as per the format

enclosed in Annex 1.3. The Security Deposit shall be furnished within seven (7) days from the date of issue of LOA and

shall be kept valid till successful completion work and acceptance by the owner. The same guarantee shall be extended for the period of one more year (Defect Liability) from the date of handing over.

16.0.0 MAINTENANCE TOOLS AND TACKLES

Contractor shall provide and maintain at the site necessary number and type of machinery and

equipment including survey instruments in good working condition for proper setting out and timely completion of the various works covered under this specification. All arrangements for transporting the equipment to and from the site shall be done by the contractor at his own expenses. No claim shall be entertained for mobilizing additional equipment and/or personnel to complete the work within the stipulated time. The Bidder shall indicate all the above items in the Bid document.

17.0.0 CHECK LIST

The Bidder shall give a check list of documents/schedules enclosed with his Techno-Commercial

Bid in the covering pages of the respective parts for quick check of the enclosures. A complete check list shall be enclosed with each copy of the bid proposal. Technical/commercial deviations, if any, on the bid documents should be given in the enclosed respective schedules and except for the deviations given therein it shall be construed that the Bidder shall comply completely with all the other requirements of the Bid Documents. The Owner will not entertain any deviations in commercial terms and conditions.

18.0.0 BID FORM The Bidders are requested to fill up the Bid Form while submitting their bid proposal.

We, undertake if our bid is accepted, we would commence delivery within three (3) days and to complete delivery of all the items specified in the Contract within 21 days calculated from the date of receipt of your letter of Intent. We agree to keep our bid valid for a period of 30 days from the date fixed for tender opening or the extended date mutually agreed by both the parties, under clause of the Instruction to tenderers and it shall remain binding upon us and may be accepted at any time before the expiration of that period. Any matter inconsistent therewith, contrary or repugnant thereto or any deviation/stipulation made by the Contractor in the Offer ( Enclosure-II ) but not specifically agreed to by the Owner in the Letter of Award ( Enclosure-III ) shall not be given effect to and shall be deemed to have been withdrawn by the Contractor. 6. The LEPL shall have the fullest liberty without affecting in any way the liability of the Bank under this Guarantee from time to time vary any of the terms and conditions of the said Bid or to extend time of the Bid or the period for fulfilment and compliance with the terms and conditions contained in the said Bid by the said Bidder or to postpone for any time and from time to time any of the powers exercisable by it against the said Bidder and either to enforce or forbear from enforcing any of the terms and conditions contained in the said Bid or the securities available to the LEPL and the bank shall not be released from its liability under these presents by any exercise by the LEPL of the liberty with reference to the matters aforesaid or by reason of time being given to the said Bidder or any other forbearance, act or omission on the part of the LEPL or any indulgence by the LEPL to the said Bidder or of any other matter or thing whatsoever which under the law relating to sureties would but for this provision have the effect of a releasing the Bank from its such liability.

7. Any notice by way of request, demand or otherwise hereunder shall be sent by courier or by

registered mail to the Bank, addressed as aforesaid. 8. We undertake to make the payment on receipt of notice of claim from the LEPL on us addressed to

9. It shall not be necessary for the LEPL to proceed against the said Bidder before proceeding against

45.0 PAYMENT

45.1 The payment to the Contractor for the per formance of the Works under the Contract will be

made by LEPL as per the guidelines and condi tions specified herein. All payments made during the Contract shall be on account paym ents only. The final payment shall be made on the successful completion of the Defects Liability Period, as brought out in this section.

45.2 MODE OF PAYMENT All payments, under the Contract shall be m ade directly by LEPL through Account Payee

Cheques.Payments may also be made through Demand Drafts but in such cases the bank charges towards preparation of the Demand Drafts shall be borne by the Contractor.

46.0 TERMS OF PAYMENT This is an Item rate Contract. The payment shall be made after the completion of the work,

on actual quantities of work executed by the contractor as per the specifications/direction of the Engineers / Owner. The rates quoted by the contractor` shall remain firm till the completion of work. The contractor shall be paid on the basis of actual measurement of work carried out at site on the rates quoted. All payments will be made only upon the certification by the Engineers/Owners.

47.0 PERIOD OF COMPLETION As Per Notice Inviting Tender.

48.0 DEFECTS LIABILITY PERIOD

Twelve (12) calendar months from the date of issue of the completion certificate by LEPL.

49.0 PLANT GRIDS AND BENCH MARK

Co-ordinates and reduced levels of the site from the nearest available co-ordinate pillar and

benchmark shall have to be established by the Contractor.

50.0 DRAWINGS & DOCUMENTS SUPPLIED BY CONTRACTOR

All drawings & documents shall be prepared in Autocad and electronic files and submitted for

review / approval in soft copies in addition to hard copies. The number of copies to be submitted shall be mutually agreed on award of contract

Note : Manually prepared drawings are not acceptable. Soft copy in CD Rom and Reproducible Traci ngs of all drawings / documents shall be

submitted along with Final when required by the Owner.

51.0 CHANGE IN LAWS AND REGULATIONS

The contract unit rates shall remain fixed th rough the term of this contract. Any increase or

decrease in cost resulting from a change in laws of the country (including introduction of new laws and repel or modification of existing laws ) or in the judicial or official governmental interpretation of such laws, made after the commencement date shall not entitle the contractor to any change in contract unit rates.

GENERAL CONDITIONS OF CONTRACT

1.0 SCOPE OF CONTRACT

1.1 The Scope of the work to be carried out under the Contract has been brought out in the

Technical Specifications. It shall, except as otherwise provided in the Contract Documents listed in Clause 2.0 of this Section GCC, Volume-1 Section-3.0, include furnishing at Site of all labour, materials, tools, etc. which may be required for the full and entire execution and completion of the works.

1.2 The scope of work under the contract shall also include obtaining permits/

licences/clearances, etc. wherever necessary from the statutory bodies.

2.0 CONTRACT DOCUMENTS

2.1 The term "Contract Documents" shall mean and include the following which shall be deemed

to form an integral part of the Contract:

2.4 In the event it is not possible to resolve any conflict between the above mentioned documents, matter shall be referred to the Engineer whose decision, shall be final and binding upon the parties

3.0 DEFINITION OF TERMS

3.1 "Owner" or "Customer" shall mean LUXOR ENERGY PRIVATE LIMITED and shall include

their legal representatives, successors and assigns. 3.2 "LEPL" shall mean LUXOR ENERGY PRIVATE LIMITED and shall include their legal

representatives, successors and assigns. 3.3 "Contractor" shall mean the successful Bidder whose offer has been accepted by LEPL for

the award of the work envisaged in the Contract Documents and shall include such successful Bidder's legal representatives, successors and permitted assigns.

3.4 "Sub-Contractor" shall mean the person/firm/agency/party named in the Contract for any part

of the work or any person/firm/agency/party to whom any part of the Contract has been sub-let by the Contractor with the consent in writing of the Engineer and will include the legal representatives, successors and permitted assigns of such person.

3.5 "Engineer" shall mean the person/firm/agency, appointed in writing by LEPL to act as

Engineer, from time to time, for the purposes of the Contract wherever terms like "Engineer-in-charge", "Chief Engineer", "Dy.Chief Engineer" etc. may have been used in the Contract Documents, they shall be deemed to mean the Engineer.

3.6 "Consulting Engineer"/"Consultant" shall mean any firm or person or agency duly appointed

as such from time to time by LEPL. or Lenders. 3.7 The "Works" are what the Contract requires the Contractor to construct, instal and hand over

to LEPL in accordance with the Contract Documents. 3.8 "Temporary works/Enabling works" are the works designed, constructed, installed and

removed by the Contractor, which are needed for construction or installations of the works. 3.9 "Urgent Works" shall mean any urgent measures which, in the opinion of the Engineer,

becomes necessary during the progress of the work to obviate any risk of accident or failure or which become necessary for security.

3.10 "Site" shall mean and include the land and other places on, into or through which the work

envisaged under the Contract and the related facilities are to be carried out and any adjacent land, path, street or reservoir which may be allocated or used by LEPL or Contractor in the performance of the Contract.

3.11 "Contractor's Works", shall mean the place of work the Contractor, their Collaborators or

Sub-contractors for the performance of the Works. 3.12 "Inspector" shall mean the LEPL or any person/agency/firm nominated by LEPL, from time to

time, to inspect the materials, plant and equipment deployed by the Contractor and the various stages of the Works under the Contract / the duly authorised representative of LEPL.

3.13 "Letter of Award of Contract" shall mean the official notice issued by LEPL notifying the

Contractor that its offer has been accepted. Such a Letter of Award of Contract may be in the form of Letter or Telex of Telegram or FAX.

3.14 "Date of Contract" shall mean the date on which both parties sign the Contract Agreement.

3.15 "Month" shall mean the calendar month. "Day" or "days", unless herein otherwise expressly

defined, shall mean calendar day or days of 24 hours each. 3.16 "Writing" shall include any manuscript, type-written or printed statement, under or over

signature / seal as the case may be. 3.17 When the words "Approved", "Subject to Approval", "Satisfactory", "Equal to", "Proper",

"Requested", "As Directed", "Where Directed", "When Directed", "Determined by", "Accepted", "Permitted", or words and phrases of like importance are used, the approval, judgement, direction, etc. is understood to be a function of the Owner/Engineer.

3.18 The term "Final Acceptance"/"Taking Over" shall mean LEPL written acceptance of the

Works performed under the Contract. 3.19 "Defects Liability Period" shall mean the period during which the Contractor shall remain

liable for repair or replacement of any defective part of the Works performed under the Contract and such period is indicated in the Special Conditions of Contract.

3.20 "Drawings", "Plans" shall mean all:

a) Drawings furnished by LEPL as a basis for tender, b) Supplementary drawings furnished by LEPL/Consultant to clarify and to define in

greater detail the intent of the Contract, c) Drawings submitted by the Contractor with its offer, provided such drawings are

acceptable to Consultant/LEPL, d) Drawings furnished by LEPL/Consultant to the Contractor during the progress of the

work, and e) Engineering data and drawings submitted by the Contractor during the progress of the

work provided such drawings are acceptable to the Engineer.

3.21 "Codes" shall mean all the codes etc. listed in the Technical Specifications including the latest amendments / replacements, if any.

3.22 Words imparting the singular only shall also include the plural and vice-versa where the

context so requires. 3.23 Words imparting "Person" shall include firms, companies, corporations and associations or

bodies of individuals, whether incorporated or not. 3.24 Terms and expressions not herein defined shall have the same meaning as are assigned to

them in the Indian Sale of Goods Act (1930), failing that in the Indian Contract Act (1872) and failing that in the General Clauses Act (1897) including amendments thereof if any.

3.25 "Accepting Authority" shall mean the authority mentioned in the Special Conditions of

Contract, Volume 1, Section-4.0. 3.26 "A Defect" shall mean any part of the works not completed in accordance with the Contract. 3.27 "Equipment" shall mean the Contractor's machinery and vehicles brought temporarily to the

Site for the Works. 3.28 "A Variation" is an instruction given by the Engineer which varies the works. 3.29 The "Contract Unit Rates" are the unit rates for various items of work incorporated in the

Contract in the manner brought out in Clause 11.0.0, Section ITB, Volume – 1 Section-2.0.

3.30 The "Commencement Date" shall be the date when the Contractor is required to initiate mobilisation at Site, as per the agreed Construction Programme.

4.0 CONTRACTOR TO INFORM ITSELF FULLY

The Contractor shall be deemed to have carefully examined all Contract Documents to its

entire satisfaction. If it shall have any doubt as to the meaning of any portion of the Contract Document, it shall, before signing the Contract, set forth the particulars thereof, and submit them to LEPL in writing, in triplicate, in order that such doubt may be removed. LEPL will provide such clarifications as may be necessary, in writing, to the Contractor. Any information otherwise obtained from Owner or the Engineer shall not in any way relieve the Contractor of its responsibility to fulfill its obligations under the Contract.

5.0 CONTRACT AGREEMENT AND PERFORMANCE SECURITY

The Contractor shall furnish a Contract Performance Security for the proper fulfillment of the

Contract within three ( 3 ) days of "Letter of Award of Contract". The Performance Security shall be in the Form of a Bank Guarantee and shall be as per the format enclosed at Annex (ITB) of Volume 1, Section-2.0, issued by LEPL while inviting offers for the work. Further, the Contractor shall enter into a Contract Agreement, with LEPL, as per Proforma at Annex – 1.2 (ITB) of, Volume 1,Section-2.0, within five (5) days from the date of "Letter of Award of Contract" or within such extended time as may be granted by LEPL.

6.0 MANNER OF EXECUTION OF CONTRACT

6.1 LEPL, after the issue of the Letter of Award of Contract to the Contractor, will send one (1)

copy of the final Agreement to the Contractor for its scrutiny and approval. 6.2 The Agreement, unless otherwise agreed to, shall be signed within 5 (five) days of the date of

the "Letter of Award of Contract", at the Office of LEPL or a place of mutual consent on a date and time to be mutually agreed. The Contractor shall provide for signing of the Contract, appropriate power of attorney and other requisite materials. Till a formal agreement is prepared and executed, the Letter of Award of Contract, read in conjunction with the Contract Documents, will constitute a binding Contract.

6.3 The Agreement will be signed in three (3) originals. The Contractor shall be provided with

one (1) signed original and the rest will be retained by LEPL. 6.4 The Contractor shall provide, free of cost to LEPL, all the engineering data, drawings and

descriptive materials submitted with its offer, in at least three (3) copies to form a part of the Contract, immediately after issue of Letter of Award of Contract.

7.0 EFFECT AND JURISDICTION OF CONTRACT

7.1 The Contract shall be considered as having come into force from the date of Letter of Award

of Contract, unless otherwise provided in such Letter of Award of Contract. 7.2 The laws applicable to the Contract shall be the laws in force in India. The Courts of Delhi

shall have exclusive jurisdiction in all matters arising under this Contract, including execution of arbitration awards under Clause 26.0 of this Section GCC.

8.0 ASSIGNMENT AND SUBLETTING OF CONTRACT

The Contractor may, after informing the Engineer and getting the written approval, assign or

sub-let the Contract or any part thereof. Sub-contractors not identified in the Contract or any

change in the identified sub-contractors shall be subject to the approval of the Engineer. The experience list of the sub-contractor(s), under consideration by the Contractor for this Contract, shall be furnished to the Engineer for approval, prior to proceeding with such assignment or sub-letting. Such assignment/subletting shall not relieve the Contractor from any obligation, duty or responsibility under the Contract. Any assignment/subletting without prior written approval, as above, shall be void.

9.0 TAKING OVER

As soon as the works are completed in accordance with the Contract (except in minor

respects that do not affect their use for the purpose for which they are intended and without prejudice to the Contractor's liability during the Defects Liability Period as defined elsewhere in the Contract Documents) and have passed the relevant tests etc. in accordance with the Contract Documents, the Engineer shall recommend and owner shall issue a certificate (hereinafter called Completion Certificate) which shall certify the date on which the works have been so completed and LEPL shall be deemed to have taken over the works on the date so certified.If the works have been divided into various groups in the contract, LEPL shall be entitled to take over any group or groups at its own discretion and there upon the owner shall issue a Completion Certificate which will, however, be only for such group or groups so taken over. Notwithstanding the taking over of group or groups, as above, by LEPL, the Defects Liability Period under the Contract shall be reckoned from the date of completion of the total work envisaged under the Contract.

10.0 TIME OF COMPLETION:

10.1 Work covered under this specification shall be completed in all respects within 21 days from

the date of Letter of Intent. 10.2 The time and the date of completion of the Works as stipulated by LEPL without or with

modifications, if any, and so incorporated in the Letter of Award of Contract, shall be deemed to be the essence of the Contract. The Contractor shall so organise its resources and perform its work as to complete it not later than the date agreed to and incorporated in the Letter of Award / Contract Agreement.

10.3 The contractor shall prepare and submit to the Engineer and owner, a work execution and

completion schedule within three (3) days from the date of letter of award.

11.0 CONTRACT PRICE

Unless otherwise stated in the Contract, the price indicated in the Contract is the total amount

payable to the Vendor / Contractor for the Works / Plant pertaining to duties, taxes including sales tax, works contract tax, service tax and any other statutory taxes etc., freight etc. as applicable. The Contract price shall remain firm and fixed for the duration of Contract without any escalation whatever. Where the Contract is given on an item rate basis, payment will be made only for the actual finished certified Works / Plant without making any allowance for wastage, Temporary Works etc

12.0 CHANGE OF QUANTITIES

The quantities of the various items of work included in the Schedule of Items, Rates & Price

VOLUME – III , Section 1 are the estimated quantities for such items of work. These quantities shall be subject to change during the currency of the Contract to the extent as may be determined by the Engineer and the Contractor shall be obliged to carry out the work in accordance with such changes without, in any way, affecting the terms and conditions of the

Contract. However, the Contract Price shall be duly adjusted for any increase or decrease in the quantities of the various items of work at the Contract unit rates for such items of work.

13.0 VARIATIONS

The Engineer with the approval of owner may also order some extra items of work not

included in the Schedule of Items and Quantities. Such orders shall be treated as variation orders and the Contractor shall be obliged to do the works envisaged in such variations orders. However, the extra time and the extra cost for such variation orders shall be determined in the following manner:

(i) Extra Time :

The time for completion, if requested by the Contractor within 7 days of receipt of such

variation orders, shall be extended to the extent as may be mutually agreed to between the Owner and the Contractor. However, under no circumstance the work under the said variation order shall be stopped by the Contractor who shall be obliged to take up the work, envisaged in the variation order, immediately on receipt of the same. The Owner shall issue variation orders based on the above.

(ii) Extra cost :

The extra cost for the Variation Orders shall be determined by extending the rates for items

of works, envisaged therein, over the quantities of such items. The rates shall be determined by the Owner in the manner given below :

(a) If the Contract unit rate for the items of work is available, the same shall be applicable. (b) If the Contract unit rate is not available then the rate of item shall be derived from the

Contract unit rate for the nearest similar item specified. (c) If the rate cannot be determined in the manner provided in sub-paras(a) to (b) above,

then the rate shall be derived on the mutually agreed basis. In such an event, the Contractor within 5 days of receipt of Variation Orders provide all documentary evidence to enable determination of such Rates.

The Engineer shall determine and inform the Contractor and the Accepting Authority of the

rates applicable for the Variation Orders within seven (7) days of the issuance of such variation Orders in case of sub-paras (a) to (c) above and within seven (7) days of the receipt of the documentary evidence, from the Contractor, in case of sub-para (c) above. The owner shall issue variation orders based on the above.

14.0 DEDUCTIONS FROM CONTRACT PRICE

All costs, damages or expenses which LEPL may have incurred, for which (under the

Contract) the Contractor is liable, will be claimed by LEPL. All such claims shall be billed by LEPL to the Contractor regularly as and when they fall due. Such bills shall be supported by appropriate and certified vouchers or explanations, to enable the Contractor to properly identify such claims. Such claims shall be paid by the Contractor within seven (7) days of the receipt of the corresponding bills and if not paid by the Contractor within the said period or if the Contractor fails to satisfy LEPL of such claims, LEPL may deduct the amount, from any money due or becoming due by it to the Contractor under the Contract or may be recovered by actions of law or otherwise.

15.0 CONTRACT PRICE ADJUSTMENT

15.1 There shall be no price adjustments in the contract price. The price shall be firm and fixed.

16.0 INSURANCE

16.1 The Contractor, at its cost, shall arrange, secure and maintain all insurance as may be

(including those in respect of equipment brought by it to the site and the Temporary works) pertinent to the Works and obligatory in terms of law to protect its interest and interests of the Owner against all perils detailed herein, for the period reckoned from the Commencement Date till the successful completion of the Defects Liability Period. The form and the limit of such insurance, as defined herein, together with the underwriter in each case shall be acceptable to the Owner. However, irrespective of such acceptance the responsibility to maintain adequate insurance coverage at all times during the above period (i.e. from the Commencement Date till the successful completion of the Defects Liability Period) shall be of the Contractor alone. The Contractor's failure in this regard shall not relieve it of any of its contractual responsibilities and obligations. The insurance covers to be taken by the Contractor shall be in the joint names of Owner / the Contractor. The Contractor shall, however, be authorised to deal directly with Insurance Company or Companies and shall be responsible in regard to maintenance of all insurance covers.

16.1.1 Comprehensive General Liability Insurance

(i) The Contractor shall take an all risk Insurance Policy covering all third party risks such as personal injury, damage to property etc. with minimum liabilities. The Contractor shall furnish a copy of the insurance policy to LEPL.

(ii) The insurance shall protect the Contractor as well as LEPL against all claims arising

from injury, disabilities or death of members of public or damage of property of others due to any act or omission on the part of the Contractor, its agents, its employees, its representatives and its sub-contractors or from riots, strikes, civil commotion. The insurance shall also cover all the liabilities arising out of suits regarding third party liability.

16.1.2 Comprehensive Automobile Insurance : This insurance shall be in such a form as to protect the Contractor and the Owner against all

claims for injuries, disability, disease and death to members of public including the employees of the Owner and damage to the property of others arising from the use of motor vehicles during on or off the Site operations, irrespective of the ownership of such vehicles.

16.1.3 Workmen's Compensation Insurance : This insurance shall protect the Contractor against all claims applicable under the Workmen's

Compensation Act, 1948 (Government of India). This policy shall also cover the Contractor against claims for injury, disability disease or death of its or its Sub-Contractor's employees, which, for any reason, are not covered under the Workmen's Compensation Act, 1948. The liabilities shall not be less than :

Workmen's Compensation As per statutory provisions Employee's liability As per statutory provisions 16.2 All costs on account of insurance liabilities covered under the Contract will be to the

Contractor's account and will be included in Contract Price. However, LEPL may, from time to time, during the tenure of the Contract, ask the Contractor in writing to limit the insurance

coverage, risks and in such a case, the parties to the Contract will agree for a mutual settlement, for reduction in Contract Price to the extent of reduced premium amount. The Contractor, while arranging the insurance, shall ensure to obtain all discounts on premium which may be available for higher volume or for reason of financing arrangement of the Project.

17.0 INDEMNITIES

17.1 The Contractor shall indemnify the Owner against all losses, expenses and claims for loss or

damage to physical property, personal injury and death caused by its own acts or omissions or those of its agents, employees, representatives or sub-contractors.

17.2 The Contractor shall indemnify the Owner against claims for damage caused by the

movement of its equipment or Temporary Works both inside as well as outside the Site. 17.3 The Contractor shall indemnify the Owner against any financial liability towards payment to

be made as per the workmen Compensation Act. 17.4 The Contractor shall indemnify owner against all claims arising out of non-compliance with all

statutory requirements/acts/laws and shall strictly adhere to the procedures of the Owner's Site establishment, including furnishing of necessary information/reports.

17.5 The Contractor shall indemnify the Owner against any claim, by the Tax Authorities, as may

arise out of non-compliance of any statutory requirement by the Contractor in respect of all applicable taxes and duties including Works Contract Tax.

17.6 The Contractor shall indemnify the Owner against any payments to be made under and for

observance of the regulations listed in Clause 33.0 of this Section GCC without prejudice to its right to claim indemnity from its sub-contractors.

18.0 CONTRACTOR'S DEFAULT

18.1 If the Contractor shall neglect to execute the Works with due diligence and expedition or shall

refuse or neglect to comply with any reasonable orders given to it, in writing by the Engineer or Owner in connection with the Works or shall contravene the provisions of the Contract, LEPL may give notice in writing to the Contractor to make good the failure, neglect or contravention complained of. Should the Contractor fail to comply with the notice within seven (7) days from the date of service thereof, then and in such case LEPL shall be at liberty to employ other workmen / agency and forthwith execute such part of the Works as the Contractor may have neglected to do or if LEPL shall think fit, it shall be lawful for it, without prejudice to any other right it may have under the Contract, to take the Works wholly or in part out of the Contractor's hands and re-contract with any other person or persons or agency to complete the Works or any part thereof and in that event LEPL shall have free use of all Contractor's equipment that may have been at the time on the Site in connection with the Works, without being responsible to the Contractor for fair wear and tear thereof and to the exclusion of any right of the Contractor over the same, and LEPL shall be entitled to retain and apply any balance which may otherwise be due on the Contract by it to the Contractor, or such part thereof as may be necessary, to the payment of the cost of executing the said part of the Works or of completing the Works as the case may be. If the cost of completing the Works or executing a part thereof, as aforesaid, shall exceed the balance due to the Contractor, the Contractor shall pay such excess. Such payment of excess amount shall be independent of the liquidated damages for delay which the Contractor shall have to pay if the completion of Works is delayed.

18.2 In addition, such action by LEPL as aforesaid shall not relieve the Contractor of its liability to pay liquidated damages for delay in completion of Works as defined in Clause 22.0 of this Section GCC.

18.3 The termination of the Contract in part or in full, under this clause, shall not entitle the

Contractor to reduce the value of the Performance Guarantee nor the time thereof. The Performance Guarantee shall be valid for the full value and for the full period of the Contract including guarantee period.

19.0 GOVERNING LAW

The laws in force in India shall govern the terms and conditions of the contract. The courts of

Karnataka shall have the exclusive Jurisdiction in all matters arising under this contract including execution of Arbitration awards under clause 22.0 of this Section GCC

20.0 FORCE MAJEURE

20.1 Force majeure is herein defined as any cause which is beyond the control of the Contractor

or LEPL, as the case may be, which they could not foresee or with a reasonable amount of diligence could not have foreseen and which substantially affects the performance of the Contract, such as:

a) Natural phenomena, including but not limited to floods, droughts, lightening,

earthquakes and epidemics; b) Acts of any Government, domestic or foreign, including but not limited to war, declared

or undeclared, priorities, quarantines, embargoes. Provided either party shall within fifteen (15) days from the occurrence of such a cause notify

the other in writing of such causes. 20.2 The Contractor or LEPL shall not be liable for delays in performing their respective

obligations resulting from any force majeure cause as referred to / defined above. The date of completion will, subject to hereinafter provided, be extended by a reasonable

time even though such cause may occur after Contractor's performance of obligation has been delayed for other causes.

21.0 DELAYS BY OWNER OR ITS AUTHORISED AGENTS

21.1 In case the Contractor's performance is delayed due to any act of omission on the part of the

Owner or its authorised agents, then the Contractor shall be given due extension of time for the completion of the Works, to the extent such omission on the part of the Owner has caused delay in the Contractor's performance of its work. .

21.2 In addition, the Contractor shall be entitled to claim demonstrable and reasonable

compensation if such delays have resulted in any increase in the cost. LEPL shall examine the justification for such a request for claim and if satisfied, the extent of compensation shall be mutually agreed depending upon the circumstances at the time of such an occurrence.

22.0 LIQUIDATED DAMAGES FOR DELAY IN COMPLETION

22.1 If the Contractor fails to successfully complete the works within the time fixed under the Contract, the Contractor shall pay to LEPL, as liquidated damages and not as penalty, a sum of Rs 5000.00 per day for each specified period of delay.

23.0 NO WAIVER OF RIGHTS

Neither the inspection by the Owner or the Engineer or any of their officials, employees or

agents nor any order by the Owner or the Engineer for payment of money or any payment for or acceptance of, the whole or any part of the Works by the Owner or the Engineer, nor any extension of time, nor any possession taken by Owner or the Engineer shall operate as a waiver of any provision of the Contract, or of any power herein reserved to the Owner or any right to damages herein provided nor shall any waiver of any breach in the Contract be held to be a waiver of any other or subsequent breach.

24.0 CERTIFICATE NOT TO AFFECT RIGHT OF LEPL AND LIABILITY OF CONTRACTOR

No interim payment certificate of the Engineer nor any sum paid on account by LEPL nor any

extension of time for execution of the Works granted by the Engineer or LEPL shall affect or prejudice the rights of LEPL against the Contractor or relieve the Contractor of its obligations for the due performance of the Contract or be interpreted as approval of the Works done. No certificate shall create liability for LEPL to pay for alterations, amendments, variations or additional Works not ordered, in writing, by the Engineer or discharge the liability of the Contractor for the payment of damages whether due, ascertained, or certified or not or any sum against the payment of which it is bound to indemnify the Owner nor shall any such certificate nor the acceptance by it of any sum paid on account or otherwise affect or prejudice the rights of Owner against the Contractor.

25.0 SETTLEMENT OF DISPUTES

25.1 Any dispute or difference arising out of or in connection with the Contract shall, to the extent

possible, be settled amicably between the parties. 25.2 All unsettled dispute(s) or difference(s) arising out of or in connection with the Contract shall

in the first instance be decided by the Owner whose decision shall be final and binding on the parties.

26.0 TERMINATION OF CONTRACT ON LEPL’S INITIATIVE

26.1 LEPL reserves the right to terminate the Contract either in part or in full due to reasons other

than those mentioned under clause, entitled "Contractor's Default". In such an event, LEPL shall give seven (7) days notice in writing to the Contractor of its decision to do so.

26.2 The Contractor upon receipt of such notice shall discontinue the work on the date and to the

extent specified in the notice, make all reasonable efforts to obtain cancellation of all orders and contracts to LEPL, stop all further sub-contracting or purchasing activity related to the work terminated, and assist the LEPL in maintenance, protection, and disposition of the Works acquired under the Contract by the LEPL.

26.3 In the event of such a termination, the Contractor shall be paid compensation, equitable and

reasonable, dictated by the circumstances prevalent at the time of termination.

27.0 RELEASE OF INFORMATION

The Contractor shall not communicate or use in advertising, publicity, sales releases or in

any other medium photographs or other reproduction of the Works under this Contract, or description of the Site, dimensions, quantity, quality or other information, concerning the Works unless prior written permission has been obtained from the Owner.

28.0 GENERAL CONDITIONS FOR SITE WORK

28.1 The Contractor shall arrange for the placement of its workforce so that the delayed

completion of the work or any part thereof, for any reason whatsoever, does not affect their proper deployment. LEPL shall not entertain any claim whatsoever arising out of the idle labour.

28.2 The Contractor shall submit reports to the Engineer in respect of the state and progress of

work. Such reports shall be submitted in the format and at such regular intervals as required by the engineer. In addition, the Engineer may require the Contractor to provide display boards indicating the progress of work and the labour strength at the work site and the Contractor shall be obliged to abide by such requirement.

28.3 The Contractor shall observe all labour laws and other statutory rules/regulations in force. In

case of any violation, the Contractor alone shall be responsible for consequence thereof. Owner shall have no liability whatsoever on account of such violations.

29.0 CONTRACTOR'S LABOUR AT SITE

29.1 The Contractor shall employ labour in sufficient numbers to maintain the required rate of

progress and of quality to ensure workmanship of the degree specified in the Contract and to the satisfaction of the Owner or his representatives like Engineer. The Contractor shall not employ, in connection with the Works, any person who has not completed his eighteen years of age.

29.2 The Contractor shall pay to the labour, employed by it, either directly or through sub-

contractors, wages not less than the fair wages as defined in the Contractors Labour Regulations.

29.3 The Contractor shall, in respect of labour employed by it or its sub-contractors, comply with

or cause to be complied with the Contractors Labour Regulations in regard to all matters provided therein.

30.0 ACCESS TO SITE AND WORKS ON SITE

30.1 In the execution of the Works, no person other than the Contractor or its duly appointed

representative, Sub-contractor and workmen, shall be allowed to do work on the Site, except by the special permission, in writing of the Owner or its representative.

31.0 CONTRACTOR'S SITE OFFICE ESTABLISHMENT

The Contractor shall establish a Site Office at the Site if required.

32.0 FACILITIES TO BE PROVIDED BY THE OWNER

32.1 Space The space provided may be used by the contractor for Temporary sheds and site office etc.

33.0 SECURITY

The Contractor shall be totally responsible for all equipment and materials in its custody,

stores, loose, semi-assembled / erected by it at Site. The Contractor shall make suitable security arrangements including employment of security personnel to ensure the protection of all materials, equipment and Works from theft, fire, pilferage and any other damage and loss. All materials of the Contractor shall enter and leave the project site only with the written permission of the Engineer in the prescribed manner.

34.0 SETTING OUT THE WORKS

The Contractor shall prepare dimensioned drawings, levels and other information necessary

to enable the Contractor to set out the Works and the Contractor shall set out the works and be responsible for the accuracy of the same, It shall amend at its own cost and to the satisfaction of the Engineer any error found at any stage which may arise through inaccurate setting out. The Contractor shall protect and preserve all bench marks used in setting out the Works till end of the Defects Liability Period unless the Engineer directs their earlier removal.

35.0 MATERIALS TO BE ISSUED BY OWNER

35.1 All the materials and tools are to be arranged by the contractor.

36.0 ENFORCEMENT OF TERMS

The failure of either party to enforce, at any time, any of the provisions of this Contract or any

rights in respect thereto or to exercise any option therein provided, shall in no way be construed to be a waiver of such provisions, rights or options or in any way to affect the validity of the Contract. The exercise by either party of any of its rights herein shall not preclude or prejudice either party from exercising the same or any other right it may have there under.

37.0 CO-OPERATION WITH OTHER CONTRACTORS AND CONSULTING ENGINEERS

The Contractor shall agree to co-operate with the Owner's other Contractors and Consulting

Engineers and freely exchange with them such technical information as is necessary. The Engineer shall be provided with three copies of all correspondence addressed by the Contractor to other such Contractors and Consulting Engineers in respect of such exchange of technical information.

38.0 SUSPENSION OF WORK

38.1 LEPL reserves the right to suspend and reinstate execution of the whole or any part of the

Works without invalidating the provisions of the Contract. Orders for suspension or reinstatement of the Works will be issued to the Contractor in writing. The time for completion of the Works will be extended for a period equal to duration of the suspension.

38.2 Any necessary and demonstrable costs incurred by the Contractor, as a result of such

suspension of the Works, will be paid by LEPL, provided such costs are substantiated to the satisfaction of LEPL. LEPL shall not be responsible for any liability if suspension or delay is due to some default on the part of the Contractor or its sub-contractor.

39.0 COMPLETION OF CONTRACT

Unless otherwise terminated under the provisions of any other relevant Clause of this Section GCC, Volume 1, Section-3.0, the Contract shall be deemed to have been completed at the expiry of the Defects Liability Period.

40.0 POSSESSION PRIOR TO COMPLETION

The Owner shall have the right to take possession of or use any completed or partially

completed work or part thereof. Such possession or use shall not be deemed to be an acceptance of any work, completed in accordance with the Contract. If such prior possession or use by the Owner delays the progress of work, equitable adjustment in the time of completion shall be made and the Contract Schedule shall be deemed as modified to the extent thereof.

41.0 TREASURE, TROVE, FOSSILS ETC.

All fossils, Coins, articles of value, antigues, structures and other remains or things of

geological or archaeological interest, discovered on the Site shall be the property of the Owner and the Contractor shall take reasonable precautions to prevent its workmen or any other person from removing or damaging any such article or thing, shall immediately, upon discovery thereof and before removal acquaint the Engineer with such discovery and shall carry out the Engineer's directions with regard to the removal/disposal or otherwise of such items.

42.0 PROCEDURE FOR MEASUREMENT AND BILLING OF WORK IN PROGRESS

The following procedures shall be applicable for the measurement and billing of the work at

site: (i) All measurements shall be recorded on standard measurement sheets, to be supplied by

the Contractor, and submitted to the Engineer for verification and recommendation for payment.

ii) The measurements, as above, shall be recorded in accordance with the Schedule of

Quantities and Items. iii) Irrespective of the periodicity of the measurements taken and verified by the Engineer as

above, the Contractor shall submit only monthly bills and payment, in accordance with the specified payment terms, shall be made only once in a month.

43.0 LIMITATION OF LIABILITIES

The final payment by LEPL in pursuance of the Contract shall mean the release of the

Contractor from all its liabilities under the contract. Such final payment shall be made only at the end of the successful completion of the Defects Liability Period, provided no other contractual liabilities and responsibilities of the Contractor shall prevail thereafter. All other payments made under the Contract shall be treated as on-account payments.

44.0 PROGRESS REPORTS

During the various stages of the Works, in the pursuance of the Contract, the Contractor shall

at its own cost submit periodic progress reports as may be reasonably required by the Engineer with such materials as charts, networks, photographs etc. Such progress reports shall be in the form and size as may be required by the Engineer and shall be submitted in at least three (3) copies.

45.0 PAYMENT

45.1 The payment to the Contractor for the performance of the Works under the Contract will be

made by LEPL as per the guidelines and conditions specified herein. All payments made during the Contract shall be on account payments only. The final payment shall be made on the successful completion of the Defects Liability Period, as brought out in this section.

45.2 MODE OF PAYMENT All payments, under the Contract shall be made directly by LEPL through Account Payee

Cheques.Payments may also be made through Demand Drafts but in such cases the bank charges towards preparation of the Demand Drafts shall be borne by the Contractor.

46.0 TERMS OF PAYMENT This is an Item rate Contract. The payment shall be made after the completion of the work,

on actual quantities of work executed by the contractor as per the specifications/direction of the Engineers / Owner. The rates quoted by the contractor` shall remain firm till the completion of work. The contractor shall be paid on the basis of actual measurement of work carried out at site on the rates quoted. All payments will be made only upon the certification by the Engineers/Owners.

47.0 PERIOD OF COMPLETION As Per Notice Inviting Tender.

48.0 DEFECTS LIABILITY PERIOD

Twelve (12) calendar months from the date of issue of the completion certificate by LEPL.

49.0 PLANT GRIDS AND BENCH MARK

Co-ordinates and reduced levels of the site from the nearest available co-ordinate pillar and

benchmark shall have to be established by the Contractor.

50.0 DRAWINGS & DOCUMENTS SUPPLIED BY CONTRACTOR

All drawings & documents shall be prepared in Autocad and electronic files and submitted for

review / approval in soft copies in addition to hard copies. The number of copies to be submitted shall be mutually agreed on award of contract

Note : Manually prepared drawings are not acceptable. Soft copy in CD Rom and Reproducible Tracings of all drawings / documents shall be

submitted along with Final when required by the Owner.

51.0 CHANGE IN LAWS AND REGULATIONS

The contract unit rates shall remain fixed through the term of this contract. Any increase or

decrease in cost resulting from a change in laws of the country (including introduction of new laws and repel or modification of existing laws ) or in the judicial or official governmental interpretation of such laws, made after the commencement date shall not entitle the contractor to any change in contract unit rates.

SCOPE OF WORK

1.0 GENERAL 1.1.0 LEPL desires that detailed Topographical survey be carried out to provide the designer with

sufficiently accurate information, both general and specific, about the topographical survey of the proposed power plant.

1.2.0 The scope of work covered in this tender includes, apart from the work as per the

specification and drawings, supply of all labour, technical personnel, equipment, fuel, water and laboratory testing required for proper completion of the work. It shall also include other related works although they may not be specifically mentioned in the subsequent clauses and all such incidental items not mentioned but reasonably implied and necessary for completion of the job as a whole, all as desired and as directed by the Owner. The Contractor shall give all notices; pay all taxes, fees, and duties etc that are required for all work including temporary works.

1.3.0 The intending tenderers are advised to visit the site to have a first hand information about site

conditions such as access to site, access for setting out, clearance available and all other relevant details before submission of tender. Non familiarity with the site conditions will not be considered a reason either for extra claim or for not carrying out work in strict conformity with the time schedule, drawing and specifications.

2.0 SCOPE OF WORK 2.1.0 The scope of this enquiry is to carryout a precision topographical survey of the

proposed power plant site for 2X660 MW Thermal Power Plant at Mulavad, Bijapur district, Karnataka is to establish the grid, bench marks, boundary coordinates and Contour of the proposed site.

2.2.0 The scope also includes supplying and mobilising all necessary survey instruments, survey

personnel, materials, labour etc to carry out all the works given below and demobilisation.

2.3.0 To establish grid, bench mark and boundary co-ordinates

2.4.0 Contour survey of the proposed plant area for the preparation of contour map, locating physical features on the map such as road, railway line, water ways, well, trees etc., and furnishing of a topographic survey report complete in all respects

2.5.0 Conducting fly levels to correlate site benchmark with nearest GTS bench mark or already established benchmark within the plant area.

2.6.0 Construction of Grid Pillars, Bench Mark Pillars and Boundary Pillars.

2.7.0 Conducting route survey for the proposed pipe route from river to the plant site entry.

2.8.0 Preparation of topographical survey drawings and maps to scale using Auto-CAD Version.

2.9.0 Submission of detailed report (ref clause 6.0 of section 6- technical specifications)

2.10.0 It is not the intent to specify completely herein all details of work covered in this enquiry. All other items of work which are not specifically mentioned above but included in schedule of quantities / drawings and necessary for the completion of the contract as whole shall be deemed to be included in the scope of work.

3.0 Time of Completion

Time is the essence of this contract. Work covered under this specification shall be completed in all respects within 3(Three) weeks from the date of letter of intent.

4.0 Submission of Bid

4.1 Bids shall be submitted in a sealed envelope after duly filling in the prescribed format for schedule of rates

4.2 Bids shall be accompanied by a covering letter, in triplicate, along with relevant documents

as called for in this specification. 4.3 Each page of Bid document including bid drawings shall be signed and dated in ink by the

Bidder as token of having examined the same.

5.0 Owner reserves right

5.1 Owner reserves the right to accept any bid irrespective of whether it is the lowest or

otherwise or reject any or all bids without assigning any reason whatsoever 5.2 Contractor has to carryout survey work in co-ordination with KPCL personnel wherever

existing structures / facilities interfere with the survey work. 5.3 The contractor is required to provide all lodging and boarding facilities to his personnel. To

and fro transport facilities from site to place of lodge/residence as well as transport facilities within site during execution of the work shall be provided by the contractor.

6.0 GENERAL NOTES 6.1 Rates and amounts shall be written in ink and shall be entered both in figures and words. In

case of discrepancy the rate entered in words shall be considered as correct. 6.2 The work actually done will be measured and paid at the rates quoted, and accepted by the

Owner. 6.3 All works shall be carried out strictly as per the Technical Specification provided in Section

1.0.0 SCOPE This specification covers the requirement in respect of instruments, materials, workmanship

and quality for the general surveying and levelling works. 2.0.0 CODES AND STANDARDS Unless specifically mentioned otherwise, all applicable codes and standards in their latest

editions as published by the Bureau of Indian Standards shall govern in respect of field / office works, workmanship, quality and properties of materials and method of testing. Some of the relevant applicable codes are listed hereunder:

IS 12874 : Telescopic Alidade. 3.0.0 FIELD WORK INSTRUMENTS 3.1.0 The survey work shall be carried out with survey instruments in good condition and in

permanent adjustment. Theodolite survey for making center lines for permanent bench marks and grid lines shall be carried out with maximum accuracy of ±1mm for each 25 meters length in linear measurement and ±10” in angular measurements.

3.2.0 Levelling instrument of good condition and in permanent adjustment and levelling staff shall

be used for recording levels on permanent bench marks / survey monuments with maximum accuracy and shall be counterchecked by runs in both directions. Measurement of distances between permanent bench marks shall be carried out by steel tape or chain. Corrections

shall be made in the chain/tape measurements for the errors if any due to large temperature variations and steep sloping ground.

The levelling instrument is used for taking spot levels at intervals, as specified in the clauses

4.7.0 & 4.10.0 below, for plotting contour maps. 3.3.0 The Magnetic North direction for plotting in the drawing shall be based on the North direction

as indicated by the Surveyors Compass. 3.4.0 The Tacheometer and stadia rod shall be used to measure the vertical or horizontal

distances of the objects which cannot be measured through chain / tape. 3.5.0 Alternatively, electronic survey instruments such as Electronic Total Station with 1” angular

least count and 1 mm linear least count, Auto level, etc. may also be used for carrying out the field survey work.

4.0.0 SURVEYING The area to be surveyed shall be divided into blocks of size 50 m x 50 m. The grid lines are

to be established using theodolite / electronic survey instrument and steel tape for determining the natural features of the land such as lakes, hills, woods, and nallahs etc. and also the artificial structures such as canals, railways, roads etc.

4.1.0 Determining North Directions Both Magnetic and Geographical North direction shall be determined using Compass and by

Astronomical observation. 4.2.0 Marking the Grid Lines in Field The Grid lines shall be marked in the top of the pillar in both North-South and East-West

direction (Corresponding to magnetic north) shall be established using theodolite / electronic survey instrument and the intersecting points of grids shall be marked and Grid pillars shall be constructed as per the directions of the Engineer-in Charge and as specified in 4.3.0. The closing error in traverse shall not exceed one in twenty five thousand (1:25000) in terms of length or L√N seconds total in angular measurement which ever is less (where L is the least count of the instrument and N is the number of stations)

4.3.0 Pillars at the junction of Grid lines Grid pillars shall be constructed in such a way that the point of intersection of the grid lines of

both North-South and East-West directions shall coincide with the center of the top of surface of pillar. The pillar shall be constructed using 200mm dia RC hume pipe of Class NP1 of 600 mm above ground level and 450 mm below ground level. The Hume pipes shall be filled with PCC of Grade 1:4:8 and the pipe shall be embedded with PCC 1:4:8 of size 450 mm x 450 mm x 450 mm. Sand shall be filled and well compacted at bottom and around the pillar for the full excavation depth. The thickness of such sand filling being a minimum of 150 mm. The top of the pillar shall be finished with 12 mm thick plaster in CM 1 : 3. The pillar shall be painted with two coats of metallic paints of ASIAN Paints/BERGER paints are equivalent make of approved colour and shade using Contractor’s own brush and materials. Both co-ordinates shall be marked clearly on top of pillar using approved colour of paint and as per the instruction of the Engineer-in-charge.

4.4.0 Establishing Boundaries The boundary shall be clearly established at site constructing pillars of details as mentioned

above in 4.3.0 except that the height of the pillars shall be 750 mm high above ground level

and 600mm below ground level. These pillars shall be constructed wherever the direction of boundary changes.

The mapping of boundary of the land to be surveyed shall be to an accuracy of nearly ±3 cm

or the plan dimension of the Boundary Marker, whichever is coarser. 4.5.0 Determination of area of land For determining the actual area of land, the land shall be divided into blocks of size 10 meter

square or 20 meter square and the area between boundary and grid line shall be divided into number of triangles and area of each triangle shall be calculated either by taking the measurement of all three sides or by calculating the length of a side using appropriate formulae. Using these triangles, blocks are to be marked in the drawing to be submitted for approval of the Engineer-in-Charge.

4.6.0 Clearing Bushes & Vegetation Contractor should take responsibility to clear all the bushes, vegetation and slush, if any, so

as to carry out the survey work without any obstruction/disturbance. The Contractor should avail the prior permission from Engineer-in-charge before cutting the trees, if any, which obstruct the course of the survey work.

4.7.0 Levelling work Levelling work shall be carried out using levelling instruments and levelling staffs or using

Auto levels. Spot levels are to be taken at all intersecting points of size 10 m square where ground is almost level and at 5 m square where steep slopes or boundaries are encountered. The levelling measurements shall be done on outer side of the boundary for a minimum distance of 50 m or as directed by the Engineer-in-charge. If any nallah or ridge or other similar water flow is encountered spot levels shall be taken at smaller grids at an interval of 2 m.

4.8.0 Bench Marks Permanent bench marks shall be provided by constructing pillars similar to grid pillars as

mentioned above in 4.3.0. An insert plate of 150 mm x 150 mm size and 6mm thick shall be welded with 16 dia MS Rod of length 0.25 m to 0.5 m or as directed by the Engineer-in-charge and kept on the top of pillar in such a way that the centre of the plate shall coincide with the centre of the pillar. The top of the steel plate shall be at an elevation of 900 mm above Highest Flood Level (HFL) or the average natural ground level, whichever is higher, at locations decided by the Engineer-in-charge.

The levels are to be transferred to this bench mark by fly-leveling from the nearest GTS

benchmark or available source as approved by the Engineer and Two permanent benchmarks shall be established at site at convenient locations. All subsequent transfer or levels shall be carried out with respect to these benchmarks. It is the responsibility of the contractor to obtain standard benchmarks from the survey of India Department

The fly leveling should be carried out by adopting double circuit leveling. Closing error in

leveling should be limited to 12 √L mm, where L is the length of the route in Kilometers

These reference pillars shall be tabled permanently with their respective coordinates and reduced levels for future use. The benchmarks should have the transferred level engraved on the plate at the top face.

. The grid line and permanent bench mark pillars shall be constructed as per the details

mentioned in 4.8.0 & 4.3.0 above. Sand shall be filled and well compacted at bottom of and

around the pillars for the full excavation depth, the thickness of such sand filling being a minimum of 150 mm. All the four sides and top shall be plastered in 20 mm thick cement mortar 1:3 and shall be painted with two coats of metallic paints of approved colour and shade as per the direction of Engineer-in-charge.

4.9.0 Survey Monuments As an alternative to the type of construction of survey monuments indicated in Clause 4.3.0,

the following type of construction may be adopted, with specific approval for the Engineer - in - Charge.

The Survey monuments shall be made up of rough granite stones 100 mm x 100 mm x 600

mm size and shall be buried in the ground projecting at least 100 mm above the ground level. The top of stone shall be plastered with 20 mm thick cement mortar 1: 3 and the co-ordinates are to be marked using water proof paint of approved quality, colour and shade.

4.10.0 Contouring The spot levels shall be taken at 10 meter centers both ways or closer where the topography

so requires or the ground is so undulated and the same shall be decided by the Engineer-in-charge and contours shall be recorded at 0.5 m intervals indicating all features of the ground. The area for contour survey shall include the roads all around upto a distance of 50 m from the site boundary or as directed by the Engineer-in-charge. Valleys, mountains, rivers etc. if any should be clearly indicated in the contour map.

4.11.0 Highest Flood Level Data Data of the highest flood level recorded in the region from observations at the nearest culvert

or from authentic agencies shall be collected and recorded in the data book. 4.12.0 Longitudinal Section and Cross Section Longitudinal Section and Cross Section of the nallah etc. are to be surveyed at 10 m or

closer intervals as desired by the Engineer-in-charge 4.13.0 Others Details of all other features within the site like manholes, roads, railway lines, railway

stations, electrical posts, nearest main power source, telephone poles, foot prints of existing buildings, significant rock outcroppings etc., if any, are to be recorded and major trees with the nomenclature of existing common trees, overhead lines, underground sewers, canals, wells, bore-wells, ponds, lakes, rivers, etc., are to be located with reference to basic grid lines and reference level, indicating their Planimetric dimensions.

Invert levels of the existing drains if any and other culverts, sluices, weirs, etc. to be taken

and recorded in case the proposed drains, culverts have to be interconnected with the existing ones.

Minimum clearance below all the electrical / telephone lines in the land to be surveyed is to

be recorded. If the plot were surveying is to be conducted is very close to sea, the coastal line is to be

marked clearly.

5.0.0 DRAWINGS The following drawings shall be prepared and three copies of the same shall be submitted to

Engineer-in-charge for the approval. The comments and modifications shall be incorporated as per the direction of the Engineer-in-charge and the Original tracing along with six copies of final prints shall be submitted to the Owner/Consultant for their use. All drawings / documents shall also be furnished in floppy diskette at no extra cost.

5.1.0 Drawing to 1:500 scale, showing traverse survey and main topographical features of the land

such as plot boundary, nallahs, roads, culverts, railway line, manholes, wells, ponds, transmission lines, lighting towers, trees, etc. within the plot as well as abutting the plot boundary. Co-ordinates and included angles of the boundary corners (wherever there is a deviation from straight line) shall be indicated.

5.2.0 Drawing to 1:500 scale showing the area with North-South and East-West grid lines with

reference to Plant North at 10M centers in both directions with spot levels at 10M and contours at suitable intervals of at least 0.25M separately. The levels and contours shall be recorded in meters.

5.3.0 Location and co-ordinates of all Grid pillars and bench mark pillars, Magnetic/Geographic

North etc. are to be marked in drawings listed in 5.1.0 & 5.2.0 above. The drawing shall indicate the actual length of perimeter, the area in square meter/hectares upto second decimal accuracy. The difference in level between HFL and average site ground level should also be indicated.

5.4.0 The drawing shall be drawn to suitable scale indicating topography of site and surrounding

areas with the levels and contours recorded in meters. 5.5.0 The survey maps shall be prepared in standard software like Auto CAD and the prints shall

be in AO Size paper.

6.0.0 DELIVERABLES

6.1 Submission of two (2) copies of all field log data immediately after carrying out the work. 6.2 Two (2) copies of the above mentioned survey maps for approval. 6.3 Complete topographical survey Report in five (5) copies of the above mentioned survey maps

after approval incorporating comments if any along with one (1) set of polyester base film and soft copy of the survey maps.

7.0.0 WORKMANSHIP The field work shall be carried out to the maximum accuracy as specified in this specification

and to the entire satisfaction of the Engineer-in-charge. The Survey instruments should be in good condition, periodically calibrated, with the permanent adjustments and technologically sophisticated.

8.0.0 ACCEPTANCE CRITERIA The field work records should be recorded on a day to day basis as soon as the field work is

carried out and should be jointly signed by the Engineer-in-charge and the Contractor/ Contractor’s authorized personnel.

The drawings should be very neat and all details as mentioned in this specification should be

incorporated in the same. If the Engineer-in-charge desires to add any data (or) details the Contractor should do the same without any extra cost to the Owner.

9.0.0 RATES The rates shall be unit rate/lump sum for the completed item as described in the Schedule of

rates of the Contract / Tender document. The rate for any item in the schedule, unless specifically excluded in the contract, shall be deemed to include the cost of all materials consumed or used in the work or incidental to it as well as labour, tools, tackles, plants, equipments, supports, other enabling works, approaches, security and safety measures, testing, insurances, taxes, royalties and other revenue expenses, accommodations, services, supervision, overheads, all wastages, profits, etc.

NOTES FOR SCHEDULE OF QUANTITIES 1. The Tenderer shall quote firm unit rates for various items of work as given below. The quantities

of various items mentioned in this schedule are approximate and may vary upto any extent or be deleted altogether. The quoted rates shall remain firm even if the quantities vary.

2. Details of all the items in this schedule shall be read in conjunction with the corresponding specification, drawings and other tender documents.

3. Rates shall be quoted both in figures and in words in clear legible writing. No overwriting is allowed. All scoring and cancellations should be countersigned by the tenderer in case of illegibility; the interpretation of the Engineer shall be final. All entries shall be in English language. In case of discrepancy between Rate and Amount, rate shall prevail. In case of discrepancy between the Rate in figures and words, rate entered in words shall prevail.

4. Every page of this schedule shall be stamped and signed by the Tenderer.

5. The quoted unit rates shall include for provision of all necessary equipment, consumables, water, power, temporary works, levies, taxes, insurance, establishments, temporary roads, contingencies, overheads and profits as well as qualified and experienced personnel for satisfactory completion of work and all incidental items not specifically mentioned but reasonably implied for completion of work according to the contract.

6. Drawings enclosed with this tender document is only ‘preliminary’ and for giving a general idea of the work involved.

7. Items of work provided in this schedule but not covered in the specification shall be executed strictly as per instructions of the Engineer.

8. No material will be supplied by Owner. Contractor has to procure all other materials required for the work.

9. In the interpretations of the various specifications, the Engineer-in-charge/Owner’s decision is final and binding.
