The Sarbanes-Oxley Act was enacted on 30 July 2002 as a reaction to: Major accounting scandals at Enron and WorldCom, resulting
in the largest bankruptcies in US history, leading to financial market downturns and a crisis of confidence
Enron – Improper accounting for off-balance sheet vehicles (hiding debt from investors)
WorldCom – Improper inflation of net income (capitalising an expense item that should have been recognised immediately)

The Act gave the SEC only limited scope to exempt non-US companies. The final rules made some concessions, but there is no general carve-out for non-US companies.

In the area of corporate governance, the SEC has finalised rules requiring US stock exchanges and Nasdaq to prohibit listing of companies that do not comply.
The new corporate governance rules proposed by the NYSE and approved by the SEC on 4 November 2003 add to the existing requirements of the Sarbanes-Oxley Act applicable to all SEC-registered companies.

The new rules implement the audit committee requirements and add a number of additional obligations for companies with an NYSE listing.
In most cases, non-US companies will not be required to adopt the NYSE corporate governance standards, but instead need only disclose publicly any significant differences between their practices and the NYSE standards.
