CONSERVATIONAREA

WHEREAS,TheConservationCommissionoftheCityofNorthamptonwishestomaintainthesoilfertilityofthelandunderitscustody,keepthelandopenforrecreationaluse,encouragewildlifehabitat,preserveopenspacesandvistasandsupportagricultureandorganicfarming,

NOWTHEREFOREtheCommissiongrantsthisLICENSEtoMollyMerrett,Lisa

DePianoandPaigeBridgens(withoutrightofassignmentorsubstitution)toallowthelicenseestopracticeorganicfarminginamannercongruentwithproperuseoftheCityofNorthamptonConservationLand.

1.ThepremisesaretheConservationLandonMontviewAvenueatassessorsmapID32C352thatflanksthepropertyofDoraLewisandJamesNashandabutsthepropertyofBenJamesandOonaCoyandanaccessroad.Itcontainsasoccerfieldandwetland,andconsistsof3.2acres.

2.TheLICENSEshallcommenceimmediatelyandterminateDecember31,2012.

3.TheLicenseesshallpaytheCommissiontheequivalentofonehundreddollarsperacreperyearinsweatequity,whichmayconsistofstewardingtheland,hostingeducationaleventsforthecitiesresidents,mowingasnecessaryandmaintainingpathsforfarmandpublicuse.

4TheLicenseesshallusethepremisesonlyforthepurposesofoperatinganorganicfarmandrelatedactivates,suchaseducationaleventsrelatedtothe

farm.TheLicenseesmayirrigate,cultivate,plantandotherwisefarmforthatpurposeonlyinaccordancewiththeSoilConservationPlanapprovedbythe

USDANaturalResourcesConservationServices,withsuchamendmentsasareapprovedbytheUSDANaturalResourcesConservationServices,withsuch

amendmentsasareapprovedbytheNRCSandtheNorthamptonConservation

Commission.Saidplanisincorporatedintothisagreementbyreference.

5.TheLicenseesshallhonortheNeighborhoodAgreementdraftedjointlybyLicenseesandneighborsandattachedhereto.

6.TheLicenseeswillerectnopermanentstructuresandwillstorenofarmingequipmentonthepremises,exceptduringthegrowingseason.TheLicenseeswill

notdamagetheproperty.

7.Thepublicshallhaveaccesstothepremises,exceptasnecessarytopreventdamagetocropsandequipment.

8.ThelicenseesagreetoforeverreleaseandholdharmlesstheCityofNorthampton,theirofficers,employeesandagents,fromanyactions,claims,damagesandliabilitieswhatsoever,faranydamagesorliabilityresultingfrom

propertydamageorpersonalinjurywhichtheLicensees,theiragentsoremployeesorvolunteersmaysustainonthepropertyduringthelifeofthislicenseandfromanyliabilitywhichmaybeallegedbyathirdpartywhichariseoutoforonaccountoftheLicenseesactivatesontheproperty.TheLicenseesagreetoindemnifytheCityofNorthamptonforanylossordamageincurredbytheCityofNorthamptonofthe

agreementoranyactivityunderit.

9.Anescrowaccountshallbeestablishedintheamountof$300.00tobeusedbytheNorthamptonConservationCommissionifthisLeaseisterminatedforanyreasonandthepropertyneedstobeimproveduponofrestored.Otherwise,theLicenseesagreetoplantnativegrassesandleavethelandasitappearedpriortotheirchanges.TheLicenseesagreethatanytreesorshrubsleftonthelandbecomethepropertyoftheCity.
