LEAGUEOFFILIPINOHEALTHCAREPROFESSIONALS(LFHP)

CONSTITUTION

PREAMBLE

ImploringtheaidandguidanceoftheAlmighty,we,themembersoftheLeagueofFilipinoHealthcare

Professionals, having been called to face the challenges of the times, conscious of our duties and

responsibilitiestoGod,toourcountry,tothecountrywearelivingin,andtoourfellowmen,aswellas

toour HippocraticOath, dohereby promulgate this Constitution as a declarationofour unity andsolidarityinthepracticeofourprofessionandfirmdeterminationtoprotectanddefendourrightsina

mannerconsistentwiththenobilityofourcalling.

ARTICLEI

NAMEANDOFFICE

The organisation shall be knownas the League of Filipino Healthcare Professionals, abbreviatedas

LFHP,hereinafterreferredtoastheLeague.ItsofficeshallbeinAbuDhabi,UAE.

ARTICLEII

THEVISION

The vision of the League is to have a fellowship of physicians, nurses and other allied healthcare

professionalsunitedinthecommongoalofacquiringthehighestlevelofmedicalknowledgeandskills

(and)in conductingmedicalmissionsto our countrymen inthe region, and topromotethe healing

ministrationsofitsmembersinthedeliveryofhealthcareservicestopatientsintheregion.

ARTICLEIII

OBJECTIVESANDMISSIONS

The League is established as a non-stock, non-profit, professional organisation dedicated to the

followingobjectives:

1. To bring together, unite and promote close ties among the entire Filipino medical andhealthcareprofessionalsintheUAE.

2. Toelevatethestandardsofmedicaleducationandpracticeamongitsmembers.3. Tofosterthestudyanddisseminationofallaspectsofmedicalknowledgeandadvance

medicalsciencetoallmembers.

4. ToguidetheFilipinohealthcareprofessionalsonthemedicallawsandpoliciesoftheregion.5. Toprotectthelegitimaterightsandprerogativesofthehealthcareprofessionals.

6. Toserveandcontributeasanauthoritativesourceofinformationregardinghealth,diseaseandmedicalpractice.

7. TopromotethepracticeofmedicineinthecontextofUAElifeandculture.8. Tostudyandreportontheproblemswhichconfrontthe(medical)professionintheregion9. TogainrecognitionfromthemedicalcommunitywithinUAE.10.

Toberesponsiveto(the)continuingproblemsandchangingprioritiesoftimes.11.Toprotecttheinterestandwell-beingofitsmembers.

12.Totreatallpersonswithdignity,honestyandrespectaccordingtoacceptedprofessionalandethicalstandardsstipulatedintheWMAInternationalCodeofMedicalEthics.

ARTICLEIV

MEMBERSHIP

MembershipintheLeagueshallbethroughinvitationbytheLeaguesmembers.Allmembersshallbe

entitledtoalltherightsandprivilegesprescribedbythisConstitutionandtheBy-Laws.

ARTICLEV

EXECUTIVECOMMITTEE

TheofficersoftheLeagueshallconsistofaChairman,aViceChairman, Executive Directors, and

Executive Secretary, who shall be elected by the entire membership. The Secretary shall be

recommendedbytheChairmanandelectedbytheCommittee.

Section1:TheExecutiveCommittee,hereinafterreferredtoastheEC(orEXECOM),shallberesponsible

fortheaffairsoftheLeague.

Section2:ItshallhavethepowertomakeBy-LawsforthegovernanceoftheLeagueandtoalter,

changeoramendsuchBy-Laws.

Section3:TheECshallconsistoftheofficersoftheLeague,asdefinedbytheBy-Laws.

Section4:ThetermofofficeoftheECshallbethreeyears.

Section5:Incaseofanyvacancy,replacementisprovidedforintheBy-Laws.

Section6:TheECshallhavethepowertocallaConstitutionalConventionasprovidedforintheBy-

Laws.

ARTICLEVI

FUNDS

ThefundsoftheLeagueshallbederivedfromdues,donations,bequests,incomefromprojectsand

othermeetings,andincomefromothersourcesasmaybedeterminedbytheEC.

BY-LAWS

TheBy-Lawsshallbeinaccordancewiththevision,mission,objectivesandchangingneedsofthe

LeagueasperceivedbytheEC.AnyrevisionoftheBy-LawsshallbegovernedbyArticleVI.

ARTICLEVIII

AMENDMENTSANDEFFECTIVITY

AmendmentstothisConstitutionshallbeapprovedbythemajorityoftheECandtwo-third(2/3)voteofthegeneralmembership.ThisConstitutionshallbeeffectiveupontheapprovalofthemajorityofthe

EC,andtwo-third(2/3)voteofthegeneralmembership.

TheLeaguehasitsownofficiallogoanditsdescriptionisasperattachedfile.

ARTICLEX

FISCALYEAR

TheFiscalYearoftheLeagueshallcommenceonthefirstdayofSeptemberandendonthelastdayof

Augustofeachyear.

ARTICLEI

MEMBERSHIP

Section1:Qualifications/Pre-requisiteconditionsformembershipeligibility

1.1 MembershipinthisLeagueshallbeopentoallhealthcareprofessionalslicensedtopracticeinthePhilippinesandUAEaftertheyhavemetalltherequirementssetforthby

thePRC,HAAD,andMOHofvariousEmirates.

1.2 ThemembermustbeahealthcareprofessionalworkingwithinthescopeofthehealthcareservicesinarecognizedhealthcareinstitutionorfacilityintheUAE,or

1.3 AhealthcareprofessionallicensedtopracticeinthePhilippinesandemployedinahealthcarefacilityintheUAEwithanadministrativejob.

1.4 Themembermustabidebythebasicby-lawsoftheLeague.

Section2:MembershipCategories

2.1 Regular(FullWorkingMember)membersspecializedinthefollowingfieldsofhealthcareservice(Physician,Nurse,X-RayTechnician,LaboratoryTechnician,Dentist,RespiratoryTherapist,Physicaltherapist,etc.)

ARegularmemberwhohascompleted3yearswithgoodstandingshallbeawardedwitha

CertificateofOutstandingMembership.

2.2 HonoraryMembersTheseareindividualstowhomtheLeaguedecidestogranthonorarymembershiponbasisoftheirdistinctioninthefieldoftheirspecialtyortheirseniorpositionin

themedicalorhealthcareservices.

Section3:Dutiesofmembers

3.1 Shallpayannualduesnotlaterthanthefirstannualmeetingofthefiscalyear.3.2 ShallattendannualandmonthlymeetingsoftheLeague.3.3 Shallattendmedicalmissionsandothercharitableactivities.3.4 ShallattendscientificmeetingsandconferencesaccreditedbytheHAADandMOH.

Section4:Definitionofmembersofgoodstanding

4.1 Amemberwhofulfillsthedutiesasstatedinarticle1section3isconsideredingoodstanding.

4.2 Failuretocomplywiththesedutiesforthree(3)consecutiveyearsshallcauseforfeitureofmembershipafterdueprocess.

4.3 AmemberwhoengagesinanyactivityinimicaltotheinterestoftheLeagueshallbegivensanctionsrangingfromreprimand,suspension,(orexpulsion)withlossofbenefits,privileges,andfinallyexpulsionofmembershipafterdueprocess.

Section5:LeaveofabsenceandTerminationofMembership

5.1AmembershallnotifytheDirectorforMembershipinwritingofhis/herintentand

durationofabsenceforatleastayearandcontinuepayingmembershipdues.

5.2Amemberwhowishestoterminatehis/hermembershipfromtheLeagueshallnotifythe

DirectorforMembershipinwritingofhis/herintent,andwillbeforwardedtotheECfor

clearanceandapproval.

ARTICLEII

EXECUTIVECOMMITTEE(EC)

Section1:TheExecutiveCommittee(EC)shallconsistof3Officersand7Directors,whoareingood

standingforatleast3years.Theyshallconsistofthefollowing:

2.1 Chairman2.2 Vice-Chairman2.3 Secretary2.4 DirectorforMembership2.5 DirectorforFinance2.6 DirectorforPolicies2.7 DirectorforAcademics2.8 DirectorforMediaandPublications2.9 DirectorforPlanningandEvents2.10DirectorforPublicaffairs

Section2:Credentialsforthe2highestpostsintheECareasfollows:

2.1ChairmanmustholdaminimumcredentialofDoctorateDegree(M.D.orPh.D.)

2.2ViceChairmanmustholdaminimumcredentialofMastersDegreeorequivalent.

Section3:UponrecommendationoftheChairman,theAssistantSecretaryisappointedbytheECfrom

amongthemembersoftheLeague.

Section4:TheECshallserveatermof3yearsuntiltheirsuccessorshavebeenelectedandinstalled.

TheChairmanmaybere-electedonlyonce.

Section5:DutiesoftheEC5.1 TheChairmanshallpresideatallgeneralmeetingsoftheLeagueandoftheECandperform

suchotherdutiesnotspecifiedintheseBy-Laws,astraditionusagerequire.

5.2 TheVice-Chairmanshallperformthedutiesandfunctionsordinaryattachedtohisoffice.IntheeventavacancyoccursintheChairmanshipduetophysicalincapacity,resignation,ordeath,

theVice-ChairmanassumestheLeagueleadershipuntilasuccessorhasbeendulyelectedand

installed.

5.3 TheExecutiveSecretaryshall:

5.3.1 SupervisetheSecretariat5.3.2 IssuetheprogramofmeetingsasapprovedbytheEC.5.3.3 Recordandkeeptheminutesoftheproceedings.5.3.4 BethecustodianofalltherecordsandpaperssubmittedtotheSociety.5.3.5 Renderanannualreportofallactivities.5.3.6 SubmittotheChairmanupdatedreportsof:rosterofEC,members,amendments,

attendance,andminutesofthemonthlyandannualmeetings.

5.4 TheAssistantSecretaryshallassisttheSecretary

Section6:TheECshallhavetheirowncommitteemembersbaseduponrecommendationfromthe

Chairman,fromothermembers,orbyvoluntaryself-assignment.

Section7:GeneralDutiesoftheExecutiveCommittee:

7.1 Attendalltheannual,monthlyandspecialmeetingscalledbytheChairmanandotherLeagueactivities.Upontherequestofatleast3Directors,specialmeetingsshallbecalled.

7.2 Approveabi-annualmajorprogramofactivitiesoftheLeague.7.3 ApproveuponrecommendationoftheChairmantheappointmentofexecutivedirectors,

committeemembers,andothersnotasyetprovidedfor.

7.4 Review,assessandapprovemembership,activities,projectsandservices.7.5 MonitorandevaluateLeague-financedpublications.7.6 Approve(audit)themonthlyfinancialreportandtheannualauditedreportoftheFinance

Director.

7.7 ApprovetheannualbudgetpreparedbytheFinanceDirector.7.8 Approvetheclassification,reclassification,expulsionandre-instatementofmembersupon

therecommendationoftheDirectorforMembership.

7.9 DecideontheproblemsthatmayemanatefrommembershipstatusasperArticle1ofBy-Laws

7.10Fillvacanciesadinteriminanyoftheelectiveandappointiveofficers.7.11SubmittotheLeagueanAnnualReport,itsmeetingproceedings,itsmedicalactivities,and

financialreport.

7.12Makeastand/resolutiononissuesconcerningtheLeague.

Section8:DutiesoftheCommitteeMembers

8.1 Renderregularreportofactivitiesandconcernsoftheircommitteesintheirareaofresponsibility

8.2 TransmitanddisseminateallbusinessmattersdiscussedinthecommitteeoftheirrespectiveboardtotheEC.

8.3 PerformsuchotherdutiesasdesignatedbytheEC8.4 Serveforonly3consecutiveyears

Section9:SpecificdutiesandresponsibilitiesoftheExecutiveDirectorsandtheirCommitteemembers:

9.1DirectorforMembershipshallberesponsiblefortherecruitment,recordkeepingand

maintenanceofmemberrosters,updatestheEConthestandingofallmembers,and

implementsallotheradministrativefunctionspertainingtomembershipdutiesandissues.

9.2DirectorforFinanceshallsupervisetheaccountingoftheLeaguesfunds,deposittothe

bank(inthenameoftheLeague)allmoniesreceivedinthebankauthorizedforplacementby

theEC.

9.3DirectorforPoliciesshallberesponsibleforformulationoftheLeaguespolicies,

constitutionandby-laws,andupdatingofamendmentsapprovedbytheLeaguemembersand

EC.

9.4DirectorforAcademicsshallberesponsibleforupdatingandinformingthememberson

theCMEeventstofulfilltheannualrequirementsofHAADandMOH,monitorthelicense

statusofallmembers,establishandmaintainaLeaguelibrary,andtoencourageallmembers

tofurthertheirstudiesintheirrespectivesectorofhealthcareservice.He/shewillbe

responsibleforrecommendingtotheECanoutstandingmemberwhomayqualifyforastudy

scholarshipsponsoredbytheLeague.

9.5DirectorforMediaandPublicationsshallberesponsiblefornewsletterandpublications

(hardcopyandelectronic)oftheLeague,itsdisseminationtothemembersandtothegeneral

publicafterapprovalfromEC.

9.6DirectorforPlanningandEventsshallberesponsiblefortheplanning,scheduling,and

executionoftheLeaguesbusinessandsocialactivities.

9.7DirectorforPublicaffairsshallberesponsibleformaintainingtheimageoftheLeague,

controltheflowofinformationfromtheLeaguetothegeneralpublic,andpromotetheLeague

tootherorganizations.

ARTICLEIV

MEETINGOFMEMBERS

Section1:ThereshallbeanAnnualmeetingofthememberstobeheldnotlaterthanSeptember of

eachyear.TheexactdateoftheannualmeetingshallbedecidedbytheECandwrittennoticeshallbe

senttoallmembersatleast60daysbeforethedateofthesaidmeeting.TheECshallbeelectedduring

thisannualmeetingevery3years.

Section2:Theagendaoftheannualmeetingshallbe:

2.1 CalltoorderbythePresident2.2 RollCall&declarationofquorum2.3 AdoptionofAgenda2.4 Readingandapprovaloftheminutesoflastmeeting(andapprovaloftheactsdonebythe

EC)

2.5 Mattersarisingfromtheminutes2.6 ReportofthedifferentExecutiveDirectors2.7 ReportoftheSecretary2.8 Unfinishedandnewbusinessmatters2.9 adjournment

Section3:There shallbe amonthlymeeting forallmembersoneverythird Friday ofthemonth todiscusstheLeaguesactivitiesandothermattersasperArticle3ofConstitution.

Section4:TheagendaofthemonthlymeetingshallbeasperArticleIVSection2.

ARTICLEV

FUNDSANDEXPENSES

Section1:TheannualduesofthemembersshallconstitutethefundsoftheLeague.Fundsmayalsobe

raisedthroughvoluntarycontributionsandothersourcesasmaybedeterminedbytheEC.

Section2:Alldisbursementsshallbemadeincheckssignedbytwooftheofficialsignatories.

Section3:FinancialdocumentsandcontractsshallbesignedbythePresidentandtheDirectorfor

Finance.

Section4:AlldonationsshallbekeptandbeadministeredwithintheLeague.

ARTICLEVI

MEDICALETHICS

Section1:TheWMAInternationalCodeofMedicalEthicsandTheCodeofEthicsoftheLeague(andits

amendments)shallgoverntheconductofthemembers.

ARTICLEVII

DUES

Section1:Annualduesshallbeassessedfromeachmember,theamountofwhichshallbedetermined

bytheEC.Physiciansshallpaytheamountof200AEDandotheralliedhealthcareprofessionalsshall

paytheamountof100AEDannually.DuesshallbepayableuponadmissiontotheLeagueandyearly

thereafter.

Section2:Anymemberwhofailstopayhis/herduesforaperiodof3consecutiveyearsshallbe

droppedfromtherollsafterduenotice.However,reinstatementispossibleuponrecommendationby

theChairmanandapprovedbytheECprovidedallhisbackduesarepaid.

Section3:Honorarymembersshallbeexemptedfrompaymentofannualdues.

ARTICLEVIII

AMENDMENTS

Section1:AnyrecommendedamendmentshouldbesubmittedtotheDirectorforPolicieswhichwill

forwardthesametotheEC.

Section2:Anyamendmentshallbesenttoeachmemberatleast60daysbeforetheannualmeeting

Section3:Anyamendmentshallbeapprovedbytwothirds(2/3)oftheEC.

ARTICLEIX

QUORUM

Thepresenceofatleast50%+1oftheregisteredmembersintheannualmeetingsshallconstituteaquorum.

ARTICLEX

RULES

Section1:TheLeagueshallbeguidedbytheRobertsrulesoforder.

Section2:NoneoftheearningsoftheSocietyshallinuretothebenefitsofthemembersorprivate

persons,exceptthoseprovidedbylaw.

Section3:Incaseofdissolution,theassetsoftheLeaguewillaccruetoanorganizationfosteringthe

samegoalsandpurposesupontheapprovalofthegeneralmembership.Allliabilitiesshouldfirstbe

settled.

ARTICLEXI

MISCELLANEOUS

AllpapersandreportspresentedtotheleagueshallbecomeexclusivepropertyoftheLeague.
