Commercial and IT Our Commercial practice works on complex, headline-making deals across contracts, IT, outsourcing and privacy. Having experience within the multi-billion-dollar environments of AI, cloud, automation, additive manufacturing and blockchain, we have worked on some of the largest outsourcing deals of the last few years. We also plan for and respond to cyber threats, having written policy, including the US Cybersecurity Act of 2015 and New York State’s Department of Financial Services Regulations, and advise the UK’s leading independent authority on upholding information rights on GDPR.

Competition, EU and Trade Our Competition, EU and Trade team enjoys an enviable market share. We currently act on more than one-third of the cases adjudicated by the Competition and Markets Authority (CMA) and have become one of a very small number of organizations to be granted a meeting with the CMA to discuss policy and hot topics. Our experience includes advising a well-known engineering firm on the impact of Brexit and a global chemicals company regarding competition issues affecting its European business.

Corporate/M&A/Capital Markets Our global team of Corporate lawyers advise both listed and non-listed corporations and institutions on mergers and acquisitions, disposals, corporate finance, private equity investments and cross-border transactions. We advise on more than 200 deals per year across our global practice, with 75% of those involving three or more jurisdictions. In the last year, we have seen M&A deal volume increase by more than one-third as we continue to expand into new jurisdictions. Strategic transactions, such as advising on Shell’s acquisition of First Utility, advising Gulf Capital on the acquisition of a controlling stake in AccuMED and advising Starbucks on the sale of all partnership interests in Starbucks Coffee Deutschland, form the mainstay of our practice.

Banking and Finance Our Banking and Finance teams act for all UK clearing banks, many of the world’s top 50 banks and some of the biggest global corporations. We recently acted as sole legal advisers to a leading global bank on cross-border financing to raise more than $130 million for a hi-tech manufacturing firm. We also won Banking and Finance Team of the Year at The Oath Middle East Legal Awards 2016 for our work on the Falcon Ma’an solar project, which significantly increases Jordan’s renewable energy contribution.

Financial Services/Investment Products Labor and Employment Our Labor and Employment team includes more than 220 qualified lawyers across our global office network. A key differentiator of the practice is that a significant part of our work is stand-alone employment work, not linked to corporate activity. Providing a coordinated service across all jurisdictions, including board-level strategic advice as well as day-to-day HR-related support, we advise on a wide range of organizations, from blue-chip FTSE and Fortune 500 companies to start-ups and owner-managed businesses. Our US Employee Benefits group is ranked in Chambers USA while our UK Employment teams have the most areas and individuals ranked in band 1 across both Chambers and Legal 500. In total, we have more than 40 partners across our international offices ranked in the Chambers Global, Europe and Asia-Pacific guides.

Litigation With more than 400 experienced attorneys, our global Litigation team has led our clients through some of the most complex disputes and challenging regulatory investigations around the world. These matters include serving as lead counsel in the BP oil spill litigation; acting for a global bank on more than 2,000 complex misselling claims as part of a review ordered by the Financial Conduct Authority; and successfully advising the Florida Senate, House of Representatives and State Board of Education in a constitutional challenge to Florida’s $19 billion K-12 public school funding system.

Our Financial Services team counsels funds, financial institutions and leading corporations in the investment products industry on the full range of transactions, and regulatory and compliance issues. Our experience includes advising many of the world’s leading banks and providing counsel on innovative PPPs worldwide, including approximately 250 in Europe. We are the only lawyers to have been involved with HMRC and HM Treasury in their inner “working groups” on property authorized investment funds, funds of alternative investment funds, unauthorized unit trusts and the authorized contractual scheme vehicle.

Intellectual Property We represent some of the world’s most successful media companies, entertainment businesses and artists. Our landmark cases include acting for Apple Corps in its case against Apple Computers, helping to settle disputes over the Jimi Hendrix estate and advising Elton John on a new contract to play in Las Vegas. We are also one of only a few global law brands with in-house Trademark and Design Filing practices in different jurisdictions around the world, and were named in the Litigation Powerhouse Honor Roll for intellectual property litigation in BTI Consulting Group’s 2017 Litigation Outlook.

Insurance Our Insurance group includes more than 75 insurance partners and their teams worldwide who, on a daily basis, advise our US and international insurance and reinsurance company clients on a full array of non-contentious insurance matters. We are recognized in the Legal 500, Chambers, Euromoney Expert Guide and Super Lawyers directories for our insurance experience and won the Legal Business Insurance Team of the Year award in 2016. Many of our Insurance group lawyers have received individual rankings and distinguished service accolades for their work, including advising on the set-up of a £2.1 billion reinsurance fund, which was a world first type of public/private partnership, requiring new legislation and agreement between a number of stakeholders, including the UK Government. We also represented Aflac, Inc. in a major restructuring resulting in the separation of Aflac’s Japan and US insurance businesses—this involved the transfer of roughly $100 billion in assets and liabilities among multiple existing and newly formed Aflac entities.

Energy and Infrastructure With more than 300 Energy and Infrastructure lawyers located in business, financial and policy capitals throughout the world, our team advises across the full project lifecycle in the energy, water, transport and social infrastructure sectors. We are on the legal panel of key global energy players including Shell, EDF, Centrica, RWE and National Grid. Our landmark deals include the £13.8 billion sale of National Grid’s gas distribution business, advising CNPC on its $1.76 billion bid for an Abu Dhabi offshore concession, Deutsche Bahn on the first High Speed Rail Project in the US, an Asian government on a Special Economic Zone in a JV with a Chinese SOE, more than 20 bidders on the Egypt Round II renewable program, and BlackRock and the Green Investment Bank on its £425 million acquisition of wind assets in the UK.

Real Estate We have one of the largest full service Real Estate teams of any global law practice and are consistently ranked in directories worldwide. We act for 62 of the FTSE 100, 58 of the Fortune 100 and 92 of the Fortune 200 and are also on the panels of 25 major international banks and several hundred global companies. Our landmark deals include handling the £1.2 billion acquisition and development financing of The Shard in London; securing a development agreement for Facebook’s new 250,000-square-foot European headquarters on London’s Oxford Street; advising on the $1.6 billion acquisition of the landmark skyscraper 1285 Avenue of the Americas in New York City; and advising one of the world’s largest tech companies on its corporate office portfolio across EMEA and Asia Pacific.

Tax With more than 150 tax attorneys in 20 countries, we provide counsel to many of the world’s most prominent corporations—approximately 40 of the Fortune 100 and 50-plus from the FTSE 100. Commended by Chambers USA as “impressive and effective, with a wide experience base,” our recent work includes successfully appealing Microsoft’s characterization of software sales for income tax purposes; serving as tax counsel to Mondelēz International in the formation of the $5 billion Jacobs Douwe Egberts global coffee joint venture; and advising on tax treatment and subsequent IRS exam representation involving $150 million in corporate transaction costs in one of 2016’s largest merger transactions.

Pensions and Benefits Our Pensions clients include six of the top ten independent broker dealers, seven of the top ten variable annuity issuers and nine Fortune 50 companies in the US.
