A copy of the contract will be returned to the exhibitor as acknowledgment of space assignment.This application/contract entered by and between the Association Management Group, LLC on behalf of the United Equipment Dealers Association, hereinafter designated as the Party of the First Part, and the exhibitor, hereinafter designated as the Party of the Second Part, is fully consummated with the signing of the application/contract by both parties and receipt of full payment. The following “Rules of The Show” become a part of any rental agreement for exhibit space, as well as, any provisions under which facilities are leased to the Association Management Group, LLC and all applicable federal, state, and local laws including but not limited to all rules and regulations listed here and in the Exhibitors Manual.This space is to be used by the lessee for exhibition purposes only during the published dates and times of the Lawn and Rural Equipment Expo (LAREE), conducted by the Association Management Group, LLC on behalf of the United Equipment Dealers Association.The United Equipment Dealers Association’s Exhibit Space Application & Contract to the firm on this Contract shall be subject to Acts of God, power failures, closing of subject buildings mandated by any governmental agencies, or any conditions of circumstances beyond the control of the United Equipment Dealers Association which could prevent the carrying out of some part or all of LAREE.The Show Management reserves the right to decline and prohibit any exhibit or part of an exhibit which in its opinion is not proper, or in accord with the purpose of the Show. This reservation concerns persons, conduct, printed matter, souvenirs, or any other thing which may affect the exhibit. No loud speakers, noise-making souvenirs or intoxicating liquors will be allowed. No exhibitor will be permitted to allow anyone to solicit or take orders for goods other than those handled by their firm.

TERMS FOR SPACE - Rates for all spaces are shown on the front of the Application & Contract, as well as, the LAREE brochure and Exhibitors Manual. Booth rental fees include the assigned space, side and back drapery, and a sign identifying your company name, general heating and lighting, and aisle cleaning. No portion of the space can be sublet. A minimum deposit of 50% of the total booth fee is required with the space application. Booths not paid for in full by August 1, 2018 can be reassigned. There will be no refunds of any monies after August 1, 2018.ARRANGEMENT OF EXHIBIT - Completion of the exhibit set-up is required by 6 p.m. Thursday, December 6, 2018 - the evening before the opening of LAREE. Set-up privileges will not be granted unless full payment has been received. All aisle space is strictly under control of Show Management and must not be used for displays.No exhibit may be created which will cause congestion in the aisles. The exhibitor agrees not to install, or cause to be installed, any special or additional signs, apparatus, shelving or standards which will protrude into the aisle or block the sightline of adjoining booths. All drapery, including the three-foot drape on all aisles, as set by the Exhibit Contractor, must remain in place.Management reserves the right to reassign any space not occupied. Reassignment does not relieve the original exhibitor of obligation to pay rent as agreed.REMOVAL OF EXHIBITS - Exhibits are to remain intact through closing time Saturday. Dismantlement may begin at 4 p.m. Saturday, December 8, 2018 and must be completed by 8 p.m. Saturday, December 8, 2018.DIRECT SALES - Sales of approved products are permitted as governed by the rules and regulations outlined on the Direct Sales Permit. This ensures a professional atmosphere and encourages participation of exhibitors with quality products and services. It is the intention of the management to maintain a professional

atmosphere and encourage participation by exhibitors with quality products and services.FAX CONSENT - By signing the contract, The Party of the Second Part (Exhibitor) provides consent to receive communications sent by or on behalf of the United Equipment Dealers Association and the Lawn and Rural Equipment Expo (LAREE) via regular mail, email, telephone and fax. It is also understood that consent may be revoked with respect to one or more of the entities listed above by notifying such entity in writing of such revocation at any time.SPECIAL RULES - (1) Models must remain in their own exhibit area throughout the Show. They are not permitted in the aisles or public areas while wearing or displaying the exhibitor’s products. (2) The use of self-adhesive advertising, such as decals or stickers will be closely monitored . . . customer and/or exhibitor complaints could result in restrictions.OTHER POINTS - Show Management reserves the right to utilize a substitute location in case of disaster. All other points not specifically covered by these rules will be subject to the decision of the Show Management, which is final.

LIABILITY REQUIREMENTSIt is further mutually promised and agreed upon by both parties of this contract that the following shall govern:1) The Party of the Second Part (Exhibitor) shall indemnify and save and hold harmless the Party of the First Part (Association Management Group, LLC and the United Equipment Dealers Association), their officers, and staff from and against any claims, demands, actions or causes of action of any nature or character arising out of the execution or performance of the rights, duties, and obligations of the Party of the Second Part under this contract.2) The Party of the Second Part warrants that he has in effect and shall maintain for the period of this contract, which includes set-up days, show days and move-out days, for the mutual benefit of both parties to this contract, a policy of general public liability insurance, against claims of personal injuries or death, or damage to property occasioned by accident occurring upon, in, or about the rented premises, such policy of insurance to provide coverage in an amount not less than One Million Dollars ($1,000,000) for injury to or death of any one (1) person and not less than Two Million Dollars ($2,000,000) for injury to or death of any number of persons arising out of any one (1) accident or occurrence, and not less than Five Hundred Thousand Dollars ($500,000) for property damage arising out of any one occurrence. Said policy shall name the Association Management Group, LLC and the United Equipment Dealers Association as an additional insured. Failure to provide evidence of insurance requirements does not constitute a waiver of such insurance by the Lawn and Rural Equipment Expo (LAREE), United Equipment Dealers Association or the Association Management Group, LLC.3) The Party of the First Part assumes no responsibility for any property of the Party of the Second Part on the grounds or buildings used by the Association Management Group, LLC and rented from the Roberts Centre in Wilmington, Ohio.4) Any damage to buildings or grounds due to the actions of the Party of the Second Part is the full responsibility of that same party and will be repaired at their expense.5) The Party of the First Part assumes no responsibility for the clearance of copyrighted material. It is the responsibility of the Party of the Second Part for any and all licensing agreements for use of copyrighted material.

EXHIBITOR INFORMATIONBooth Rental FeeIncluded with your exhibit space rental fee will be your space for the run of the show, side and back drapery, as shown on the floor plan, a 7" x 44" sign identifying your company name, booth furnishings (6 ft. table & 2 chairs), free forklift service, power washing, and wireless internet. Electrical service and wired internet connections should be ordered on your space application at the charges indicated.

Free Forklift ServiceThere will not be any charge for lifts using a 6,000 lb. capacity forklift. We do ask for you to complete and submit the forklift form found in the Exhibitors Manual. Fern Exposition Services will be providing forklift service and drayage service. Fern Exposition Services is asking for you to submit your requests for forklift service at least 30 days prior to the show. This is being done to assure you of adequate lifts and manpower.

Free Power WashingFree power washing for your equipment will be available. This service will be available during all set-up hours. The location will be detailed in the Exhibitors Manual.

Move Out Schedule Move out will begin at the close of the Expo at 4:00 p.m. Forklift service will be available after the Expo’s close until 7:00 p.m. Move out is to be completed by 8:00 p.m. Saturday.

AdmissionArea Equipment Dealers will be supplied with discount coupons worth $2 off the $5 per person admission. Children 12 and under will be admitted for free. Parking is free. Exhibitors have unlimited access to discount coupons to send to their customers. The Association will go all out to get a discount coupon in the hands of every customer prior to the Expo.

Convenient LocationThe show will be held at the Roberts Centre in Wilmington, Ohio. At the intersection of two major highways, Interstate 71 and US Route 68, the Centre is midway between Columbus and Cincinnati.

The Roberts Centre in Wilmington, Ohio, is centrally located to Columbus, Cincinnati and Dayton and will be home to the expo. There is both an on-site hotel and restaurant for exhibitors and attendees.

Featuring first class, clear span exhibit space, LAREE will host exhibits featuring lawn, landscape, small farm and rural lifestyle equipment. Exhibitors have been streamlined to avoid any of the “clutter exhibits” that detract from the time attendees spend with you discussing how your equipment can best serve their needs.

Attendees to the expo are expected to be small farmers, professional landscapers, commercial cutters and large property owners. Educational seminars for landscapers will be held during the show. Everyone will enjoy the free parking.

Exhibitors will be provided with free booth amenities such as a table and two chairs, wireless internet, free power washing and forklift service.

We are excited to bring this new show format to Ohio. It’s streamlined . . . it’s focused . . . it’s fresh . . . it’s new! We hope you will join us for the adventure.
