CONDITIONSOFSALEGENERAL

1 Definitions

1.1 IntheseConditionsunlessthecontextotherwiserequiresthewordsandexpressionssetoutontheleft-handsideofthepageshallhavethemeaningssetoutoppositethem:

“a*Warranty”-awarrantyunderwhichaclaimmaybemadeuptothetimestatedat*afterthedayofthesalebutmustbemadebynoticeinwritingreceivedbytheAuctioneerwithinthatperiod;

“a*+**Warranty”-awarrantyunderwhichaclaimmaybemadeuptothetimestatedat*afterthedayofthesalebutmustbemadebynoticeinwritingreceivedbytheAuctioneerwithinthetimestatedat**oftheendofthatperiod;

“AfterSaleWarranty”-awarrantyunderwhichaclaimmaybemadeuptoonehourafterthetimeofsaleorwhentheanimaltowhichtheclaimrelatesisremovedfromtheSalePremises,whicheveristhesooner,whichclaimmaybemadeorallybutmustbereceivedbytheAuctioneerwithinthatperiodandconfirmedinwritingwithin48hoursofthetimeofsaleorremovalfromtheSalePremises(asthecasemaybe);

“Auctioneer”-thepersonconductingthesaleandthepersonbywhomthatpersonisemployedoronwhosebehalfthatpersonisconductingthesale;

“CPRC”–aCentralPointRecordingCentresetuptoenablesheeptagstobereadinaccordancewiththeEIDRegulationsoperativefrom1January2010pursuanttoCouncilRegulation(EC)No21/2004asamendedbyCommissionRegulation(EC)N0759/2009andtherelevantUKRegulationsimplementingtheschemeinEnglandandWales;

“DEFRA”-theDepartmentforEnvironmentFoodandRuralAffairsor(asthecasemaybe)theWelshOfficeAgriculturalDepartmentoranysubstituteDepartmentforeither;

“EID”–theElectronicIdentificationofsheepschemeoperativefrom1January2010pursuanttoCouncilRegulation(EC)No21/2004(asamended)andtherelevantUKRegulationsimplementingtheschemeinEnglandandWales;

“Enactment”-anystatuteorstatutoryprovision(whetheroftheUnitedKingdomorelsewhere),subordinatelegislation(asdefinedbysection21(1)oftheInterpretationAct1978)andanyothersubordinatelegislationmadeunderanysuchstatuteorstatutoryprovision;

“EndoftheDay’sSale”-thetimewhenthehammerfallsonthelastLotinthesaleorthelastLotinthatsectionofthesale(asthecasemaybe);

“FCI”–FoodChainInformationlegislativerequirementsoperativefrom1January2010inrespectofcattle,sheep,pigsandgoatspursuanttoCouncilRegulation(EC)No853/2004providingspecificrulesforfoodofanimaloriginandsubsequenthygieneregulationsimplementedbytheUKGovernmentinEnglandandWales;

“Latent”–hidden,concealed,existingbutnotdevelopedormanifest,ordormant;

“LiquidatedDamages”-ascertainedandagreeddamagestocoverallexpenses,depreciationinvalueandotherdamageswhatsoever;

“Lot”–livestockincludedinasaleconductedbytheAuctioneerandofferedforsaleundertheseConditionswhethersoldasanindividualorasagroupandnumberedaccordinglyinthecatalogueforsale;

“Patent”–open,plainorobvious;

“Purchaser”-inrelationtoanyLot,thepersonwhosebidforthatLothasbeenacceptedbytheAuctioneeror,ifCondition17applies,aPurchaserfromthatpersonandineithercaseincludingthepersonalrepresentative(s)ofsuchperson;

“SalePremises”-thebuilding(s)and/orlandusedbytheAuctioneerasthelocationforthesale;

“Takedelivery”meansacceptatransferofpossession;onpresentatthetimeofsalewhich,intheopinionofaVeterinarySurgeon,constitutesadeparturefromthenormalphysicalconditionofahealthyanimal;

“Unsoundness”meansanycondition,stateorformationpresentatthetimeofsalewhich,intheopinionofaVeterinarySurgeon,constitutesadeparturefromthenormalphysicalconditionofahealthyanimal;

“Vendor”–thepersonsellingtheLotandthisalsoincludestheownerandanyotherperson,otherthantheAuctioneer,whooffersaLotforsaleandthepersonalrepresentative(s)ofanysuchperson;

“VeterinarySurgeon”-aMemberoftheRoyalCollegeofVeterinarySurgeonswithnotlessthanfiveyears’postqualificationexperienceofdealingwiththeclassoflivestockconcerned,or,inthecaseofaveterinarysurgeonwhoisnotaUKnationalonewhoholdsasimilarqualificationfromthecountrywherehequalified;

“VeterinarySurgeon’sCertificate”-acertificatesignedbyaVeterinarySurgeonsettingouttheeartagnumberorotheridentificationmark(s)oftheanimaltowhichitrefersandconfirmingtheexistenceoffactsorcircumstancesorstatinganopinionincludinganyparticularfact,circumstanceoropinionrequiredbytheseConditions;

“WarrantyofTitle”-thetermsimpliedbysection12oftheSaleofGoodsAct1979astotheVendor’srighttosell,quietpossessionandfreedomfromencumbrances.

1.2 Interpretation

IntheseConditions:

1.2.1 wordssignifyingthemasculineincludethefeminineandviceversa;

1.2.2 wordssignifyingthesingularincludethepluralandviceversa;

1.2.3 referencestoapersonincludeacorporation;

1.2.4 referencestoanyEnactmentincludeareferenceto:

1.2.4.1 anyEnactmentwhichthatEnactmenthasdirectlyorindirectlyreplaced(whetherwithorwithoutmodification);and

1.2.4.2 thatEnactmentasre-enacted,replacedormodifiedfromtimetotime,whetherbefore,onorafterthedateoftheseConditions;

1.2.5 referencestoaCondition,ScheduleorAppendixaretoaConditionorpartofaCondition,ScheduleortheAppendixtotheseConditions;

1.2.6 thecontentstableandthedescriptiveheadingstoConditions,SchedulesandtheAppendixareforconvenienceonlyandshallbeignoredwheninterpretingtheseConditions;and

1.2.7 thewordsandphrases“other”,“include”,“including”and“inparticular”shallnotlimitthegeneralityofanyprecedingwordsorbeconstruedasbeinglimitedtothesameclassastheprecedingwordswhereawiderconstructionispossible.

TheConditionswhichfollow(togetherwithSchedule6)applytoallsalesoflivestockandthoseConditionssetoutinSchedules1–5respectivelyapplyspecificallytothelivestockreferredtoineachofthem.IntheeventofanydiscrepancybetweentheConditionswhichfollow(includingSchedule6)andtheprovisionsofSchedules1–5thelattershallprevail.

2 Timelimits

2.1 TimeshallbeoftheessenceofallConditionswhichcontaintimelimits.WherethetimelimitedforanypersontodoanythingexpiresonaSunday,bankorotherpublicholiday,oronthedaynextfollowinganysuchday,thensuchSundayorbankorotherpublicholidayshallbeexcludedfromthecomputationofthetime.

2.2 Inthecomputationofanyperiodoftimebeforeorafterthesaleoranyotherevent,thedayofthesaleorotherevent,asthecasemaybe,shallbeexcluded.

2.3 Anyperiodoftimeexpressedasanumberofdaysshallbetakentorefertothatnumberofcleardays,andsimilarlyforanyotherperiodoftime.

3 Statementsoffact

Unlessotherwiseannouncedallstatementsoffactmadeinanysalecatalogueoratthetimeofsaleregardingthebreedingofanyanimal,itshealthstatusorothertestscarriedoutonanyanimalarestatementsoffactmadebytheVendorandnottheAuctioneerandtheAuctioneeracceptsnoresponsibilityforanymisstatementnordoeshenortheVendoracceptanyresponsibilityforanysubsequentreactionbyananimalsoldtoanyrelevanttestadministeredafterthesale.

4 ServiceofNotices

4.1 NotwithstandinganythingtothecontraryintheseConditions,andsaveasprovidedbyCondition4.2,anywrittennoticeunderanyoftheseConditionsmaybeservedonthepersontowhomitistobegiveneitherpersonally,orbyleavingitforhimathislastknownaddress,orbysendingitthroughthepostinaprepaidrecordeddeliveryletteraddressedtohimthere,andanysuchlettershallbedeemedtohavebeenreceivedbyhimatthetimeatwhichitwouldbedeliveredintheordinarycourseofpost.

4.2 AnywrittennoticerequiredbyanyoftheseConditionstobegivenbyaPurchasertoaVendormaybegivenbysuchPurchasertotheAuctioneerontheVendor’sbehalf,eitherbyleavingitattheofficeoftheAuctioneer,orbysendingitthroughthepostinaprepaidrecordeddeliveryletteraddressedtotheAuctioneerthereandanysuchlettershallbedeemedtohavebeenreceivedbytheVendoratthetimeatwhichitwouldbedeliveredtotheAuctioneerintheordinarycourseofpost.

4.3 OnreceivinganynoticeunderCondition4.2theAuctioneershall,assoonasreasonablypracticable,communicateitscontentstotheVendor.

4.4 Exceptasabove,allcommunicationsandnegotiationswithreferencetoanydisputebetweenanyPurchaserandVendorundertheseConditionsshalltakeplacedirectlybetweenthePurchaserandtheVendorrespectivelywithoutinvolvingtheAuctioneer.

5 LiabilityoftheAuctioneer

5.1 TheAuctioneeractsinallrespectsonlyasagentfortheVendorandnowarrantyisgivenbytheAuctioneerorhisemployeesorcontractors,andnoneshallbeimplied,astotitle,descriptionorthequalityofanyLot.NeithertheAuctioneernorhisemployeesorcontractorsshallbeliabletothePurchaserinanyrespectforanydefectoftitle,errorofdescriptionorimperfectionorforanyannouncementorstatementconcerninganyLotofferedforsalewhethermadeorallyorinwriting(whetherinasalecatalogue,orderofsale,advertisementforthesaleorotherwise)andwhethergivenbefore,duringorafterthesale,norshallheincuranyliabilityinrelationtoanydisputebetweenaVendorandPurchaser.

5.2 TheAuctioneershallnotbeliable:

5.2.1 inanywayforanyerrorswithordeficienciesintheVendor’seartaggingofhiscattle,sheep,pigsandgoatsnoranyshortcomingswiththereadingequipmentusedintheCPRCinaccordancewiththeEIDRegulationsnoranyreadingorprintoutproducedbythesaidequipment;

5.2.2 inanywayforanyerrors,mis-descriptionorfalsedeclarationsinanydocumentationproducedbytheVendorandaccompanyinganyanimaltoasale,includingbutwithoutprejudicetothegeneralityofthissub-clausedetailsofitsbreeding,servicebyanamedsire,animalpassports,certificatesormovementforms,includinganylivestockmovingdirectlyonfromamarkettoanabattoir,nor,inrespectofanysuchdocumentationprovidedtotheAuctioneerandsubsequentlypassedontoanyoneormorethirdparties;

5.2.3 inanywayforanyaccidentwhichhappenstoanypersonwhileontheSalePremises,unlessitarisesoutofthenegligenceoftheAuctioneerorhisemployeesorcontractors.

5.2.4 inanywayintheeventofanyinterruption,suspension,cancellationordisturbancetothetelephoneoron-lineauctionservicenoranylossarisingifanyoftheseeventsoccurs.

5.3 TheAuctioneershallensurethatanyweighbridgeusedatasaleweighsaccuratelythroughout that sale.

6 Conductofsales

6.1 EveryVendor,bidderandPurchasershallbedeemedtohavefullknowledgeoftheseConditionsandbytakingpartinthesaleagreestobeboundbythem.

6.2 IflivestockenteredforasaleisadvertisedbytheAuctioneerandthepersonenteringthatlivestockforthesalefailstobringittothesaletheAuctioneermaychargehimafairandreasonableproportionoftheexpensesincurred.

6.3 IfapersonwhohasbroughtananimalforsaleontotheSalePremisessellstheanimalprivatelyonthedayofsaleandontheSalePremises,eitherbeforeitisofferedforsaleor,ifitfailstosell,afterwards,theseConditionsshall,sofarasapplicable,governthatprivatesale.

6.3.1 Inthecaseofaprivatesale:

6.3.1.1 theVendorandthePurchasershallimmediatelynotifythesaletotheAuctioneerandthepurchasemoneyshallbepayabletotheAuctioneerinfullasifthesalehadtakenplacethroughthesalering;and

6.3.1.2 theAuctioneermaychargethecommissionwhichwouldhavebeenpayableiftheanimalhadbeensoldthroughthesaleringforthepriceobtainedontheprivatesale,andifheexercisesthatrighttheAuctioneermaydeductthecommissionfromthepurchasemoneybeforeaccountingforittotheVendor.

6.4 IftheVendorfailstocomplywiththeprovisionsof6.3.1.1heshallbeliabletopaytheAuctioneer’scommission.

7 Exclusionofanimals

7.1 TheAuctioneermayinhisabsolutediscretionrefusetoofferforsaleand/orexcludefrom the Sale Premises any animal brought to the Sale Premises by any person.

7.2 WithoutlimitingitseffecttheAuctioneermayexercisehisrightsunderCondition7.1inrelationto:

7.2.1 anyanimalwhichshowsanysignsofdisease,deformityorof beingdangerous;

7.2.2 anyanimalwhichappearstobeover-fullorexcessivelydirty;

7.2.3 anybullaged8monthsormorewhichisnoteffectivelyringedandhalteredunlessitisayoungbullrearedtobesoldforbullbeefwhichsatisfiesallcurrentsafetyregulations.

7.3 ThedecisionoftheAuctioneerunderthisConditionshallbefinalandbindingonallpartiesandtheAuctioneershallnotbeliableinanywaytoanypersonforanyactreasonablyundertakenbyhimintheexerciseofhisrightsunderthisclauseorforanyconsequencesarisingfromanysuchdecision.

7.4 IfanypersonbringstotheSalePremisesanyanimalwhichheknowsorshouldreasonablyhaveknowntobedangerous,oranyanimaltheexposureofwhichinanymarket,oratanysaleisforthetimebeingforbiddenbylaw,heshallbeliableforallinjuries,damages,costs,lossesorexpenseswhichtheAuctioneeroranyotherpersonmaysustainorincur,eitherdirectlyorindirectly,asaresultoftheanimal’spresenceattheSalePremises.

8 Reserveprices,orderofsaleandbidding

8.1 TheAuctioneerreservesonbehalfofhimselfandtheVendorthefollowingrights:

8.1.1 tofixareserveprice;

8.1.2 tobidonbehalfoftheVendoruptothevalueofthereserveprice;

8.1.3 tore-arrange,consolidateorwithdrawanyLotsortovarytheorderofthesale;and

8.1.4 withoutgivinganyreason,torefusetoacceptthebidsofany person.

8.2 AVendorwhowishestofixareservepriceonanyLotownedbyhimshallnotifytheAuctioneerinwritingbeforethesaleofthatLot,failingwhichtheAuctioneermaysellthe Lot to the highest bidder.

8.3 TheAuctioneermayrefusetoacceptbidsfromaVendorforaLotownedbyhimandaVendorshallnotbidforaLotownedbyhimusinganyagentotherthantheAuctioneer.

8.4 NopersonmayadvanceonthepreviousbidlessthanthesumannouncedfromtimetotimebytheAuctioneer.

8.5 Nobidmayberetractedoncemade.

8.6 ThepersonmakingthehighestbidacceptedbytheAuctioneershallbethePurchaser.

8.7 Ifadisputearisesastoanybidding,then,atthediscretionoftheAuctioneer,either:

8.7.1 theLotshallimmediatelybeofferedforsaleagain;or

8.7.2 theAuctioneershalldeterminethedispute,andhisdecisionshallbefinalandbindingonallparties

8.8 FortheavoidanceofanydoubttheaboveConditionsapplywhetherbiddingisbytelephone,oronline,inthesamewayasifthebidderispresentatthesale.

8.9 WhereaPurchaserwishestobidbytelephoneoronlinethefollowingadditionalconditionsshallapply:

8.9.1 ifthePurchaserisnotalreadyknowntotheAuctioneerheshallprovidesuchpersonalinformationastheAuctioneermayrequireforidentification,securityandfinancialpurposes(i.e.bankdebitcarddetails)aswellastwotelephonenumbers;

8.9.2 thebankcarddetailsprovidedwillbeusedbytheAuctioneertopaythepurchasepriceandanyotherchargesonorbeforetheEndoftheDay’sSale.

9 Removaloflivestock

ThePurchasershallremovetheLotshehaspurchasedfollowingpaymentinfulltotheAuctioneerbutonlyaftertheAuctioneerhasissuedhimwithawrittenpassandthenathisownexpensewithinsuchreasonabletimeaftertheEndoftheDay’sSaleastheAuctioneermaydirect.

10 Termsofbusiness

10.1 TheAuctioneershallensurethathistradingtermsareclearlycommunicatedtoallVendorsandPurchasersbybeingdisplayedattheSalePremisesandthattheyinclude:

10.1.1 anobligationontheAuctioneertopaytotheVendorwithinanagreedtimethenetproceedsofsale(i.e.thepricepaidbythePurchaserlessagreedcommissionandanyotherdeductions)foreachLot;and

10.1.2 fulldetailsoftheratesofcommissionchargedbytheAuctioneer.

10.2 IftheAuctioneerchargesabuyer’spremiumthiswillbeclearlycommunicatedtoallprospectivePurchasersbeforethesalebegins.

11 Statutorylevyschemes

11.1 TheAuctioneershallnotifyVendorsandPurchasersofanystatutorylevyschemeswhichareinforceatthetimeofthesaleandshallclearlydesignatepriortothestartofthesalethesection(s)towhichanylevyschemeapplies.InthecaseoflevyschemesapplyingtoanimalsdesignatedasslaughteranimalsandwheretheAuctioneerhasdesignatedaslaughtersectionofthesale:

11.1.1 theVendoracceptsaliabilitytobedebitedwiththeamountofanysuchsumrecoverablebythePurchaserinrespectofalloftheanimalsinthatsection

11.1.2 thePurchaseracceptsthatthesumwhichhemayrecoverfromtheAuctioneerwillbecreditedtohimonlyforanimalssoldinthedesignatedsectionofthesale,eventhoughanimalswithinothersectionsofthesalemay,followingtheirpurchase,besent for immediate slaughter.

12 LiabilityofVendorsandPurchasersfordocumentation

12.1 WhereunderanyEnactmentananimalmustbeaccompaniedbyanydocumentation:

12.1.1 theVendorshallberesponsiblefordeliveringtotheAuctioneerallrelevantdocumentsandshallindemnifytheAuctioneeragainstanyclaimbythePurchaserresultingfromfalseorincorrectlycompleteddocumentsandintheeventoftheVendor’snondeliverytotheAuctioneerofanysuchdocumentationtheAuctioneershallrefusetoacceptsuchanimal(s)forsale;

12.1.2 theVendorshallnotifytheAuctioneerifhehasbeensuspendedfromanyFarmAssuranceScheme,oranysimilarscheme,andthisinformationshallbeincludedinanycatalogueforsaleandannouncedatthesalebytheAuctioneer;

12.1.3 thePurchasershallberesponsibleforobtainingfromtheAuctioneerortheVendor,asthecasemaybe,alldocumentationtowhichheisentitledandshallindemnifytheAuctioneeragainstanyclaimfromanypersonresultingfromthePurchaser’sfailuretodoso.

12.2 IfthePurchaserbelievesthatanydocumentationisfalseorincorrectlycompletedheshallnotifytheAuctioneerbytelephoneoremail(confirmedbynoticeinwritingpostedfirstclasstotheAuctioneerandsupportedbyaVeterinarySurgeon’sCertificateorsimilarofficiallyauthorisedcertificate)beforetheendofnormalbusinesshoursontheseconddayafterthedayofsale.

12.3 WhereanyEnactmentrequirestheAuctioneertogiveinformationtoanystatutoryorotherauthority(suchasDEFRAoranyofitsagencies)oranyotherorganizationtheAuctioneermayuseanydocumentationorotherinformationinhispossessiontosupplyanyinformationthatissorequired.

13 Disclosureofowner’sname:salefordisclosedprincipal

13.1 Eachanimalshallbeenteredforsaleinthenameofitsownerandifrequiredtheowner’snameasgiventotheAuctioneershallbeannouncedwhentheanimalisofferedforsale.

13.2 WhetherornotaPurchaserrequiresdisclosureoftheowner’snametheAuctioneershallforallpurposesbedeemedtosellasagentfortheownerasthedisclosedprincipal.

14 WarrantyofTitle

AllLotsareacceptedforsalebytheAuctioneeronconditionthattheVendorwarrantshisrighttosellthesame.TheVendorshallindemnifytheAuctioneerandthePurchaseragainstallactions,costs,proceedings,claims,damages,demands,chargesandexpenseswhichtheymaysustainorincurbyreasonofanydefectintheVendor’stitleorarisingfromthefalseorincorrectcompletionofanydocumentation.

15 Principalandagent:jointandseveralliability:bidsbyagents

15.1 Whereanimalsareofferedforsalebyapersoninhisownnamebutsuchanimalbelongstoanotherpersonorpersonsandheisactuallyactingasanagentheshall,ifsorequiredbytheAuctioneer,beboundtodisclosethenameandaddressofhisprincipalandinsuchacaseboththeprincipalandtheagentshallbejointlyandseverallyliableandanystepsauthorisedbytheseConditionsorbythegenerallawmaybetakenagainsteitherorbothofthem.

15.2 AnypersonintendingtobidforanyanimalasanagentshallinformtheAuctioneerbeforethesaleofsuchanimalbeginsandshall,ifrequiredbytheAuctioneer,disclosethenameandaddressofhisprincipal.

15.3 SubjecttoCondition15.4,inallcaseswhereapersonwhosebidisacceptedisactingasanagent,whetherornothehasdisclosedthatfact,heandhisprincipalshallbedeemedtobeandshallremainjointlyandseverallyliableand:

15.3.1 anystepsorproceedingsauthorisedbytheseConditionsorthegenerallawmaybetakenorcommencedagainsteitherorbothofthem;and

15.3.2 nostepstakenorproceedingscommencedagainsttheprincipalortheagentshallbedeemedtooperateasanelectiondischargingtheotherfromliabilityunlesssuchstepsorproceedingsresultinafinalsatisfiedjudgement.

15.4 Condition15.3shallnotapplyifbeforethecommencementofthesalethepersonactingasanagentinformstheAuctioneerthatheintendstobidasaprincipal,inwhichcasehewillbedeemedtobesolelyliable.

16 NameofPurchaser:paymentofpurchasemoney:transferoftitle

16.1 ThePurchasershallgivehisnameandaddresstotheAuctioneerwhenrequestedtodo so.

16.2 ThePurchasershallpaythepurchasemoneyforeachLotthathebidsforsuccessfullytotheAuctioneerassoonafterthefallofthehammerastheAuctioneermayrequire.Anytimeallowedforpaymentinrespectofanypurchasemoneyshallnotbeconstruedasawaiveroftherighttorequireearlierpaymentonanysubsequentpurchase.

16.3 ThePurchasershallnotmakeanyset-offorotherpleafornon-paymentofthepurchasepriceandshallbeliabletotheAuctioneerforanyunpaidpurchasepricewhetherornottheLothesuccessfullybidforhasbeendelivered.

16.4 IfthePurchaserfailstopayforanyLotwhenrequiredtodosobytheAuctioneerandheisnotentitledtoreturntheLotunderanyoftheseConditions,theAuctioneermay,bynoticeinwritingtothePurchaser,rescindthesaletohimwhereupontheLotshallbedeemedtoberesoldtoandbecomethepropertyoftheAuctioneerwhoshallberesponsibletotheVendorfortheamountforwhichtheLotwassoldtothePurchaserlesstheapplicablecharges.

16.5 NotwithstandingthattheriskinananimalinanyLotmayhavepassedtothePurchaser,titletotheanimalinanyLotwillremainwiththeVendoruntilthePurchaserhaspaidthepurchasepriceforthatLotinfullandinthecaseofunclearedfundsthesumhasclearedintheAuctioneer’sbankaccount.UntiltitlehaspassedtothePurchaserunderthisconditiontheVendormayrecoverpossessionoftheLotfromthePurchaserandtheVendorortheAuctioneermayenterthePurchaser’spremises(orsuchotherpremiseswheretheanimalisheld)inordertodoso.FortheavoidanceofanydoubtthereferencetoPurchaser’spremises,orsuchotherpremiseswheretheanimalisheld,includesanabattoirincircumstanceswhereananimalhasbeensoldforslaughterandthereferencetoanimalshallincludethecarcaseofananimalthathasbeenslaughtered.

16.6 IftheAuctioneeraccountstotheVendorforthepurchasepriceforaLot(lesstheapplicablecharges)beforethePurchaserhasmadepaymentinfulltotheAuctioneertheAuctioneershallbeentitledtoanyrightsinanyanimalinthatLotwhichtheVendormayhaveunderCondition16.5.

17 SalesofanimalsbyaPurchaser

If,beforeananimalisremovedfromtheSalePremises,thePurchaseroftheanimalsellsittoanotherpersonandnotifiestheAuctioneerofthenameandaddressofthatpersonthenthatpersonshallbetreatedasthePurchaseroftheanimalandshallbeentitledtoalltherights,andsubjecttoalltheobligations,oftheoriginalPurchaserundertheseConditionsbutthiswillnotaffecttherightoftheVendor,oroftheAuctioneerasagentfortheVendor,toholdtheoriginalPurchaserliableifthesubsequentpurchaserfailstofulfilanyofthoseobligations.

18 Responsibilityforlivestockbeforeandaftersale

18.1 AlllivestockisattheriskoftheVendorbeforesaleandattheriskofthePurchaseraftersale.

18.2 TheAuctioneerthroughhisemployeesand/orcontractorsshalltakereasonablecarewhenmovinglivestocktoandfromthesalering.

18.3 IftheAuctioneerexpresslyagreestotakechargeofanylivestockafterthesaleortoforwardthesametoitsdestinationheshallbeliableforanyfailuretofulfilthisobligationwhichisduetohisorhisemployees’orcontractors’negligence,butotherwise,saveasprovidedbyCondition18.2,theAuctioneershallhavenoliabilityorobligationforthesafecustodyofanylivestockafterthesale.

19 Default

19.1 IfaPurchaserfailstoperformanyofhisobligationsundertheseConditionstheAuctioneermaycausetheLotinrespectofwhichthefailureismadetoberesoldbypublicorprivatesalewithoutwarrantyorreserveandwithoutnoticetothePurchaser.

19.2 Ifonsuchre-salealowerpriceisobtainedforanyLotthanwasobtainedontheoriginalsale,thePurchasershallbeliabletotheAuctioneerforthedifferenceinpricetogetherwithallassociatedre-salecostsandexpensesincurredontheresale.

“Heifer”-forthepurposesofthisScheduleunderAnimalsSoldforSlaughterandStoreCattlemeansanyfemalebovineanimalwhichhasnotpreviouslygivenbirthtoacalfandforthepurposesofthisScheduleunderDairyandBeefBreedingCattleincludesayoungcowwhichhasnotreachedtheendofherfirstnaturallactation.

“Imported”-broughtintoanypartoftheUnitedKingdomfromanyplaceoutsidetheUnitedKingdom;

“InCalf”-anInCalfCoworHeiferwarrantedbytheVendortocalveafullydevelopedCalfwithinagivennumberofdayswhosepresenceatthesalecomplieswiththethencurrentregulationsissuedbyDEFRAforsuchanimalstobeofferedforsale,

and,whereitisstatedtobeInCalftoanamedsiretheVendorshallprovidetheAuctioneerwithdetailsofthesire,hiseartagnumberandanybreedsocietyregistrationnumbertogetherwithsuch,ifany,furtherinformationthatmayberequiredofhim,suchinformationtobeincludedinanycatalogueforsaleandannouncedatthesale;

“SucklerCow”-afemalebovineanimalthathaspreviouslygivenbirthtoaCalfandwhichisnotofferedforsaleasaDairyCow;

1 Unsoundness

1.1 Vendor’s warranty

Unlessstatedtothecontraryinanycatalogueforsaleoratthetimeofsale,subjecttoCondition3andanyspecificexclusionsdetailedbelow,animalssoldarewarrantedbytheVendorasfollows:

1.1.1 Store, dairy and beef breeding cattle

Eachanimal(excludingCalvesexceptasseparatelywarrantedintheseConditions)iswarrantedtobefreefromanyUnsoundness.Thiswarrantyis:

inrespectofeyes,teeth,legsandfeetoranyvisibledefect,anAfterSaleWarranty;and

1.1.2 inallotherrespectsexceptinthecaseofClinicalJohne’sdisease,(seeCondition1.1.3)andexceptaswarrantedinConditions16to19inclusiveandConditions21to33inclusivea5+5DayWarranty.

1.1.3 inthecaseofClinicalJohne’sdiseasea30+5DayWarranty

1.2 Cattle sold for slaughter

Eachanimaliswarrantedtobefreefromanyvisibleinjury,visiblephysicaldefectorexternalmalformation.ThiswarrantyisanAfterSaleWarranty.

2 Purchaser’srights

IfthePurchaserprovesabreachofwarrantyhemayexercisehisrightsunderSchedule6.NoticeofaclaimunderthewarrantyinCondition1.1.3mustbesupportedbyaVeterinarySurgeon’sCertificate.

3 Exclusionsandexceptionstothewarrantyofsoundness

3.1 Ifananimalissold“asitstands”itissoldwithoutanywarrantyexceptastotitle.Eachofthefollowingisdeemedtobesold“asitstands”withouttheneedforanystatementbytheAuctioneereitherinanycatalogueforsaleoratthetimeofsale:

a)anystockbull,calvedcoworcalvedHeifer,oranycoworHeiferinCalfwhichrealiseslessthantheamountinparagraph(a)oftheAppendix;

b)anyCalf,oranybovineanimalnotincludedinparagraph(a)above,whichrealiseslessthantheamountinparagraph(b)oftheAppendix;

c)anycullstocksoldforslaughterexceptaswarrantedinCondition14above,andConditions4.1,and11inthisSchedule

4 Effectsofmedication


TheVendorwarrantsthat,unlessstatedtothecontraryinanycatalogueforsaleoratthetimeofsale,anyanimalsoldwhichhasbeentreatedwithanymedicinehascompletedthewithdrawalperiodforthatmedicinerecommendedbyitsmanufacturer.Thisisa5+5DayWarranty.

4.2 Purchaser’s rights

IfthePurchaserprovesabreachofwarrantyhemayexercisehisrightsunderSchedule6.

NoticeofaclaimmustbesupportedbyaVeterinarySurgeon’sCertificate.

5 Animalsfoundtobeimported


TheVendorwarrantsthatanimalsdescribedinanycatalogueforsaleoratthetimeofsaleasbornintheUKarenotanddonotcontainImportedanimals.ThisisanAfterSaleWarranty.


IfthePurchaserprovesabreachofwarrantyhemayexercisehisrightsunderSchedule6eitherinrespectoftheImportedanimalonlyorinrespectofalloftheanimalsintheLotcontainingtheImportedanimal.

6 Contactwithnon-accreditedstock

IfthePurchaserofanyanimalwhichforthepurposeofmaintainingitshealthstatusissegregatedfromotheranimalsontheSalePremises,allowsittocomeintocontactwithotheranimalswhicharenon-accredited,eitherontheSalePremises,orelsewhere,orinanyotherwayallowsittoloseitsHealthStatusaccreditation,anyrightwhichthePurchaserwouldotherwisehaveundertheseconditionstoreturntheanimals to the Vendor shall be lost.

7 Pedigreestock

TheseConditionsshallapplytothesaleofanypedigreestocksaveinsofarastheyconflictwithanyspecialconditionsexpresslystatedbytheAuctioneerinanycatalogueforsaleoratthetimeofsaleasapplyingtothatsale.

ANIMALSSOLDFORSLAUGHTER 8 Descriptionofanimalssoldforslaughter

Unlessstatedtothecontraryinanycatalogueforsaleoratthetimeofsaleanyanimaldescribedas‘fat’,‘finished’or‘prime’orwhichiswithinadesignatedslaughtersectionofthesale,isbeingofferedforslaughter.

9 WarrantiesundertheFoodSafetyAct1990

InthisConditionthewordsandexpressionssetoutontheleft-handsideofthepageshallhavethemeaningssetoutoppositethem:

“theAct”-theFoodSafetyAct1990;

“AgreedDamages”-theaggregateof:

i. thepurchasepriceatthesaleoftheDefectiveLivestock,lessanyproceedsofdisposalofelementsofthecarcaseapprovedforhumanconsumption;

ii. thereasonablecostsoftransporting,feedingandhousingDefectiveLivestockbetweenthedayofthesaleandthedateofdisposalbythePurchaser;

iii.thereasonablecostsoftransporting,feedingandhousing,and(ifappropriate)slaughtering,DefectiveLivestockbetweenthedayofsaleandthedateofdisposalbythePurchaser;and

iv. thereasonablefeesoftheVeterinarySurgeonandotherreasonablecostsofinvestigatingliability;

“DefectiveLivestock”-anylivestocknotcomplyingwiththewarrantyinparagraph11ofthisSchedule;

“LivestockNotIntendedforHumanConsumption”-anylivestockdeclared“notintendedforhumanconsumption”bywrittennoticedisplayedbytheAuctioneerattheSalePremisesorannouncedbytheAuctioneeratthetimeofsale;

“LivestockSoldforSlaughter”-anylivestockdeclared“soldforslaughter”bywrittennoticedisplayedbytheAuctioneerattheSalePremisesorannouncedbytheAuctioneeratthetimeofsale.

10 Deemedslaughterdate

ForthepurposesofCondition11ofthisScheduleLivestockSoldforSlaughtershallbedeemedtobeslaughteredwithinfivedaysoftheDateoftheSaleandwhenapplyingtheAct,“food”shallbeinterpretedtoincludeLivestockSoldforSlaughterasifthesame had been slaughtered on The Day of the Sale.

11 Vendor’swarranty

TheVendorwarrantsthatanyLivestockSoldforSlaughter(unlessitisLivestocknotIntendedforHumanConsumption)complieswithallthefoodsafetyrequirementssetoutinsection8(2)oftheActandanyotherapplicableEnactmentsandwillbeaccompanied(interalia)bytherequisiteformofFCIdeclarationaswellasallother(ifany)requisitedocumentation.Thiswarrantyisa5DayWarranty.

FortheavoidanceofanydoubtifanyanimalsoldforslaughteriscondemnedbyanabattoirtheVendorwillpaytotheAuctioneerondemandthepurchasepricepaidbythePurchasertogetherwithanyotherassociatedcostsasadebt.

12 Purchaser’srights

IfthePurchaserprovesabreachofwarrantythentheVendorshallpaythePurchaserAgreedDamagesascalculatedbytheAuctioneerwhosedecisionshallbefinalandbindingontheparties.NoticeofaclaimmustbesupportedbyaVeterinarySurgeon’sCertificateorbythecertificateofacompetentauthorityorqualifiedperson:

a) confirmingthatinhisopinionthelivestockthesubjectoftheclaimwasatthetimeofsaleDefectiveLivestockandthatthesamewasslaughteredwithin5daysofTheDayoftheSale;

b) identifyingtheDefectiveLivestockbyeartagand/orLotnumber;

c) detailingtheAgreedDamagesclaimedsupportedbydocumentationidentifyingtheDefectiveLivestockasthesubjectofanyexpenses(anysuchdocumentationshallbereturnedtothePurchaserbytheAuctioneerwithin14daysofitssubmission).

14 Salebyweight

TheweightsofsuchanimalsasaresoldbyweightshallbedeclaredbytheAuctioneeratthetimeofsale.AnydisputeregardingtheweightofanyanimalshallbedeterminedbytheAuctioneerwhomay,inhissolediscretion,reweighanyanimal.

15 Weighbridge

TheAuctioneershallensurethatanyweighbridgeusedinasaleweighsaccuratelythroughout that sale

IfthePurchaserprovesabreachofwarrantythen,atthePurchaser’soption,either:

a) hemayexercisehisrightsunderSchedule6butmustdosobeforetheHeifercalvesandifhedecidestocalvetheHeiferheforfeitshisrightsunderthisCondition,or

b) theVendorshallpaytothePurchaserasumnotexceedinganymonetaryloss,ifany,actuallysustainedbythePurchaserandassessedasfairandreasonableinthecircumstancesbytheAuctioneer.

17 GroupofanimalssoldasHeifers:inclusionofananimalwhichhashadaCalf


TheVendorwarrantsthatagroupofanimalscomprisingaLotsoldasHeifersdoesnotincludeananimalwhichhashadaCalf.ThiswarrantyisanAfterSaleWarranty.


IfthePurchaserprovesabreachofwarrantyinrespectofananimalinaLothemayexercisehisrightsunderSchedule6inrespectoftheanimalwhichhashadaCalfor,athisdiscretion,inrespectofalltheanimalsintheLot.

18 Groupofanimalssoldassteers;inclusionofanimalwhichisnotasteer


TheVendorwarrantsthatagroupofanimalscomprisingaLotsoldassteersdoesnotincludeananimalwhichisnotasteer.ThiswarrantyisanAfterSaleWarranty.


IfthePurchaserprovesabreachofwarrantyinrespectofananimalinaLothemayexercisehisrightsunderSchedule6inrespectoftheanimalwhichisnotasteeror,athisdiscretion,inrespectofalltheanimalsintheLot.

28 Symptomsofabortion

IfanycoworHeifershowssymptomsofabortingbeforeitisremovedfromtheSalePremises,thePurchasermayrefusetoTakeDeliveryoftheanimalor,ifhehasalreadytakendelivery,mayreturntheanimaltotheVendorwithin5daysfromtheEndoftheDay’sSale.

TheVendorwarrantsthatanycoworHeiferdescribedinanycatalogueforsaleoratthetimeofsaleasDuetoCalveataspecifictime(the“DueDate”),willcalveafullydevelopedCalfwithin21daysoftheDueDate.



a) iftheanimalabortsonorabouttheDueDateandwithin5daysofthe datewhenitabortsthePurchasergiveswrittennoticetotheAuctioneersupportedbyaVeterinarySurgeon’sCertificatethen,attheoptionofthePurchaser,eitherthePurchasermayreturntheanimaltotheVendor,or theVendorshallpaytothePurchaserasLiquidatedDamagesasumequalto 33.33percentofthepurchaseprice;or

TheVendorwarrantsthatacoworHeiferdescribedinanycatalogueforsaleoratthetimeofsaleasInCalf,willcalveafullydevelopedCalfwithinthegivennumberofdaysstatedinanycatalogueforsaleorasdeclaredatthetimeofsale,thepresenceofsuchanimalatthesalebeingincompliancewiththethencurrentregulationsissuedbyDEFRAforsuchanimalstobeofferedforsale.



a) iftheanimalcalvesaprematurelybornCalfwithintheperiodmentionedin30.1andwithin5daysafterthedateofsuchprematurecalvingthePurchasergiveswrittennoticetotheAuctioneer,supportedbyaVeterinarySurgeon’sCertificateconfirmingtheprematurecalvinganditsdate,then,attheoptionofthePurchaser,eitherthePurchasermayreturntheanimaltotheVendor,ortheVendorshallpaytothePurchaserasLiquidatedDamagesasumequalto33.33percentofthepurchaseprice;or

b) WhereacoworHeiferissoldas‘havingrunwithabull’nowarrantyastotheanimalbeingInCalfatthetimeofsaleisgiven.

33 Milking-outofcowsbeforeandaftersale

33.1 AllcowsinmilkshallbemilkedoutnotearlierthantheeveningbeforethedayofsaleandnocowshallbeacceptedforsalebytheAuctioneerifthisConditionhasnotbeen met by the Vendor.

33.2 NocowinmilkshallberemovedfromtheSalePremisesuntilshehaseitherbeenmilkedoutbythePurchaseror,ifsheremainsunsoldbytheVendor,or,untilherudderhasbeensufficientlyeasedtoavoiddiscomforttoher.

33.3 UnlessthePurchaserortheVendor(asthecasemaybe)wishestomilkacowhimselfanycowontheSalePremisesshallbemilkedonlybyacompetentpersonapprovedbytheAuctioneerinwhichcasethemilkshallbelongtotheAuctioneer.

34 EmbryotransferandCaesareanoperation


TheVendorwarrantsthat,unlessotherwisestatedinanycatalogueforsaleoratthetimeofsale,nodairyorbeefanimalhasbeensubjectedtothetechniqueofembryotransferorCaesareanoperation.Thiswarrantyisa6Months+5DayWarranty.

49 General

49.1. NoHorseisallowedintheSalePremisesunlessithasbeenpre-enteredforthesaleandallentryfees(ifapplicable)havebeenpaidinfull(“theEntryFee”)totheAuctioneerandanyVendororotherpersonattemptingtoentertheSalePremiseswithaHorsethatisnotenteredorinrespectofwhichtheEntryFeehasnotbeenpaidshallberefusedaccesstotheSalePremisesevenifhehasanotherHorseentered in the sale.

49.2 EveryHorsemustbeaccompaniedtothesalewithaDEFRAapprovedcurrentpassportwhichmustbehandedintotheAuctioneerimmediatelyonarrivalattheSalesPremises.NoHorseregardlessofitsagewillbeallowedontotheSalesPremiseswithoutacurrentpassport.

49.3 ItistheresponsibilityoftheVendorpriortoanysaleandthePurchaserafterasaletoprovidewaterandforagetotheHorsewhilstitisontheSalesPremises.

49.4 IntheeventthataHorseisregisteredwithabreedsocietyitsbreedregistrationcertificatemustalsobelodgedwiththeAuctioneeronarrivalattheSalePremisestogetherwiththecurrentpassportandifanysuchcertificateisnotprovidedtotheAuctioneertheHorseshallbesoldwithoutthebenefitofregistration.

49.5 ItistheresponsibilityofthePurchasertoregisteraHorsehehaspurchasedwiththeappropriatebreedsociety.InacasewheretheregistrationofaHorsehasbeenappliedforbyaVendorhemustlodgetheacknowledgmentcard(s)withtheAuctioneerandwhereaHorseiseligibleforregistrationtheVendormustpasstheappropriateapplicationformstotheAuctioneeronarrivalattheSalesPremisestobepassedontothePurchaseriftheHorseissold.IftheHorseisnotsoldthepaperworkwillbereturnedtotheVendor.

49.6 AVendormustsupplyaserviceableheadcollarwitheachHorseandthiswillremainwiththeHorseafterithasbeensold.ItistheresponsibilityofthePurchasertosupply a lead rope.

49.7 It is the responsibility of the Vendor to lead his Horse into the sale ring and not that oftheAuctioneer.

49.8 AHorsebornafter1July2009mustbefittedwithareadablemicro-chipwhichwillbescannedonarrivalattheSalesPremisesandmustmatchthedetailssetoutonthecurrentpassportfortheHorsebeforeitwillbeacceptedforthesalenotwithstandingthatithasbeenadvertisedinanycatalogueforthesale.

49.10 UnlessaHorseistobeofferedforsalewithoutwarrantyitmustbefreefromvice,quietinthestable,tocatch,loadandshoeunlessotherwisedeclared.Latentdefectssuchascribbiting,windsucking,headshaking,sarcoidsandsarcoidlikelesions,un-nervinganditmustalsobestatedthatifaHorsehasbeenfired,tubedorhobdayedunlessitistobesoldwithoutwarranty.

AnycomplaintsregardingPatentdefectssuchassplints,curbs,sidebonesandsimilarwillnotbeentertainedunlesstheycausetheHorsetobelame.Sweetitch,beingacondition,isnotcoveredbythegeneralwarranty.

49.11 AVendormustdeclareifaHorseisnoteligibleforthehumanfoodchainandthatinformationmustbeclearlyshownonitscurrentpassport.

49.12 FortheavoidanceofanydoubttheprovisionsofCondition6relatingtotheConductofSalesappliestoallsalesofHorsesastheydotoallotherlivestock.

50 Warranties

50.1 Soundness

AllHorsesofferedforsalebytheVendormustbesoundinwind,eyesandactionfreefromanymedicalconditionsandhealthyineveryway.Anypreviousmedicalconditionsmustbestatedevenifresolved.IntheeventthatanyHorseisnotsowarranteditwillbesoldasseen.

AnunbrokenHorsecanbewarrantedsound.

50.2 Suitability

InthecaseofanyHorsethathasareserveplacedonitof£300ormoreorwhichsellsformorethanthatsumthefollowingsuitabilitywarrantiesmustbegiven:

50.2.1 aHorsewarrantedasaHuntermustbequiettorideintraffic,havebeenhuntedandcapableofbeinghunted;

50.2.2 aHorsewarrantedasaHackmustbequiettorideandquietintrafficandbecapableofbeingriddenasahack;

50.2.3 aHorsewarrantedasquiettoridemustbequiettorideintrafficandbecapableofbeingridden;

50.2.4 aHorsewarrantedasquiettodrivemustbequietintrafficandbecapableofbeingdriven;and,

50.2.5 aHorsewarrantedasaHunter,aHack,quiettorideorquiettodrivemustbecapableofbeingmanagedandridden/drivenbyareasonablyexperiencedpersonofanage,size,weightandstrengthappropriatetothesizeoftheHorse.

50.3 Warranty period

ThePurchaserhasuntil12noonontheMondayfollowingthesaletocontacttheAuctioneerandnotifyhimthatanywarrantyplacedontheHorsehehaspurchasedhasnotbeencompliedwith.InthecaseofanallegedbreachofthewarrantyofsoundnessthePurchasermustsupplyaVeterinarySurgeon’sCertificatetoverifytheallegedbreach.InthecaseofunsuitabilitysuchnotificationmustbeaccompaniedbyadetailedreportfromaVeterinarySurgeonastowhythePurchaserbelievestheHorse to be unsuitable.

50.4 Additional issues relating to Warranties

50.4.1 AHorsethatisawind-sucker,weaverorrigandonethathasbeentubed,unnervedoroperatedonforunsoundnessofanykindmustbesodescribed.

50.4.2 AHorsethatisawind-sucker(i.e.habituallyswallowsairwhetherinassociationwithgraspingobjectswithincisorteethornot)mustbesodescribed.

50.4.3 Acrib-biterneedonlybedescribedifthecrib-bitingisassociatedwithwind-sucking.

50.4.4 AnythoroughbredHorsethatisontheforfeitlistwithWeatherby’s/TheJockeyCluborthathasrunatanunrecognizedracemeetingmustbesodescribed.

50.4.5 AnyHorsethatisinfoalorbelievedtobeinfoalatthetimeofsalemustbesodescribedandifnotsodescribedandissubsequentlyfoundtobeinfoalwithin 56daysofthedateofthesalethenitisreturnabletotheVendoratthePurchaser’sdiscretion.

FortheavoidanceofdoubtthegeneraldescriptionofeachHorseanddetailsofage,heightandcolourdonotconstituteawarrantybutthedetailsoftheageoftheHorsemustcorrespondwiththedetailsgivenonthecurrentpassportorbreedsocietyregistrationcertificateapplicabletotheHorse.

51 Horsessoldwithoutwarranty–‘SoldasSeen’

IfaHorseistobesoldwithoutanyofthewarrantiessetoutaboveitmustbestatedontheentryformforthesalethatthisHorseissoldasseen.InthiscasethePurchaserhasnorecourseagainsttheVendorunderanyoftheabovewarranties.

52 Disputes

52.1 Onlyawarrantyofsoundnessorsuitabilitycanbedisputed.

52.2 NodisputewillbeentertainedbytheAuctioneeruntilthePurchaserhaspaidfortheHorsethatisthesubjectofthedispute.

52.3 AnysuchdisputemustbenotifiedtotheAuctioneerwithinthetimescalesetoutinCondition50.3.

52.4 IfthecomplaintisupheldbytheAuctioneertheHorseshallbereturnedtotheVendoratthePurchaser’sexpensewithin48hoursoftheAuctioneer’sdecision.

52.5 IfaVendorandPurchaserdonotagreewiththeAuctioneer’sdecisionthedisputeshallbesubmittedtothearbitrationofeitherasuitablyqualifiedVeterinarySurgeon(inthecaseofacomplaintofunsoundness)orasuitablyqualifiedperson(inthecaseofacomplaintofunsuitability).AttheAuctioneer’ssolediscretionthepersonappointedwillbeanarbitrator.

52.6 UnlesstheproceduresetoutinCondition52.5isfollowedthePurchaserwillberequiredtokeeptheHorsewithalltheallegedfaultsandwillhavenoclaimfordamagesorotherwiseagainsttheVendorortheAuctioneerinrespectoftheHorse.

Intheeventoftheappointmentofanarbitratorhisdecisionshallbefinalandbindingonbothpartiesandthecostsofthearbitrationandanyotherassociatedcostsshallbedeterminedbythearbitratorandsetoutinhisaward.

52.7 IfthedecisionoftheAuctioneerorthearbitrator(asthecasemaybe)isinfavourofthePurchaserthesaleoftheHorseshallbeannulledandthePurchasershallbeabletoreturntheHorsetotheVendorandreceivebackthepurchaseprice(withoutinterest)butwillnotbeentitledtothepaymentofanyexpensesincurredinthereturnoftheHorseorinconnectionwiththesaletohim.Thepartyagainstwhomanydecision/awardismadeshallberesponsibleforpayingalltheexpensesreasonablyincurredbytheAuctioneerorthearbitrator(asthecasemaybe)inconnectionwiththedisputeincluding(butwithoutprejudicetothegeneralityofthissubclause)thecostsassociatedwithanyexaminationorinquiryandthefeesofanypersonorpersonsappointedbytheAuctioneertodecideonthedisputeortomakeanyenquiryorexamination(asthecasemaybe)

PART1–POULTRY53 General

53.1 TheAuctioneerreservestherighttorefusetoacceptanypoultrywhichheconsidersunsaleableandtodisposeofanywhichdonotattractabid,whicharenotremovedbytheVendorimmediatelyafterthesale,andtochargetheVendorsuchfeeastheAuctioneerinhisdiscretiondeemsreasonableforitsremovalanddisposal.

53.2 Nosinglecockerelsorpensofcockerelsorshamo,asilorthelikewillbeacceptedforsale.

53.3 SingledrakesofdomesticbreedswillonlybeacceptedforsaleattheAuctioneer’sdiscretion.

53.4 EggsenteredintoapoultrysaleareforhatchingandbyenteringtheminthesaletheVendorwarrantsthattheyarebothfreshandfertile.

53.5 Nochicksorducklingsshouldbeenteredontheirown(iewithoutabroody)untilfully feathered.

53.6 Anywildfowlenteredforsalemustbedescribedaseitherpinionedorwingclipped.

53.7 The Vendor guarantees that all birds entered in any sale are bred from birds that are legallykeptincaptivity.

53.8 AllpoultryenteredforsalemustbeofthesexdescribedandmixedsexLotsmustbeasdescribedsothatatriocomprisesonecockerelandtwohens.

53.9 PoultryforbreedingwhichareinmixedsexLotsmustbeunrelated.

53.10 All poultry being transported to and from the Sale Premises must be transported in suitablecarryingboxesorcrates.

53.11 AllpoultryarewarrantedbytheVendorasbeingingoodhealthanddiseasefree.

Purchaser’s Rights

53.12 IntheeventofanydisputebetweentheVendorandthePurchaseritshallbereferredinthefirstinstancetotheAuctioneerandifthepartiesarenotsatisfiedwithhisdecisionitwillthenproceedinaccordancewiththeprovisionsofSchedule6.

PART2–RABBITS54 General

Vendor’s Warranty

54.1 Anyyoungrabbitssoldwithouttheirdoearewarrantedweaned.

54.2 Groupsofrabbitssoldtogetheraresoldasmixedsexunlessspecificallywarrantedasallbucksoralldoes.

54.3 Abreedingpairiswarrantedasbeingoneofeachsex.

55 FailureofPurchasertocomplywithConditions

55.1 IfthePurchaserdoesnotcomplywiththeConditionsinthisScheduleheshallbeboundtokeeptheanimalconcernedwithallfaultsandshallhavenoclaimfordamagesorotherwiseagainsttheVendororanyotherpersoninrespectofthesale.

55.2 ThePurchasermaynotsustainanyclaimundertheseConditionsunlesshehaspaidthepurchasemoneyinfullbeforetheclaimismade.

56 Faultsanderrorsofdescription

ExceptasexpresslyprovidedintheseConditionsthereshallbenoconditionorwarranty,otherwisethanastotitle,inregardtoanyLotssoldandthePurchasershallTakeDeliveryofeachLotwithallfaults,imperfectionsanderrorsofdescription.

57 Remedyforbreachofwarranty,otherthantheWarrantyofTitle

57.1 Exceptwhereotherwiseexpresslyprovided,thebreachofanywarrantyintheseConditionsshallgivethePurchaserarighttorefusetoTakeDeliveryofortoreturntheanimalinaccordancewiththeseConditionsandtorecoversuchreasonablecostsandchargesashemaybeentitledtoundertheseConditions,butshallgivehimnorighttoclaimdamagesfromtheVendorinlieuofexercisingsuchrightofrefusalorreturn.APurchaserisentitledtotheremediessetoutintheseConditions,buttonoothers.

57.2 NoclaimbyaPurchaserundertheseConditionsshallbevalidunlessthePurchaserfirstnotifiestheAuctioneerinthemannerandwithinthetimeprescribedsetoutintheseConditions.

57.3 WhereundertheseConditionsthePurchaserhastheoptionofreturningananimalorclaimingdamagesthen,unlesswithin3daysafterfirstnotifyingtheAuctioneerortheVendorofhisclaimheeitherreturnstheanimaltotheAuctioneeror,astheAuctioneermaydirect,totheVendororgivesnoticeinwritingtotheAuctioneerandtheVendorofhisintentiontoreturntheanimalandofhiswillingnesstocomplywithanydirectionswhichmaybegiventohimregardingthereturnoftheanimal,thePurchasershallbetakentohaveelectedtoclaimdamagesandtohavewaivedanyright to return the animal.

57.4 WhereundertheseConditionsthePurchaser’ssoleremedyistoreturntheanimalitshallbereturnedwithin3daysofanyrequesttodosobytheAuctioneer.

58 Procedureincasesofcontestedclaimsforbreachofwarranty

58.1 NoclaimbyaPurchaserthatananimaldoesnotcomplywithanywarranty,otherthananyWarrantyofTitle,shallbevalidunless:

a) thePurchasernotifiestheAuctioneerinthemannerandwithinthetimeprescribedintheseConditionsandprovidesanyVeterinarySurgeon’sCertificateorotherperson’scertificateoropinionrequiredbytheseConditions;and

b) inacasewherethePurchaserclaimstherighttorejectananimalonthegroundthatitsphysicalconditionconstitutesabreachofwarrantyandtheVendorcallsforaVeterinarySurgeon’sCertificatethePurchaserprovidesthatcertificatewithinsuchreasonableperiodastheAuctioneermayspecify.

58.2 NotwithstandinganyotherprovisionoftheseConditions,wherebytheseConditionsanyVeterinarySurgeon’sCertificateorotherperson’scertificateoropinionmustbeprovidedwithinanyspecifiedperiodtheAuctioneermay,eitherbeforeoraftertheexpirationofthespecifiedperiod,allowsuchfurthertimeforthedeliveryofthecertificateoropinionashemayinhissolediscretionthinkfitandwherethecertificateoropinionisprovidedwithinthatfurthertimethePurchaser’sclaimshallbeaseffectiveasifthecertificateoropinionhadbeenprovidedwithinthespecifiedperiod.

58.3 IftheVendordisputesthePurchaser’sclaimforbreachofwarranty,theclaimshallbereferredfordecisiontotheAuctioneerortosuchotherpersonastheAuctioneermayappointforthepurposeifbothpartiesagreeandintheabsenceofsuchagreementtheappointmentshallbereferredtotheexecutiveboardoftheLivestockAuctioneersAssociationwhosedecisionshallbefinal(ineithercasethepersonsoappointedshallbecalledthe“Referee”).TheReferee,whoshallactasanindependentexpertandnotasanarbitrator,shallmakesuchexaminationortrialoftheanimalandsuchinquiryofsuchpersonsasinhissolediscretionheconsidersnecessaryordesirablefordeterminingthedispute.

58.4 ThedecisionoftheRefereeonanymatterreferredtohim,whichshallincludethequestionwhetheranydiseaseisorisnot,whetherbyreasonofitstemporarycharacterorotherwise,suchastoconstituteabreachofwarranty,andonwhetheranyanimalwhichistobereturnedshallbereturnedtothepremisesoftheVendororoftheAuctioneer,shallbefinalandbindingonbothVendorandPurchaserprovidedthatifeithertheVendororthePurchasersorequestsinwritingwithin14daysafterthedecisiontheRefereeshallwithin21daysafterreceivingsucharequestputhisdecisioninwritingandsendacopytoeachoftheVendorandthePurchaser.

58.5 ThepartyagainstwhomanydecisionisgivenshallpayallreasonableexpensesincurredbytheAuctioneerinconnectionwithit,includingthecostsofanyexaminationorinquiryandthefeesofanypersonappointedbytheAuctioneertogiveanydecisionortomakeanyexamination,trialorinquiry.

59 Returnoflivestock

59.1 WhereaPurchaserexerciseshisrightundertheseConditionstorefusetoTakeDeliveryofanyanimalortoreturnittotheVendorheshallbeentitledtothereturnofsuchpartofthepurchasemoneyashehaspaid(andneednotpayanypartofitwhichhehasnotpaid)andtoarefundofthereasonablecostsandexpensesincurredbyhiminobtaininganyVeterinarySurgeon’sCertificateorotherperson’scertificateoropinionwhichheisrequiredtoprovideundertheseConditionsinordertoexercisehisright.

59.2 WhereaPurchaserexerciseshisrighttoreturnananimalheshalldosoathisownexpensebuttheVendorshallpaytothePurchaserthereasonablecostsandchargesofthetransitofsuchanimaltoandfromthePurchaser’spremisesand,inthecaseofananimalwhichhasbeenonthePurchaser’spremisesthereasonablecostofitskeep,AND,whereaPurchasercannotreturnananimalduetothe6daystandstillrules,bTBmovementrestrictionsorotherhealthorstatutoryrestrictionstheVendorwillrefundtothePurchaser33.33percentofthepurchasepriceoftheanimalinfullandfinalsettlementofhisclaim.

59.3 ShouldthePurchaserofanyanimalreturnitwithoutbeingentitledbytheseConditionstodosoheshallpaytheAuctioneerandtheVendorallcosts,expensesanddamageswhichtheymayrespectivelysustainorincurasaconsequence.

59.4 Themoniesproducedbythere-sale,afterdeductingthecostsandchargesofandattendingthere-sale,areasonablesumforthefeedandcareoftheanimalpendingre-saleandanyVeterinarySurgeon’schargesnecessarilyorreasonablyincurred,shallbeheldbytheAuctioneeronbehalfofthepersonwhoprovestobeentitledtothem,ormaybepaidintocourtunderinterpleaderproceedings.

59.5 Ifthemoniesproducedbythere-saleareinsufficienttocoverthecostsandchargesreferredtoinCondition59.4theAuctioneershallbeentitledtorecovertheshortfallfromthepersonwhowastheowneroftheanimalimmediatelybeforeitsre-sale.

59.6 IfaVeterinarySurgeoncertifiesthatanyanimalreturnedtotheAuctioneer’spremisesissufferingfromdiseaseoranyotherdefectandinconsequenceoughttobeslaughtered,theAuctioneermay,aftertakingallreasonablestepstonotifythePurchaserandVendor,causetheanimaltobeslaughteredandshallbeentitledtorecoverfromthepersonwhoistheowneroftheanimalatthetimewhenitisslaughteredtheVeterinarySurgeon’schargesandareasonablesumforthefeedandcareoftheanimalanditsslaughter.
