CONSTITUTION

ArticleINAMEOFTHEASSOCIATION

Section1ThenameofAssociationwillbeKUFOSTeachersAssociation(KTA)withHeadquartersatPanangad.

Section2Definitions:ItthisConstitution,unlessotherwiseprovidedfororunlessthereissomethingrepugnanttothesubjectorthecontext,thefollowingshallhold:

UniversitymeanstheKeralaUniversityofFisheriesandOceanStudies(KUFOS),Panangad.

AssociationmeanstheKUFOSTeachersAssociation(KTA).

UniversityAuthoritiesshallhavethesamemeaningasdefinedintheKUFOSAct,2010inforcefromtimetotime.

TeachermeansapersonsodeclaredbytheStatuesofKUFOS.

Membermeansateacherwhohaspaidtheprescribedmembershipfeeforthecurrentand/orthepreviousyear.

Section3AimsandObjects:TheaimsandobjectsoftheAssociationshallbe:

Topromoteculturalandacademicatmosphereandpursuits;

Tosafeguardandfurthertheinterestsofitsmembers;

TosuggesttotheUniversityauthoritiesandstriveforvariousmeasuresfortheimprovementofworkingconditionsandatmosphereandprofessionalaswellaseconomicstatusofteachers;

Todoallsuchthingsandacts,whetherincidentaltotheaforesaidobjectiveornot,asmaybeconductivetothefurtheranceoftheobjectivesoftheUniversityand/oroftheteachersandstudentsoftheUniversity.

ArticleIIMEMBERSHIP

Section1Entitlement:MembershipoftheAssociationwillbeopentoalltheteachersoftheUniversityonpaymentoftheprescribedannualmembershipfee.AteachershallbeentitledtobecomealifememberoftheAssociationbypayingasumequivalenttotenyearsofannualmembershipfee,andenjoyfullmembershiprightsaslongasheisintheserviceofKUFOS.

Section2MembershipRights:Everymembershallhavetherighttoattend,participateandvoteinallmeetingsofthegeneralbodyoftheAssociation.

ArticleIIIADMINSTRATIVEORGANIZATION

Section1 ExecutiveCommittee:TheExecutiveCommitteeshallconsistof:

OfficeBearers:ThefollowingshallbetheofficebearersoftheAssociation:

President

VicePresident

Secretary

JointSecretary

Elevenmembers

Exofficiomembers:TheoutgoingPresidentandSecretaryoftheAssociationwillbeExofficiomembersoftheexecutivecommitteewiththevotingrights.

Cooptedmembers:NotmorethanthreemembersshallbecooptedbythePresidentinconsultationwiththeelectedmembersoftheexecutive,preferablyfromcategoriesofteachers/collegenotalreadyrepresented.However,suchmembershallnothaverighttovoteinanExecutiveCommitteemeet.

ArticleIVELECTIONSOFTHEEXECUTIVECOMMITTEE

Section1 Electionscheduleandprocedure

ElectiontotheExecutiveCommitteeoftheAssociationshallbeheldinthemonthofDecembereveryyearorassoonaspossiblethereafter.TheelectionschedulewillbefinalizedbytheannualGeneralBodyMeeting.

Thereshallbeagapofatleast15daysbetweenthedateofelectionnotificationandthepollingdatefortheKUFOSCampus.

Nominationformembership/officeoftheExecutiveCommitteemustbefilledontheprescribedform(Appendix..).

AmembercancastonlyonevoteformembershipoftheExecutiveCommitteebesidesonevoteeachforthevariousoffices.

Theelectionshallbebysecretballotonthebasisofthesimplemajorityvote.

VotingbymembersstationedoutsidePanangadshallbearrangedbytheReturningOfficerattheirrespectivestationsorbypost.

Section2ReturningOfficer:ElectionwillbeconductedbyaReturningOfficer/AlternateReturningOfficer,whowillbenominatedbytheAnnualGeneralBodyMeetingasperthescheduleandproceduredecidedbyit.HewillbeassistedbytheoutgoingSecretary/JointSecretaryiftheydonotcontestelection.

Section3 Eligibilityforvotingandcontesting:

Onlythosememberswhoarenotinarrearsofmembershipfeebytheprescribeddategivenintheelectionscheduleshallhavetherighttopropose/second/contest/voteduringtheannualelection.

Amembershallnotpropose/secondmorethanonecandidateforthesameoffice.Similarly,amembercannotcontestofanofficeforwhichhehad

proposed/seconded someotherpersonsname.Thisappliestothe

membershipoftheExecutivealso.

Amemberwhoexpectstobeabsentfromhisheadquarteronthepollingdateonofficialbusiness/leavemaybeallowedtoexercisehisvotewiththeReturningOfficerbeforeproceedingonsuchofficialbusiness/leave.

Section4 Electionresults:

TheelectionresultsshallbedeclaredbytheRetuningOfficeronthedateofpollingatthePanangadCampus.

Incase,foranyofficeormembershipoftheElectiveCommittee,thecontestantssecureequalnumberofvalidvotes,thewinnerwillbedecidedbydrawoflots.

AlltheusedballotpaperswillbeputinasealedcoverbytheRetuningOfficerimmediatelyafterthedeclarationofelectionresults.Acandidatemayputhissignaturesofthesealedcoverifhelikestodoso.

Section5 ElectionPetition:

AnunsuccessfulcandidatemaychallengetheelectionofasuccessfulcandidatethroughanelectionpetitiontobefiledbyhimwiththeReturningOfficerwithinthreedaysoftheelectionresults.ThepetitionerwilldepositanonrefundablefeeofRs.100/onlywithhispetition.

TheReturningOfficer,afterhearingthepetitioneraswellasthedefendant,willgivehisverdictwithinsevendaysofthesubmissionofthepetitioner.ThedecisionoftheReturningOfficerwillbefinalandbindingonalltheparties.

Thepetitioner/defendant,duringthepresentationofhiscasebeforetheReturningOfficer,shallnotbeallowedassistancebyanybodyotherthanonememberofhischoice.

Afterthelapseofthreeworkingdaysfromthedateofdecisionoftheelectionpetition(lastpetition,ifmorethanonepetitionarefiled)theReturningOfficer,shalldestroyalltheusedballotpapersataplaceandtimetobeannouncedbyhimatthetimeolddeliveringhisverdictontheelectionpetition.Incasenoelectionpetitionisfiled,theusedballotpaperswillbedestroyedafterthelapseofthreeworkingdaysfromthelastdateforthefilingofelectionpetition.

Theactoffilinganelectionpetitionwillnot,inanymanner,debartheelectedmembers/officerbearersfromdischargingoftheirnormalfunctioning,duringthependencyofthepetition.

ArticleV MEETINGOFTHEASSOCIATION:

MeetingsoftheAssociationwillnormallybecalledbytheSecretaryinconsultationwiththePresident.ThePresidentcanalsocallmeetingsindependently.Thetime,dateandplaceofthemeetingsoftheAssociationandplaceofthemeetingsoftheAssociationshallbedecidedbytheExectiveCommittee.

Section1 MeetingsoftheGeneralBody

AnnualGeneralBodyMeeting

TheAnnualGeneralBodymeetingshall:

BeheldnormallyinthemonthofDecembereachyear.

Anoticeofatleast15dayswillbegiventothemembersforthemeeting.

ConsiderandadoptthereportoftheactivitiesoftheAssociationfortheyear;

Considerandapprovethefinancialstatementsfortheyear;

Finalizetheschedulefortheelectionofofficerbearers/membersoftheExecutiveCommitteeforthenextyearandnominatetheReturningOfficerforconductingtheelections.

OrdinaryGeneralBodyMeetings

AnordinaryGeneralBodymeetingwillbeheldatleastthreetimesinayear.AminimumnoticeofsevendayswillbegiventothemembersforanordinaryGeneralBodyMeeting.

AnordinaryGeneralBodymeetingwilldiscussanddecidetheagendaitemspreviouslyapprovedbytheExecutiveCommittee.AnagendaitemcanalsobeintroducedduringthemeetingitselfbyamemberwiththepermissionoftheChair.

ExtraordinaryGeneralBodyMeetings

AnextraordinarymeetingoftheGeneralBodyshallbecalledifarequisitioninwritingisreceivedfromatleastonesixthofthemembers.

Therequisitionrequestwillbeaccompaniedbytheagendaitemsproposedtobediscussedinsuchameeting.

Suchmeetingshallbeconvenedwithintendaysofthereceiptoftherequisition.

EmergencyGeneralBodyMeeting

Inasituationwhere,intheopinionoftheExecutiveCommittee,thereisanurgentneedfortheGeneralBodytoguide/directtheExecutiveCommitteeorspecificissue(s)suchanemergencyGeneralBodymeetingmaybeconvenedatanoticeoftwodays.Suchameetingwillnotdecideanyissueotherthanthespecificissue(s)forwhichitisconvened.

Quorumforthemeetings

Thequorumrequiredforameetingisatleastonesixthofthetotalmembership.

Ifthequorumisnotcomplete,themeetingcanbereconvenedafteradjourningatleastforthedayandbusinesscanbetransactedirrespectiveofthequorum,butwithoutanychangeintheagenda.

Chairman:

ThePresidentoftheAssociation,orinhisabsence,theVicePresidentwillpresideoverthemeetingsoftheGeneralBodyoftheAssociation.Intheabsenceofbothofthem,oneofthememberspresentwillbevotedtotheChairfortheparticularmeetingonly.

Section2 MeetingsoftheExecutiveCommittee

TheExecutiveCommitteeshallmeetatleastonceineverymonth.SuchmeetingswillbecalledasordinarymeetingsoftheExecutiveCommittee.

AnemergencymeetingshallbecalledbytheSecretaryinconsultationwiththePresidentoronawrittenrequisitionsignedbyanysixvotingmembersoftheExecutiveCommittee.Itwilldiscussthoseitemsforwhichthemeetingwasspecificallycalled/requisitioned.

OrdinarymeetingoftheExecutiveCommitteeshallconsidertheagendawhichisplacedbeforeitorsuchotheritemsasmaybeallowedbytheChairman.

ThequorumforameetingoftheExecutiveCommitteeshallbesixvotingmembers.Incasethequorumisnotcomplete,theprovisionofthesectionI(v,b)ofthisarticlewillapplytothemeetingsofExecutiveCommitteealso.

ThePresident,orinhisabsence,theVicePresidentoftheAssociationwillpresideoverthemeetingsoftheExecutiveCommittee.Intheabsenceofboth,oneofthemembersoftheExecutiveCommitteepresentatthemeetingwillbevotedtotheChair.

Section3VotingandDecisions:AllthedecisionstakenattheGeneralBodymeetingsoftheAssociation(exceptincaseofameetingcalledexclusivelyforthepurposeofamendmenttotheConstitution)andoftheExecutiveCommittee,shallbebysimplemajorityvoteofthevotingmemberspresent.Incaseofequaldivisionofvotes,theChairman/Presentwillexerciseacastingvote.

ArticleVI AMENDMENTOFTHECONSTITUTION

TheConstitutionmaybeamendedonlyinameetingoftheGeneralBodyspecificallyandexclusivelyconvenedforthepurpose.TheproposalforeffectinganamendmenttotheConstitution,supportedbyatleast20%ofthetotalmembership,shallbesubmittedtotheExecutiveCommittee,whichwillplaceitbeforetheGeneralBody.Suchproposalsshallbecirculatedtothemembersatleast10daysbeforesuchameeting.Theamendmentshallbedeemedtohavebeenacceptedifitisvotedforbyatleast2/3rdmajorityofmemberspresent

inthemeetingwhichshouldnotbelessthan1/3rdoftotalmembershippostedatthePanangadCampusonthedayofmeeting.

ArticleVII VOTEOFNOCONFIDENCE

Aresolutionregardingvoteofnoconfidence,canbemovedagainstanyofficebeareroftheAssociation.

TheresolutionshouldbesubmittedtotheExecutiveCommittee.

SucharesolutionmustbesignedandsubmittedtotheExecutiveCommitteebynotlessthan1/10ofthemembershipoftheGeneralBodyandshouldenlistsubstantivepointsofissueforproperdiscussionattheGeneralbody.

TheExecutiveCommitteewillconsidersucharesolutionandwillforwardittotheGeneralBodyifitsupportedby2/3membersoftheExecutive.

Sucharesolutionwillbeconsideredtohavebeencarriedbyasimplemajorityofthememberspresentandvoting.Iftheresolutioniscarriedout,thepostoftheofficerbearerwouldbedeemedtohavefallenvacant.

ArticleVIIIAUDITOFACCOUNTS

TheaccountsoftheAssociationforaparticularyearshallbeauditedbyauditorsappointedattheAnnualGeneralBodyMeetingoftheyear.Theauditedrepotinrespectofallincome/expenditureshallbesubmittedtotheExecutiveCommitteewhichshallthenplaceitbeforethesubsequentGeneralBodymeetingoftheAssociationforitsacceptance.

ArticleIX RESIGNATION/VACATIONOFOFFICE

Anymember/officebeareroftheExecutiveCommitteecanvacatehisoffice/membershipbysubmittinghisresignationinwritingtothePresident/Secretary.TheofficewillbedeemedtohavebeenvacatedwitheffectfromtheseventhdayoftheresignationunlessdecidedotherwisebytheExecutiveCommittee.

Anyvacancyofanofficerbearerarisingasaresultofdeathortheresignationor/foranyotherreasonshallbefilledbycooptionbytheExecutiveCommitteefortheremainingperiodofthetermfromamongstthemembersoftheExecutiveCommittee.

ArticleXINTERPRETATIONOFCONSTITUTIONSection1Ifthereisanydoubtregardingtheinterpretationofthearticle,section,clauseor

subclauseofthisConstitutionorofitsBylaws,theinterpretationofthe

Presidentshallbefinalandbinding.Section2BylawsshallbeframedonlyinaccordancewiththeConstitution.ArticleXIPOWERSANDDUTIEDOFTHEEXECUTIVECOMMITTEE

TheExecutiveCommitteeshall

serveasthegoverningbodyoftheAssociationandshallberesponsibletotheGeneralBody;

regulatethefundsandallexpenditure;

appointsuchsubcommitteeasitmaydeemfitandnecessaryforachievingtheaimsandobjectoftheAssociation;

assigningsuchotherdutiestoitsmembersortothemembersoftheGeneralBodyasitmaydeemfirfromtimetotime;

doallsuchactsandthingsasmaybenecessarytogetthedecisionoftheGeneralBodyimplementedinletterandspirit;

keepawatchfuleyeonthedecisions/policiesoftheUniversityauthoritiesandtrytointervenewheresuchdecisions/policiesareagainsttheaimsandobjectsoftheUniversity/Association;

takealldecisionsandactwithintheframeworkofthedecisions/policiesdecidedbytheGeneralBody.

AllcorrespondenceaddressedbythePresidenttotheUniversityauthorities/otheragencieswillbeopentoperusalbymembersoftheExecutiveCommittee.

Article XIIPOWERSANDDUTIESOFOFFICEBEARERS

Section1 President

ThePresidentshall:

presideoveralltheGeneralBodyandExecutiveCommitteemeetingsoftheAssociation;

haveacastingvoteincaseofequaldivisionofthevalidvotes;

betheprincipalexecutiveandadministrativeheadoftheAssociationandshallhaveallthenecessarypowersforthedischargeofhisduties;

keepanactiveliaisonwiththeUniversityauthoritiesinordertoachievetheaimsandobjectsoftheAssociation.

Section2 VicePresident

TheVicePresidentshallassistthePresidentinthedischargeofhisduties.IntheabsenceofPresidentinthedischargeofhisduties.IntheabsenceofPresident,theVicePresidentshallperformthefunctionsofthePresident.

Section3 Secretary

TheSecretaryshall:

bethecustodianoftheproperty,officeandrecordsoftheAssociation;

callmeetingsinconsultationwiththePresidentandmakenecessaryarrangementforallmeetingsandfunctionsoftheAssociation;

recordtheminuteofthemeetingsandissueproceedingsofthemeetingsfortheinformationoftheGeneralBodyandcarryoncorrespondenceonbehalfoftheAssociation.

SubmittheAnnualReportofactivitiesoftheAssociation.

e) HavethepowertosanctionexpendituretothelimitofRs.250/only.

Section4 JointSecretary

ThefunctionoftheJointSecretaryshallbetoassisttheSecretaryandcarryoutthefunctionsoftheSecretaryinthelattersabsence.

Section5 Treasurer

TheTreasureshall

holdallthefundsoftheAssociationonitsbehalf.

ReceivepaymentsandgiftsonbehalfoftheAssociation.

MakeauthorizedpaymentonbehalfoftheAssociation.

operatethefundsoftheAssociationjointlywithSecretaryorthePresident;

e) beresponsibleforthemaintenanceofaccountsoftheAssociationandpresentthesametothePresident/ExecutiveCommitteewhenever

requiredtodoso;

submitreportofincomeandexpendituretotheGeneralBody;

maintaintheRegisterofmembership;

h)Gethisaccountsauditedbyauthorizedauditors;

i) Makenecessaryarrangements,jointlywiththeExecutiveCommittee

forthecollectionofthesubscription.

ArticleXIIIPOWERSANDDUTIESOFTHEGENERALBODY

1.TheGeneralBodyshallbethesupremeauthoritytolaydownpoliciesinaccordancewiththeaimsandobjectivesoftheAssociation.

2.AlldecisiontakenbytheGeneralBodyshallbebindingonitsmembersandontheExecutiveCommittee.

Section4TheBankaccountshallbejointlyoperatedbytheTreasurerandthePresident

/Secretary.

Section5AnamountofRs.500/shallbeplacedatthedisposaloftheTreasurertomeet

contingentexpensesoftheassociation.

Section6ItwillbedesirablethatforanexpenditureaboveRs.1000/consentofExecutive

Committeeshouldbeobtained.

ArticleIII AmendmentofByeLaws

AmendmenttothebyelawsproposedbytheexecutivecommitteeshouldbecirculatedtothemembersatleasttendaysbeforetheGeneralBodymeetingthemeetingshouldbeattendedatleastbyonethirdofmemberspostedatPanangadCampus.

Theamendmentwillbeapprovedbyasimplemajorityofthememberspresentinthemeeting.

ArticleIV ElectionSecurityAndNominationFormFee

EachnominationformwillbeaccompaniedbyanonrefundablefeeofRs.10/

SecurityofRs.100/willbechargedfromeachcandidateforelectiontothemembershipofExecutiveCommittee.thesecurityamountwillbeRs200/forelectionbeaersoftheExecutiveCommitteeexceptforofficeofpresidentsforwhichitwouldbeRs500/

Theaforementionedsecurityofacandidateshallstandforfeitedtotheassociationifhepollslessthan1/5ofthehighestnumberofthevalidvotespolledbyacandidateforthatparticularoffice/membershipasthecasemaybe.
