This money will be paid out of a commodity futures ex- change’s investor protection fund (IPF), which will be funded by the penalties levied and collected by an exchange from its brokers less ad- ministration costs, which has been capped at 10% of such penalties. The corpus of IPF will also in- clude one percent of transaction fees collected by bourses from each member or Rs 25 lakh, whichever is lower, in a financial year. These are the crux of norms spelt out by the Forward Markets Commission (FMC), regulator of the commodity futures market, for the creation of IPFs by the five national commodi- ty exchanges — Financial Technol- ogies-promoted MCX, NSE-found- ed NCDEX, Ahemedabad-based NMCE, Kotak-promoted Ace and Reliance ADA-anchored ICEX. FMC has asked exchanges to set up trusts to administer the IPF, which, it said, must become oper- ational by March 31, 2012. The trust will comprise of two eminent per- sons, an independent director on the exchange board, an FMC nomi- nee on the board and the bourse’ s MD & CEO. Till the trust becomes operational, all the penalties col- lected by the exchange will be kept in a separate bank account. Also, FMC has asked the exchanges to constitute an IPF committee to op- erationalise the IPF trust by mid- November. “We want more retail clients to participate in this growing market and these measures are intended to provide them with the comfort and confidence that they will be protect- ed against any default by an erring broker,” said Ramesh Abhishek, chairman of FMC. “We have opted for the trust model over a Section 25 company as this is a time-tested model and invests the trust’s cor- pus in risk-free instruments like government securities.” The IPF has been modelled on sim- ilar lines of IPFs prevalent in the capital market. The trust will re- port to the charity commissioners of respective states in which they operate. The norms for the creation of IPF were pending since the past 4 years with exchanges offering dif- fering suggestions on the manage- ment of the fund. At least two ex- changes, it is learnt, pitched for managing the fund as a Sec 25 com- pany, where its corpus could be in- vested in high yielding instru- ments. “The creation of IPF is on expected lines, but is a good move considering the growing investor interest in the commodity market,” said Dilip Bhatia, CEO, Ace Deriva- tives & Commodity Exchange. IPF comes into play when a broker de- faults in paying his clients and his deposits with the exchange are not enough to compensate them. For in- stance, if a member defaults to the tune of Rs 5 crore and his deposits with the exchange amount to Rs 1 crore, all his clients may not be able to get compensation. Under the re- vised norms, each client will be eli- gible for a maximum claim of Rs 2 lakh from the IPF. It had to re- duce its stake to 40% by August this year but was given a three-month extension till November. The promoter is examining the option of selling 11% out of the 51% it holds to domestic as well as foreign investors. It has already submitted a proposal to the For- eign Investor Promotion Board (FIPB) on the possible induction of foreign partners, each of whom can hold a maximum of 5% in a commodity exchange. “Apart from a high one-time capi- tal expense to set up a bourse, in- cremental costs for running one are not so high, while revenue streams are known. Therefore, net profit can be in the region of 15- 20% compared with 5-6% for, say, a company in the manufacturing sector where input costs tend to be higher. Each investor in the commodity fu-tures market can now claim a com-pensation of up to .̀ 2 lakh if a bro-ker defaults in making payments tohim/her. This money will be paidout of a commodity futures ex-change’s investor protection fund(IPF), which will be funded by thepenalties levied and collected by anexchange from its brokers less ad-ministration costs, which has beencapped at 10% of such penalties.

The corpus of IPF will also in-clude one percent of transactionfees collected by bourses from eachmember or Rs 25 lakh, whichever islower, in a financial year. These arethe crux of norms spelt out by theForward Markets Commission(FMC), regulator of the commodityfutures market, for the creation ofIPFs by the five national commodi-ty exchanges — Financial Technol-ogies-promoted MCX, NSE-found-ed NCDEX, Ahemedabad-basedNMCE, Kotak-promoted Ace andReliance ADA-anchored ICEX.

FMC has asked exchanges to setup trusts to administer the IPF,which, it said, must become oper-ational by March 31, 2012. The trustwill comprise of two eminent per-

sons, an independent director onthe exchange board, an FMC nomi-nee on the board and the bourse’ sMD & CEO. Till the trust becomesoperational, all the penalties col-lected by the exchange will be keptin a separate bank account. Also,FMC has asked the exchanges toconstitute an IPF committee to op-erationalise the IPF trust by mid-November.

“We want more retail clients toparticipate in this growing marketand these measures are intended toprovide them with the comfort andconfidence that they will be protect-ed against any default by an erringbroker,” said Ramesh Abhishek,chairman of FMC. “We have optedfor the trust model over a Section 25company as this is a time-testedmodel and invests the trust’s cor-pus in risk-free instruments likegovernment securities.”

The IPF has been modelled on sim-ilar lines of IPFs prevalent in thecapital market. The trust will re-port to the charity commissionersof respective states in which theyoperate. The norms for the creationof IPF were pending since the past 4years with exchanges offering dif-fering suggestions on the manage-ment of the fund. At least two ex-

changes, it is learnt, pitched formanaging the fund as a Sec 25 com-pany, where its corpus could be in-vested in high yielding instru-ments. “The creation of IPF is onexpected lines, but is a good moveconsidering the growing investorinterest in the commodity market,”said Dilip Bhatia, CEO, Ace Deriva-tives & Commodity Exchange. IPFcomes into play when a broker de-

faults in paying his clients and hisdeposits with the exchange are notenough to compensate them. For in-stance, if a member defaults to thetune of Rs 5 crore and his depositswith the exchange amount to Rs 1crore, all his clients may not be ableto get compensation. Under the re-vised norms, each client will be eli-gible for a maximum claim of Rs 2lakh from the IPF.

Kotak Mahindra Bank, pro-moter of Ace Derivativesand Commodities Exchange,

could rake in between .̀ 24 crore and.̀ 29.5 crore by selling 11% of itsstake in the exchange by November10. The valuation is well over twiceof what it paid when it bought 51%in the exchange more than twoyears ago.

The price is based on a premiumof .̀ 12-18 for each share valued at.̀ 10, said a person with knowledgeof the development. “They arelooking at a price of .̀ 22-28 a shareby inducting foreign or domesticinvestors,” said the person, who de-

clined to be identified because ofthe deal’s sensitivity. If a deal goesthrough at this price, the exchangewould be valued at .̀ 210-268 crore,or more than the .̀ 180 crore rival In-dian Commodity Exchange (ICEX)was learnt to be valued at after an-

chor investor In-diabulls sold 26%of its stake in thebourse to RelianceADA Group lastyear for .̀ 47 crore.

Dilip Bhatia,CEO, Ace, said,“The process of thereduction of Kotakfrom 51-40% is re-quired as per li-cence conditions.We understand

that discussions are on between Ko-tak Bank and various investors inthis regard. Since it is Kotak'sshares that are in question, Ace isnot in the know of details of thesediscussions.”

The company is scouting for do-mestic and foreign investors to cut

its stake in line with governmentnorms that require a strategic in-vestor of an upgraded exchange —converted to national from region-al status — to reduce its stake from51-40% within one year of gettingfinal regulatory approval. Ace re-ceived in-principle approval fromForward Markets Commission(FMC) in May 2009 and final ap-proval in August 2010. It had to re-duce its stake to 40% by August thisyear but was given a three-monthextension till November.

The promoter is examining theoption of selling 11% out of the51% it holds to domestic as well asforeign investors. It has alreadysubmitted a proposal to the For-eign Investor Promotion Board(FIPB) on the possible induction offoreign partners, each of whomcan hold a maximum of 5% in acommodity exchange.

“Apart from a high one-time capi-tal expense to set up a bourse, in-cremental costs for running oneare not so high, while revenuestreams are known. Therefore, net

“China is quite active in themarket. They are reducing costby going for direct purchase,avoiding middlemen. By the endof the current fiscal, their sharein Indian seafood by value couldrise beyond the current 15%,’’said N Ramesh, director of mar-keting, Marine Products ExportDevelopment Authority.

Though the EU accounts for amajor share of 27% in valueterms, its offtake is showingsigns of a gradual decline.

This can be seen in the purchaseas, unlike in the past, they are go-ing for small-sized shrimps to cutdown cost.

Higher demand from China andSoutheast Asia is partly due to
