OVERVIEWElectric utilities are monopoly service providers and therefore subject to unique financial requirements and regulation. Unlike competitive service providers, rates charged and cost recovery mechanisms are subject to unique principles and differing levels of regulatory oversight ranging from self-regulation in the case of electric cooperatives to local board or council regulation in the case of municipals, to state commission price regulation in the case of Investor Owned Utilities (IOUs). This introductory class provides a brief overview of the American power industry evolution and explains the principles of monopolistic price regulation (i.e., cost of service), the various types of electric utilities, and financial basics for each. Explanations of the basic financial concepts for electric utilities will be provided with a focus on Investor Owned Utilities.

Lisa M. Vedder, MBA, CIA, CCSA Principal Consultant, Willdan Financial ServicesHarvard University: Master in Public AdministrationUniversity of Wisconsin-Madison: B.S. Industrial Engineering

Ms. Vedder is a Principal Consultant at Willdan Financial Services. She has over 25 years of experience in the utility industry with special emphasis on electric and natural gas industry restructuring in the U.S. Her career spans the electric, natural gas, solid waste, wastewater, water and telecommunications utility sectors. Her responsibilities include utility cost of service and rate design studies, strategic business planning, and organizational assessments. Her areas of expertise include finance, regulatory policy, cost allocation, complex quantitative modeling, power markets, power supply contracts, and auditing. She specializes in regulatory treatment methodologies for costs associated with both regulated and competitive activities, fuels portfolios, bond financing, transmission rates and services, and the electric and natural gas sectors at the wholesale and retail levels. She has served as an Independent Auditor to an IOU for large-scale third party solar and wind procurements and as a subject matter expert to the Provincial Auditor of Saskatchewan in an audit of a competitive power solicitation. She was technical lead to the Joint Outreach Team for the Department of Energy’s Defining the Future of the Grid Initiative in 2012. She served as Lead Auditor for an ISO 14001 Environmental Management System Consolidated Audit of a $245M state-of-the art wastewater treatment plant. Ms. Vedder has conducted privatization and securitization analyses, negotiated complex deals, and mediated disputes. She has led workshops; prepared written testimony, white papers, and briefs; and submitted to the Federal Energy Regulatory Commission (FERC), various state regulatory agencies, and an international tribunal. She is a trained facilitator and studied leadership and change management at Harvard where her Methodological Areas of Concentration included Negotiation & Conflict Resolution and Regulation & Industry Analysis.

Ms. Vedder, a member of Tau Beta Pi and Alpha Pi Mu, was the Women’s Leadership Initiative Fellow for her class at Harvard. She is a Certified Internal Auditor and holds a Certification in Control Self-Assessment.

OVERVIEWThis two-day course will lead participants through the cost-of-service process from start to finish in detail. We will discuss and compare differences among investor-owned utilities, municipal utilities, and electric cooperatives in cost-of-service principles and techniques. Both traditional and unbundled cost-of-service analytical techniques will be discussed. Each participant will complete a sample cost-of-service analysis during the course. Training materials will be provided.

RECOMMENDED BACKGROUNDNo prior cost-of-service experience is required, although knowledge of utility system infrastructure, business environment, and operations will be helpful. To participate in model development, a laptop computer with Microsoft Excel 2003 or later is required.

INTRODUCTION TO RATE DESIGN FOR ELECTRIC UTILITIES

OVERVIEWThis two-day course will introduce rate design concepts to participants. The course will build upon information discussed and developed in the Introduction to Cost-of-Service Concepts and Techniques for Electric Utilities course. Each participant will work through sample rate design exercises during the course. Training materials will be provided.

RECOMMENDED BACKGROUNDNo prior rate design experience is required, although knowledge of utility system infrastructure, business environment, and operations will be helpful. To participate in model development, a laptop computer with Microsoft Excel 2003 or later is required.

Mr. Burnham has over 18 years of experience in consulting, management, cost-of service, feasibility analyses and valuation services. His responsibilities include development of revenue requirements, costs-of-service allocation methodologies, rate design and revenue adequacy studies, utility valuation analyses and other engineering economic analysis. His project feasibility, financing and system acquisition projects have provided clients with a sound financial basis upon which to make decisions on purchasing, selling or modifying facilities. His rate related projects have included those that required the development and review of retail and wholesale electric rates, and rate structures, and analysis of rate riders for interruptible industrial rates, environmental cost adjustment rates, energy / fuel cost recovery and others. He has also assisted industrial customers in rates negotiation and evaluation.

Mr. Burnham has also been involved in feasibility and implementation studies, independent engineering reviews, operation and maintenance reviews, planning studies and valuation studies for generation assets. He has led multiple projects that have focused on determining the value of distributed solar resources to specific utilities. His clients have included municipal utilities, investor-owned utilities, electric cooperatives, and private sector clients.

David A. Berg, P.E. Principal, Dave Berg Consulting, LLC

Mr. Berg is a Principal with Dave Berg Consulting, LLC, and has more than 32 years of experience. He specializes in consulting services requiring a combination of technical and financial expertise. His electric industry restructuring and pricing work has assisted utilities in stabilizing their customer base and revenues in an increasingly complicated environment as well as in educating them on the particular industry changes that could affect their operations most significantly. His project feasibility, financing and system acquisition projects have provided clients with a sound technical and financial basis upon which to make decisions on purchasing, selling or modifying facilities. He understands the special issues confronting small and medium size municipal utilities, as well as the joint action agencies serving these utilities. He has also assisted industrial customers in analyzing particular industry issues that impact their operations.

Mr. Berg has also been involved in financial and technical evaluation of power generation projects that utilize alternative fuels. These have included landfill gas, biomass and wind generation projects.

Mr. Berg is a popular speaker both at utility training sessions and state and national conferences, due to his ability to focus on the essential points of complicated issues and to recommend actions appropriate to the audience.

4Program DescriptionWith ever-increasing pressures and challenges on utilities from heightened customer expectations, changing regulations, tech-nology advances, and a changing workforce, those who lead and manage public power utilities must be equipped with the knowledge and skills to create an effective and sustainable or-ganization with engaged, skilled and committed employees. The Public Power Manager Certificate Program is designed for a new generation of leaders as well as existing supervisors and manag-ers. It will help these leaders provide organizational direction as they navigate a changing and complex industry environment.

To earn a Public Power Manager certificate, participants must complete the three required courses, then within a year of com-pleting the program curriculum, complete a project that address-es an important issue, problem, change, or opportunity within their organization by applying principles and methods of the six key leadership dimensions learned through the coursework.

The 16th edition of the manual will be published in 2017. Since 1955, it has set the public power standard for safety compliance information.

The manual has been revised and expanded since its last publication in 2012 to incorporate a number of U.S. Occupa-tional Safety and Health Administration and other federal and in-dustry standards. As you will see throughout, we are focused on helping you build your skill sets, connect to others, and explore new learning opportunities that support individual, team, and utility development. In 2017, we introduced Learning on Demand. This is an online program that provides eLearning modules and short micro-learning videos to support just-in-time learning needs. Who Should Attend:Administrative professionals and anyone who wants to understand how each role in the utility impacts the budget and financial statement.

Course Overview:This one-and-a-half day course has been designed by Kim Mikkelsen for all employees of utilities and is based on the premise that "every employee and every task performed at the utility has an impact on the ultimate bill sent to a member/customer." Mikkelsen will describe how the impact of your job can be measured and evaluated. Practical examples will be provided for improving favorable outcomes and minimizing those that are not as favorable. Employees will learn skills that help their system achieve financial security and long-term benefits for members. Utility systems' financial cornerstones will be revealed in terms that all employees can understand. The class will conclude with a discussion of employees' participation in the financial health of the utility; budgeting, cash flow, and the importance of tracking expenses will also be highlighted.

Course Topics:• Analysis of the financial report. What lines on the financials are impacted by

your job and productivity? Where does the money to support your activities come from? Review of the Balance Sheet and the Statement of Operations.

• Accounts turnover ratio, write-offs, and over-90-day accounts.• Inventory turnover ratio, inventory as a percentage of total plant, and

acceptable inventory variances.• Construction work in progress, impact of pole replacement, depreciation,

vintage accounting, idle services, overtime ratio, contributions in aid of construction (CIAC), and continuing property records.

FRAUD FUNDAMENTALS FOR UTILITY PERSONNEL

Who Should Attend:Mid- and senior-level management, as well as those involved in the accounting, treasury, purchasing, inventory, cashier, billing, and collection functions at the utility.

Dates and Locations:March 2, 2018 – Anchorage, Alaska

Course Overview:This course brings out the importance of safeguarding the utility’s assets from loss or abuse by those both inside and outside of the entity’s walls, and helps identify how to prevent fraud from happening. If you firmly believe that fraud cannot happen at your utility, it may already be occurring right under your nose.

Course Topics:• What is fraud? If employees don’t know the many faces of fraud, how can they

identify and report it when they see it?• Why does fraud occur, and what are the red flags that may be waving in the

wind?• Who is responsible for preventing, finding; or reporting fraud? Your auditors?

Management? You? Is ethics a black-and-white or gray area? The answers may surprise you.

• An ounce of prevention is worth a pound of cure. We’ll explore easy, practical, and effective ways to minimize the possibility of fraud at your utility.

This course will also examine recent cases of fraud that occurred at rural electric cooperatives. Participants will also explore methods to identify the weaknesses at their utility that are ripe for the taking.

LOAD FORECASTING

Who Should Attend:Analysts and managers who are new to forecasting and statistic analysis, or anyone who needs a refresher course in evaluating load forecasts developed for their utility.

Course Overview:Does your current load and revenue forecast reflect the economic, financial, and regulatory realities facing your utility today? Do you understand what goes into the load forecast developed by your utility and BPA? If your utility has not revisited its projected load and forecast methodology recently, it may be time to re-examine these given the TRM rate design and the new economic and regulatory environment utilities are operating in today.

For BPA customers, BPA’s TRM rate design relies on the load forecast developed by BPA for your utility in order to project demand and load-shaping charges. The load forecast is also used to determine your utility’s need for Tier 2 purchases or new resource acquisitions for the next five to 20 years. While BPA develops forecasts for all BPA customers, it is crucial for each utility to understand, verify, and concur with the forecast methodology and results developed by BPA; the financial consequences of a flawed forecast can have significant impacts on utility rates.

As your utility is planning to meet future loads, it is important to understand how local generation (such as solar distributed generation) and new uses (such as electric vehicles) may influence resource requirements in the future. Incorporating conservation efforts correctly into your forecast will also be important. The afternoon presentation will provide real examples and considerations from BPA and BPA customers.

Who Should Attend:Anyone who has completed at least two modules of NWPPA's Utility Accounting Certificate Program, or anyone with significant utility accounting/finance experience.

Course Overview:The financial statement of a utility is just a starting point; accounting is looking back—it's your brake lights, and it doesn't change anything. Financial management is looking forward—it's the headlights, it will be the beacon to guide your system's future; and it's the navigator. This course will navigate these strategies and include the following topics:

• Key evaluation and development of strategies in billing, operations, engineering, communications, governance costs, and finance

• Creating a healthy equity strategy• Benchmarks for comparison to other utilities• Evaluating cash flow• Adequacy in budget development

Your tool pack will include Excel spreadsheets that you can take home to shine a beacon of light on your system. These are navigational tools that, when used with good and accurate input information, will yield a rational course of direction to guide your utility forward.

NUTS AND BOLTS OF WORK ORDERS

Who Should Attend:Employees involved in any aspect of preparing and/or processing work orders for their electric utility, or employees outside the accounting area who want a better understanding of the work order process.

Course Overview:Over 75 percent of a utility’s assets are in plant—quite a big chunk of money requiring a big chunk of skill to track. Every dollar charged to plant will show up in a utility bill sent to the consumer. Therefore, this course will tackle 1) How does the plant land on the power bill? and 2) How will the system finance the cost? Other topics will include:

• How and when a work order will be set up (capital versus expense)• How the project will be built (line staking)• What charges will be assigned to the work order (components of construction

cost)• How to measure if the charges are proper (internal controls and key ratio

analysis)• What odd things may be encountered and suggested actions (CPRs and special

STAFF REPORT

LABOR MANAGEMENT AD-HOC COMMITTEE

Requested Action:

That the Board President appoint two Board Members to a Labor Management Ad-Hoc

Committee to consider privileged, confidential labor related information, and all items related to

employee compensation and benefits.

Background:

During the December Board meeting, Board members requested that the schedule and areas of

authority of the Personnel Committee be evaluated.

The current Employee Handbook specifically refers to the Personnel Committee twice, as

follows:

1. “CODE OF ETHICS

District employees shall at all times remain aware of their status as public servants, and,

should be mindful that they serve the public and its mandate as expressed through its

elected Board of Directors.

As part of maintaining ethical behavior, employees are encouraged to report any acts

which undermine the integrity of the District including theft, embezzlement, harassment,

destruction or misuse of public property to the General Manager or the Personnel

Committee of the Board. As part of maintaining ethical behavior, employees are

2. “WHERE TO GO WITH YOUR CONCERNS, COMPLAINTS OR GRIEVANCES

As an employee of Kirkwood Meadows Public Utility District you are encouraged to

raise your concerns with the General Manager or Personnel Committee of the Board.

Employees are encouraged to report any acts which undermine the integrity of the

District including theft, embezzlement, harassment, destruction or misuse of public

property, etc. to the General Manager or the Personnel Committee of the Board.

You may be offered informal assistance. This could be in the form of just listening or

moderating a voluntary meeting, etc.

If you report possible acts of discrimination or harassment, request a more formal

intervention, or the party hearing your concern believes it necessary, your report will be

put in writing. It will then be reviewed. Further action will be planned as appropriate.

All involved will treat the issues you raise objectively. Kirkwood Meadows Public

Also, in March 1992 the Employment Subcommittee, the precursor to the Personnel Committee,

held an evidentiary hearing relative to an appeal of a terminated employee. However, the current

Employee Handbook does not provide for any appeal of decisions to the Personnel Committee.

The Personnel Committee has met 6 times per year since 2014, and has considered the following

issues, among others, in open session:

• Staff Performance

• Health Benefits

• Fringe Benefits

• Retirement Benefits

Normally, these items would be considered under a closed session exemption and may include

privileged, confidential labor related information.

Staff recommends that privileged, confidential, compensation or benefit topics be moved to an

Ad-Hoc committee, which is not open to the public, so as to preserve confidentiality of the

aforementioned topics. Staff also recommends that the balance of topics normally under the

purview of the Personnel Committee continue under their authority.

Staff further recommends that the Personnel Committee have regularly scheduled bi-monthly

meetings, if needed and that the Ad-Hoc committee meet only as needed.

Alternatives:

The Board President may decline to appoint an Ad-Hoc committee.

The Board President may alter the scope of the Ad-Hoc committee.

Kirkwood Meadows Public Utility District BOARD OF DIRECTORS

PERSONNEL COMMITTEE

CHARTER

PURPOSE: The Personnel Committee is established as a Board Committee of the Board of Directors whose primary duties are to oversee personnel and compensation matters related to the General Manager, benefits programs, annual personnel costs and regulatory issues related to the employment of District personnel. The Personnel Committee also acts in an advisory capacity to the General Manager on personnel and organizational topics that the General Manager may bring to the Committee. MEMBERSHIP: The Personnel Committee shall consist of two Board Directors. One of the two members shall be the Board President. The Committee may establish such subcommittees as it believes are necessary to fulfill its purpose. MEMBERSHIIP TERM: The term for the Board member who is Chair shall run with the time he or she is President of the Board. The term for the second Director shall be two years. COMMITTEE CHAIR: The Board President shall be Chair of the Committee. MEETINGS: Meetings of the Personnel Committee are not subject to the Brown Act meeting and notice requirements unless the Committee has a continuing subject matter jurisdiction. The Committee shall meet as often as the Chair of the Committee deems necessary or desirable, but in no case shall it meet less frequently than quarterly. COMMITTEE RESPONSIBILITIES: The Committee shall keep itself generally aware of District personnel matters and of the General Manager’s performance relative to his/her duties. The Committee’s primary responsibilities are as follows:

Oversee the Board’s hiring process for the General Manager position and all other matters regarding the General Manager’s employment.

Assure that a succession plan for the General Manager position is in place, and that the General Manager has a management plan in place adequate to fulfill the District’s responsibilities.

Oversee the Board’s process of setting annual goals for the General Manager and the District.

Discuss the General Manager’s performance with the General Manager at least semi-annually, at mid-year and at end of year. Solicit performance feedback from the community and other Board members, and use this information in the discussions. Base the discussions on agreed upon goals for the General Manager and the District.

Recommend the General Manager’s compensation package to the Board. Recommend the annual budget for the District’s personnel costs to the Board,

including overall budget for salaries, benefits and bonuses. The General Manager

shall be responsible for allocating the approved personnel budget to District employees, including salaries, salary increases, bonuses, etc.

The Committee may from time to time recommend to the Board that a study be conducted to assure that the District’s salaries and benefits are appropriately competitive with similar Districts in the area.

Periodically review the District’s personnel policies and Employee Handbook, and recommend any changes to the Board, including regulatory requirements or other amendments that the Committee deems appropriate.

Act in an advisory capacity to the General Manager on any personnel and organizational related matters that the General Manager wishes to bring to the Committee.
