PART-I : REQUEST FOR PROPOSAL

Introduction

Kerala Financial Corporation (KFC) incorporated under the State Financial Corporations Act of 1951, is a trend setter and path breaker in the field of long term finance, playing a major role in the development and industrialisation of Kerala. It was established on 01.12.1953. Now KFC has 16 Branch Offices with its Head Quarters at Thiruvananthapuram and Zonal Offices at Kozhikode, Ernakulam and Thiruvananthapuram . The main objective of KFC is the rapid industrialization of the state by extending financial assistance to Micro, Small and Medium Enterprises in manufacturing and service sector. Corporation can give financial assistance for setting up of new units and for the expansion / modernization / diversification of existing units in both manufacturing and service sectors. Since inception KFC has disbursed over Rs. 3000 Crores to more than 40,000 projects, spread over the length and breadth of the State. Kerala State Entrepreneur Development Mission (KSEDM), aims at inculcating entrepreneurial confidence among youth of the State through the process of selecting persons with aptitude and earnestness, training them meticulously and providing them interest free financial assistance up to Rs.20 lakhs.

KFC’ business operations are linked with its Core Financial Solution(CFS), which encompasses all the business functionality of the organization such as Loan processing, Loan & Financial Accounting, HRMS, payroll, Asset management etc. KFC intends to make its loan application process online for applying for various schemes of KFC. The customers can login from anywhere and will be able to access the loan application form, feed the data, upload the relevant documents and submit the application form. The customer will also be able to know the status of the application. KFC can inturn utilize the facility to speedup the loan application process and to reach out to more customers.

Scope of Work

KFC intends to make its loan application (attached as Annexure III) online with an attractive user friendly frontend with backend database.

The scope of work of the project involves the following:

1. Requirement Analysis (the development team/team lead should interact with KFC officials and identify the actual requirements.)

2. Submission of Software Requirement Specification(SRS),(the firm should study the actual requirement and should submit the SRS with prototype of the proposed system and database design.)

3. Design and Develop the Online Loan Application, (the application should be

developed in Agile mode of Development.) 4. Testing and hosting the application, (the firm should conduct unit testing,

functional testing, security testing etc. before deliver the product to KFC. Also the firm should take initiative to host the application in discussion with KFC’s Systems Department)

5. Integrate the Online Loan Application with the KFC website & Core Financial Solution (CFS) of KFC, (the firm should interact with the development team of KFC Website & CFS for integrating the developed software with those applications.)

Period of Contract:

The project schedule will be for 2years as given below

General :

1. The Online Application Portal should be an independent web portal system with its own backend database. The applicants/customers should be able to access this web portal and able to fill the details, upload the documents etc. from anywhere. There should be an interface for the branch administrator to view the application submitted online specific to their branch, and the concerned officer should be able to accept or reject the application. The accepted application details should be exported in the format required by KFC’s Core Financial Solution team to integrate with the CFS application.

2. Platform : J2EE 3. Framework : STRUTS 4. Backend : MySQL, with properly indexed. 5. The frontend should be user-friendly graphical user interface. 6. The online solution should have the ability to support Browser based User

Interface and it should support browsers like Firefox, IE, Chrome etc. 7. The proposed solution should not require any software/library/application etc. to

be installed on the client PCs/Laptops/Mobiles/Tablets etc. 8. The application should be integrated with email & SMS system. 9. The application should have the ability to generate report output directly in

Microsoft Word & Excel, PDF, Text, XML ,HTML or such other file types

10. The application should have the ability to work concurrently with any other security, surveillance and other application software for functioning e.g. Anti Virus, Firewall, MSOffice, Tally, etc.

11. The application should have System Security in database and application levels. 12. The application should have the ability to restrict data updation/creation only

through application layer and should keep the record for all such operations. Also the deletion of records should be soft deletion mode instead of completely removing the records from the backend.

13. The application should have the ability to create customized reports by the user. 14. The application should be able to generate reports at branch level, Zonal level

and head office level 15. The application should provide MIS dashboards for senior management 16. The application should have the capability to archive attachments/ reports which

can be used in Document management system 17. The application should support TCP/IP,HTTPS protocols 18. The application should have single sign-on access across modules with easy-to-

use user interface that can be accessed via the web interface. 19. The application should have Online Documentation, On-line help, Field-level

help, Screen-level help etc. 20. The application should have the capability of maintaining data on continuous

basis without purging and without affecting system performance 21. The application should have the capability to generate standard text based

report, which shall be editable 22. The application should have the capability to generate user friendly/customized

reports, which shall be meaningful, consolidated and concise and could work as an effective tool for senior management for decision making

23. The application should have the capability to provide/display data in tabular form, text form & graphical form

User Roles

There are different user roles in the application

a) Loan Applicant - who interfaces with the online loan application form over the internet through KFC website www.kfc.org

b) Central Administrator - who is responsible for maintaining the users, master entries, document templates and checklist.

c) Branch Administrator - who is authorized to view the online loan application form pertaining to respective branch and decides to accept or reject the loan application.

d) Zonal/Branch Super user – who is authorized to view all application posted to

branches under the respective zone. Different sort and filtering should be made possible.

e) Central Super user – who is authorized to view all online loan applications. Branch wise and Zone wise sorting should be provided. Different sort and filtering should also be made possible

Loan Applicant

The loan applicant can access the online application form through KFC’s website.

User Registration :

The Chief promoter of the Firm/Company will be allowed to create a user account before proceeding with the online application. For registration the system should capture the basic details such as

Name, Address, District, State, Pincode, Mobile number, Email address, ID proof, Purpose of registration.

• all fields are mandatory • the District, State, ID should be taken from master data available. • the mobile number & email address validations should be provided • provision to upload photos should also be provided

The system should check the same firm might be registered earlier or not.

The user will be registered once the validation process is over.

Once the user is registered, the system should maintain the user profile and a unique customer id should be generated. Loan applicant can provide a user id and password while creating the profile and the same should be automatically send to the user via SMS & E-Mail.

The user should have a separate homepage with link,

• “Apply Online” which directs to the user to select the loan scheme (in the online loan application form). User can apply for different loan schemes as and when he/she requires. Each time an application submits, unique reference number should be generated.

• “Upload Documents” which helps the user to upload any documents • “Messaging” which helps the user to send any information or query to the branch.

The administrator should be able to reply to and all the communications and also should able to view the information received online.

• “Status” helps to know the status of online application submitted. Status also

shows any notification from the administrator. Status icon should display the notification if there is any unread notification from the administrator.

• “Change Password”, allow resetting the password on providing valid credentials. • “Upload Photo” which helps the user to upload photos

Loan Application Processing

Selecting the “Apply Online” link will facilitate a loan applicant to apply for a KFC/KSEDM loan in an online mode.

The next screen may have the option to select the Loan scheme based on the category as below

There should be a provision to use Digital Signature in applications, if the user have one.

KFC currently have 13 loan schemes. All the 13 loan schemes are linked with 5 different application forms. There should be an option to add new schemes, deactivate/activate existing schemes and link these schemes with the online application forms by the central administrator.

-­‐ The applicant can able to view the application based on the status (accepted/ rejected/ pending) on login, if it is rejected the applicant can able to resubmit the application after necessary corrections.

-­‐ On final submission of the online loan application by a customer an Email & SMS should be send to the concerned branch admin that an application is submitted.

For Branch Administrators

-­‐ Each branch should have a separate login -­‐ Once administrator in each branch login they should have an email like interface

to access the posted application -­‐ The branch admin should be able to view only those applications meant for

him/her. -­‐ The administrator should have the provision to download the application in xml,

pdf or word(doc, docx) formats. -­‐ The uploaded documents should be shown as separate icon with the number

over it, representing the no:of documents uploaded under it. The administrator should also have the provision to download the attachments.

-­‐ Each and every time the applicant does a new upload, a distinct identification should be given to the down load icons.

-­‐ Branch admin should have the provision to reject or accept application stating valid reason. No hard deletion of application is allowed for the branch administrator. The applicant can able to view the application based on the status(accepted/rejected/pending) on login, if it is rejected the applicant can able to resubmit the application after necessary corrections.

-­‐ Branch admin should be able to view all application based on status (in process, accepted, rejected etc.).

-­‐ Branch Admin should be able to update the status of each loan ‘in process’ status to ‘Under Valuation’, ‘Under Sanction’, ‘Sanctioned’, ‘Rejected’ etc. This may be finalized at the time of development.

-­‐ Branch wise report on applications with different status like rejected, accepted & in process application should be made available, sorting option should be provided based on date, customer/concern name, scheme etc.

For Zonal/Branch Super user

-­‐ Each Zone/Branch Super user should have a separate login. -­‐ While login as the Super user they should have a dashboard like interface with

to access the posted application under each branch.

-­‐ The Zone Super user should be able to view all application posted under a branch or branches under the zone.

-­‐ The Super user should have the provision to view the application and its status. -­‐ The uploaded documents should be shown as separate icons with the number

over it, representing the no:of uploads under it. The Super users should have the provision to view the attachments.

-­‐ Branch wise report on applications with different status like rejected, accepted, in process etc. should be available, sorting option should be provided based on date, customer/concern name, scheme, branch etc. should be provided.

-­‐ The central administrator should have the provision to view all applications. -­‐ The central administrator should be able to delete the application permanentely.

-­‐ The administrator should have the provision to download the application in xml, pdf or word(doc, docx) formats.

Source Code

-­‐ The complete ownership of the source code, database scripts etc. will be with KFC, Vellayambalam, Thiruvananthapuram.

-­‐ The selected Firm/Company should provide the entire source code access for the Corporation and should be ready to execute an undertaking to that effect.

-­‐ All source codes, database scripts etc. should be properly documented and submitted in Soft Copy on CD-ROM/DVD or otherwise as specified. The source code should contain all codes for compiled/compressed programs (.dll, jar, war etc), if any.

-­‐ Printed document on the detailed database structure and relations should be provided

-­‐ KFC will have exclusive right to the online application package and other computer programs developed (including the source code, database scripts etc) for online loan application.

-­‐ Firm/Company, which is awarded the work order, should not use the database generated for any other purposes other than those specified by the KFC, who will have the exclusive right to the database.

-­‐ Full documentation on installation of the application & database should be provided and the firm should be demonstrating the same with the source code, DB scripts etc. submitted to the KFC.

-­‐ If the submitted source code is identified as incomplete, the project is treated as incomplete and charges the penalty as per the ‘The penalty clause’ in Part-II Section 34 of this document.

-­‐ Release of the payment will be based on the successful implementation of the project, submission of complete source code, DB scripts etc. and successful demonstration of the same.

Support and maintenance

-­‐ Six months Service warranty also includes free updates on any content of the application form.

-­‐ 1-year maintenance support includes updating any content of the application form. Charges are on call basis and per person hourly rates should be submitted

along with this tender. Per man month should be considered as 6 working days per week.

-­‐ Delay in work should attract penalty as per clause ‘THE PENALTY CLAUSE’ defined in Part-II, Section 34 of this document.

Reports

-­‐ A separate section of reports should be provided to all users, based on their access rights. Provision for printout for the following should be made available.

I. Registered user list, Applications posted, branch wise/Zone wise/All and in between dates.

II. Application, Sector wise, rejected, accepted, pending, realized etc. III. User log IV. Access log

-­‐ The format of the reports should be discussed and finalized at the time of development.

-­‐ Additional reports if any, identified at the time of system study should also be included with out any further cost.

Search option

-­‐ Search for all users should be with Application Number, Applicant name, Branch, District, Sector, between dates, promoters name, company/firm name etc.

-­‐ Other search criteria required should be incorporated at the time of development with out any additional cost.

General

-­‐ All dropdown combo values should be from master tables only. -­‐ Ajax should be incorporated whenever necessary, unnecessary page refresh on

combo selection, control events is not recommended -­‐ Standardized coding practice and validations should be incorporated to make the

system fast and secure -­‐ Districts/villages/taluks in Kerala should be provided by default -­‐ The database should be properly indexed and normalized and standardized to

avoid delay in data retrieval. -­‐ Every component on the screen should have tooltip help facility. -­‐ Selected Firm/Company should ensure the code should handle security loop

holes(like SQL injection) on application access, data and data transfers. -­‐ Selected Firm/Company shall be required to provide zero error/security-loophole

certificates on data capturing, reports, result etc.

-­‐ The application should be hosted as per KFC’s discretion. Any special requirement, if any, should be discussed & finalized with the DGM(Systems), Systems Department.

PART-II: INSTRUCTIONS TO THE BIDDERS

Tender Name:

Study, Development & Implementation of Online Loan Application Forms for KFC

Terms and Conditions.

The quotations duly SEALED AND SUPERSCRIBED ON THE ENVELOPE WITH Tender No, Date and Tender Name should be addressed to:

The Chairman & Managing Director, Kerala Financial Corporation, Vellayambalam, Thiruvananthapuram-695033, Kerala

So as to reach on or before the due date stipulated. Quotations received after the due date and time will not be considered. The covers received without superscription are liable for rejection.

1. The quotation shall be submitted in two bid system in the prescribed form and shall be valid for a minimum period of 3 (three) months from the date of opening of Tender.

2. Quotations will not be accepted by Fax, Email or any such electronic data transfer form.

3. EMD/Security Deposit(SD)

1.1 The bidder shall enclose a Demand Draft/Banker’s Cheque for Rs.50,000/- [Rupees fifty thousand only] drawn on any scheduled commercial bank in favour of “Kerala Financial Corporation” payable at Thiruvananthapuram towards EMD along with the Technical bid in [COVER – I]

1.2 The EMD will not carry interest.

1.3 The offer received without the required EMD will be summarily rejected.

1.4 The earnest money of the unsuccessful bidders will be refunded without any interest.

1.5 In case the successful bidder fails to execute the order as per the terms and conditions, the EMD deposited shall be forfeited without further notice.

1.6 The EMD remitted by the successful bidder shall be converted to Performance Guarantee in the form of Security Deposit (SD). SD will also do not carry any interest.

1.7 ‘SD’ will be returned at the end of the contract period (after the support & maintenance period) after a period of 60 days beyond the date of completion of all contractual obligations of the successful bidder.

1.8 In the event of failure to honor the selected agency’s commitment or contractual obligations or any violation of conditions as per this tender, KFC shall forfeit the EMD(Rs.50,000/-)/Security Deposit without further notice. The agency will also be liable for other penal (both civil and criminal) actions and for compensation to KFC of any loss as may be computed by KFC at its sole discretion.

4. The bidders are advised to study the tender document carefully. Submission of tender shall be deemed to have been done after careful study and examination of the tender papers with full understanding and implications thereof. Any bid that is technically not feasible is liable to be rejected.

5. Every page submitted should be numbered and signed.

6. Concern/Company, which has been blacklisted/terminated by KFC or by any State/Central Government’s Departments/Organizations/PSUs in the last, three Financial Years for the development of software are not eligible to participate in the tender.

7. The KFC will open the technical bid (Cover I) first. The ‘Financial Offer ' (Cover II) of the qualified bidder will be opened thereafter.

8. Eligibility Criteria (Should submit with supporting documents)

8.1 The bidder should be a registered IT software development company and have sufficient infrastructure to cater the service.

8.2 The Vendor intended to participate in this Tender process must have professionals with through knowledge in JAVA, Struts, AJAX etc.

8.3 Developer should have undertaken, executed & completed satisfactorily at least three similar online application project in JAVA platform in any Financial institution/Schedule Commercial Banks/NBFC in India which is up and running now.

8.4 The bidder should have firm’s PAN/TAN number and the proof of the same must be attached.

8.5 The bidder should have firm’s Service Tax Registration number and the proof of the same must be attached including the latest chellan.

8.6 The company shall have resident software development team in Thiruvananthapuram, Kerala.

8.7 The bidder should have achieved an annual turnover of at least Rs.100 Lakhs in the IT software services business during each of the last three financial years

8.8 Developer should have minimum of five years of experience in similar line of business and having adequate experience in successful implementation of similar projects.

9 Details of work and time limits allotted for the work

9.1 The Concern/Company will be responsible for the Study, Development & Implementation/ Integration of online application as per PART-I REQUEST FOR PROPOSAL of this document.

9.2 Failure to comply with the requirements would be treated as dishonor of contractual obligations. The bill payments will be withheld in failure of the same.

9.3 In case of any issues, a detailed analysis of failure should be conducted to avoid any similar failure in future.

9.4 The selected Firm/Company will also nominate a supervisor/project leader who will visit KFC Systems Department whenever required to discuss problems and/or issues in consultation with KFC officials.

9.5 The maintenance agency shall provide a clear-cut escalation matrix to the DGM(Sys), Systems Department.

9.6 If any errors are observed, the Concern/Company should analyze them in detail and carry out necessary activities to eliminate them as part of service support (Warranty/AMC service).

9.7 Weekly report on the status of development/service support, which highlights the findings & follow-up actions, will be submitted to the DGM(Sys), Systems Department within two days.

10 Proposal Format (failing of any of the conditions which the same may be rejected)

Two covers, one ‘Techno Commercial Offer along with Required EMD’ envelope super scribing “Technical Bid” (Cover I) and the other one with the Financial Offer super scribing “Financial Bid” (Cover II) shall be enclosed separately. The sealed envelopes mentioned above should again be placed in a single sealed main envelope superscripted as "Tender for KFC’s Loan Online Application Form", TENDER No: KFC/SYS/06/2014-15, From : Bidder’s Name and Contact details” which will be received in the office of KFC Vellayambalam up to the due date and time mentioned in this document.

10.1 The Techno-Commercial proposal may contain:

10.1.1 the Demand Draft in favor of “Kerala Financial Corporation” payable at Thiruvananthapuram for EMD of Rs.50,000/-

10.1.2 copies of testimonials to confirm the responsiveness and quality of development service offered.

10.1.3 Copy of PAN/TAN/Service Tax Registration.

10.1.4 Information sheet as per Annexure I duly filled after affixing signature and office seal on both pages.

10.1.5 Audited balance sheet for FYs 2010-11, 2011-12 and 2012-13 should be submitted. Provisional balance sheet for FY 2013-14 may also be enclosed.

10.1.6 Bidder should submit the ISO 9001:2000/2008/CMM Level certification, if any, covering software developmental services.

10.1.7 The Financial Offer as per Annexure-II may contain rates both in numerical value and in words. The rate and amount quoted should be exclusive of all expenses such as all duties, taxes, freight, insurance etc., Such charges, if any, should be mentioned separately. No amount will be paid extra on any account.

10.1.8 Any other supporting document as per this tender.

10.1.9 The prices quoted by the bidder shall have sufficient details to enable KFC to arrive at the price of service/ system offered, failing which such tender will be summarily rejected.

10.1.10 If any information asked in the TENDER document is not available in the Technical/Financial Bid or if the bidder does not meet the criteria given at 8.3 the bid is liable for rejection.

10.1.11 Prices should not be indicated in the Technical Bid.

10.1.12 All the columns of the Price Bid shall be duly, properly and exhaustively filled in. The rates and units shall not be overwritten. Rates shall always be both in the figures and words.

11 The Technical Bid and Commercial Bid shall be submitted in the format given in Annexure I and Annexure- II respectively and the authorized signatory of the Bidder shall sign them. Copy of the authorization letter from the Chief Executive/Governing Board of the Bidder shall be enclosed.

12 Technically qualified and commercially responsive lowest offers will be considered for award of the contract. However, the KFC reserves the right to reject all or any of the offers of the Bidder without assigning any reason. No claim or complaint in this regard will be entertained by KFC.

13 Arithmetical errors will be rectified on the following basis: If there is a discrepancy between the unit price and the total price that is obtained by multiplying the unit price and quantity, the unit price shall prevail and the total price shall be corrected. If the Bidder does not accept the correction of the errors, his bid will be rejected. If there is a discrepancy between words and figures, the amount in words will prevail.

14 Tie breakers in case of identical Bids :If rates are found to be identical by more than a firm, preference will be given to firm with highest turnover in financial year 2012-13 (audited).

15 Qualification of developers attending the development of the product. The developer should have a MCA/MSc-IT(full time)/Engineering degree(full time) holder from any recognized university with minimum 2 year of experience in software development in JAVA/J2EE. The agency should submit the list of technicians along with qualification and experience in the Annexure- I.

16 The technicians/engineer listed in Annexure- I normally will not change and in case of change the prior approval of KFC should be obtained in writing.

17 The selected agency should not outsource the contract either partially or fully to any third party.

18 The selected agency will indemnify the KFC against any claim, loss, damage occurred, or caused to the KFC due to willful acts or omissions or carelessness or negligence of its engineers/supervisors, while on duty.

19 The Selected agency should maintain a good cooperation with the existing service provides in KFC on Application/DB/VC/AV/Mail server management and hardware service providers. Failure or shifting of any assigned work with respect to this contract to anyone else would be treated as dishonor of contractual obligations. In case of any dispute with any other service provider, the matter should be referred to DGM(Sys), Systems Department, KFC.

20 KFC also reserves the right to ask the Agency to replace the developer from the site/development with immediate effect, if his behavior / performance is not up to the mark and / or found indulging in unlawful activities. Agency shall immediately comply with such instructions.

21 Conditional quotations not accompanied with the required documents will be rejected forthright.

22 KFC shall have right to issue addendum to tender document to clarify, amend, modify, supplement or delete any of the conditions, clauses or items stated therein. Each addendum shall form a part of the original invitation to tender.

23 Signed copy of the tender document with each page duly signed by the authorized official of the bidder should be submitted as a token of acceptance of the terms and conditions.

24 The Selected agency should submit a copy of the concerned extract of the company resolution as proof by whom to be authorized to sign the Agreement at the time of finalization of the contract.

25 Late Bids Any bid received by the KFC Vellayambalam after the time and date for receipt of bids prescribed in the TENDER document will be rejected and returned unopened to the Bidder.

27 Bid Forms

27.1 Wherever a specific form is prescribed in the Bid document, the Bidder shall use the form to provide relevant information. If the form does not provide space for any required information, space at the end of the form or additional sheets shall be attached and used to convey the information sought.

27.2 Corporation shall not be bound by any printed conditions or provisions in the Bidder’s Bid Forms. In case terms and conditions of the work order applicable to this invitation to quotation are not acceptable to any tenderer, he should clearly specify deviation in his tender. Corporation reserves the right to accept or reject them and will not be bound to give reasons for its refusal to consider the tender with such deviations.

28 Evaluation of Bids: 28.1 Technical Bid: Only the technically qualified bidders, on the ground of

satisfactorily submission of above-said Pre-Qualification documents, will be considered for opening of the commercial bid. No further discussion/interface will be held or entertained with the bidder whose bid has been technically disqualified / rejected.

28.2 Commercial Bids: Commercial bids of those bidders who qualify the technical evaluation will only be opened.

29 Demonstration of technical expertise: 29.1 If Required, the Firms/Companies short-listed by the Corporation should

demonstrate their technical capabilities to handle the tasks and are required to demonstrate at their own expense before the opening of financial bids.

30 Terms of Payment.

30.1 Firm/Company would be required to sign an agreement on a stamp paper of an appropriate value.

30.2 The rates once approved will not be enhanced by the KFC in any case during the period of the contract.

30.3 Payment will be made submission of the bill as per the following conditions & Schedule of Payment

30.3.1 (a)satisfactory performance/completion report and (b) Work completion certificate countersigned by the DGM(Systems), System Department as per the requirement specification above.

30.3.2 All the papers with respect to development should be countersigned by DGM(S).

30.4 The applicable TDS will be deducted from the payments made by Corporation.

*7.5% amount withheld along with the SD will be released after the AMC is over, based on the service during the warranty period. If any noncompliance the amount will be forfeited by the Corporation. The withheld amount will not carry any interest.

31 Taxes.

Taxes shall be deducted from the successful Contractor’s payment as per Government Rules. Tax Deduction Certificate shall be issued on demand.

32 Completion, Extension & Termination.

32.1 Period of contract is for two year from the date of signing the contract. Within the contract period an AMC of 1year should be ensured. A written request to renew AMC for further year must be submitted by the selected agency along with

Balance Sheet of the previous Financial year. AMC will be renewed for another year subject to the satisfactory performance of the agency and approval by CMD of the Corporation..

32.2 The extension of AMC is considered if the service is satisfactory in all respect to KFC. The decision of Chairman & Managing Director, KFC in this regard shall be final.

32.3 It shall be open to the agency to terminate this agreement any time by giving three months’ advance notice to KFC, in writing.

32.4 In case the vendor fails to provide the solution as per the requirements and/or satisfactory level of maintenance and/or the calculated damages in any month exceeds 20% of the total project cost, KFC reserves the right to serve a minimum of 7 days’ notice and terminate the contract. In this connection the decision of KFC shall be final and binding on the Contractor.

33 Confidentiality 33.1 The Bidder should not disclose to any other party and keep confidential

the terms and conditions of this Contract agreement, any amendment hereof, and any Attachment or Annexure hereof.

34 THE PENALTY CLAUSE: Company/Firm has to complete the work as per the prescribed schedule and strictly in accordance with the terms and conditions of the Tender failing which the Corporation without prejudice to any other right or remedy available may recover any such amount suffered as loss from the Company/Firm as ascertained/assessed by this office as liquidation damages and not by way of penalty to be imposed, separately at the rate of 0.5% per day of delay on the total value of work order subject to a maximum of 25% of the total value of work order, provided if any loss or delay has been caused due to any reasons beyond the control of any of the parties (Force Majeure). The CMD, KFC, Thiruvananthapuram shall have the sole discretion to waive off such loss or penalty as he deems fit, provided further that the selected Firm/Company shall explain in writing the reasons which caused such delay or loss within 5 days from the date of delay or incurrence of such loss.

35 Arbitration.

35.1 In the event of any dispute or difference between the parties hereto, such disputes or differences shall be resolved amicably by mutual consultation. If such resolution is not possible, then the unresolved dispute or difference shall be

referred to arbitration. The provisions of Arbitration and Conciliation Act, 1996 shall be applicable to the arbitration. The venue of such arbitration shall be at Thiruvananthapuram or any other place, as may be decided by the arbitrator appointed by the CMD of the Corporation. The language of arbitration proceedings shall be English. The arbitrator shall make a reasoned award (the “Award”), which shall be final and binding on the parties. The cost of the arbitration shall be borne by the bidder.

35.2 All cases / proceedings relating to any dispute or claim arising out of the tender shall be subject to the exclusive jurisdiction of the court at Thiruvananthapuram.
