TABLE OF CONTENTS

| 4 2017 ITRON EMPLOYEE BENEFITS

We offer high-quality, comprehensive medical plans with low employee premiums, copays, and deductibles.

Itron offers two medical plans: PPO Plan and the Account-Based Plan

UnitedHealthcare (UHC) is Itron’s medical benefits administrator.

Using UHC’s network providers will save you money because the plan pays a higher percent of the charge. UHC’s contracted rates provide deep discounts, which means lower out-of-pocket costs for you and for Itron. Network providers will also bill the plan directly for covered services, which means less work for you.

To locate a provider in UHC’s network, visit www.myuhc.com and click “Find Physician, Laboratory or Facility” on the home page, and choose UnitedHealthcare Choice Plus from the list of plan selections available. Register to use the medical-plan member website (www.myuhc.com) to access provider ratings; medical claims, deductible and out-of-pocket amounts; claims history; price estimates for medical services; provider cost and efficiency information; and the ability to do virtual visits with a healthcare provider.

How Do Out-of-Pocket Maximums Work?

PPO Plan: All out-of-pocket expenses, except for premiums and prescription drug out-of-pocket costs, accumulate toward the annual out-of-pocket maximum. When you reach the $2,500 maximum as an individual, you’ll have 100% coverage for eligible claims (except for prescriptions). When your family reaches the maximum of $5,000 on a combined basis, covered claims will be paid 100% (except for prescriptions) for all family members. Prescription drugs carry a separate out-of-pocket maximum of $2,000 per person.

Account-Based Plan: For employee-only coverage, the annual out-of-pocket maximum is $3,000. The annual out-of-pocket maximum is $6,000 for employee + spouse, employee + child(ren) and employee + family coverage. All out-of-pocket costs, excluding premiums, accumulate towards this maximum. Itron contributes up to $1,250/year depending on coverage tier to help offset your out-of-pocket costs.

When out-of-pocket costs reach the maximum, covered claims will be paid 100%.

Virtual Visits

Itron continues to offer employees the ability to have virtual visits—video or phone— medical consultation for minor ailments, such as colds/flu, allergies, and sinus infections. Using this new plan feature is less expensive for both you and Itron, and can help you get the treatment you need quickly.

Healthcare Estimator Tool

UnitedHealthcare offers a quick and easy way to estimate your health care costs on myuhc.com and in the UnitedHealthcare Health4Me app with the myHealthcare Cost Estimator.

Using the myHealthcare Cost Estimator:

» Shows you the estimated costs for a treatment or procedure

» Displays how that cost is affected by your deductible, co-insurance and out-of-pocket maximum

» Gives you an estimate of what you’ll be responsible to pay

» Provides you with usable information for planning and budgeting

The more you use myHealthcare Cost Estimator, the more you’ll see that not all doctors are the same. Depending on what you’re looking for, you could see a wide range of estimates for the same procedure or treatment. You can use this information to:

» Plan your care

» Budget for medical expenses

» Find doctors that better meet your needs

» Learn about new treatment options

» Save money

It’s all about having the information you need to make the best decisions for your health and your pocketbook.

Need help deciding which plan to choose? UHC offers a robust tool at www.pcestimator.com

Spousal Surcharge

The rates above do not include the $75/month surcharge for adding a spouse to your plan who qualifies for other health insurance, such as from an employer or a retirement plan. If you enroll your spouse, you must indicate whether or not he or she is eligible for other insurance.

If you add your spouse to Itron’s medical plan but don’t opt out of the spousal surcharge, we’ll apply it by default.

Tobacco Surcharge

Tobacco use leads to higher medical costs. If you or your spouse uses tobacco, we’ll add a surcharge of $40/month per tobacco user. You may recoup this surcharge by starting the Quit for Life Tobacco Cessation program by March 30, and completing it by September 30, 2017. You may join the Quit for Life program by calling (866) QUIT-4-LIFE.

We will apply this charge by default to you and your covered spouse unless you indicate that you do not use tobacco.

Tobacco products include, but are not limited to: cigarettes, cigars, pipes, all forms of smokeless tobacco (chewing tobacco, snuff, dip, or any other product that contains tobacco), clove cigarettes and any other smoking devices that use tobacco. E-cigarettes are also considered a form of tobacco.

Important Note for Election Surcharges: We expect you to ethically and honestly report you and your covered spouse’s tobacco use, and spousal eligibility for insurance, under an employer or retirement plan. Failure to do so may result in our applying surcharges retroactively, as well as other disciplinary action.

2017 MEDICAL PREMIUM RATES + INCENTIVES & SURCHARGES Monthly Bi-weekly PremiumPPO Plan EE Only $85.00 $39.23 EE + Spouse $170.00 $78.46 EE + Children $165.00 $76.15 Employee + Spouse + Children $265.00 $122.31 Account-BasedPlan EE Only $55.00 $25.38 EE + Spouse $90.00 $41.54 EE + Children $85.00 $39.23 Employee + Spouse + Children $140.00 $64.62

Tips: » If you enroll your spouse and he/she doesn’t have access to his/her own medical coverage, be sure to say so when making your medical plan elections to avoid the $75/month spousal surcharge.

» If you (and your spouse, if applicable) are not tobacco users, make that declaration during benefits enrollment to avoid the $40/month tobacco-use surcharge.

» Reminder: The Tobacco Surcharge and Spousal Surcharge will be applied automatically to your enrollment elections unless you opt-out from them.

» Enroll in the Vitality Wellness program when making your benefit elections, and you may be eligible for a medical premium discount in 2018 based on your achievements in the program in 2017. Not participating in 2017 will result in up to $20/month in medical premium surcharges in 2018.

A Valuable Part of the Account-Based Medical Plan:

A Health Savings Account (HSA) is available to employees enrolled in Itron’s Account-Based Plan. HSAs can be powerful vehicles for paying out-of-pocket medical expenses as well as saving for the future.

An HSA offers three tax advantages that help you save money and grow it for the long term. First, employees and employers contribute on a pre-tax basis, meaning the funds deposited aren’t included in your taxable income. Second, you may invest your contribution in several ways, and it will grow tax free. Third, you may withdraw funds tax free for eligible out-of-pocket medical expenses. This triple tax advantage makes an HSA even more tax effective than a 401(k) plan or an IRA.

The 2017 contribution limit is $3,400 for individuals and $6,750 for those who elect family coverage. For employees age 55 and older, the IRS allows an additional $1,000/year catch-up contribution.

Choosing the Account-Based Medical Plan earns you a contribution from Itron to help fund your account. Itron’s contributions in 2017 will be:

» Employee Only / $750

» Employee + Spouse / $1,000

» Employee + Child/Children / $1,000

» Employee + Family / $1,250

Note: Those joining the Account-Based Plan after January 1 will receive a pro-rated share of Itron’s HSA contribution. Joining or leaving the Account-Based Plan during the calendar year may result in pro-ration of the IRS-allowed maximum annual contribution. Those who remain in the plan for 12 months or more generally are not affected. Consult IRS regulations or your tax advisor if this applies to you.

You may use your HSA for long-term savings, to help pay medical expenses, and to fund certain medical expenses after you retire. Should you leave Itron, you may take the account with you. For those employees living in California, New Jersey or Alabama, employee and employer contributions are subject to state tax withholding.

HEALTH SAVINGS ACCOUNT (HSA)

You may withdraw money from an HSA tax free to pay out-of-pocket medical expenses. You may also withdraw money from an HSA for non-medical expenses, but you may have to pay income tax plus a 20% IRS penalty if you are under 65.

Distributions from an HSA used to fund health care expenses for you, your spouse and dependents are tax free, provided they meet the IRS definition of a “qualified medical expense.” The good news is that many expenses qualify for payment or reimbursement, such as:

» Health plan deductibles and co-insurance

» Most medical care and services

» Dental and vision care

» COBRA premiums and health premiums if you are unemployed, and once over 65, for any medical insurance policy other than a Medigap policy

If you are enrolled in Medicare Part A or B, you are not eligible to contribute to an HSA and Itron is not allowed to contribute to it.

When Enrolling in the HSA:

» Elect an eligible health plan (the Account-Based Plan)

» Contact Fidelity at netbenefits.com or 401k.com to open an HSA account (so Itron can contribute the HSA funds)

| 7 2017 ITRON EMPLOYEE BENEFITS

| 8 2017 ITRON EMPLOYEE BENEFITS

We Offer Two Types of Flexible Spending Accounts:

1: Health Care Flexible Spending Account (Only available to those who elect Medical PPO Plan)

This account lets you pay for certain out-of-pocket medical costs such as prescription drugs, doctor visits, co-pays, deductibles, and co-insurance payments with pre-tax money. You may contribute up to $2,500 per plan year (minimum $130), deducted from your paychecks in installments.

2: Dependent Care Flexible Spending Account (Available to those waived or enrolled in either medical plan)

This account lets you use tax-free money to pay for certain dependent-care costs that enable you to work, such as day care or elder care. Maximum contribution is $5,000 per plan year (minimum $130).

FLEXIBLE SPENDING ACCOUNTS

» Plan before you enroll: you can’t change or stop FSA elections during the plan year, unless you have a qualifying event

» You must re-enroll each year to continue participating; your prior year’s election will not carry over

» Enrolling in the Account-Based Medical Plan with a Health Savings Account disqualifies you from participating in the Health Care Flexible Spending Account, but you can still contribute to the Dependent Care Flexible Spending Account

» Keep all receipts for purchases under the FSA, as you may need to submit them as documentation to the FSA administrator or to the IRS

Make the Most of Your Flexible Spending Account:

Save money with a Flexible Spending Account (FSA), which lets you set aside money through pre-tax payroll deductions to pay for certain expenses. These funds are not taxed at the front end, when you contribute to the account, or at the back end, when you are reimbursed for eligible expenses.

| 9 2017 ITRON EMPLOYEE BENEFITS

What are the differences? A Health Savings Account (HSA) is available to employees enrolled in Itron’s Account-Based Plan. HSAs can be powerful vehicles for paying out-of-pocket medical expenses as well as saving for the future.

FLEXIBLE SPENDING ACCOUNTS & HEALTH SAVINGS ACCOUNTS

Health Savings Account (HSA) Available to those in the Account-Based Plan

Both employees and Itron contribute. Employees contribute pre-tax payroll deductions or a lump sum contribution made on an after-tax basis by writing a check to the HSA administrator (Fidelity Investments).

Itron will also contribute up to $1,250 to employees’ HSA accounts, depending on coverage tier elected.

The total maximum contribution for 2017 by both employee and employer is $3,400 for those with employee-only coverage and $6,750 for those with employee + 1 or family coverage. Contributions to an HSA are not allowed if you are enrolled in Medicare Part A or B.

Out-of-pocket medical, dental and vision expenses such as copays, deductibles and coinsurance.

Eligible medical expenses not covered under the medical plan (over-the-counter medications and supplies will no longer be reimbursed without a prescription.)

Premiums for tax qualified long-term care insurance.

COBRA medical premiums.

Medical insurance premiums paid while unemployed. For those over age 65, medical plan premiums such as Medicare premiums (excluding Medigap).

Your contributions, made each pay period, fund your HSA. Funds will be available as they accrue.

Itron will contribute its portion of your HSA funds within a month after you open your account.

You may use your HSA debit card. You may write a check to yourself from your HSA as reimbursement for out-of-pocket expenses, or call Fidelity (the HSA trustee) and request a check. You are responsible for keeping medical expense receipts in the event the IRS audits you.

Or, you may use your HSA debit card to pay expenses.

Unused funds carry over year-to-year and are also yours if you leave Itron.

Yes. The funds are held in a brokerage account. You may invest in mutual funds (minimum $2,500 investment), ETFs, stocks and bonds. Investment earnings grow tax-free in an HSA.

» Innovative Clinical Programs – Healthy Pregnancy Program – Congenital Heart Disease (CHD) Resource Services – Transplant Resource Services – Phone number: PPO Plan (844) 637-7503; ABP Plan (844) 217-0934

Helpful Hints on Health Care Consumerism

» In network preventative care, such as annual physical, flu shots and immunizations, are covered at 100%.

» Seeing in-network providers significantly lowers your costs due to network discounts.

» It’s important to compare your Explanation of Benefits (EOB) with the provider’s bill to make sure the out-of- pocket costs match.

» At no cost to you, Itron provides an independent Health Advocate who can scrutinize your bill and EOB and make sure you are paying the correct amount.

» UnitedHealthcare (UHC) and Express Scripts have price transparency tools on their websites to help you minimize your costs and maximize the quality and efficiency of providers. Be sure to register on express-scripts.com and myuhc.com to utilize the real-time price transparency tools.

» Many services, such as lab work and MRIs, are commodity-type services. The price can vary vastly depending on where you get these services done, and some providers are more efficient from a cost and service standpoint than others.

» If you’re in the Account-Based Plan with the Health Savings Account, you can place your HSA money in a variety of investments such as stocks, bonds and mutual funds to help your account grow for the future. – Contact Fidelity to determine minimum initial investment requirements

» A Health Savings Account (HSA) is more tax effective than a 401(k) or IRA. Contributions go into your account tax free and grow tax free, and can be withdrawn tax free when used to pay for qualified medical expenses.

» At the time of a health event, consider which facility you should visit. Unless there is major medical trauma such as heart attack, stroke, or a serious accident, an Urgent Care facility may be your best choice, typically offering lower costs and significantly shorter wait times than hospital emergency rooms.

» Virtual Visits can be more convenient and cost effective than a trip to urgent care for minor ailments. In the PPO Plan, virtual visits have a copay of only $20 vs $50 for an urgent care center.

| 19 2017 ITRON EMPLOYEE BENEFITS

All employees may participate in the Itron Incentive Savings Plan for 401(k) retirement savings—and Itron will match a portion of your contributions. To enroll or make changes, call Fidelity at (800) 890-4015 or use the website, www.401k.com.

You may contribute from 1 to 50% of either pre-tax earnings or after-tax earnings (Roth) through payroll deductions, up to the annual dollar limit established by the IRS. A catch-up provision allows participants age 50 and older to contribute more in order to build their retirement savings at a faster pace.

The Roth 401(k) option gives you the flexibility to contribute after-tax money. These contributions, plus associated earnings, grow in investment accounts tax free and can be withdrawn tax free at retirement age, subject to certain IRS rules.

Our plans offer a variety of funds including target-date funds, a managed account service, and a self-directed brokerage account. Each fund option has a distinct investment objective and risk/reward profile. You may reallocate your investment at any time.

Want help deciding how to invest your money? Try target-date funds or the managed account service. With each of these options, the plan selects the fund mix for you and rebalances it periodically to keep you on track toward meeting your retirement goals.

Itron Wants to Give You Money!

Contribute at least 6% of your salary to your 401(k). For every dollar you pay into your 401(K)—up to 6%—Itron will contribute 75 cents, with matching funds deposited quarterly. Contributing 6% will earn you a company match of 4.5%. To be eligible, you must be actively employed on the last day of the respective quarter.

Your contributions are 100% vested at all times. Itron’s matching contributions vest on a graded basis once you reach three years of service, provided you work 1,000 hours in a given calendar year.

THE INCENTIVE SAVINGS PLAN: 401(K) & EMPLOYEE STOCK PURCHASE PLAN
